11.8

11.8 – DIRECT WORK
1. Specifically identify labor, materials, or elements of the work to be completed by your own forces and excluded
from the scope of sub-contracted work.
Snyder Langston is not intending to self-perform any trade work on this project.
2. Identify any sub­contractors, suppliers, distributors or related service-or product-providers in which your firm or
its principals have an ownership or financial interest.

11.9 – CHANGE ORDERS
Snyder Langston mark up for fee, insurance, subguard, and general conditions on direct costs of additive and
deductive change orders to be as follows:
Fee: 2.25%
General Liability Insurance: 0.90%
Subguard: 1.25%
General Conditions: to be determined on a case by case basis.

SUBCONTRACTOR DEFAULT INSURANCE: EXECUTIVE OVERVIEW
Snyder Langston provides Subcontractor Default Insurance (SDI) in the amount of $25,000,000 for qualifying
projects. SDI, underwritten by Cove Programs Underwriting Ltd with an A XV Best rating, provides protection
from losses resulting from the inability of any one of Snyder Langston’s subcontractors to fulfill their contractual
obligations. Depending on the term purchased for SDI, coverage can continue beyond the subcontractor’s
completion date for 2, 5 or 10 years (the longest period in California for the Statute of Limitations.)
SDI replaces subcontractor payment and performance bonds while providing superior coverage and substantially
faster claim resolution. By directly reimbursing Snyder Langston for losses incurred as a result of a defaulting
subcontractor, Snyder Langston is better positioned to immediately complete the work while mitigating delays
and disruption to the project.
SDI provides a wide array of benefits over bonds to include the following:
- Helps minimize project delays due to subcontractor failures
- Pays for losses incurred as a result of replacing a defaulted subcontractor
- Pays for attorney fees, experts, etc. needed to adjust the loss
- Typically less expensive than subcontractor bond costs
- Pays for subcontractor overtime and acceleration costs to make up for time lost
- Pays for costs to remediate defective work of the defaulted subcontractor
- Pays for suppliers who were not paid by the defaulted subcontractor
- Pays for liquidated or actual damages caused by the defaulting subcontractor
- Pays for loan extension costs
- Pays for liens, tax responsibilities, union dues, etc. associated with the project due to the defaulted
subcontractor
- Catastrophic protection should a subcontractor default during or after construction (pays more than the
value of the subcontract, if necessary)
- Includes a post-construction 10 year tail to coincide with the statute of limitations
- The policy does NOT cover the General Contractor’s Overhead and Profit for the project nor any self-
performed work
The program is underwritten by Cove Programs Underwriting, Ltd, and insured by Certain Underwriters at Lloyd’s
of London and International Insurance Co. of Hannover SE, UK Branch.
SDI can be a cost effective alternative for those projects requiring the General Contractor to provide a 100%
performance payment bond which in turn triggers the requirement for all or most of the subcontractors to do the
same. This “double bonding” can be eliminated and the cost for protecting the project substantially reduced by
the owner electing to cover the project with SDI and choosing to be endorsed on the SDI policy.

11.10 – EXCLUSIONS & QUALIFICATIONS

This Proposal is based upon the RFP dated September 7, 2018 with the following clarficiations:

1. We anticipate the following Design Build/Deferred Submittal Trades:
• Fire Sprinklers
• Curtain Wall
• Caissons
• Elevators
• Fire Alarm
• Precast/GFRC
• Metal Stairs

2. Deferred Submittals (Subcontractor provides some component of the design which cannot be
determined until the Subcontractor and suppliers have been determined):

• Curtainwall (the wall itself and the connections, but not the effect of loads and forces on the
building)

• Elevators (the guide rails and attachment to supports, but not the effect of loads and forces on
the building)

3. Specifically not included as either Design Build or Deferred Submittals are:
• Metal Studs
• Metal Panels
• Seismic Restraints
• Vibration Isolation Systems
• A/V Systems
• Security/Access Controls
• Main Fire Water Service
• Gauge Metal Decking
• Miscellaneous Metals
• MEP Systems or components
• Irrigation
• Exterior Plaster Systems

11.11 – CONTRACTOR’S CONTINGENCY
Per the RFP, the construction agreement shall stipulate that the GMP include a contractor’s contingency for the
following:
1. Miscellaneous costs not attributable to any item in the Cost of the Work;
2. Coordination of trades established by the Construction Documents which prove to be unclear for subcontractors’
purposes, thereby leaving minor omissions of the Work required or implied therein;
3. Errors or omissions in estimates other than as provided for in the Contract Documents;
4. Existing conditions that cannot be reasonably anticipated or included in the Scope of Work.
Snyder Langston would recommend a contingency of 3% of the GMP amount.

PENDING ISSUES:

Care Meridian – Littleton, CO

In 2018, Snyder Langston successfully settled a dispute between our client, design consultants,
and our subcontractors for post-completion design and construction disputed work. Snyder
Langston or its insurance were not required to contribute towards the settlement.

Eastlake Professional Building – Chula Vista, CA

In 2017, Snyder Langston settled a claim in mediation for alleged construction defects for work
performed in 2008 by Snyder Langston’s subcontractors. Snyder Langston successfully resolved
the dispute in its favor.

San Juan Medical Center – San Juan Capistrano, CA

In 2016, Snyder Langston successfully settled a claim in mediation and receive additional
compensation for project delays associated with untimely issuance of owner controlled permits
and an approved soils report.
