(23) years of service with MSQH and as MSQH CEO for fourteen (14) years. The President informed
that apologies were received from Encik Mohd Hareeff Muhammed (Ordinary Committee Member) and
Mr. Manvir Jesudasan (Ex-Officio Patient Advocate).
The Secretary confirmed the quorum of 950 registered members (182 attending and 768 proxies)
comprising of 845 ordinary members, 87 corporate members, 17 life members and 1 associate ordinary.
The President called the meeting to order at 3.40pm.
The President informed that the notice of the 22nd AGM and the text of resolutions have been circulated
in accordance with the Society’s Constitution and was readily available on the MSQH website.

The President welcomed new and existing members and informed that by virtue of Clause 4.9.2 of the
Constitution, members whose membership fees are still outstanding on or after 1st March 2020 shall be
deemed as ceased. The President tabled the agenda for the AGM and highlighted the following
achievements for year 2019 (Please refer next page):-
• Held five (5) Committee meetings in 2019 with average of 80% attendance by Committee
members;
• Extension of contract for hospital accreditation programme between MSQH and Ministry of
Health Malaysia to November 2021
• Mileage on increased of revenue by 5% compared to 2018 to a total of RM4.4m
• Mileage on generation of surplus amounting to RM890,597 in 2019
• Increased by 8% in the number of chronic dialysis accreditation surveys compared to 2018
• Increased by 50% in the number of hospital accreditation surveys compared to 2018

The President extended the Committee’s appreciation to MSQH advisors, all current and past Committee
members, councilors, surveyors, Ministry of Health Malaysia, Association of Private of Hospitals
Malaysia, Malaysian Medical Association, Standards Malaysia, Academy of Medicine Malaysia, Malaysia
Healthcare Travel Council, partner organisations and all members for their continued support and
contribution for the past 22 years. Puan Norhaizam informed that the Society was affected by COVID-
19 pandemic where the Secretariat staffs worked from home during the movement control order period.
The Society received SOCSO’s wage subsidy programme incentives for a period of six months from April
to September 2020 and rental reduction up to 90% for a period of three months from April to June 2020.
The President expressed her gratitude to all frontliner staffs for sacrificing their lives and time to ensure
the country is safe and advised members to take precautionary measures at all times.

4.5 STANDARDS DEVELOPMENT
Professor Dato’ Dr Rahim informed that the Society is revising its 5th Edition Hospital
Accreditation Standards commencing last quarter of year 2020. MHTC has accorded
MSQH with a Letter of Award on 7th September 2020 to develop the Centre of Excellence
(COE) for cancer care, cardiology, cardiothoracic and ophthalmology service.

4.6 STRATEGIC ALLIANCE AND PARTNERSHIP
Professor Dato’ Dr Rahim informed that MSQH will be collaborating with ECRI Institute on
various initiatives namely on conducting joint webinars and training programmes in the
forthcoming years. The Society has also signed a Memorandum of Understanding in 2019
with Global Healthcare Accreditation (GHA) to conduct the Medical Travel Accreditation
Programme in Malaysia.

MSQH Surveyors
Majority of our surveyors continue to work part-time in health as professional specialists,
doctors, engineers, nurses, medical administrators and allied health professionals while
contributing to the MSQH mission on a voluntary basis. There is a total of 141 active
surveyors (2018: 165 surveyors) working part time with MSQH for the hospitals, medical
clinics, dental clinics and chronic dialysis accreditation programme. A detail surveyor’s
name were presented at the Committee’s Report 2019.
4.9 ISQua ACCREDITATION PROGRAMME
Professor Dato’ Dr Rahim informed that MSQH will be assess by ISQua International External
Evaluation Association (IEEA) for its Organisation and Surveyor’s Training Programme 4th Cycle

pandemic.

9.0 APPOINTMENT OF INPANA & ASSOCIATES AS EXTERNAL AUDITOR OF THE SOCIETY
AND AUTHORISE THE COMMITTEE TO FIX THEIR REMUNERATION
The members unanimously RESOLVED to appoint Inpana & Associates as the external auditor of the
Society and authorised the Committee to fix their remuneration
10.0 OTHER MATTERS OF WHICH DUE NOTICE HAVE BEEN GIVEN
The following motion was received from Ms. Alice Woon Ah Moi on 27th August 2020,
“Members should come from various healthcare groups and limit to two (2) persons from the same
group to sit on the Board”
Ms. Alice informed that she was proposing to have a variety of groups in the composition of Committee
members. In response to this, the Committee replied that:-
a) Any review on the change or amendments to the “Composition of Committee” is a delicate
matter and requires a comprehensive review of the Constitution as a whole particularly on its
relation to MSQH’s vision, mission, goals and terms of reference of the Committee.
Importantly, the Committee is also bound by its responsibilities or duties as in Clause 3 and 9
of the Constitution. Hence, any change to restrict to a specific group must take into
consideration all of these factors. Nonetheless, if the motion is to proceed, a dedicated task
force or working group must first be formed to initiate such a review based on these factors;
b) The current composition of elected Committees are from ordinary members. They are
elected not only from their organisational background but also from other attributes namely
their expertise, qualifications, strong network, performances through active contribution and
participation for the Society particularly in the accreditation programmes, among others. On
another note, ordinary members have their rights to change jobs and portfolio from one
organisation to another hence making the restriction within the same group impractical;
c) According to Clause 8.3 of the Constitution, all elected office bearers are eligible for re-
election for a maximum of three (3) consecutive terms. After the completion of the third
term, the same office bearer can be re-elected after a lapse of one (1) term. This provides a
fair and equitable rights for all ordinary members to participate;
d) All members, based on their respective expertise, qualifications and experience, have the
opportunity and benefit to participate and contribute in other types of portfolio available
in the Society namely in the accreditation and educational programmes by being a councilor,
W W W . M S Q H . C O M . M Ysurveyor, working group members, trainers, speakers, editor, to begin with. Besides raising
their profile, members are even remunerated for the above participations. There is no
discriminatory and each member qualify to play a role to carry out the vision, mission and
goals of the Society;
e) For all the members information, MSQH has not received any complaints from any
members nor non-members, stakeholders or members of the public, in relation to the previous
composition of Committee Members nor received any unsatisfactory or grievances towards
the Committee’s leadership since MSQH was registered in October 1997.
f) The Registrar of Societies has no objection for the motion as long as members unanimously
agrees to it. The current composition was approved by the ROS and any further amendments
or decision made today will only be effective at the next AGM.
Dr Koh Kar Chai informed that although there had not been any complaints received, there was still a
need to table at this meeting following Ms.Alice’s motion as due notice was given.

YBhg Tan Sri Siti Sa’diah informed that as the Society is made up from its members and Committee
Members are from the elected members, there is not a need to restrict nor penalise the Committee’s
composition as this is against the norm of governing a Society. Furthermore, even with restriction, the
individual may move from one organisation to another during their employment of service, making it more
impractical. Practically, it would be imperative that more members from a variety of organisations and
background join the Society instead. On another note, YBhg Tan Sri Siti advised that the nominated
member elaborated more on their background to the members for better representation to the electoral
process.
Sharon Paul informed that there is no need for a vote as the proposal is new for members and was only
tabled at this meeting. The members RESOLVED to address the motion with setting up a working group
committee for further deliberations.
11.0 ADJOURNMENT
On behalf of the Committee, the President congratulated all successful elected office bearers for term
2021-2022. The Committee was delighted to appoint Inpana & Associates as MSQH External Auditor
and authorised the Committee to fix their fees as approved by members in the AGM. The President
expressed her tribute to the MSQH Committee members who have provided their time and their
organisational support to continuously guide and contribute to the Society. Puan Norhaizam extended
her appreciation and thanks to Associate Professor Dr M.A.Kadar Marikar who is now the Non-Executive
Technical Advisor for MSQH for a magnificent job of leading and transforming the Society into a
successful and reputable organisation locally and internationally. The President acknowledged the
dedication and support of all staff who have demonstrated their commitment to MSQH’s goal, vision and
mission despite a challenging environment at hand.
Lastly, the President congratulated YBhg Professor Dato’ Dr Rahim for his appointment as MSQH Chief
Executive Officer and encourage all members to participate and take active role in all activities and
programmes that will be planned by YBhg Professor Dato’ Dr Rahim in the future.

standards as benchmark and use the self-assessment as a tool to facilitate the process of
accreditation. As the recognised national body for accrediting and developing standards for
healthcare services in the country, the MSQH seeks to continuously improve and raise the bar of
quality and safety to patient and achieve excellence in clinical outcome by sustaining its
international certification recognition by ISQua.
2) Develop and strengthen collaboration and partnership with
stakeholders and accreditation organisations
Actively seek to develop and improve ties through the collaboration with its partners and relevant
stakeholders in pursuit of ensuring healthcare facilities meet the minimum standards of practise.
This may include engaging consumers and other healthcare and industry experts to ensure our
services remains as the leader of healthcare advancement in quality and safety.
