Kolkata, 1 June The markdown in valuation of homegrown e-commerce marketplace, Meesho, was “par for the course” given the trend in the e-commerce industry, Chief Financial Officer, Dhiresh Bansal, said. The comment was in response to queries on a cut in valuation by Fidelity Investments, a prominent investor in the company. According to regulatory filings with the US Securities and Exchange (SEC), the investment firm has marked down Meesho’s valuation by 9.7 per cent to $4.4 billion as of March 31. Meesho’s last fundraise of $570 million was in September 2021 at a valuation of $4.9 billion. It was led by Fidelity and B Capital Group. During a media interaction, Bansal said a lot had changed in the world since then. In the broader e-commerce industry globally, the valuation of listed players had come down by 50- 70 per cent in the last two years. “Our value change is about 10 per cent, of which about four per cent is because of ESOP issuances. So the real change in value is only about six per cent, which we feel is par for the course,” Bansal said. The broader industry had seen multiple changes, he pointed out. “Six per cent is something that happens in a listed company almost on a daily basis.” Bansal also said the company was aiming to be profitable within the current fiscal year (FY24) on net profit basis. Between January 2022 and the last quarter, the company has cut down cash burn by close to 90 per cent. “For some of the months… even in the last six months we have already been cash flow positive,” he said. Meesho focused on increasing revenues from various services provided to sellers and also optimised cost to achieve it. “There were a bunch of projects that we ran inside the company optimising cost. And we continue to be on this path.” Last month, Meesho announced a layoff. Bansal said a restructuring was done where some functions were impacted. “We had to let go of about 250 people.” The headcount he said was back to January 2022-level. Meesho has close to 1,300 staffers in its corporate business, with indirect employees the number would be 10,000. From the middle of last year, Meesho started changing gears to focus on profitability. In FY22, losses were about ~3,251 crore and the expectation is that it would be halved in FY23. The company has an IPO in sights, possibly in FY25, but that is subject to becoming profitable. “We want to be profitable before going for an IPO,” Bansal said. The other caveat is that market conditions should be right. “There is no pressing rush from our side or the investors’ side,” he said. Meesho had revenues of about ~3,200 crore in FY22, which was expected to grow about 80 per cent in FY23. In FY25, it was aiming for ~10,000- crore revenues. The current GMV is about $4.6 billion, Bansal said. Meesho competes with players such as Walmart-owned Flipkart, Amazon and Reliance’s JioMart. The entry into the 500 million club comes on the back of strong value propositions and unique tech innovations. At just 13.6 MB, Meesho’s Android app is the lightest ecommerce app in India on Play Store. BS REPORTER Byju's lenders nix talks to rejig $1.2-billion loan Lenders likely to pressure firm to liquidate US assets to part-repay loan PEERZADA ABRAR Bengaluru, 1 June Creditors to Byju’s have reportedly pulled out of negotiations with the educational technology (edtech) giant to recast a $1.2- billion loan. This is posing a new setback to India’s most valuable start-up, according to a Bloomberg report, which has quoted sources. The talks were called off after creditors moved court, accusing the firm of hiding $500 million of funds raised. Lenders can now sell the Term Loan B securities of the firm as the restraint that came as part of the negotiations is lifted, according to the report. Byju’s has to pay interest on the loan by June 5. This is a new challenge for Byju’s as the company had proposed to rework its debt by increasing the interest rate on the $1.2 billion term loan due 2026, according to sources. They said the creditors may put pressure on the company to liquidate its assets in the US worth about $500-800 million to repay a part of a $1.2-billion loan if the firm is not able to provide the money from its cash reserves. According to sources, Byju’s may reach out to all lenders independently to renegotiate the terms. “The moment the lenders sued the company in the US court, it became clear that they are not looking at renegotiations,” said a person familiar with the matter, adding, “The creditors may ask the company to liquidate the US assets. They believe that Byju’s is holding a large part of the funds raised in its US entities.” Earlier the lenders had hired Houlihan Lokey, Inc., a global investment bank that focuses on mergers and acquisitions, to advise them on amending covenants after Byju’s allegedly breached terms, according to sources. “The transfer of borrowed funds was in full compliance of the loan agreement and did not contravene any terms of the agreed-upon rights and responsibilities," said a spokesperson for Byju’s on Thursday. “Even lenders have not alleged that the transfer was not permitted under parties’ existing contractual arrangement,” said the spokesperson. The Bengaluru-headquartered company’s US entity Byju’s Alpha was recently sued in Delaware by an agent of lenders to whom the company owes $1.2 billion. This happened after months of negotiations between creditors and the edtech. The lawsuit was filed by GLAS Trust Company and investor Timothy R Pohl against Byju’s Alpha, Tangible Play, and Riju Raveendran. The two companies being sued are units of Think and Learn Private, edtech firm founded by Byju Raveendran. Lenders have reportedly accused the company’s entity, which has no employees, of hiding $500 million as part of a battle between creditors and the edtech firm. The allegation was made during a court hearing this month in Delaware, where Alpha faces a lawsuit over who should control the firm. Lenders claim that because of a default earlier this year, they have the right to put their representative, Timothy R Pohl, in charge. Byju’s recently said a Delaware court gave an interim order asking the edtech firm to maintain the status quo with Byju’s Alpha, an inoperative US entity set up to receive a loan, and refuted the claims by litigants as “bewildering”. Byju’s is raising ~2,000 crore ($250 million) from Davidson Kempner Capital Management, a US-based investment firm, in a structured instruments deal, according to people familiar with the matter. This is part of an ongoing $1-billion funding round the firm is raising in a mix of equity and structured instruments at a valuation of $22 billion. Around $700 million of $1 billion is expected to come through equity, for which Byju’s is in talks with existing and new investors. These include investors like Abu Dhabi’s sovereign wealth fund ADQ. Another challenge is that the Enforcement Directorate recently conducted search and seizure operations at three premises of Byju’s under the Foreign Exchange Management Act (FEMA). These searches allegedly revealed that the company received foreign direct investments of about ~28,000 crore between 2011 and 2023. Byju’s has made several overseas acquisitions (investing an amount of approximately ~9,000 crore) over the years as part of its growth strategy. Also, Byju’s was expected to file its 2021-22 (Fy22) results with the Ministry of Corporate Affairs (MCA). Other edtech unicorns, such as Unacademy, upGrad, Vedantu, PhysicsWallah, and Eruditus, have already filed their FY22 financials. The company should have filed its annual results with the MCA by September last year. But, it has been delayed for over seven months now. Before this, the company filed its 2020-21 results in September 2022, after a nearly 18-month delay. Just across the wall from Jantar Mantar, the 18th century observatory in the heart of Delhi, a high-profile protest is on. It is over 15 days since India’s top wrestlers, among them Olympians, have been huddled here, demanding the arrest of Brij Bhushan Sharan Singh, chief of the Wrestling Federation of India and Bharatiya Janata Party (BJP) MP, against whom several players have levelled allegations of sexual harassment and intimidation. As the clock strikes 11.30, they all rise to sing the national anthem. Some days ago, farmers from Haryana had broken through police barricades to join them. Khap panchayats, too, have lent their support. And on the wrestlers’ plea, the country’s top court issued a notice to the Delhi Police after which two FIRs were registered against Singh. While investigation will take its course, the protest at Jantar Mantar has turned the spotlight on an issue seldom talked about in sports: sexual harassment. Ask sportspersons across the playing field and they say sexual harassment in sports is not uncommon but is often hushed. “It happens at the national and international level,” says Sandeep Dahiya, a wrestling coach from Sonipat, who has been at the protest site since the agitation began. A national-level athlete, who does not wish to be named, tells Business Standard that there are senior coaches who try to take advantage of young female players. She narrates an incident of a junior player. Their coach, she says, had called this player to a room on the pretext of announcing the final list of players selected for the team. “We were in the senior team then and we figured out that the coach was up to something fishy because no one else had been told about this announcement,” the athlete says. “We asked her to not go.” The junior player heeded their advice. The next morning, she says, the coach appeared livid. He rebuked the junior player and made the senior team run an extra 10 laps without any explanation. “I believe it was our instinct that saved the girl from something horrible that day,” says the athlete. While this matter might be in the realm of speculation, the athlete says in the early to mid-2010s, some six cases of sexual harassment were reported from various federations. “The onus of reporting such instances is on the women,” says the athlete, adding, “They should come forward and talk more openly about it, though I understand the many reasons they don’t do that.” Advocate and women’s rights activist Vrinda Grover lists out one of those reasons: While it is true that it is difficult for all women to report instances of harassment, it becomes particularly hard when “there is an element of power involved, where the harasser is in a position of decision-making and authority,” she says. In Indian sports, where most of the disciplines and federations are male-dominated and where men hold positions of power, speaking out becomes all the more difficult, the players Business Standard spoke to say. Another athlete, who wishes to remain anonymous, says such instances are common in her field, too. “A lot of the times coaches tell you that an international competition is coming up and insinuate that they want a favour if you want to participate,” she says. One such incident rocked the cycling world in June last year when a top Indian cyclist accused coach RK Sharma of sexual harassment during a training tour in Slovenia. The Sports Authority of India (SAI) terminated Sharma’s contract. SAI did not respond to Business Standard’s emailed queries. Nor did most sports federations and associations that Business Standard wrote to for information on sexual harassment complaints received or on whether they had internal complaints committees (ICC) mandated under the Prevention of Sexual Harassment (PoSH) Act. Among these were the All India Tennis Association, the Cycling Federation of India, Hockey India and Boxing Federation of India. All the major sports federations do have an ICC, according to their websites. The National Rifle Association of India (NRAI) was the only one that replied. “We haven’t received any complaints in recent times. There is a complaint committee with an external member on it,” NRAI Secretary Rajiv Bhatia said via email. “The committee conducted a workshop at Dr Karni Singh Shooting Range in New Delhi on February 13, 2023 where all athletes, coaches, support staff and federation officials were present,” he said. One of the athletes quoted above says, “It is really upsetting to see how such complaints are not taken seriously. For two-wheelers, the target is to achieve 30 per cent of EVs in the fleet, while for fourwheelers the aim is 20 per cent. However, half of the total three-wheeler fleet registered on these apps should be electric by 2030-31, according to the goals set. These numbers are a part of a yet-to-be-released study by NITI Aayog in collaboration with Uber and Ola across cities, including Delhi, Kolkata, Chennai, Ahmedabad, Surat, Mumbai, Bengaluru, and Pune. While these targets have been set, one of the key challenges will be production and supply of these vehicles. At present, EVs make up less than 3 per cent of the total fleet of the ride-sharing apps for four-wheelers and twowheelers. In Delhi, the percentage is even lower at one per cent against the 4 per cent target for 2023-24. The Delhi government, too, announced the Motor Vehicle Aggregator Scheme 2023, which talks about mandatory transition of commercial vehicles from conventional vehicles to EVs. The policy further mandates that after four years from its notification, all new commercial two-wheelers and threewheelers will need to be EVs. Similarly, after five years from its notification, all new commercial four-wheelers need to be EVs. “The aggregator and delivery service provider shall also be mandated to switch to an all-electric fleet by April 1, 2030,” the Delhi government policy said. Raide-hailing app Uber has committed to 100 per cent rides in zero-emission vehicles, on public transit, or with micromobility by 2040. In February this year, Tata Motors — India’s largest electric passenger vehicle manufacturer — signed an agreement with Uber to supply 25,000 EVs. The agreement is the largest EV commitment between an automotive manufacturer and a ride-sharing platform in the country. As part of the deal, Uber will deploy Tata Motors’ XPRES-T EVs by partnering fleet operators in Delhi-National Capital Region (NCR), Mumbai, Kolkata, Chennai, Hyderabad, Bengaluru, and Ahmedabad. Tata had also signed an agreement with Gurugrambased all-electric cab company BluSmart Mobility for delivering 10,000 XPRES-T EVs in June last year. Early this year, Ola Cabs said it had plans to launch a premium EV category with a fleet of 10,000 cars. It was in the final stages of rolling out the pilot of the new category. Ola had said the new premium fleet will be operated by top-rated drivers, which will have benefits such as 100 per cent ride-assurance post allocation of the cab, zero cancellations and 100 per cent cashless payments for a seamless consumer experience. Bhavish Aggarwal, founder and CEO of Ola Group, had said electrification of the ride-hailing fleet was the next target for the industry and a huge step in the direction of the future of mobility. “Our road map of developing in-house core technologies and products that can be leveraged across the group level gives us a very strong competitive advantage in the ride-hailing business,” Aggarwal had said. “We are completely reimagining this segment to not only improve the driver and consumer experience, but also offer clean and green mobility options eventually to 500 million Indians,” he added.
