1.0 President’s Welcoming Address and Updates

1.1. The President, TPr Herlina thanked all members for making time to attend the 16th
AGM meeting.

Madam President shared some of the key events and achievements that over the
challenging last two years and these include:
• Many training sessions have been conducted physically and virtually. The

response by members and non-members has been overwhelming, particularly
for the virtual trainings such as Sembang Pagi Sabtu and Hard Talk which
covered various topics of interests. It was unfortunate that training workshop
on SIA which was scheduled for 24-25 May in 2020 had to be postponed
indefinitely due to Covid19 (while some registration fees have been returned
to those who requested, the rest of the registrants’ fees are still in MSIA’s
Account)
• Collaborations with PLANMalaysia and MIP for formulation of training
modules for SIA Consultants.
• Visits to PLANMalaysia HQ and states as well as DOE HQ for discussion to
further enhance SIA understanding and requirements in developments or
projects.
• Increase in membership where significant number of applications for Ordinary
membership has been processed. Number of active Ordinary Members has
increased to 106 and Professional Members has increased to 22. She
highlighted that some of the applications, especially for Professional
membership, have been put on hold as these require more detailed
information from the applicants.

Madam President also shared her hopes and aspirations for MSIA which include:
• Incorporation of SIA in the formulation of policies or strategies.
• Increase in the number of Professional Members to 30 – 40% of total MSIA

members by mid-2023;
• Rise in the quality of new members who are well trained, knowledgeable and

actively involved in the SIA process;
• Further increase the number of trainings and knowledge sharing sessions with

members and non-members;
• MSIA to be at par with other professional bodies.

Mdm President also expressed her appreciation to the former President of MSIA,
Datin Paduka Dr. Dahlia Rosly and past exco members for all their efforts and hard
work in bringing recognition to MSIA.

She thanked her current Exco members for all the support that have been
extended to her in the last two years and apologised to the members for any
shortcomings. She took the opportunity to wish the new set of EXCO members to
be elected all the best in the next two years.

2.0 Acceptance of the Minutes of the 15th Annual General Meeting
2.1 The Minutes of 15th Annual General Meeting (Attachment 1) was presented by Mdm

President.

3.0 Presentation and Acceptance of MSIA Annual Report 2020
3.1 The MSIA Annual Report 2020 (Attachment 2) was presented by the President.

4.0 Presentation and Acceptance of Annual Financial Statement 2020
4.1 The Treasurer, Sdr Andi Muhammad Yusuf, presented the Statement of Accounts

(1st January 2020 to 31st December 2020 (Attachment 3). The Balance Sheet
showed that the Net Current Assets stood at RM123,734.06. For the year 2020,
MSIA’s income was derived mainly from membership fee. Meanwhile, expenditures
incurred were mainly general management expenses.

5.0 Deliberation to Proceed with the AGM
5.1 En. Fathuddin raised the following issues:

• all document to be presented in the 16th AGM should be circulated to all
members 15 days before the AGM instead of on the day of the meeting. This is
stated in Clause 8.4 of MSIA’s constitution.

• Validity of previous or 15th AGM that was carried out virtually in 2020 as virtual
meeting not stated in the constitution.

5.2 Dr Bala’s response to En Fathuddin is as follows:
• Expressed apology for the delay in sharing the documents presented to
members due to constraints under stressed online working conditions.
• 15th AGM was carried out virtually due to the Covid19 restrictions which did not
allow for large gathering. The MSIA constitution is silent on the matter. Because
the 16th AGM entailed elections, the Exco decided to seek the advice of ROS in
writing for the 16th AGM to be conducted online.

5.3 Other issues or suggestions raised include:

• Puan Nurul Faizah binti Hamzah suggested that all the document to be
presented during AGM be shared with members at least one day before the
AGM

• Associate Professor Dr. Abdul Abdul Rahim bin Abdul Samad raised the issue
that he is not in the MSIA Members Whatsapp Group. Apparently, a few other
members have also not been included in the group.

• Ishak Ariffin and Dr. Tan Siew Hooi also raised whether the AGM will be
considered null and void and raised concerns over its legal implications.

• Other members such as Dr. Kntayya Marriappan and Dr. Kamaruzaman Ujang
are with the opinion that it is not an issue and meeting should proceed.

• TPr Datin Hajjah Mazrina Abdul Khalid proposed that a vote be carried out
among the members on the issue raised by En Fathuddin Kamaruddin whether
members agreed to proceed or not to proceed with the meeting as it is not done
in accordance to the constitution.

• Puan Nurul Faizah binti Hamzah suggested to get consent from the members
attending the meeting whether to proceed or not.

• En. Nik Mohd Ruiz bin Nik Ahmad Fakhrul Razy suggested that the meeting
record the number of members who agreed or disagree for the meeting to
proceed.

5.4 A poll was carried out to determine whether the members agreed whether AGM
should proceed or not.

The results of the poll (Attachment 4) are as follows:
• 87/97 (89.69%) agreed to proceed with the meeting
• 5/97 (5.15%) disagreed to proceed with the meeting
• 5/97 (5.15%) abstain from voting

5.5 Based on the result of the poll, it was decided that the AGM will proceed as planned.

As requested by the members, all the AGM related documents were shared on line
during the AGM.

6.0 Proposed Amendments to MSIA Constitution

6.1 The Proposed changes to the MSIA Constitution was presented by Vice President, Dr.
G. Balamurugan as per Attachment 5. A poll was carried out to ascertain whether
members agreed or disagreed with the proposed changes and the results are listed
below:

1. Change to Clause 3: New Logo
94.84% (92 out of 97 members) agreed to the proposed new logo.

2. Change to Clause 6.1: Typo Error
93.81% (91 out of 97 members) agreed to amend the typo error for the amount
for Ordinary Member.

3. Change to Clause 8: Add statement that AGM can be conducted in via physical or
virtual meeting
92.78% (90 out of 97 members) agreed to the addition of the statement.

4. Change to Clause 9.3: Add statement that elected office bearers shall serve for a
period of two years and may be re-elected.
37.81% (91 out of 97 members) agreed to the addition of the statement.

5. Change to Clause 11.4: Changes to Financial Provision
91.75% (89 out of 97 members) agreed to the proposed changes.

6. Change to Clause 12.1: Changes to appointment of two auditors
91.75% (89 out of 97 members) agreed to the proposed changes.

7.0 Matters Arising

7.1 Madam President presented a draft of the MSIA’s Strategic Plan (Attachment 6). The
document presented is the first draft and she invited MSIA member to provide inputs
and ideas to strengthen the framework.

8.0 Election of MSIA Executive Committee Members 2021-2023

8.1 The election committee comprises of En Nai Chun Wei (A005) and En Mohd Izwan bin
Roslan (149). En Nai Chun Wei briefed members of the voting process.

The voting process is divided into two parts where the first part is for the positions of
President, Vice President, Treasurer, Secretary and Assistant Secretary. The second
part is to elect four committee members. The list of the candidates had been shared
one day before the meeting (see Attachment 7).

All the nominees were given about 1 minute to introduce themselves before the voting
process began.

As election officers, both En Nai Chun Wei and En Mohd Izwan bin Roslan did not
participate in voting process.

10.2 Madam President added that there is a lot of work to be done for MSIA including
strengthening the membership base, improve the training programmes, finalise the
Strategic Plan as well as increase MSIA’s visibility.

10.3 Madam President invited members to volunteer in the task forces that will be
established soon, namely :
• Task Force on Professional Membership
• Task Force on MSIA’s Strategic Plan

Currently the association still does not have its own office premises. This requirement is intended
to facilitate the operation of the association and to further strengthen the relationship among the
members. It is a point of reference and communication between external parties and the

Introduction

Membership committee was established as the first level committee to vet through the
applications to be part of MSIA, be it as a student, ordinary or a professional member. The
decisions of the Committee are subsequently presented to the Executive Committee for its final
decision on the applications.

The Membership Committee has also successfully eliminated arrears in membership payment
for current year. As per the Constitution, efforts are made by this Committee to examine the
performance of membership payments by March/April each year.

The Membership Committee meets once every 2 months. When the number of committee
members who could attend the meeting falls below 4, then the attendance of some members of
the Executive Committee is sought to ensure the meeting is held as scheduled.
