Updated with Amendments 2021-07 iii DEDICATION Ince 1950, International Free and Accepted Modern Masons, Incorporated and Order of the Easter Star has worked to build and strengthen the character of every member who has sat in a Lodge or Chapter, thus contributing to making society better. We believe each one who took their oath and obligation serious committed to making themselves better thus passing these same qualities on to every human being and life they touched. We have also worked to instill within youth and young adults the qualities that will allow them to be responsible adults and respective citizens of the world. We recognize all of who we are and will ever become is based on the dreams hopes and shoulders of our Founding Fathers; Dr. William Venoid Banks, Rev. William K. Kirksey, and Brother Henry Allen, all of which held the 33rd and Last Degree. We dedicate this Constitution, its changes, revisions, amendments, and all updates incorporated herein to our loyal members; those who continue to attend their meetings, contribute to improving their local entity, State, National District, and the Fraternal Order as a whole. We know the price of success for our Fraternal Order is the hard work of every member; those who are dedicated to being and doing well and maintaining a steadfast determination that whether we win or lose, we have done our best and given the most of ourselves to the task of becoming better men and women. We live with a firm belief and resolve that future generations are looking back at our members, leaders, and officers hoping and expecting us to do the right thing each and every time. Therefore, let the actions, words, and deeds of us all be committed to making International Free and Accepted Modern Masons, Incorporated and Order of the Eastern Star the best Fraternal Order ever. Hollowell 33' Supreme President/Chief Executive Officer International Free and Accepted Modern Masons, Inc. and Order of the Eastern Star Dear Members. I am honored to present the 2021 Amended Constitutions for our Fraternal Order and remain grateful for your membership. As a member, I encourage you to read this Constitution and Learn the many benefits outlined herein for our members. International Free and Accep0ted Modern Masons, Inc. and Order of the Eastern Star is a modern Fraternal Order, as such we embrace changes that are needed and necessary to move us forward while maintaining the Ancient Landmarks historically unique to Freemasonry. Our Success is owed the many Masons and Eastern Stars who help to grow our membership. I implore every brother and sister to assist and help us bring the world closer to the bedrock principles of our Order – the Fatherhood of God and the Brotherhood of Man. This is best done by those who have dedicated their life to Jesus Christ and utilize International Masons as the platform to make our local communities, states and country better. This Constitution is yours and governs our entire Fraternal Order. and I assure you every effort has been made to ensure its contents are relevant while also acknowledging and adhering to the principles of Christianity. International F. & A. M. Masons, Inc., and Order of the Eastern Star – Constitution 4 Updated with Amendments 2021-07 ARTICLE I NAME OF THE ORDER The name of this Order shall be: International Free and Accepted Modern Masons, Inc., and Order of the Eastern Star (here-in-after referred to as "International Masons"). ARTICLE II MISSION STATEMENT AND OBJECTIVES Section A MISSION STATEMENT: International Masons mission is to unify the most intelligent persons of the comm unity and world; provide moral, financial, benevolent, and charitable leadership; uplift the down trodden; destroy caste and color prejudice; administer to the needy; bury the dead; and assist in raising the intellectual and moral standards of Society. Section B - OBJECTIVES: International Masons has as one of its chief objectives, the restoration of the original objectives of Freemasonry - Promoting the Fatherhood of God and the Brotherhood of Man, in an alliance against ignorance and evil which is the common enemy of all mankind. International Masons shall be a charitable institution operated solely for the mutual benefit of the members and their beneficiaries, and not for profit. It shall fraternally unite all healthy persons of goodmoral character, from every profession, business, or occupation in promoting higher degrees of fellowship, while adhering strictly to the best Christian practices and principles. ARTICLE III GOVERNING ENTITIES AND OFFICERS There shall be Supreme, National District, State Grand, State District and Local Level Governing Entities andOfficersthereof, elected and/or appointed as set forth herein and/or in the subordinate entities' By Laws as approved by the Supreme President. The approved By Laws are to respectfully govern the applicable entity and its membership while upholding the provisions and principles of International Masons' Constitution. ARTICLE I V MEMBERSHIP, STATUS, AND FEES Section A-AGE: Any healthy male at least twenty-one (21) years of age shall be eligible to submit a Membership Application to a Masonic Lodge; and any healthy female at least twenty-one (21) years of age shall be eligible to make application to a Chapter of the Order of the Eastern Star. All such applications shall be reviewed and voted on by the Lodge or Chapter, in which they seek to become a member, in the usual manner for receiving members.

Masons, Inc., and Order of the Eastern Star – Constitution 5 Section B - HONORARY MEMBER STATUS: Honorary Member (HM) status may be bestowed upon any member whom the Supreme President determinestobeworthy and entitled based upon their service, dedication, and participation in the life ofinternational Masons. Members who have been designated as "Honorary" (HM) shall have no obligation to pay any dues, taxes and/or assessments. However, their local lodge or chapter shall be assessed for their Per Capita Tax to International Masons. The Honorary Member (HM) is obligated to pay the registration fee for any convention or workshop they choose to attend. The Honorary Member shall pay the admission fee or purchase a ticket for any banquet, event, fundraiser they choose to attend. The obligation to pay as referred herein may be waived by the sponsoring entity at its own discretion on a case-by-case basis. Section C - INACTIVE MEMBER STATUS: Only the Supreme President has the authority to approve a member to be placed in the Inactive Status ("I") on the Endowment Sheet via written request by the entity leader. A member who also fails to actively participate in their local lodge or chapter unless verifiably physically incapacitated shall be considered Inactive (I) via a written request to the Supreme President. A member in Inactive (I) status on the Endowment Sheet shall not be entitled to hold any office or vote on any matter(s) coming before the lodge, chapter, or convention. The local lodge or chapter shall determine if the Inactive (1) member is entitled to a Masonic or Eastern Star burial ceremony. In the absence of the local lodge or chapter, the determination shall be made by the applicable Grand Lodge or Grand Chapter. Section D - DEPARTMENTAL JOINING AND RE-INSTATEMENT FEES: The approved regular joining and re-instatement fees for all departments and entities of International Masons shall not exceed those set forth below without the expressed written approval of the Supreme President. Any entities and licensed Supreme Recruit Deputies noted below may make application to the Supreme President for a special joining fee dispensation on a case-by-case basis. Any approvals granted by the Supreme President shall be in writing and will be based upon what he deems to be in the best interest of International Masons per his judgment of that singular occurrence only, unless specifically stated therein. “Except as set forth in subscript #3 below,” One half (J/2) of all joining and re-instatement fees specified below along with: (]) at least three (3) month's endowment fees (at the rate selected by the applicant); (2) one-year subscription to the Masonic World News of five dollars ($5.00); and (3) a six dollar ($6. 00) certificate fee are to accompany all membership applications sent to the Home Office of International Masons within forty-eight (48) hours of the member's initiation or re-instatement. These fees and requirements are subject to change within thirty (30) days advance notice.

Five Hundred dollars ($500.00) of the Seven Hundred-Fifty dollars ($750.00) shall be placed in the International Masons Scholarship Fund. 3. $75.00 of the $100.00 foundation joining fee or one half (1/2) of the $50.00 reinstatement fee is to be sent to the Home Office with the application, endowment, world news subscription and certificate fee as set forth above.

Masons, Inc., and Order of the Eastern Star – Constitution 7 d ARTICLE V SUPREME BOARD OF DIRECTORS Section A - SUPREME BOARD OF DIRECTORS: The Supreme Board of Directors shall serve as the Supreme Governing Board of International Masons and between Constitutional Conventions shall along with the Supreme President (Board Chair) Chairman of the Board, have full power and authority to interpret, implement and enforce this constitution and any future ratified amendments hereto. The Supreme Board of Directors as representatives of the membership body shall at its meeting held during a Constitutional Convention elect the Supreme President and report same to the convention delegates. Effective with the adoption of this provision, the composition of the Supreme Board of Directors shall be reduced to a maximum of seven (7) members: inclusive of four (4) Masons and three (3) Eastern Stars who are in good standing. By virtue of their office and position within the Order as well as during their terms of office, the Supreme President, Supreme Grand Master (1st Vice President), Supreme Deputy Grand Master (2nd Vice President), 3rd Vice President and Supreme Grand Matron shall serve as five (5) of the Board's seven (7)members. The two (2) remaining board members shall be Eastern Stars elected by the then seated Board members from a selection, of at least twice the number of candidates required to fill the then vacant positions, as recommended to them by the Supreme President. A simple majority (50% + I) vote by the Board shall be required to confirm or reject any candidate presented to them by the Supreme President for election to or removal from the Board. No member shall be permitted to serve until they have been confirmed by a simple majority vote of the Board. These board members are limited to serving a maximum of three (3) consecutive three (3) year terms in office and shall be barred from future consideration until they have been off the board for a full three (3) year period. Elections of Supreme Board of Directors members shall be conducted at the Supreme Convention when vacancies have occurred. If a board member is not eligible due to term limitation or by a simple majority determination of the board for the member's removal, a replacement shall be elected by the remaining board membersfrom the nominee list then provided by the Supreme President as set forth herein. The Board of Directors term of office for the Supreme President, Supreme Grand Master, Supreme Deputy Grand Master, 3rd Vice President and Supreme Grand Matron, who each serve by virtue of their elected offices, shall expire coincidentally with their terms of office as such. Any member elected to fill a vacancy on the Supreme Board of Directors for a partial term of less than one full year (12 months) remaining shall thereafter be eligible for subsequent election to a maximum of three consecutive full three-year terms. The Supreme President, at his option with the concurrence of a simple majority of the seated board members, may designate any term limited board member to "Honorary" status.

Masons, Inc., and Order of the Eastern Star – Constitution 8 Updated with Amendments 2021-07 Honorary members may attend meetings of the Board upon invitation by the Supreme President but shall not be entitled to vote on any subject before the Board. The Supreme President shall additionally be empowered to designate up to four (4) "Auxiliary Members" of the Supreme Board of Directors who shall be in a training status for future Board position consideration. They shall be eligible upon invitation to attend all meetings of the Board and serve as observers. Auxiliary Board Members may be granted voice in discussions of the Board when in the judgment of the Supreme President it would serve a beneficial purpose but in no case, shall "Auxiliary Members" be entitled to vote on any subject before the board. Upon recommendation by the Supreme President, an Auxiliary Board Member may be considered for election by the Board to fill a vacancy on the Board for which they are eligible. No husband and wife shall be permitted to serve on the Supreme Board of Directors at the same time. All Board Members must be willing and have the physical and financial means to attend all regularly scheduled meetings of the Board. The Board is regularly scheduled to meet three times a year: (March preceding the Executive Leader :S Council; July -preceding the Supreme Convention, and October preceding the Supreme Exalted Degree Conclave). Additional meetings ofthe Board may be held at the call of the Supreme President or upon the request of a majority of the Board. Any board member missing two consecutively scheduled meetings without being excused in advance or missing three (3) cumulative meetings of the Board during their three (3) year term of office shall be removed by the Board and a replacement to be selected in accordance with the procedures set forth herein at no later than the second scheduled meeting following the establishment of the vacancy. Effective July 17, 2021, the position of Supreme Board of Directors Chairman shall be filled by a Past Supreme President confirmed by the seated Supreme Board Members Identified above. The Chairman shall be accountable to the Supreme Board of Directors. The Chairman’s responsibility and authority shall be limited to chairing the three meetings of the Board required in this Article and additional meetings that may be called in compliance with this Article. The Chairman shall have voice in discussions but in no case shall the Chairman be entitled to vote on any subject before the Board. The Chairman shall be entitled to re-imbursement for reasonable expenses as approved by the Supreme Board of Directors for his travel to and from, lodging and his meals at the conventions and additional meetings of the Board as set forth in this Article. The expenses set forth above shall be obtained from the Supreme Board of Director’s account. The Chairman shall be determined by the Board at each Constitutional Convention. In the event there is no living Past Supreme President available, The Supreme Board of Directors shall elect one of its male members to serve annually until such time as a Past Supreme President is available to serve. At its Annual Meeting, held prior to the opening of the Supreme Convention, the Supreme President shall appoint a Recording Secretary of the Board who shall serve as such until the following Annual Meeting and shall be eligible for re-appointment at the pleasure of the Supreme President while actively serving as a member of the Board.

Masons, Inc., and Order of the Eastern Star – Constitution 9 The Supreme Board of Directors shall have full power and authority to transact, or at its option authorize the Supreme President, to transact all business related to the real estate holdings and assets of International Masons; and together with the Supreme President are to ensure all such business is transacted in the name and for the sole benefit of International Masons. Section B - POLICY OF ANTI-DICTATORIAL LEADERSHIP: Except as expressly provided for above, the policy of employing democracy in leadership practices must be employed and adhered to by all leaders at every level within International Masons. Any Officer (at any level of leadership) violating this policy may be charged with a breach of trust, and temporarily suspended from membership or removed from office by order of the Supreme President pending a hearing before the Supreme Board of Directors. If after the hearing, the Officer is found to be guilty of the charges before it by a two-thirds (2/3) majority vote, they shall be subject to such penalty as deemed appropriate by the Board, which may be: (I) impeachment and removal from office or (2) temporary or permanent suspension from International Masons' membership. In the event this policy is violated by the Supreme President, such determination shall be subject to a two-thirds (2/3) majority vote of the Supreme Board of Directors to determine guilt and any penalty to be assessed. Section C-. The Supreme President and Supreme Board of Directors shall be empowered to authorize the conduct of meetings, workshops, and conventions via electronic means (i.e., Zoom, Go to Meeting, webinar, etc.) in the event of governmental imposition of orders or regulations preventing in person meetings. When such is authorized, there shall be no elections conducted, financial reports read, modes of recognition uttered or displayed, initiations performed opening/closing ceremonies or other ritualistic instruction presented without specific authorization from the Supreme President. The Supreme President and Supreme Board of Directors shall also be empowered to end or ban electronic meetings, workshops, and conventions. Violators of such orders shall be subject to appropriate disciplinary action. Section D - The Supreme Board of Directors reserves the right to approve or authorize the implementation of new or changes to existing departmental uniforms and regalia. The board may designate a Mason (for male uniforms and regalia) and an Eastern Star (for female uniforms and regalia) from the board or from the general membership to make the reviews and recommendations to it for approval. All proposals are to be submitted to the office of the Supreme President for presentation to the board and may not be utilized until approved.

Masons, Inc., and Order of the Eastern Star – Constitution 10 Updated with Amendments 2021-07 ARTICLE V I SUPREMEPRESIDENT Section A - SUPREME PRESIDENT: (1) The Supreme President shall be a Mason and serve as the highest- ranking officer of International Masons, and in consultation with the Supreme Board of Directors, shall have general superintendence of the Order. He shall oversee the day-to-day operations of international Masons, its Home Office, finances, employees, investments, and all holdings. At his option, he shall either preside over all Supreme and other Department conventions or designate an Officer(s) to do so in hisstead. The Supreme President shall serve as Chairman of the Supreme Board of Directors, Director of the Executive Leaders Council and Sovereign Grand Commander of the Supreme Council Thirty-Third and Last Degree. At his pleasure, hemay designate an officer to serve in hissteadwithoutrelinquishing his rights to the position at will. He is allowed to break a tie on a vote of all matters, except for an appeal hearing decision of disciplinary action that has been taken against him by an officer ormember. (2) The Supreme President, and in his absence or incapacity, the Supreme 1st Vice President and/or the Supreme 2nd Vice President as an authorized signer of checks, bills, and documents, etc. in the absence or incapacity of the Supreme President and shall be authorized to affix in the absence of the duly designated co-signer(s), a facsimile signature provided for that purpose to checks drawn on any account under his controlforlegitimate organizational business purposes. (3) The Supreme President shall be empowered to fill all vacancies occurring in the office of a Supreme, death, resignation, or removal from office. He shall submit the appointments to the Supreme Board of Directors for their approval no later than their nextregularly scheduledmeeting. (4) The Supreme President with concurrence ofthe SupremeBoard of Directors shall have emergency powers to abridge or subvert any part of this Constitution as a temporary measure to serve in the best interests of the Order and its members. He shall also be empowered to implement and enforce temporary directives, abridgements,subversions, rules, regulations, fees and/ or assessments between Supreme Constitutional Conventions to address situations, circumstances or events that were not contemplated by the then current provisions of the Constitution. Such abridgement, subversions, temporary rules, regulations, fees and/or assessments if not ratified by a simple majority (50%+ I) vote of the Supreme Board of Directors must then be presented to the delegates assembled at the next Supreme Constitutional Convention for their approval and/or ratification as an amendment to this Constitution. If approved, the temporary action shall constitute an amendment to the affected provision(s) of the Constitution. In the event such temporary action is either not presented for ratification or fails to achieve a simple majority (50%+ I) ratification vote of the Supreme Board of Directors or the convention delegates then present and voting, it shall become null and void. In

Masons, Inc., and Order of the Eastern Star – Constitution 11 either event, the temporary action shall not be re-instituted as such thereafter for a minimum period of two (2) full years. (5) The Supreme President shall have the power to remove from office; any Supreme, National or Grand Entity Leader and to suspend or expel from membership any officer or member for ''just cause" including but not limited to breaches of this Constitution and/or for engaging in un- masonic conduct. No other officer shall have this power without the Supreme President's written approval. He shall give said officer or member notice of the reason(s) for his action. The Supreme President shall be permitted to provide to the Board any and all evidence justifying the disciplinary action taken but shall not be eligible to cast a vote in determining the Board's decision on the appeal. Any officer or member may appeal their disciplinary case to the Supreme Board of Directors at will in writing within thirty (30) calendar days following the levying of the disciplinary action. Doing so and setting forth the action being appealed, the appeal along with a desired resolution shall be accompanied by a one hundred dollar ($100.00) filing fee. The appeal hearing will be scheduled for the next regularly scheduled meeting of the Supreme Board of Directors. Failure to submit a timely appeal shall summarily forfeit the member's right to do so. The appellant member shall also be provided the opportunity to present their defense and witnesses, if any. Witnesses shall only be allowed in the hearing during their presentation or while answering questions from the Board. No Attorney or Observers shall be permitted in the appeal hearing. A decision of the Supreme Board of Directors shall be final and binding on all parties. The Board Secretary shall notify the officer or member of their decision. (6) Effective July 2009 and thereafter, the Supreme Presidentshall be elected to serve a four (4) year term of office and is limited to a maximum of five (5) consecutive terms. Effective after the Supreme Convention held in July 2017 and thereafter, the Supreme President shall be elected to serve a four (4) year term of office and is limited to serving a cumulative maximum of three (3) consecutive four (4) years terms. In the event a vacancy occurs during the term of the seated Supreme President, see Article X: Supreme Entities; Section I - Order of Succession for the procedure to be followed in filling the vacancy. (7) The Supreme Presidentshall preside when charges are to be heard against any Supreme or National Entity Leader. At his option, the Supreme President may appoint another Supreme Officer to preside over a committee ofthree serving as a panel in hisstead.The decision ofthe Supreme President or panelshall be final and binding. (8) The Supreme President or at his option, the Supreme Recruit DeputiesCouncilDirector shall have the power to appoint and issue licenses to all Supreme Recruit Deputies, who may work in any jurisdiction assigned to them. (See Article XXI: Supreme Recruit Deputies for more information)
International F. & A. M. Masons, Inc., and Order of the Eastern Star – Constitution 12 Updated with Amendments 2021-07 ARTICLE VII SUPREME CONVENTION Section A - SUPREME CONVENTION: The Supreme Convention shall be convened annually in the month of July. In the odd numbered years,the election and/or appointment of Supreme and National Officers (other than the Supreme President) will be conducted. Beginning retroactively to the 2017 Supreme Convention, a Supreme Constitutional Convention shall be held every four (4) years, during which the Constitution may be amended and the election of the Supreme President as well as his inauguration conducted, in addition to the conduct of other business appropriately brought before the Convention for delegate information and/or action. Section B - DELEGATES: Unless excused in advance by the Supreme President in writing; all Supreme, National and Grand Entity Leaders and/ or their second in command are required to attend the Executive Leaders Council; Supreme Convention; Imperial Shrine Convention; Supreme Exalted Degree Conclave, the Supreme Marshals' Convention, and their National District Convention to represent their Department annually. Repeated failure of a Leader to attend their required conventions shall be considered just cause for their removal from office at the discretion of the Supreme President. Every local and district entity is expected to be represented at the Supreme Convention, their National District Convention and their state's Annual Convention by as many members as possible. There must however be at least one delegate from each local or district entity attending the above referred conventions or the leader is subject to removal. Every member of International Masons shall be entitled, by vi1tue of their membership, to attend their State Convention, National District Convention, and the Supreme Convention. All members attending the Supreme Convention, whether designated delegates or not, are required to use the package offered by International Masons for their hotel accommodations. If they do not, they may be required to pay such other fees, including but not limited to, registration for persons not on the package plan as set by the Supreme President in order to be properly credentialed and to help defray expenses of the Convention. Members are also entitled to visit the conventions of other states and national districts if they desire to do so and within their financial means. Every member in attendance at the Supreme Convention whose local entity has paid all required fees and taxes shall be seated as a voting delegate for all matters coming before the Convention. Members in attendance whose local entities have not paid all required fees and taxes may attend but shall not have a voice or vote in matters brought before the Convention unless they make the required payments. Section C - EXPENSE OF DELEGATES: Each represented Body shall be responsible for the expense of its designated delegates including the published Supreme Convention package, (at the two persons in a room rate) for lodging plus transportation and a food allowance, provided sufficient funds are available. These expenses are payable only on a reimbursement basis after verification of attendance has been confirmed. If the designated

Officers are not permitted to place any special assessment for travel purposes upon their entity's membership not otherwise set forth in their By Laws approved by the Supreme President. Any member wishing to attend the Supreme Convention, who is not an expense paid delegate, may pay the required package fee at the level they desire from the published schedule. All members attending the Supreme Convention m must use the published Supreme Convention package set forth by the Supreme President or pay the alternative registration fee, if made available for members residing within fifty (50) miles of the Convention Headquarters Hotel, which may have been set to help defray the cost of convention facilities. ARTICLE VIII FEES PAYABLE TO INTERNATIONAL MASONS Section A - REPRESENTATION FEES: The following representation fees are due and payable to International Masons at or before the Executive Leaders Council in March of each year by the various entities and affiliates, whether or not they intend to have representatives attending the Supreme Convention. Itshall be the responsibility ofthe Grand Entity Leader to collect all fees and taxes from their Local and District entities in order for full and prompt payment bemade to the Supreme Entity designated to receive same for InternationalMasons. Section B: (1) Each Supreme Entity shallrepresent annually to International Masons with $200.00. (2) Each National District Entity shall represent annually to International Masons with $100.00. (3) Each Grand Entity shall represent annually to International Masons with $75.00. (4) Each State District Entity shallrepresent annually to International Masons with $20.00. (5) Each Local Entity shall represent annually to International Masons with $20.00. (6) Each Local Lodge and Chapter shall submit to International Masons annually aCharity donation of $1.00 per member. (7) Each Supreme, National and Grand Entity isrequired to place at least (1) one Full Page Color Ad with the leader's contact information in the Supreme Convention Souvenir Book each year at the then published rate. All members and other entities are requested to also place at least a quarter (I/4) page ad in the book.
International F. & A. M. Masons, Inc., and Order of the Eastern Star – Constitution 14 Updated with Amendments 2021-07 ARTICLE I X ANNUAL PER CAPITA TAXES Section A-PER CAPITA TAX: (1) Every year in advance of a State's Grand Session, each member is to pay to their local lodge or local chapter an International Masons per capita tax of five dollars ($5.00). (2) Every local lodge or local chapter shall submit the International Masons' per capita tax for every member then on their active roll per Home Office records to the Grand Lodge or Grand Chapter of their state respectively at least thirty (30) calendar days prior to the State's Grand Session each year. (3) Grand Lodges and Grand Chapters shall submit International Masons' per capita taxes for every active and designated inactive member on the roll in their state per Home Office records to the Supreme Grand Lodge or Supreme Grand Chapter respectively prior to or at the State’s Grand Session. (4) Each member is to pay to their Local Lodge or Chapter, which shall in tum pay to their Grand Lodge or Grand Chapter thirty (30) days prior to their State's Grand Session the Supreme Grand Lodge or Supreme Grand Chapter tax of $1.00 or such other amount as may become provided for in their approved By Laws for each of its active members then on roll per Home Office records. All Grand Lodges and Grand Chapters shall pay to the Supreme Grand Lodge or Supreme Grand Chapter respectively, at or before their Annual Grand Convention, the one dollar ($1.00) Supreme tax for every member then on its active rolls per home office records. (5) Each member is to pay to their Local Lodge or Chapter, which in turn shall pay to their Grand Lodge or Grand Chapter prior to their National District Convention each year, a National District tax of one dollar ($1.00) per member then on their active roll per Horne Office records. The Grand Lodges and Grand Chapters shall submit to the National District Grand Lodge or National District Grand Chapter respectively at or before their annual National District Convention, the National District Grand Lodge or National District Grand Chapter International Masons and Eastern Stars – Constitution tax of one dollar ($1.00) for every member then on its active rolls per home Office records. (6) Any tax due to any other Supreme Entity or National District shall be due and paid in accordance with the terms of its approved By Laws. (7) No donations or comm1ss10ns are to be paid to any Grand Entity Leader or any other Officer by the Grand Entity until after all Convention expenses, taxes and/or fees due the National District, Supreme Entity and International Masons as required above have been paid in full. (Refer to Article XXIII, Section A - Commissions & Donations to Supreme, National District and Grand Entity Leaders and Officers/or payment requirements.

Masons, Inc., and Order of the Eastern Star – Constitution 15 (8) Failure of a Grand Entity Leader to ensure all representation fees and taxes are paid in full when due, shall subject them to suspension and/or removal from office at the discretion of the Supreme Entity Leader or their representative. The Grand Entity shall continue to be responsible for the outstanding debt (even if there is a change of officers) until it is paid in full and the prohibition against commissions and donations shall also remain in effect until after the obligations have been paid in full. (9) Any Grand or Supreme Officer responsible for collecting International Masons per capita tax herein referred shall have any commission due them suspended until said tax is collected and/or paid to International Masons. Section B-AUXILIARY TAXES or REPRESENTATION FEES: These taxes are due and payable by local auxiliary entities for each member on their roll per the Home Office records to their respective Grand Entities prior to March 1st of each year. The Grand Entity is to pay for each member on their active and inactive rolls to their Supreme Entity at or before the Executive Leader's Council each year. The Supreme Entity Leader shall ensure the taxes are then submitted to International Masons at the Executive Leader's Council meeting. Executive and other Officers ofthe Supreme Entity shall be

Effective July 2009, Supreme Department Leaders shall be limited to a maximum of five (5) consecutive two (2) year terms in office. Effective at the July 2019 Supreme Convention, the Supreme Department Leaders shall be limited to a maximum of four (4) consecutive two-year terms in office. After serving eight (8) years, they shall not be eligible to serve again in the office for a period of four (4) full years. Section B - SUPREME ENTITY LEADER REPRESENTATION: The Supreme Entity Leader shall be the primary designated delegate of their respective entity to the Executive Leader's Council, Supreme Convention, Imperial Shrine Convention, Supreme Exalted Degree Conclave, Supreme Marshals' Convention, and their National District Convention. Their full reimbursed expenses for travel, lodging, meals, and registration when required are not to exceed any limits set forth by the Supreme President and/or the Supreme Board of Directors. These expenses shall be paid by their respective department provided sufficient funds are then available. Section C - SUPREME ENTITY LEADER SUPERINTENDENCE OF GRAND SESSIONS: The Supreme Entity Leader, or their designees, shall preside over the Grand Session in their Entity at the direction of the Supreme President. They shall provide the Supreme President with a Convention Report, which shall include all finances collected before being eligible to receive travelre-imbursement. The Supreme Entity Leader shall conduct the election of all officers for the Grand Entities under their direction, their related Boards and Councils and the membership shall be allowed to vote and approve their By Laws or By Law amendments during the Annual Convention. The Supreme Entity Leader shall evaluate the performance of the Grand Entity Leaders during their term of office when determining their eligibility to stand forre-election. The Supreme Entity Leader shall be empowered to decide all questions of constitutionality when superintending theAnnual Conventions. Section D - SUPREME ENTITY LEADER EXPENSES : When a Supreme Entity Leader is assigned by the Supreme President to preside over any Supreme, National or Grand Entity's Convention, the Entity(ies) holding said convention shall be responsible for providing transportation from the public mode of transportation to the hotel or convention site and return to same in addition to providing or paying the lodging expenses for the Supreme Entity Leader or other assigned Supreme Representative subject to the Supreme President's approval. All other related expenses shall be reimbursed from the Supreme Leaders Entity's Treasury, if available. If sufficient funds are not available to reimburse the Leader, they may appeal to the Supreme President for reimbursement. The Presiding Officer(s) shall not be required to pay the ConventionRegistration Fee.

Other Supreme Entity Leaders, having departmental conventions, shall be provided with complimentary suites/hotel accommodations at their Annual Convention from the day prior to the start of their convention through the close of the convention. Section F - SUPREME GRAND MASTER: The Supreme Grand Master shall preside over the Supreme Grand Lodge and during his tenure as such shallserve as the Supreme 1st Vice President of International Masons. He shall serve as ceremonial assistant to the Supreme President and act in his absence or incapacitation. Section G - SUPREME DEPUTY GRAND MASTER: The Supreme Deputy Grand Master shall assist the Supreme Grand Master in governing and overseeing the affairs, business, and responsibilities of the Supreme Grand Lodge and during his tenure as such shall serve as the Supreme 2nd Vice President of International Masons. Section H - APPOINTMENT OF VICE PRESIDENTS: The Supreme President upon confirmation by a majority vote of the Supreme Board of Directors may appoint additional Vice Presidents (who are required to be Masons in good standing) as needs arise and such is determined. Whenever the Supreme President appoints a Vice President, and approval has been given by the Supreme Board of Directors, he shall have placed them in the line of succession to the Supreme Presidency.

Masons, Inc., and Order of the Eastern Star – Constitution 18 Updated with Amendments 2021-07 SECTION I – ORDER OF SUCCESSION: In the event a vacancy occurring in the office of Supreme President resulting from but not limited to the Supreme President's resignation, death, permanent disabling, illness/injury or impeachment, the Supreme Grand Master/ 1st Vice President shall assume the office of Supreme President for the remainder of the unexpired term. In addition to being eligible to serve three (3) full four (4) years terms in office subject to the term limit provision in Article XII (10) on page 23. [Note: In the event the office of Supreme President is not vacated by or before the 2019 Supreme Convention, the then seated 1st Vice President shall become the Executive Vice President of International Masons, thereby placing him in line to become the next seated Supreme President at or before the 2021 Constitutional Convention. After the 2021 Supreme Constitutional Convention, the Supreme Presidency position, if vacated shall be filled by the Executive Vice President 1st Vice President. If the vacancy occurs after the second (2nd year of the term of office, the Supreme Grand Master/1st Vice President shall be entitled to complete the remainder of the former Supreme President's term in addition to being eligible to serve three (3) full four (4) years terms in office. Coincidentally, the Supreme Deputy Grand Master shall assume the office of Supreme Grand Master/1st Vice President for the remainder of the Supreme Grand Master's unexpired term and the 3rd Vice President shall advance to the office of Supreme Deputy Grand Master/2nd Vice President and the Supreme President shall appoint another 3rd Vice President via approval of the Supreme Board of Directors.] Section J - SUPREME GRAND MATRON: The Supreme Grand Matron shall preside over the affairs, and business of the Supreme Grand Chapter and during her tenure as such shall be considered the highest-ranking female officer of International Masons. Section K -SUPREME OFFICER EXPENSES: No officer or member shall be entitled to receive compensation for the same expense from more than one entity of International Masons. Doing so will be considered misappropriation and theft of monies, subjecting the leader to refund expense money(is) received to all entities it was obtained from, forfeiture of the office held, and/ or suspension from membership for not less than one year at the discretion of the Supreme President. ARTICLE XI NATIONAL DISTRICT ENTITIES Section A - NATIONAL DISTRICT ENTITIES: When determined to be necessary, National District Entities for all subordinate entities may be established by the Supreme President with the approval of the Supreme Board of Directors and shall be subject to the applicable terms of this Constitution. National District Leaders and other officers of National District Entitiesshall be reflective ofthe officers in theirsubordinate bodies' rituals, guidelines or as may be required for the efficient and effective operation of the entity.

Masons, Inc., and Order of the Eastern Star – Constitution 19 Section B -NATIONAL DISTRICT APPOINTMENT OF OFFICERS: Supreme Entity Leaders shall submit to the Supreme President for appointment the name(s) of members they would like to recommend as National District Entity Leaders and their Deputies/Associates to two (2) year terms of office during the odd year Supreme Conventions. Supreme Entity Leaders or their designees shall have direct supervisory authority over their National District Entity Leaders and their Annual Conventions. National District Entity Leaders are to develop viable National District programs to benefit their departments. They are to also support and coordinate with their Grand Entity Leaders and promote growth and development within their assigned National Districts. National District Leaders must submit written reports bi-monthly in the months of January, March, May, July, September and November to their Supreme Department Leaders and the Supreme President. Other officers of National District Entities shall be reflective of the officers in their subordinate bodies' rituals, guidelines or as may be required for the efficient and effective operation of the entity. Effective July 2017, National District Entity Leaders shall be limited to a maximum of three (3) consecutive two (2) year terms in office and are not eligible for re-appointment to the office for three (3) full years after leaving office. Section C - NATIONAL DISTRICT LEADER REPRESENTATION: National District Entity Leaders shall be the designated delegates of their respective entities to the Executive Leader's Council, Supreme Convention, Imperial Shrine Convention, Supreme Exalted Degree Conclave and Supreme Marshals' Conventions and their full expenses for travel, lodging, meals, and registration when required shall be paid by their respective department, provided funds are then available. When the National District Entity Leader is the Supreme President's designated representative assigned to preside over a subordinate's Convention, the lodging expense shall be the responsibility of the subordinate entity. Section D – Convention Registration Fees: The National and National District Convention registration fees shall not exceed $65.00 including banquet ticket and workbook without the advance written approval of the Supreme President. In the event there is no meal function, the registration fee shall be limited to $15.00. ARTICLE XII ASPIRANTS FOR LEADERSHIP OFFICES Section A - SUPREME & NATIONAL DISTRICT LEADERASPIRANTS: All aspirants seeking to run for or be appointed to a Supreme Entity Leadership Office or National District Leadership position shall first notify the incumbent of the office of their intention to become a candidate for the office. They shall then submit a written letter of aspiration accompanied by a resume to the Supreme President or his designee for

National District Leader aspirants should also submit a copy to their respective Supreme Department Leader. Section B - GRAND ENTITY LEADER ASPIRANTS: All aspirants seeking to run for a Grand Entity Leadership position shall first notify the incumbent of their intention to become a candidate for the office; they shall then submit a letter of aspiration to the Director of the Masons (males) or OES (females) State's Executive Board or the Director ofthe State Joint Executive Board ifseeking a position that may be filled by either aMason or an Eastern Star. The letter should request an appearance before the applicable Board to discussthe aspirant's qualifications and platform for the position. The State's Executive Board shall consider the aspirant's length of membership; level of attendance, participation, and support; whether the aspirant has completed and passed the Supreme Leadership Development Course (or must do so within ninety (90) calendar days after taking office). positions held in preparation for the office; whether the aspirant is in good Endowment benefit status and good financial standing in all entities of which they are a member. A written report is to be submitted by the Board Director to the Supreme President or his designee outlining the Board's opinion on the aspirant's eligibility for his consideration and decision. Section C - LETTER OF ASPIRATION: After the Board appearance, the aspirant shall submit a written letter of aspiration to the Supreme President or his designee requesting approval of their candidacy for the office being sought accompanied by their resume not less than thirty (30) days before the commencement of the Convention at which the election is to be held. The letter of aspiration and resume' should set forth: (1) Aspirant's qualifications, academic educational attainment, proof of completion of the Supreme Leadership Development Course, leadership experience, and achievements made as well as offices held in International Masons. (2) Aspirant's platform, plans and/or programs they propose to implement upon taking office; and (3) Aspirant's willingness, intent, and financial ability to travel and attend applicable meetings and conventions (Local, State, National and Supreme) which will be required of them as the holder of the office being sought. Section D- MINIMUM QUALIFICATIONS: All aspirants shall meet the minimum requirements listed below: (1) They must have been a member of International Masons in good financial standing for a minimum of three (3) years for State Leadership office; five (5) years for National District and Supreme Leadership offices.

Masons, Inc., and Order of the Eastern Star – Constitution 21 (2) They must be active in and remain a member in good financial standing in the department they aspire to lead as well as all entities subordinate to it for a minimum of the previous three (3) consecutive years. (3) They must have attended at least two (2) each of the previous three (3) Annual Conventions for their Grand Entity, their National District Entity, and the Supreme Convention. They must further commit that if elected/appointed, in addition to attending the aforementioned conventions, that they will also attend Executive Leaders' Council, Imperial Shrine Convention (if a member), Supreme ExaltedDegree Conclave, and Supreme Marshals' Conventions annually. Should they not be able to attend, they must ensure the attendance of their second in command in theirstead. (4) They must have served satisfactorily, for not less than one (1) full year, as an Entity Leader on a local and/or state district level of the Entity they are aspiring to lead. They must have served satisfactorily, for not less than one (I) full year, as a Grand Entity Leader of the Entity they are aspiring for on a National District or Supreme Entity Leadership Level. (5) They must possess a Certificate of Completion from the "Supreme Leadership Development Course” or be required to do so within ninety (90) calendar days after taking office. (6) They must have been approved as a candidate for the office by the Supreme President or his designee with a letter attesting to such. (7) If the Aspirant is the second in command to the incumbent, they must notify that officer of their aspiration. Then, if the incumbent advises them, they intend to seek re-election, the aspirant must resign the position to be eligible to run for the office. (8) No Local or Grand Entity Leader shall be eligible to succeed themselves if their number of members decreased during their term (unless exempted by the Supreme President or his representative in extenuating circumstances) and/or their Entity failed to pay in full all assessments, fees and taxes when due or in the case of the Grand Entity, it fails to provide the lodging and local transportation of the officer designated by the Supreme President to conduct the convention. (9) No Supreme or National District Entity Leader shall be eligible to succeed themselves if they fail to pay their fees due to International Masons for their National District or Supreme Entity; and (10) No member shall be eligible for election or appointment to any leadership position after reaching eighty (80) years of age. No member shall be eligible for election or appointment to any leadership position after reaching eighty (80). A seated Supreme, National, Grand or State District Officer who reaches eighty (80) years of age while in office, shall be eligible to serve until their next annual convention. Local entity officers shall be eligible to serve until the next annual election. No exception shall be permitted without the approval of the Supreme President and/or majority of the Supreme Board of Directors.

Masons, Inc., and Order of the Eastern Star – Constitution 22 Updated with Amendments 2021-07 Section E - ELIGIBI LITY: To become eligible for election or appointment to a Grand Entity Leadership Office other than the Entity Leader or Second in Command, the member must have satisfactorily held an elective office in the Local Entity for at least one year. Effective as of July 2017 and thereafter, all State Entity Leaders are limited to serving a maximum of four (4) consecutive one (I) year terms in office. Effective as of July 2014, all State Executive Board Directors are limited to a maximum of two (2) consecutive one (I) year terms in office. Effective as of July 2017, all National Executive Board Directors are limited to a maximum of two (2) consecutive two (2) year terms in office. Section F - ENTITY PROPERTY: Upon expiration of the Leader's term in office, suspension, resignation, or disqualification; they shall immediately tum over all monetary instruments, books, papers, records, and any other property of the entity to their Superior officer or their successor in office. Section G - No Supreme, National or Grand Entity Leader is to serve in more than one leadership position at any one time above the Local/Foundation Lodge or Chapter level and shall not be eligible to serve as a Deputy, Associate, Vice or Assistant in any other Department, unless an exception is made and ordered by the Supreme President and/or the Supreme Board of Directors for Just Cause. No member shall be eligible to serve as a Deputy, Associate, Assistant or Vice in more than one entity at any level at the same time. Section H - There shall be no secret or absentee ballot voting permitted. ARTICLE XIII BONDING Every entity is required annually to bond its Financial Secretary and Treasurer with International Masons. Such bonds shall be in the amounts and at the cost required by International Masons. Any Leader who fails to bond their Financial Secretary and Treasurer may be declared ineligible to serve in the leadership position. The term of the bonds is January 1st through December 31st of each year. ARTICLE XIV FINANCIAL SECRETARIES AND TREASURERS Section A -FIDUCIARY RESPONSIBILITY: Every entity of international Masons that receives any monetary funds shall have a Financial Secretary to receive and record the income and a Treasurer to deposit the money in a local bank or International Masons Detroit District Credit Union (IMMDCU) account in the name of the entity. The Treasurer shall also dispense the funds in accordance with the directions of the leader and approval

All accounts and checks must require multiple signatures for the withdrawal of funds, except when the funds are on deposit with the IMDD Credit Union whereas only one signature is required. Upon expiration of their term in office, suspension, resignation, or disqualification, the Financial Secretary and Treasurer is required to immediately turn over all monetary instruments, books, papers, records, and any other property of the entity being served to the applicable Leader or their successor in office. No member shall be permitted to hold more than one Financial Secretary or Treasurer Position in International Masons at any time and no more than two financial positions in total. Section B-FINANCIAL SECRETARIES: All Financial Secretariesshall apply forbonding in the sum required by the Supreme Board of Directors. They shall receive and record all monies paid, to the department they serve, from all sources and submit the entire amount collected to the Entity's Treasurer and receive a receiptforthe same. All Financial Secretaries shall maintain an accurate record of all transactions which includes the date and source of all monies received by the entity, as well as the amounts and date they were turned over to the Treasurer. Additionally, they shall prepare a detailed income statement with supporting data monthly and present it to the entity leader. Annually, they shall add a recapitulation sheet for the prior fiscal year along with a complete annual audited report, both of which are to be presented to the entity leader. The report is then to be presented at the annual convention or meeting for membership approval. Upon expiration of their term in office, suspension, resignation, or disqualification, the Financial Secretary shall immediately tum over all monetary instruments, books, papers, records, and any other property of the entity to the Entity Leader or the Financial Secretary's successor in office. Section C - TREASURERS: All Treasurers shall apply for bonding in any sum required by the Supreme Board of Directors and shall receive all monies belonging to the entity from the Financial Secretary and give them a receipt for thesame. Treasurers shall maintain an accurate record of all monies received from the Financial Secretary and all monies paid out of the Treasury and shall prepare and make available to the Entity Leader monthly if a local entity and quarterly if a state, national or supreme entity. Annually, a detailed balance sheet, bank statement and recapitulation sheet forthe previous fiscal year which after audit is to be presented to the Entity Leader and voted upon at the annual convention or meeting for membership approval. Upon expiration of their term in office, suspension, resignation, or disqualification, the Treasurer shall immediately turn over all monetary instruments, books, papers, records, and any other property of the entity to the Entity Leader or the Treasurer's successor in office.

Masons, Inc., and Order of the Eastern Star – Constitution 24 Updated with Amendments 2021-07 ARTICLE X V APPEALS Section A - RIGHT OF APPEAL: Any member may appeal an action or decision against them rendered by any officer of International Masons. All appeals shall be submitted in written form in advance setting forth the subject of appeal and relief being requested accompanied by a ten dollar ($10. 00) filing fee in accordance with the guidelines set forth below. Only timely filed appeals accompanied with the filing fee shall be considered. To be timely, the appeal must be filed within thirty (30) calendar days of the action or decision being appealed (except for appeals to the Supreme Board of Directors concerning actions of the Supreme President as set forth in Article 6). Failure of the member to timely file the appeal or submit the required filing fee shall summarily forfeit the members' appeal rights. It shall be the responsibility of the Officer the appeal is against to provide sufficient evidence and/or witnesses to justify the action or decision they rendered was either warranted and/or not excessive. An appeal hearing is to be conducted by the Executive Board it has been submitted to as soon as possible and not later than the next regularly scheduled meeting, but in no case more than sixty (60) days following the appeals' receipt. Any failure to conduct the appeal hearing within the specified time limit shall constitute automatic approval of the relief requested in the appeal. Itshall be the responsibility of the Executive Board Director or their designee to provide as much advance notice of the date, time and location of the appeal hearing to the appellant member and Board Members in writing. The Executive Board shall be empowered to conduct the appeal hearing in absentia should the appellant not appear as scheduled and render a final and binding decision. Decisions of the Board shall be determined by a simple majority vote (50%+ 1) of the board members present. (1) In order to determine the appropriate board appeals should be filed with, the following guidelines are to be utilized: (2) Appeals involving Masons only are filed with the State's Mason Executive Board. (3) Appeals involving Eastern Stars only are filed with the State’s OES Executive Board. (4) Appeals involving both Masons and Eastern Stars are filed with the State’s Joint Executive Board. (5) Actions of local officials are appealed to the appropriate State Executive Board. (6) Actions of Grand officials are appealed to the appropriate National District Executive Board.

(8) Actions of a Supreme official are appealed to the Supreme President. (9) Decisions rendered (other than untimely filing or failure to pay filing fee) at any level may be appealed to the next level within thirty (30) days of receipt of the decision being appealed by the preceding level. (10) Actions and/or decisions of the Supreme Board of Directors or Supreme President on any appeals shall be final and binding on all parties. ARTICLE XVI STANDING COMMITTEES AND THEIR DUTIES Section A - STANDING COMMITTEES: The following Standing Committees shall be appointed for each convention with written reports reviewed, approved, and signed by the Entity Leader and submitted to the Officer(s) superintending the Convention thirty (30) days prior to the Annual Convention. All committees shall be formed forthe purpose of the Convention and dissolved immediately thereafter unless circumstances warrant their continuance. (1) Rules Committee - The Committee Chair(s) shall read the "Standing Rules" for all conventions authorized by the Supreme President unless they have been provided in writing via the materials provided to every delegate in attendance. (2) Credentials Committee - The Committee Chair(s) shall render copies of a written report of any entity or member indebted to the department along with the amounts owed. A complete breakdown must be provided in writing along with proof that the entity has been informed in advance prior to the report being given. (3) By Laws Committee - The Committee Chair(s) shall submit in writing copies of a written report outlining any and all proposed changes, adoptions, and amendments of By Laws. (4) Finance Committee - The Committee Chair(s) shall provide copies of a written report of the balance forwarded, all income received, all expenses incurred, and ending balance for the prior fiscal year. (5) Audit Committee - The Committee Chair(s) shall report the auditor's findings and opinions after reviewing the finance report and all related financial documents. No audit report is required if all the entities funds are on deposit in the International Masons Detroit District Credit Union. However, states with nonprofit organizations that have an active Internal Revenue Service (IRS) 501(c)3 nonprofit tax-exempt status must submit proof of status and render an audit for all funds locally held. (6) Memorial Committee - A Memorial Ceremony is to be conducted whereas the names of all members of that entity who have transitioned within the prior year are to be read and incorporated into the ceremony. NO WRITTEN REPORT IS NEEDED. However,

Masons, Inc., and Order of the Eastern Star – Constitution 26 Updated with Amendments 2021-07 a verbal report must be provided by the coordinator or leader of the ceremony once it has concluded. (7) Time and Place Committee - The Committee Chair(s) are to provide a written report of the proposed location of future conventions at least three (3) years in advance. The entity leaders shall jointly secure the site at an approved location that provides the greatest benefit to the members traveling and within a centralized location. The leaders are required to present to the Supreme President or his designee, a jointly signed hotel contract for the annual convention outlining the next two years. Such other committees as may be deemed appropriate by the presiding officer may be required to submit a verbal and/or written report based on advance notice of the officer(s) superintending the convention/meeting. ARTICLE XVII INTERNATIONAL MASONS' CHARITY AND DISASTER FUND Section A - MEMBER'S ANNUAL CONTRIBUTION: All local lodges and local chapters are required to pay to their state Grand Lodge or Grand Chapter respectively one dollar ($1.00) annually for every member on their roll for International Masons Charity and Disaster Fund. This is to be done prior to March 1st of each year in order for all Grand Lodges and Grand Chapters to submit in March of each year at the Executive Leader's Council. Grand Masters and Grand Matrons are required to submit one dollar ($1.00) for every member on roll in their state whether they have collected or not, the same from their Local Lodges or Local Chapters. Section B - USE OFFUND: This fund shall be used by the Supreme President with the approval of the Supreme Board of Directors, for the promotion of any charitable project that is deemed to be in the best interest of the membership and to render assistance in the event of any disaster affecting the membership on a case-by-case basis. Section C - CHARITABLE DONATIONS: All monetary charitable donations made by any entity of international Masons are to be reported to the Supreme President in writing. Donations of one thousand dollars($1,000.00) or more are to be submitted to the Supreme President thirty (30)daysin advance in order for an official International Masons' check to be promptly drafted and made payable to the charity named by the entity. This check will be sent to the entity leader for presentation to the designated charity. Any donations (to be given at a convention) less than one thousand dollars ($1,000.00) are to be mailed to the recipient. No charity leader or representative shall be required or requested to come in person to an event for presentation of less than one thousand dollars ($1,000.00).

Masons, Inc., and Order of the Eastern Star – Constitution 27 ARTICLE XVIII GRANDLODGE, GRAND CHAPTER, ENTITY/AUXILIARY Each Grand Lodge, Grand Chapter, Entity, or Auxiliary shall be composed of elected and appointed Grand Officers as set forth in the respective rituals of their subordinate body, if applicable, or as may be provided for in their approved ByLaws. ARTICLE XIX GRAND SESSIONS Section A - GRAND SESSION: Each Grand Entity shall have a Grand Session on dates approved by the Supreme President. The Supreme Entity's Leader(s), or their designee, will preside (subject to the approval of the Supreme President). They shall receive officer's and committee reports, conduct the elections for all Grand Officers applicable to that Grand Entity and collect all fees then due International Masons and other Supreme Department(s) as may be designated by the Supreme President. The Grand Entity Leaders are required to have available copies of the agreement for the next year's convention including the signatures of the male and female Entity Leaders and representative of the hosting facility. The Supreme Officer conducting the convention shall submit a full report to the Supreme President. Section B - DELEGATES TO STATE CONVENTIONS: Each Local Body in good financial standing is entitled to be represented by its officers and members at their Entity's Grand Session. The delegates must be registered for the Grand Session and properly credentialed by the Grand Entity. Every member of International Masons who is properly credentialed for the Grand Session and whose local lodge or chapter is in good standing with the Grand Entity(ies) shall be considered a delegate for all convention purposes. Section C - ASSESSMENTS: The Grand Entity's assessments shall not exceed those amounts set forth in their By Laws as approved by the Supreme President. Grand Entity assessments are not to be confused with and are in addition to the assessments, fees and taxes of International Masons, Supreme Entities and National Districts. [Note: No assessment, fee or tax shall be enforceable by any Entity unless they have been approved by the delegates in advance, written into their By Laws which have been approved and signed by the Supreme President.] Section D – Convention Registration Fees: The Grand Convention registration fee shall not exceed $65.00 including banquet ticket and workbook without the advance written approval of the Supreme President. In the event there is no meal function, the registration fee shall be limited to $15.00.

Masons, Inc., and Order of the Eastern Star – Constitution 28 Updated with Amendments 2021-07 ARTICLE X X DECADERS A Decaders primary responsibility shall be to keep a vigilant eye overtheir constituents. They shall ensure all Constitutional enactments, rules and edicts of the entity are duly and properly observed. They are to transmit all communication from the leader to individual members, officers orsubordinate bodies which were assigned to the Decader by the entity leader in a timely and efficient manner and to report back the results. They are to regularly communicate with assigned members, officers or subordinate bodies and keep the leader informed on the status of those committed to the Decaders care. They shall account for all members absent from a meeting belonging to his or her group. Decaders are to be utilized at every level of every entity within International Masons. Any entity member or officermay be appointed toserve as aDecader therein. Itis essential for all Decadersto fully perform the duties and responsibilities outlined here. At the leader's discretion, additional duties may be assigned. ARTICLE XXI SUPREME RECRUIT DEPUTIES Section A - ROLE OF SUPREME RECRUIT DEPUTIES: Supreme Recruit Deputies may be Masons or Eastern Stars and are empowered to recruit men, women, and youth. Masons are to turn applications from females over to a chapter for initiation and Eastern Stars are to turn the applications from men over to a lodge for initiation. Supreme Recruit Deputies shall organize and reinstate lodges and chapters, but in no case, shall a Recruit Deputy visit any lodge or chapter in an official capacity aftersuch lodge or chapter has been chartered unless requested to do so in writing by said lodge or chapter, or as otherwise authorized by the Grand Master or Grand Matron, or by the Supreme Grand Master or Supreme Grand Matron. Every Grand Lodge, Grand Chapter, Local Lodge and Local Chapter shall have at least one licensed Supreme Recruit Deputy as one of its officers. The Supreme Recruit Deputy is to add new members to the rolls; however, the lodge or chapter reserves the right to accept or reject such candidates for membership bymajority vote. Every State is to have a Supreme Recruit Deputy Council composed of all the Grand and Local Supreme Recruit Deputies. This Council is to have a Director, Assistant Director, Recording Secretary, Financial Secretary and Treasurer. This Council shall pay an annual Representation Fee of fifteen dollars ($I5.00) annually to International Masons. Each Recruit Deputy is to apply for and maintain a minimum of three hundred dollars ($300.00) Endowment and pay an annual two dollars ($2.00) per capita tax to International Masons. When a new lodge or chapter is in the process of being established by a Supreme Recruit Deputy, the Supreme Recruit Deputy shall immediately notify the Grand Master or Grand Matron and then proceed to charter such lodge or chapter within ninety (90) days of organizing. During the ninety (90) day period, the Supreme Recruit Deputy shall have jurisdiction over the lodge or chapter, based upon their gender, and shall keep the Grand

The Supreme Recruit Deputy shall insure that any and all financial obligations are met during their period of jurisdiction. Failure to do so shall result in immediate justification for the Grand Lodge or Grand Chapter to assume jurisdiction. The new or revived lodge or chapter must be turned over to the Grand Lodge or Grand Chapter no later than expiration of the ninety (90) day period. ARTICLE XXII DUTIES OF GRAND ENTITY LEADERS Section A - GRAN D ENTITY LEADERS: When the Supreme President determines there is a need to create a Grand Entity in a state, he shall direct the appropriate Supreme Entity Leader to conduct the election or to make the appointment(s) of the officers. Once chosen, such officers shall have the power to appoint their State District Entity Leaders. All other District officers are to be elected. After an officer's election has been held, the Entity Leader shall fill all vacancies occurring for any reason during their term and may remove for just cause any officer under their administration. Effective July 2017, Grand Entity Leaders shall be eligible to serve up to a maximum of four (4) consecutive one (I) year terms in office and thereafter shall not be eligible for re-election until four (4) years after leaving office. All Grand Leaders must submit written reports monthly to their Supreme and National District Entity Leader. It shall be a responsibility of the Leader to promote the growth and development of their department and they shall be held accountable for any losses occurring during their respective term(s) of office. Section B - RECORDING SECRETARIES: Recording Secretaries must keep accurate minutes of every meeting of their entity and provide a copy of the minutes to their Executive Officer within a maximum of fourteen (I4) calendar days after the meeting. A copy shall be submitted to the Executive of the superior level entity (i.e., From the local to the District; from the District to the Grand, from the Grand to the National District; from the National District to the Supreme and from the Supreme to the Supreme President within fourteen calendar days of their approval by the membership). The various entities shall be required tomaintain a copy of all approved minutes and provide same upon request by appropriate International Masons' Officers and/or Members. A fee may be charged via approval of the entity leader. ARTICLE XXIII COMMISSIONS & DONATIONS TO SUPREME, NATIONAL DISTRICT, AND GRAND ENTITY LEADERS AND OFFICERS Section A - COMMISSIONS: In those cases, where an Entity has closed its books and the treasury's audited balance reflects a net increase over the previous fiscal year end, a commission may be received by the leader(s)/ officer(s). However, all required taxes, fees, other obligations, expenses, and donations to others must be satisfied prior to any monies being paid. The Entity Leader may receive up to thirty (30%) of the net proceeds

The computation of the allowances shall be performed by the Supreme President for Supreme and National District Leaders. No officer shall be empowered to compute their own compensation subject to this provision; violators shall be required to make full restitution and subject themselves to removal from office fordoing so. Not over thirty percent (30%) of the net profit of the Supreme Convention after all convention related expenses have been paid shall be a donation to the Supreme President for his services in the total operation of International Masons. Section B - RESONABLE DONATION: It shall be the policy of International Masons to permit the giving of reasonable donations to officersin appreciation for their services to the membership in accordance with the perceived value of the services provided. Reasonable donations to Entity Officers may be determined by the Entity's Executive. Such amounts shall be determined and subtracted prior to the computation of the net proceeds from which any compensation to the Entity Executive is to be computed. All donations are subject to review and approval by the Supreme President. No officer is authorized to compute and take the donation percentages themselves. Any officer found guilty of doing so shall be required to make full restitution and subject themselves to removal from office. Failure to make restitution shall be considered misappropriation of funds and/or theft and the violator shall be subject to suspension from membership, expulsion and/or prosecution as determined by the Supreme President. Section C - OFFICERS' REPORTS: Wherever in this Constitution or otherwise, an officer is required to submit reports, it shall be necessary that said officer report as required in order to become eligible for any commission or donation. ARTICLE XXIV OTHER ASSESSMENTS Section A - OTHER ASSESSMENTS: It is the policy ofInternational Masonsthat amember keeping their Endowment current for twenty (20) consecutive years thus becomes a paid-up member ofthe Fraternal Order for life. However, thisstatus does not exempt them from any other financial obligations members are required to pay in accordance with this Constitution and/or the approved By Laws of entities of which they are a member. All ofthese fees are to be paid through their local entity to the Grand Entity as required. Section B - FAIL URE TO PAY ASSESSMENTS: In the event a twenty (20) year member either refuses or failsto pay the required International Masons per capita tax, then, upon written request to the Supreme President by the affected Grand Entity Leader, this Constitution hereby providesthat thevalue ofthemember's Endowment Certificate will be reduced in an amount equal to the per capita taxesthen due from the applicable member and upon the

Masons, Inc., and Order of the Eastern Star – Constitution 31 filing of a claim for payment of their death benefit by the designated beneficiary, an appointment equivalent to the taxes the Grand Entity has paid on the member's behalf will be forwarded to that Grand Entity by International Masons. ARTICLE XXV GRAND JOINT COUNCILS Section A - DEFINITON: Any state having Local Lodges and/or Chapters in three (3) or more cities shall organize a Grand Joint Council consisting of all Lodges and Chapters in said state. Section B - MEETINGS: The Grand Joint Council isrequired to convene at leastfour(4) times each year forthe opening ofthe quarterly Grand Lodge and Grand Chapter sessions. The Grand Joint Council, with the approval of the Grand Master and Grand Matron shall have the authority to legislate laws for its governance as may be deemed necessary in the judgment of the membership by majority vote; subject however, to provisions of this Constitution and final approval by the Supreme President before becoming effective. Section C - FEES: Not more than four dollars ($4.00) per meeting/twelve dollars ($12.00) per year shall be required from each Lodge and Chapter as representation fee to said Council meetings. No fee shall be charged for the meeting at the Grand Session. Individual members shall not be required to pay any fee per meeting or per year to the Council. Section D - APPROVED EXPENSES: The Grand Joint Council shall not bear the expense to conventions or meetings of any officer except its Executive Director or Assistant Executive Director, provided sufficient funds are available. ARTICLE XXVI CITYJOINT COUNCILS Section A - DEFINITON: Any city and its suburbs being within a radius of approximately twenty-five (25) miles where there are three or more Lodges and Chapters, said Lodges and Chapters with the approval of the Grand Master and Grand Matron may set up a City or District Joint Council. This Council is to include all Lodges and Chapters in said City or District for the purpose of meeting together and the development, promotion, and support of joint affairs. The required officers of the City Joint Council to be elected shall include the Director, Assistant Director, Recording Secretary, Financial Secretary and Treasurer. The election shall be conducted by the Grand Joint Council Executive Director annually. If there is no Grand Joint Council, the election shall be conducted by the Grand Master. Section B - MEETINGS: It is recommended that said City/District Joint Council meet monthly. No Lodge orChaptershall be required to pay more than three dollars ($3.00) per meeting or a maximum of thirty-six dollars ($36.00) per year representation fee except by special dispensation from the Supreme President. Individual members shall not be required to pay any representation fee to theCouncil.

Masons, Inc., and Order of the Eastern Star – Constitution 32 Updated with Amendments 2021-07 ARTICLE XXVII DISTRICT GRAND LODGE/CHAPTER Section A - DISTRICT LODGES OR CHAPTERS: Every Grand Lodge and Grand Chapter shall be empowered to establish District Grand Lodges and District Grand Chapters respectively within their state's jurisdiction where they have three (3) or more lodges or chapters operating in a given city or its vicinity within a twenty-five (25) miles radius. The purpose of the districts is to make it easier for the Grand Master and Grand Matron to administer the affairs of the state by employing the use of District Masters and District Matrons appointed by them to coordinate the work ofthe lodges and chaptersin the District and provide them with monthly update reports. Other officers of the District shall be the same asthose ofthe Grand with a "District" designation and shall be elected annually in elections conducted by the Grand Master and Grand Matron at the District's one-day workshop/convention. The duties of the District Master and District Matron shall be those assigned by the Grand Master or Grand Matron. Section B - MEETINGS: The District Grand Lodges and District Grand Chapters are to meet bi-monthly in conjunction with the City/District Joint Councils. The District Grand Master, District Grand Matron and the City/ District Joint Council Executive Director are to cooperatively promote programs that will grow and be in the best interests of the City/District membership. ARTICLE XXVIII ENTITIES AND AUXILIARIES Section A -ESTABLISHMENT OFENTITIES AND AUXILIARIES: International Masons has authorized the establishment of Supreme, National District, State, State District and Local Entities and auxiliaries. As such, International Masons maintainsthe authoritytocreateadditional entitiesand auxiliaries in the future as deemed to be necessary or appropriate to serve the interests of International Masons and its members in general based on recommendation by the Supreme President and approval of the Supreme Board of Directors. Section B - ADHERENCE TO RULES: In order to ensure all entities; operate successfully, function appropriately, each are encouraged to observe the following rules: (1) All entity officers should prepare and have copies on hand of a written agenda before convening any meeting or convention in order to inform members of business to be discussed. This may be sent prior to the meeting or before the meeting begins. (2) A copy of the approved By Laws are to be on hand and made available for copy to members in order to be adhered to by the officers and members. No member will be held responsible for rules they have not been informed of in advance.

Masons, Inc., and Order of the Eastern Star – Constitution 33 (3) The date, time and location of all meetings and conventions should be clearly communicated to the applicable membership in written form a minimum of thirty (30) calendar days before the meeting. (4) No meeting or convention is to be cancelled without a compelling reason and the entity’s Superior Leader consulted and contacted in advance to ensure no other options are available. The illness or absence of the Executive or leader is not in and of itself a compelling reason to cancel a meeting/convention, the second in command should conduct the meeting in their absence or illness. (5) Worthy Patrons – The Supreme and National District Grand Chapter shall have Worthy Patrons approved by the Supreme President. Grand, State, District and Local O.E.S. Chapters must have Worthy Patrons approved by their Grand Master. Like the O.E.S. Chapters, all other female degree entities shall include a qualified Mason approved by the appropriate authority as identified above. Section C - MEETING GUIDE: The Meeting Guide, published by International Masons, shall be used in all Local, State, National District and Supreme meetings. A copy of the guide shall be made available to each member of the entity by individual purchase from the Home Office. The Entity Leader shall have studied the lesson and the proposed agenda, together with their officers, prior to the entity meeting. The lessons contained therein are to be incorporated into the plan for educating members and officers. Section D – FOUNDERS’S DAY EVENT/ACTIVITY: Every Grand Lodge and Grand Chapter are to jointly conduct an annual Founder’s Day Observance during the month of August honoring Dr. William Venoid Banks, 33°, founder of International Free and Accepted Modern Masons, Inc. & O.E.S. ARTICLE XXIX OFFICERS AND THEIR DUTIES The officers of all entities and auxiliaries at all levels shall be those set forth in their approved and authorized rituals or By Laws. The duties of each officer shall be those set forth in the Ritual employed and authorized by International Masons, except as they may be changed or amplified by this Constitution, the applicable By Laws, Supreme President, or the Supreme Board of Directors. ARTICLE XXX NEW LODGES/CHAPTERS When a new Lodge or Chapter is created in any state, a notice shall be sent immediately to the Grand Master or Grand Matron respectively. The Grand Master or Grand Matron shall immediately take jurisdiction, unless a Supreme Recruit Deputy is in charge thereof during the first ninety (90) days.

Masons, Inc., and Order of the Eastern Star – Constitution 34 Updated with Amendments 2021-07 In any event, the Grand Master or Grand Matron of the State, in cooperation with the District Lodges or District Chapters, should ensure the assignment of experienced members to work with each new Lodge or Chapter for at least ninety (90) days following the taking of jurisdiction over the lodge or chapter. ARTICLE XXXI LOCAL ENTITY ELECTIONSAND TERMS OF OFFICE Effective March 2017, Local Entity Leaders shall be limited to a maximum of three (3) consecutive one (I) year terms of office and are not eligible for re-election to the office for three (3) full years after leaving office. All local elections shall be held in December of each year for a term of one year. The officer's term shall begin on January 1 of each year and end on December 31. ARTICLE XXXII DISBANDMENT No Entity or Auxiliary has the right to disband, merge or destroy itself without advance authorization. It may petition its Grand Entity for consultation and assistance. If deemed necessary the Executive Officer of the Grand Entity may either permit the desired change or take possession of the charter, account(s), property (real and personal), and/or assign a qualified officer to re-organize and rebuild the entity or auxiliary body. ARTICLE XXXII I CHARITABLE DONATIONS TO MEMBERS When any member has a disaster such as to warrant the need for charity, it shall be the duty of their local lodge or chapter and its members to donate and assist them as the member's necessity requires, and the lodge or chapter's financial condition permits. If the amount available is deemed by the local lodge or chapter to be inadequate, it shall certify to the District and State Grand Lodge or Grand Chapter the amount they have donated and the necessity for further help; then the District and State Grand Lodge and/or Grand Chapter should make donations accordingly. If the Grand Lodge and/or Grand Chapter deem this amount to also be inadequate, itshall certify the same to the National District Grand Lodge and/ or National District Grand Chapter, setting forth the amount donated by the Local, District and Grand Lodges or Chapters, and the necessity for further help. The National District Grand Master and/or National District Grand Matron should then order such further donation as good judgment dictates.

Masons, Inc., and Order of the Eastern Star – Constitution 35 h If the need is still not adequately satisfied, the matter should be referred to the Supreme Grand Lodge and/or Supreme Grand Chapter for further assistance. In any case that requires more than one thousand dollars ($1,000.00) in assistance, an investigation committee of disinterested members must first be appointed to make an impartial report on the validity of the request before any funds are disbursed. ARTICLE XXXIV RESTRICTIONS ON PAYMENTS Section A - RESTRICTIONS: No officer of any entity within International Masons shall charge an individual member, any Lodge or Chapter, or group of members for any service not authorized to be charged for in this Constitution or as may be provided for in the approved By Laws. There shall be no demands and/or requirements for donations to officers other than those set forth in this Constitution or as may be approved by the Supreme President. No officer shall have a right to demand or receive any traveling expenses not provided for in their approved By Laws or as set forth herein until the same is approved by the Supreme President. All expenses and donations shall be itemized in said officer's annual finance report. Any officer found in violation of misappropriation of funds and/or theft shall be subject to suspension from membership, expulsion and/or prosecution as determined by the Supreme President. They shall also be required to return said funds. Section B -LODGE AND/OR CHAPTER LOANS/DONATIONS: No Lodge or Chapter should make any loan or donation to any member for any purpose, other than a disaster. A disaster or emergency would constitute a fit and proper subject of generally recognized Public Charity, and monies should not be used for any private purpose. Section C - ASSESSMENTS NOT PROVIDED FOR: No officer shall levy an assessment on any individual member or group thereof that has not been provided for in either this Constitution or as may be provided for in the approved By Laws of the entity or auxiliary involved. In the event new taxation is to be proposed, members involved shall have at least thirty (30) days' notice in advance and such assessments must be voted on at a regularly scheduled convention or meeting of that entity when the officer's election is being held. A two-thirds (2/3) majority vote shall be required in the presence of the designated supervisory officer. It must then be approved by the Supreme President before implementation. ARTICLE XXXV ENDOWMENT - BENEFITS ANDREPORTS Section A - ENDOWMENT: The name of every member of every entity, in which endowment is required, must be on each monthly EndowmentReport in numerical order. Every entity isrequired to report all endowment dues paid to International Masons by the 201 days of each month in which it was paid. Failing to submit endowment payments made by members could result in a member's potential loss of benefit, after he or she has paid their endowment dues to the entity in good faith as required.

Masons, Inc., and Order of the Eastern Star – Constitution 36 Updated with Amendments 2021-07 Any entity failing to submit their endowment report for the month's dues collection shall subject the Officer in charge and the Treasurer to face a potential charge of malfeasance or misfeasance in office; such officer(s) may be removed from office or suspended from membership by the Supreme President. The StateEntity Leader ofthe involved entity shall immediately be notified to take over said entity and to see that other officers are appointed to officiate therein. The officer(s) removed, shall not be eligible to serve in such capacities again for a period of not less than one (1) year. They may expunge such penalty by paying to International Masons a fine of no less than twenty-five dollars ($25.00) orsuch other amount which the Supreme President determines to be adequate for each act based upon the perceived graveness of the offense. Any payments received in the Home Office after December first (I") will be posted in January of the following year. Section B - LEVELS OF ENDOWMENT: Hereafter, members regardless of age may obtain an endowment of $300.00, $500.00, $700.00 or $1,000.00 at a rate of thirty-five cents ($ .35) per one hundred dollars ($100.00) of endowment. Any member desiring up to a maximum of five thousand dollars ($5,000.00) endowment may apply for additional endowment and will be charged accordingly. Each endowment certificate received shall bear its own maturity date. Section C: RECORDING ENDOWMENT PAYMENTS: In order to accurately record and account for endowment payments, it is recommended for members to purchase a Dues Book from Home Office. Each member of an entity with an endowment shall obtain and carry their Dues Book to every meeting. The endowment, home dues or assessments paid to the Financial Secretary shall be recorded in the member's Dues Book and initialed by the Financial Secretary. The Financial Secretary shall also record the payment on the member's page in the Financial Secretary's Life Book as well as recording endowment payments on the endowment sheet to be sent to the Home Office along with the total amount of money paid for endowment. A written receipt for all monies paid by a member must be given to the member if they do not present a Dues Book. No monies are to be collected without a written receipt given, except for social events/activities, where the ticket shall serve as the receipt. Failure to provide a receipt for monies received shall constitute grounds for suspension, expulsion, and removal from office. Section D - RATE OF MATURITY OF CERTIFICATES: Ce1iificates shall mature in accordance with the scheduled authorized by the Supreme Board of Directors through the Supreme President and published on the back of the endowment certificate. Section E - PAID-OUT ENDOWMENT: Any member who has paid their endowment for 20 years (i.e. 240 consecutive months) without missing three consecutive months of payments shall be considered to be paid out for endowment purposes only. They shall have no further obligation to make any additional endowment payments. Should a member lapse in payment of their Endowment for three consecutive months and are removed from the Endowment Sheet, they shall be required to start over and begin to

The Paid-Out (PO) member shall be placed in Life Member Status. A PO member shall however be obligated to pay all other dues, taxes, and assessments that may be provided for in the approved By-Laws of their lodge or chapter. If attending a convention, they shall also be obligated to pay the required Registration fee or ticket for any fund raiser(s), event(s), or program(s) they choose to attend unless exempted by the sponsoring entity. A Paid-Out (PO) member is entitled to the applicable Masonic or Eastern Star Burial Ceremony. Section F - PERMANENT DISABILITY: If any member who has been in the Order for one year or more becomes totally and permanently disabled from disease or accident, they may apply to International Masons to obtain the accrued value of their endowment ce1iificate in lieu of a death benefit. No member may withdraw their endowment unless permanently disabled. ARTICLE XXXVI DEATH CLAIM FUND Section A - DEATH CLAIM FUND: International Masons' Home Office must reserve at least sixty percent (60%) of the total endowment payments received as a Death Claim Fund, and such money is to be used for Death Claims only. All donations specified in this Constitution for Supreme or State officers, may automatically be reduced or suspended until all donations for Death Claims are made, if said money is needed for Death Claim donations. Section B -DEATH CLAIM PAYMENTS: In the discretion of the Supreme President, death claims may be paid immediately. Otherwise, thirty (30) days after satisfactory proof of death (i.e., death certificate with raised sea [) shall be permitted for effecting payment. International Masons' Home Office will forward a check to the Secretary of the Entity of which the deceased was a member. The Secretary will record same on their book and will deliver the check to the beneficiary. Should a claim be considered an emergency claim, the Supreme President reserves the right to order the claim be paid at once. Section C - CAUSES OF DELINQUENCY: Below is an outline of how endowments may be reduced and not paid: a. International Masons will not pay the accrued value of a certificate for any member whose name is on the Delinquent Roll. b. Any member whose endowment dues for the current month have not been received by the 20TH of the months shall be placed on the Delinquent Roll. Said member may have their name removed from the Delinquent Roll by appearing in their local entity in person and paying double or more for the following month, and such payment being received by International Masons before the 201h of the following month.

Should a member die while on the Delinquent Roll for one (1) month, International Masons will pay two-thirds (2/3) of the accrued value of their certificate. If a member fails to pay two (2) months in succession and such member or members die while on the Delinquent Roll for two (2) months, International Masons will pay one-third (J/3) of the accrued value of their certificates. Members who fail to pay three (3) months in succession will not be entitled to any death benefits. d. Any member who becomes three (3) months delinquent in their endowment payments may reinstate by filling out a regular membership application and attend the Entity's next regularly scheduled meeting and pay the required reinstatement fees. [Note: New certificates will be issued and will mature in accordance with the schedule printed thereon.] e. If such member becomes sick while on the Delinquent Roll and pays up their arrearage while sick and notifies the Supreme President of same, and then dies from such sickness, International Masons if it accepts and posts said payment will consider such member as being in benefit and payment will be made as such. If advance notification was not made, International Masons may consider the member to be on the Delinquent Roll and will pay according to their classification as provided in (c) above. ARTICLE XXXVII RESERVED AUTHORITY All authority not expressly delegated by this Constitution shall be reserved to the Supreme Board of Directors and the Supreme President. ARTICLE XXXVIII BUDGETS All Grand, National District and Supreme Entity Leaders are required to submit a proposed budget to the Supreme President within sixty (60) days after their appointment or election. The Supreme President may require the filing of a proposed budget after the nomination of an Officer, as a prerequisite to their election or appointment. ARTICLE XXXIX PREPARED AGENDA AND WORKBOOKS Section A - AGENDA: All Entity and Auxiliary Leaders must have a proposed agenda prepared prior to the convening of all meetings, workshops, or conventions. The agenda must be submitted to the body for approval. This agenda is to provide members with an understanding of the business to be conducted. Any additional business needing to come before the body must be approved during the review of the agenda and prior to a motion to accept agenda being moved and carried. Section B -WORKBOOKS: All Supreme Entity and Auxiliary Leaders must develop/prepare and provide an Annual Workbook for the members of their

This Annual Workbook should be developed in conjunction with the Supreme Secretaries of Education and sent to the Supreme President by December 31st of each year for review and approval. These workbooks must be printed and ready for distribution by the first Convention of the year. This workbook shall be provided free of charge to convention registrants where the Workbook is initially released. Thereafter, there shall be a charge not to exceed $5 $15 (Convention Registration) + shipping to those who have not received the workbook. ARTICLE X L OFFENSES AGAINST THE ORDER Upon satisfactory proof, any member of International Masons found guilty of rebelling or conspiring against the Order, making malicious or unfounded charges against the Order or its members, or any other conduct unbecoming of a Mason or Eastern Star may be fined, reprimanded, removed from Office, suspended, or expelled. Should a local entity find it necessary to suspend a member or members, they shall notify the secretary of such entity immediately after the suspension, and submit same to the State Entity Executive, and the State Entity Executive shall notify the Supreme Entity Executive. The Supreme President shall notify other states, who will notify the entities in their respective jurisdictions. Any member or members, owing allegiance to International Free and Accepted Modern Masons, Inc. and Order of the Eastern Star, violates this Constitution or adheres to their enemies, giving them aid and comfort within the United States or elsewhere, shall be considered anti-International Masons and displaying unmasonic conduct and subject themselves to their membership status being terminated, expulsion, or the fullest extent of law being utilized as reparation for damages experienced. Any act (i.e., attempting to overthrow the governance of the organization, organize or participate in public demonstrations, post anti-organization content or information on social media/internet, develop, or distribute printed matter, etc.) that goes against the rules, regulations and structure of this Fraternal Order shall also be considered an act of betrayal and an offense against the Order. ARTICLE XLI PROGRESS/ON OFDEGREES Degrees shall be acquired in the following order and failure to maintain good financial standing in any entity will cause the member to lose membership in any and all departments of a higher ranking in accordance with the "Drop from the Top" policy. Within ninety (90) days after becoming a Master Mason, the brother must attain membership in the King Solomon's Council and be conferred with the King Solomon's Council Degree. Within ninety (90) days after becoming a member of the Order of the Eastern Star, a sister must become a member of the Queen of the South and be conferred with the Queen of the South Degree.

No officer is to impede the advancement of a member desiring to do so who has met the above criteria. ARTICLE XLII CHARTER FEES AND SUPPLY STORE Fees for Charters and items from the Supply Store shall be established by the Supreme Board of Directors through the Supreme President. The Supreme President shallsign and cause to be distributed all Chartersto Lodges, Chapters, and other Entities of International Masons. All entities or auxiliaries operating within the jurisdiction of International Masons must make application to the Supreme President for a charter empowering them to work. Local Lodges/Chapters may be organized and chartered with a minimum of seven (7) members. However, it is expected that the entity's members shall actively recruit additional members to fully staff the entity.

Masons, Inc., and Order of the Eastern Star – Constitution 41 ARTICLE XLIII AFFILIATION OF OTHERJURISDICTIONS State Rite Grand and Local Lodges and Chapters, both incorporated and unincorporated, may affiliate with the Supreme Grand Lodge and Supreme Grand Chapter of International Free and Accepted Modern Masons, Inc. and Order of the Eastern Star and thereafter become eligible to participate in its rites, meetings, and conventions. In the event the organization seeks to become a part of International Masons, they will not be permitted to do so until they have dissolved their corporate or other form of governance relationship and formally made application to become a chartered entity of International Masons thus binding them to the terms and conditions of this Constitution, subject to the advance approval of the Supreme President. These organizations and others, if accepted and chartered, may thereby become entitled to full rights and benefits of membership. It shall be fully understood by such organizations that International Masons shall not assume as a matter of law or obligation, any responsibility for any and all pre-existing obligations of such organizations. Any affiliation must have the prior approval of the Supreme President. ARTICLE XLIV INTERNATIONAL MASONS DETROIT DISTRICT CREDIT UNION The International Masons Detroit District Credit Union has a license issued by the State of Michigan in the Greater Detroit District for all departments and entities of International Masons. The Credit Union is housed in the Horne Office Headquarters at 2101 Gratiot Avenue • Detroit, Michigan 48207. Effective March 2012, all Supreme, National District and Grand Entities and Auxiliaries are required to have an active organizational account in the International Masons Detroit District Credit Union. Failing to set up an account and move all monies to this account shall subject the leader to be removed from office and a full audit conducted to verify all monies paid from the hands of the entity’s members. ARTICLE XLVII ROBERT RULES OF ORDER Roberts Rules of Order: The then current version of Roberts Rules of Order Newly Revised shall govern in all cases where they may be applicable to matters not contemplated by the provision of this constitution providing that it is not inconsistent with any provision herein. ARTICLE XLVI I XLVIII AMENDMENTS TO THECONSTITUTION Section A - DEPARTMENT OR ENTITY BY LAWS: For all Entities and Auxiliaries of International Masons, all By Laws shall be subordinate to this Constitution and it shall be incorporated therein by reference. The initial By Laws and any proposed amendments thereto shall be subject to a two thirds (2/3) majority vote of the membership affected by it who are present and voting. The By Laws of any entity may only be voted upon at the Convention or Meeting at which the officers are standing for election and conducted by the Officer designated to supervise the Convention and/or Election. The provisions, if approved by the membership, may not be put into force or effect until after they have been approved, signed, and sealed by the Supreme President. Every member subject to said By Laws shall be entitled to receive a copy of same. Section B - CONSTITUTIONAL AMENDMENTS: Amendments to this Constitution may be made by a two-thirds (2/3) majority vote only at a Supreme Constitutional Convention, provided the intent to submit same for vote at Convention has been noticed to all Grand Lodges and Chapters in writing not later than the Executive Leader's Council meeting immediately preceding the Constitutional Convention at which the vote will be conducted. It shall be the responsibility of all Grand Lodges and Chapters to provide the information to their Local Lodges and Chapters to afford all interested members an opportunity to register for the Convention. All amendments approved at the Convention shall take effect immediately upon closure of the Convention unless a later effective date is specified therein.
