Matter: Jade Signature Condominium Association - 558 Claim

Dear Mr. Prado:

We are pleased that you are considering retaining our firm, Siegfried Rivera. The following
engagement letter shall provide the basis for our representation of your interests. The matter for
which engagement is being considered pertains to the construction defect litigation (558 Claims) in
the case styled Jade Signature Condominium Association, Inc. (the “Client”) adv. Sunny Isle Beach
Associates, LLC, et al. 2022-001083-CA-01 (“Litigation”), as well as any other claims concerning
the original design and construction of the Jade Signature Condominium located at 16901 Collins
Ave, Sunny Isles Beach, FL 33160.

Before signing this contract, the Client has received and read the Statement of Clients Rights
("Statement"), and understands each of the rights set forth therein. The Client has signed the
Statement and received a signed copy to keep to refer to while being represented by Siegfried Rivera.

It is understood and agreed that this employment is on a hybrid contingent fee and flat fee
basis. If no recovery is made, no attorneys’ fees are deemed earned or owed by the Client with respect
to the contingent fee. The payment of the Flat Fee, as defined below, is not contingent on the outcome
of the matter. Regardless of the outcome of the matter, costs incurred during the representation
would still be owed to Siegfried Rivera.

The Client hereby agrees to pay Siegfried Rivera the following contingent fee (“Contingent
Fee”):

25% of the gross amount recovered up to $5,000,000; and

17% of the gross amount recovered over $5,000,000.

For illustrative purposes only, in the event of a $10,000,000 gross recovery, the contingent
fee would be $1,250,000 ($5,000,000*25%) + $850,000 ($5,000,000*17%) for a total contingent fee
of $2,100,000. This will be in addition to the Flat Fee described below.

The Client agrees that an additional fee of 5% of any gross recovery will be due as a fee if
there is any appeal involved in the Client’s case.

In addition to the Contingent Fee, the Client shall pay the following flat fee (“Flat Fee”):

$15,000/month for 12-months commencing on June 15, 2022 and, thereafter, $10,000/month
for 12-months or until such time as the Litigation is concluded by settlement, trial or other final
disposition. The Maximum Flat Fee that the client will have to pay is $300,000. (The “Maximum
Flat Fee”).

Potential reimbursement of Flat Fee. As to any Contingent Fee earned for a recovery over
$10,000,000, Siegfried Rivera shall reimburse Client the Flat Fee paid as follows: One half of the
17% Contingent Fee shall be refunded to Client up to the amount of the Flat Fee paid by Client. To
illustrate, if the gross amount recovered was $15,000,000 and if the Client paid the Maximum Flat
Fee of $300,000, the client will be refunded 8.5% or $85,000 of the Contingent Fee for each million
dollars of recovery for the first 3 million dollars over $10,000,000 and $45,000 from the Contingent
Fee for recovery up to $14,000,000. Client shall not be entitled to a refund of any amount in excess
of the Flat Fee actually paid and once the Flat Fee is refunded in accordance with this paragraph
Siegfried Rivera will be entitled to its Contingent Fee on the remainder of any additional recovery

Payment to Siegfried Rivera in the event repairs are performed. Should the Client
decide to settle any of their claim(s) against any of the parties responsible for the defect(s), including
the developer, contractor, subcontractors or others on the basis of the performance of work or the
provision of materials, (a “Repair Settlement”) then the fee will be based upon the fair market value
of the materials provided and/or the work to be performed.

The parties will have fifteen (15) days from the date any Repair Settlement is achieved to
reach an agreement on the fair market value of the work. If the parties cannot agree on the fair market
value of the Repair Settlement work, then the fair market value of the Repair Settlement shall be
decided in arbitration as follows: each party shall designate a construction industry person
(contractor, architect or engineer) to act as their independent arbitrator and the two shall designate
one additional independent arbitrator of their choosing. The arbitrators shall meet, conduct a hearing
as determined by them, and then, within 30 days of submission of the matter to arbitration by either
the Client or Siegfried Rivera shall determine the fair market value of the work, services or materials
provided for the work, and such decision shall be binding on the Client and Siegfried Rivera. The
arbitrators shall then determine the Contingent Fee based upon 25% or 17%, as applicable, of the
fair market value of the work. Should it be necessary, such award may be submitted to the Circuit
Court in and for Miami-Dade County, Florida, on motion and judgment obtained thereon against the
Client. Siegfried Rivera shall have rights of enforcement of such judgment as a lien against the
common elements of the Client as provided under Section 718 Florida Statutes (the Condominium
Act)

Experts. The Client agrees to hire and pay for all construction consultant(s) to assist in the
Litigation and act as expert witnesses. The Consultants shall perform inspections, render expert
reports and testify at deposition and trial. At a minimum, Siegfried Rivera anticipates that the Client
will need to retain consultants and experts to analyze the structural, waterproofing, pool, and glass
and glazing elements of the common elements to identify defects that exist at the Jade Signature
Condominium.

In addition, it is agreed that the Client shall also pay Siegfried Rivera for all out-of-pocket
expenses and internal charges associated with this representation. These charges which may exceed
direct costs, include but are not limited to overnight and courier charges, long distance telephone
calls, telefax transmissions, digital images (currently billed @ 15 cents per page), postage, filing
fees, deposition costs, court reporter costs, expert costs, travel, lodging and the like. All intrastate,
interstate and international travel will be charged at business class fare. Costs associated with
mediation, court reporting, depositions, and transcripts will be billed to the Client as incurred. Any
costs not paid during the course of the representation will be deducted from the net proceeds of any
recovery or collectable as a lien against the common elements as provided under Section 718 Florida
Statutes (the Condominium Act).

The Client hereby authorizes Siegfried Rivera to file all suits which in their sole discretion
they believe are appropriate and to engender all costs which they deem reasonably necessary, for
which the Client understands they are responsible.

It is agreed that from the proceeds of any recovery on a claim, whether by settlement,
judgment or otherwise, Siegfried Rivera may deduct its attorneys' fees and all costs and expenses
which remain unpaid at the time of settlement or payment of the judgment amount.

We reserve the right to withdraw as counsel, upon reasonable notice to you, in the event
circumstances occur which in our opinion make it difficult or inappropriate for our firm to continue
to represent you. In either such event, we are specifically authorized to withdraw as attorneys of
record, provided we have taken reasonable steps to avoid foreseeable prejudice to your rights,
including giving you due notice; allowing time for employment of other counsel; delivering to you
all papers and property to which you are entitled (subject to this firm's right to assert an attorney's
lien against all such materials as described below); and compliance with all applicable laws and rules.
In the event we exercise this right to withdraw, we shall nevertheless be entitled to the full amount
of our fees in accordance with this agreement for services rendered to the date we cease providing
services.

In the course of representing you, it is likely that numerous records and documents (originals
and copies) will come into our possession and numerous additional documents will be generated by
us. Naturally, you may examine any written materials in our files at any time we agree upon prior to
the termination of our representation of you, but you acknowledge that all of our work product is
owned by us. Upon the termination of our representation of you in connection with the described
engagement, we will retain our files for five (5) years, after which any written materials not returned
to you may be destroyed by us. Your execution of this agreement constitutes your consent to this
procedure.

Upon commencing work on your behalf, Siegfried Rivera has the right to retain any and all
files, papers and other property coming into our possession in connection with this case until we have
been paid all costs and fees due us under this agreement. Siegfried Rivera also has what is known
as a charging lien, the right in court proceedings to collect from the recovery all costs and fees due
to us under this agreement. In addition to the retaining lien and the charging lien, it is specifically
agreed between this firm and you that we have a general lien upon the work covered by this
agreement in any judgment, settlement, recovery or proceeds thereof in whatever hands they may
come. This lien is against any real estate or tangible personal property or money and other property
which may be covered by or which is the subject matter of the work. We shall not be required to
release any lien until all fees and costs have been fully paid. This firm shall not be liable to you for

any loss you may have because of our exercising any lien in order to obtain full payment of fees and
costs. If Siegfried Rivera deems it necessary to do so for the protection of our interests, we may file
this agreement in court proceedings or record it in the public records. The venue for the resolution
of any disputes concerning this agreement shall be in Miami-Dade County, Florida, with the
prevailing party entitled to recover a reasonable attorney's fee and costs at all trial and appellate
levels.

In the event of Disputes between us: If we cannot resolve any dispute that may arise between
us, then, except for the arbitration to resolve any dispute relating to the Contingent Fee due for a
Repair Settlement for services or materials as set forth above either Client or Siegfried Rivera may
file a lawsuit in court. The venue for the resolution of any disputes concerning this agreement shall
be in Miami-Dade County, Florida, with the prevailing party entitled to recover a reasonable attorney
fee and costs at all trial and appellate levels.

WAIVER OF JURY TRIAL: WE ASK THAT CLIENT EXPRESSLY AGREE THAT
BOTH CLIENT AND OUR FIRM AND LAWYERS WAIVE THE RIGHT TO A TRIAL BY
JURY OF ANY DISPUTE ARISING OUT OF THE REPRESENTATION.

IN GENERAL, SUCH AN AGREEMENT MEANS THAT ONE PERSON – THE
JUDGE ASSIGNED TO THE ACTION OR THE TRIAL – WILL DECIDE THE ISSUE
WITHOUT HAVING A JURY OF SIX OR MORE PEOPLE TO LISTEN TO AND WEIGH
THE EVIDENCE. NEITHER CLIENT NOR WE HAVE ANY ROLE IN THE SELECTION
OF THE JUDGE. IN A JURY TRIAL, ALL PARTIES HAVE THE RIGHT THROUGH
COUNSEL TO INTERVIEW THE JURORS UNDER THE JUDGE’S SUPERVISION AND
REJECT THOSE THAT THEY BELIEVE CANNOT LISTEN FAIRLY AND
IMPARTIALLY TO THE EVIDENCE. MANY PEOPLE BELIEVE THAT HAVING
DIFFERENT VIEWPOINTS INVOLVED IN RENDERING A DECISION IS BENEFICIAL;
OTHERS DISAGREE AND BELIEVE HAVING A JUDGE WHO TAKES A MORE LAW-
CENTERED APPROACH IS BENEFICIAL. MANY BELIEVE THAT A JURY TRIAL IS
MORE COSTLY THAN A TRIAL HEARD ONLY BY A JUDGE. SOMETIMES A JUDGE
WILL NOT HEAR OPENING AND CLOSING STATEMENTS, BUT WILL REQUIRE
WRITTEN ARGUMENTS. THIS IS NOT A FULL CONSIDERATION OF THE PROS AND
CONS OF A DECISION TO WAIVE, AND IF YOU HAVE QUESTIONS ABOUT
WHETHER THIS IS THE RIGHT DECISION FOR CLIENT, YOU CAN AND SHOULD
CONSULT SEPARATE COUNSEL.

BY SIGNING THIS AGREEMENT, CLIENT AGREES TO WAIVE THE RIGHT TO
HAVE A JURY TRY THE ISSUES IN ANY DISPUTE CLIENT HAS WITH US. BY
SIGNING THIS AGREEMENT, WE ALSO AGREE TO THAT WAIVER. THIS WAIVER
DOES NOT ONLY APPLY TO FINANCIAL ISSUES BUT ALSO TO ANY ISSUE ARISING
OUT OF THE ENGAGEMENT.

IT IS UNDERSTOOD AND AGREED THAT SIEGFRIED RIVERA HAS MADE NO
WARRANTIES OR REPRESENTATIONS CONCERNING THE SUCCESSFUL
OUTCOME OR TERMINATION OF THIS MATTER, AND THAT PAYMENT TO THIS
FIRM IS NOT PREDICATED UPON A SUCCESSFUL OUTCOME.

The Firm has been retained for the limited purpose identified in this letter. Matters not
covered by this letter include opinions regarding defective construction, structural integrity,

appropriate building repairs or replacement, life safety conditions, accounting, zoning and land use,
probate matters, taxation, bankruptcy and engineering matters/issues. The scope of work provided
by the Firm under this letter does not include and in no way shall be deemed to include any
engineering, design, accounting, construction or architectural services. The Firm does not accept any
responsibility or liability for the content, accuracy, completeness, reliability, or legality of the
information provided by any engineer, design professional, consultant, accountant or architect
retained by you or by any other entity or person. The Firm assumes no responsibility or liability for
any errors or omissions in the opinions, statements, or reporting of any engineer, architect,
accountant, contractor, design professional or consultant retained to assist you or opinions,
statements or reporting provided to you. The Firm does not guarantee the completeness, accuracy or
usefulness of any information provided by others and the Firm’s or its attorney’s discussion,
comments or recommendations as to opinions provided by others is solely for facilitation purposes
and shall not be deemed as an adoption or assumption of any opinions, representations or warranties
by others. The Firm takes direction from your designated representative. Until receipt of written
instructions otherwise from your designated representative, you do not authorize the Firm to disclose
information to any other party, a unit owner if in a condominium or third party without your written
consent, even if the disclosure could be made to protect the life, safety or health of any property or
person. The Firm does not unilaterally or proactively search for possible or potential legal issues or
possible or potential problems unless specifically and expressly asked to do so by you.

If the foregoing is acceptable, please sign and date this letter and return same to us. In the
event that we do not receive an executed copy of this agreement, we will assume that you have
elected to not retain Siegfried Rivera to represent you and no services will be provided.

We appreciate the expression of confidence shown by you in the hiring of our law firm. We
will strive to provide you with the best legal services at the lowest possible cost. If you should have
any questions, please do not hesitate to contact us.

STATEMENT OF CLIENT’S RIGHTS

Before you, the prospective client, arranges a contingency fee agreement with a lawyer,
you should understand this Statement of your rights as a client. This Statement is not a part of
the actual contract between you and your lawyer, but as prospective client, you should be
aware of these rights:

1. There is no legal requirement that a lawyer charge a client a set fee or a
percentage of money recovered in a case. You, the client, have the right to talk with your lawyer
about the proposed fee and to bargain about the rate or percentage as in any other contract. If
you do not reach an agreement with one lawyer you may talk with other lawyers.

2. Any contingency fee contract must be in writing and you have three (3) business
days to reconsider the contract. You may cancel the contract without any reason if you notify
your lawyer in writing within three (3) business days of signing the contract. If you withdraw
from the contract within the first three (3) business days you do not owe the lawyer a fee
although you may be responsible for the lawyer's actual costs during that time. If your lawyer
begins to represent you, your lawyer may not withdraw from the case without giving you notice,
delivering necessary papers to you, and allowing you time to employ another lawyer. Often,
your lawyer must obtain court approval before withdrawing from a case. If you discharge your
lawyer without good cause after the three-day period, you may have to pay a fee for work the
lawyer has done.

3. Before hiring a lawyer, you, the client has the right to know about the lawyer's
education, training and experience. If you ask, the lawyer should tell you specifically about his
or her actual experience dealing with cases similar to yours. If you ask, the lawyer should
provide information about special training or knowledge and give you this information in writing
if you request it.

4. Before signing a contingency fee contract with you, a lawyer must advise you
whether he or she intends to handle your case alone or whether other lawyers will be helping
with the case. If your lawyer intends to refer the case to other lawyers he or she should tell you
what kind of fee sharing arrangement will be made with the other lawyers. If lawyers from
different law firms will represent you, at least one lawyer from each law firm must sign the
contingency fee contract.

5. If your lawyer intends to refer your case to another lawyer or counsel with other
lawyers, your lawyer should tell you about that at the beginning. If your lawyer takes the case
and later decides to refer it to another lawyer or to associate with other lawyers, you should sign
a new contract which includes the new lawyers. You, the client, also have the right to consult
with each lawyer working on your case and each lawyer is legally responsible to represent your
interests and is legally responsible for the acts of the other lawyers involved in the case.

6. You, the client, have the right to know in advance how you will need to pay the
expenses and the legal fees at the end of the case. If you pay a deposit in advance for costs, you
may ask reasonable questions about how the money will be or has been spent and how much of it

remains unspent. Your lawyer should give a reasonable estimate about future necessary costs.
If your lawyer agrees to lend or advance you money to prepare or research the case, you have
the right to know periodically how much money your lawyer has spent on your behalf. You
also have the right to decide, after consulting with your lawyer, how much money is to be spent
to prepare a case. If you pay the expenses, you have the right to decide how much to spend.
Your lawyer should also inform you whether the fee will be based on the gross amount
recovered or on the amount recovered minus the costs.

7. You, the client, have the right to be told by your lawyer about possible adverse
consequences if you lose the case. Those adverse consequences might include money which
you might have to pay to your lawyer for costs, and liability you might have for attorney's fees
to the other side.

8. You, the client, have the right to receive and approve a closing statement at
the end of the case before you pay any money. The statement must list all of the financial details
of the entire case, including the amount recovered, all expenses, and a precise statement of
your lawyer's fee. Until you approve the closing statement you need not pay any money to
anyone, including your lawyer. You also have the right to have every lawyer or law firm
working on your case sign this closing statement.

9. You, the client, have the right to ask your lawyer at reasonable intervals how
the case is progressing and to have these questions answered to the best of your lawyer's ability.

10. You, the client, have the right to make the final decision regarding settlement of
a case. Your lawyer must notify you of all offers of settlement before and after the trial.
Offers during the trial must be immediately communicated and you should consult with your
lawyer regarding whether to accept a settlement. However, you must make the final decision
to accept or reject a settlement.

11. If at any time, you, the client, believes that your lawyer has charged an excessive
or illegal fee, you, the clients, have the right to report the matter to The Florida Bar, the agency
that oversees the practice and behavior of all lawyers in Florida. For information on how
to reach The Florida Bar, call 1-800-342-8060, or contact the local bar association. Any
disagreement between you and your lawyer about a fee can be taken to court and you may wish
to hire another lawyer to help you resolve this disagreement. Usually fee disputes must be
handled in a separate lawsuit.
