Terms of Business

These Terms & Conditions of Business between AzTecks Recruitment Ltd hereinafter

referred to as AzTecks & an employer (the client) are deemed to be accepted by the

client by virtue of the use or the engagement (which term includes the employment

or use whether under a contract of or for services) of an applicant introduced, a

temporary worker, a contractor, an intern or Ltd Co supplied by AzTecks

Permanent Positions

A. The client shall notify AzTecks immediately an applicant introduced by AzTecks is

engaged & pay the fee in accordance with paragraph B below upon receipt of

invoice.

B. Fees. The fee payable by the client for the introduction of staff, resulting in an

engagement is based upon the total remuneration (TR) i.e. the commencing salary

or wages calculated on an annual basis together with any allowances & other

payments forming part of taxable emoluments including shift allowance. When a

company car is provided TR shall further include an amount of £3000 except for

sales or service positions.

£30,000-£59,999 20+VAT
£60,000-£89,999 25+VAT
£90,000 plus 30+VAT

Accounts are Payable 7 days net
C. Refunds, Should an applicant cease employment with a client within the following
periods AzTecks will allow the following credits provided that we are informed in
writing within 7 days of the termination of the engagement.

Engagements terminating up to the end of 8 weeks 100% Total refund
Engagements terminating between 9 & 12 weeks 80% Reduction off next placement
Engagements terminating between 13 & 16 weeks 60% Reduction off next placement
Engagements terminating between 17 & 20 weeks 40% Reduction off next placement
Engagements terminating between 21 & 24 weeks 20% Reduction off next placement

Credits will not apply unless payment is received within 7 days of invoice.
D. Introductions by AzTecks are confidential and are made individually to a Client. If
a Client or a member of a Client’s staff passes on an introduction to any other
person firm or corporation within 12 months of the introduction, resulting in an
engagement, the Client will be liable for payment of a fee in accordance with
paragraph B.
E. A full fee will be invoiced for any applicant engaged as a consequence of or
resulting in an application by AzTecks to a Client even if the introduction is made
indirectly.

Temporary Workers

F. 1.Any Ltd Co or any person introduced by AzTecks to a client for the purpose of these terms is classed as A Temporary
Worker.

2. The Client agrees to pay the hourly charge plus VAT to Finite for the hire of the temporary worker for all hours actually
worked plus travelling or other expenses agreed with the client. The Client agrees that temporary bookings shall be for a
minimum of 8 hours. A booking is one or more consecutive days work.

3 AzTecks will use its best endeavours to provide a temporary worker for the period required by the Client but cannot guaran-
tee such provision and no liability shall be attached to Finite for inability to fulfil a part or the whole of a period booking.

4. Invoices will be rendered to the client weekly and payment is due 7 days net. Signature of AzTecks time sheet by the client
or representative of the client shall be confirmation by the client of its acceptance of the hours worked and the satisfactory
standard of the work carried out by the temporary worker. A service charge at the rate of 2% of the invoice value may be made
in respect of each 7 days or part thereof that invoices remain unpaid thereafter.

5. Finite does not warrant the ability of temporary workers. If the client notifies AzTecks within 24 hours of unsatisfactory work
by a temporary worker then Finite will waive any charge to the client for any such period not exceeding 8 hours.

6. Notification of the cancellation of a booking must be confirmed in writing to Finite by not less than 24 hours notice.

7. When a temporary worker is introduced to the client or supplied by AzTecks & is engaged on a direct or indirect temporary
or permanent basis with the client or any subsidiary or associated company of the client or the client or a member of the
clients staff refers a temporary worker to some other person or body and that person or body engages the worker on a direct
or indirect temporary or permanent basis within 12 months cessation of a temporary assignment with that client then an
introduction fee in accordance with AzTecks current scale of permanent introduction fees relative to the temporary workers
annual salary with the client will become payable by the client to AzTecks no refund will be payable by AzTecks in respect of
such placement as the ability of the worker will be deemed proven. In the event that the total remuneration including
all taxable emoluments cannot be accurately established then the introductory fee shall be based on the hourly rate x 37.5x 52
made by AzTecks for temporary workers of the category in which the temporary worker was last engaged or used by the cli-
ent.

8. The temporary worker shall be deemed to be under the sole direction & control of the client and the client shall be responsi-
ble for all acts, defaults, omissions, negligence, wilful acts, defaults or otherwise as though the temporary worker were an
employee of the client.

9. The client undertakes to indemnify and at all times keep indemnified Finite against all liability and claims incurred by Finite
arising out of the use or engagement of the temporary worker by the client.

10. The client assumes responsibility in all respects for all regulations statutes bylaws and legal requirements to which the
client is ordinarily subject in respect of the clients own staff with particular reference to the Health & Safety at Work Act 1974.

11. The responsibility for affecting all insurance in respect of Employers Liability & third party risks shall lie with the client.

General

Whilst every effort is made by AzTecks to give satisfaction to Clients when introducing applicants for permanent
appointments or supplying temporary workers, interns or Ltd companies the following points should be noted.
1. AzTecks only takes up references for temporary and not for permanent positions unless specifically requested.
Clients are advised to obtain confirmation of an applicant's necessary skills, qualifications and general integrity
before appointing them to permanent status.
2. By reason of the human element AzTecks can accept no liability for any loss, expense, damage or delay arising
from any failure to provide staff for all or part of the period of an assignment.
3. AzTecks can accept no liability for any loss, damage to property or for any loss or injury to persons arising
directly or indirectly from any act or omission of any applicant, intern, temporary worker or Ltd company even
if such act or omission is negligent, reveals dishonesty, misconduct or shows lack of skills in any way.
4. Clients are advised to affect all appropriate insurance cover in respect of all temporary workers, sub contrac-
tors, interns and Ltd companies e.g. consequential loss, Employers and Public liability.

The above terms and conditions of business will apply in all cases unless
specifically agreed otherwise in writing by a Director of AzTecks Recruitment Ltd.
