In the Company Secretarial role I am responsible for the Statutory, Governance (compliance), and
Administration aspects of the Carrick Group.

This involves, in short summary:

- Statutory filings and maintenance of registers (shareholders, directors); director changes; share

certificates; MOI changes, board resolutions; agreements; Minute Books, and also including statutory

requirements for new regions (i.e. Africa), to name but a few.

- Governance (compliance) related matters with regard to board meetings; board committee meetings;
preparation of board packs; attending and recording meetings, following up on action items with board
members, etcetera.

- Company related administration in terms of PI Insurance and short-term insurance; board charters;
company policies, Terms of Business (statutory aspects), audit-related SLA’s/other.
