AGREEMENT

This coworking space agreement is entered on (date)
___________________ by and between Curaçao Innovation
& Technology Institute (CITI) with a place of business at
Schottegatweg Oost 82-84 (the premises) and
_______________________________________, an individual
residing at
______________________________________________
(member).
 
CITI provides shared working space for individuals,
freelancers, innovators, designers, entrepreneurs and
other individuals in need of physical space;
Member desires to license shared working space from CITI
on the terms and conditions set forth below;
In consideration of the mutual covenants, promises and
conditions contained herein, CITI and member each
hereby agree as follows:

1.     Term
The term of this agreement is for a period of:
o   ____ month(s)

o   ____ hour(s)
o   ____ part(s) of day
o   ____ 10-hour card
Following the initial term, this agreement shall be
renewed every time the member needs to renew it.

2.     License of shared space
Subject to the terms and conditions of this agreement,
member has licensed the following shared working space
(the workspace):
Hot desk – first come, first served, as available, desk, office
chair in open space.

3.     Additional services

a)    Access to meeting room, as available during regular business hours (8-5)
b)    Wireless internet access, which shall be subject to the terms and conditions set forth in Exhibit A
c)     Printing capability (up to 50 one sided colored or black and white printed pages). CITI charges
10cent for every additional black and white printout and 25cent for every additional colored printout.  
d)    Parking on a first come first served basis (behind the building)
e)    Access to phone
 
4.      License fees

Member shall pay a total license fee of Ang. ______________________ for use of the workspace. Payment
shall be made via bank transfer or in cash. The license fee is OB included and is subject to change, in
case the OB percentage changes.

5.     Workspace access

Members shall have an 8-hour workspace access (business hours 8:00AM – 5:00PM) initially from Monday
to Friday (if applicable).

6.     Workspace rules
Member agrees to abide by the workspace rules that is set in exhibit C which can be changed from time
to time by CITI in its sole discretion.

7.     Guests
Member is permitted to conduct occasional meetings with work-related guests in the reserved meeting
room. Member agrees to be responsible for any damage caused by member’s guests while on the
premises.

8.     Personal property
CITI is not responsible for member’s personal property. Member shall remove any personal property
upon termination of this agreement.

9.     Damage to the premises
Member is liable for damage to the premises caused by member, and is responsible for the payment of
repair of any such damage.

10.     Member shall not sublicense the workspace
 
11.     Termination
Both parties (CITI and Member) can terminate this contract at any time without cause.
 
12.  Indemnification
Member agrees to indemnify and hold harmless CITI against all losses, damages, liabilities, costs or
expenses, including reasonable attorney’s fees, resulting from all claims, proceedings, investigations, or
actions arising out of or in connection with member’s breach of this agreement or member’s negligent
or willful acts or omissions. This indemnification obligation shall survive the expiration or termination of
this agreement.

13.  Relationship of parties
The agreement shall nor create or be deemed to create any agency, partnership or joint venture
between CITI and member.

14.     Indemnification
Member agrees to indemnify and hold harmless
CITI against all losses, damages, liabilities, costs or
expenses, including reasonable attorney’s fees,
resulting from all claims, proceedings,
investigations, or actions arising out of or in
connection with member’s breach of this
agreement or member’s negligent or willful acts or
omissions. This indemnification obligation shall
survive the expiration or termination of this
agreement.

15.     Relationship of parties
The agreement shall nor create or be deemed to
create any agency, partnership or joint venture
between CITI and member.

EXHIBITS

EXHIBIT A

Wireless internet access terms and
conditions
Member agrees that member will use
the wireless internet access (WiFi) only
for lawful purposes. Member will not use
the WiFi to:
(a)   Transmit any false, inaccurate or
misleading information
(b)   Be defamatory, obscene, indecent,
threatening or harassing
(c)   Infringe upon any third party’s
intellectual property rights
(d)   Access protected data or intercept
personal information without
authorization
(e)   Engage in any illegal conduct

EXHIBIT B

Workspace rules:
a)    Member shall comply with all applicable
laws, statuses, ordinances, regulations and rules
with respect to member’s use of the premises.
Member shall not use the premises for any
unlawful purpose or conduct any unlawful
business venture on the premises.
b)    Member shall treat other members with
respect and shall not engage in any harassing
defamatory, obscene, indecent or threatening
conduct.
c)     No animals of any kind shall be allowed on
the premises
