GSA FEDERAL SUPPLY SCHEDULE PARTICIPATING DEALER AGREEMENT

…………………………………….. As an authorized dealer for The Raynor Group dba Eurotech
acknowledges that The Raynor Group dba Eurotech has entered into contract to provide seating to the U.S.
Government with the General Services Administration (GSA) under the Multiple Award Federal Supply
Schedule FSC 71 Part I, Office Furniture GS-27F-010CA.

The management and personnel of this dealership ……………………………………………………wishing to
participate in the above referenced contract, acknowledge that The Raynor Group dba Eurotech 's contract
constitutes a direct relationship between The Raynor Group dba Eurotech and GSA. The Raynor Group
dba Eurotech retains legal responsibility for performance under this contract whether or not a participating
dealer is involved. Though the contract allows the participating dealer certain privileges, certain actions by
this dealership are restricted and this dealership shall not:

(1) Misrepresent the scope of The Raynor Group dba Eurotech's contract with GSA.
(2) Respond to negotiated procurement on behalf of, or in the name of The Raynor Group dba

Eurotech participating dealers may provide verbal estimates. However, The Raynor
Group dba Eurotech must provide all binding price quotations, other than published GSA
contract pricing, in writing.
(3) Accept Government purchase orders or payments in the name of the dealership.

Further, this dealership, its management and personnel agree:

(1) That GSA will review and approve all proposed participating dealer agreements. Any
agreement between The Raynor Group dba Eurotech and its proposed dealer do not
establish privities of contract between said dealer and GSA.

(2) That it shall abide by the GSA Multiple Award Federal Supply Schedule contract terms and
conditions, with all Purchase Order (Delivery Orders) are issued directly to The Raynor
Group dba Eurotech as Contract holder.

(3) That it shall represent The Raynor Group dba Eurotech and itself properly to the U.S.
Government and shall abridge the rules and regulations of the U.S. Government in doing so.

Qualifying for GSA Commissions

Commission paid to participating dealers is 10% of the actual sale to the U.S. Government after the
¾ % Industrial Funding Fee is subtracted. The Raynor Group dba Eurotech will pay participating
dealer, 30 days after receipt of payment from the Government Agency. Should circumstances arise
where a price concession is granted for a specific order(s), then the 10% may be reduced at The Raynor
Group dba Eurotech discretion.

The dealership may wish to provide the service of installation to the government facility. This service can
appear as a separate line item on the Government purchase order. The dealer may quote the cost of this service
at the time of order specification, but it may not be added into the cost of any product. The GSA Contract
stipulates that installation services for Government facilities are not to exceed that of normal
commercial practice.

If a GSA project is specified and registered by one The Raynor Group dba Eurotech Dealer, but the order is
issued through a different The Raynor Group dba Eurotech GSA Dealer, the following compensation split
will apply; Specifying Dealer 75%, Ordering Dealer 25%. The Ordering Dealer will only receive the 25%
share of the commission if the installation is located within the dealer’s primary market. In cases where the
project is not located within the Ordering Dealer’s primary market, the Specifying Dealer will receive 100% of
the commission, and the Specifying Dealer must arrange for delivery and installation, as required.

conditions of The Raynor Group dba Eurotech’s GSA contract and/or this Participating Dealer Agreement
will result in cancellation of this agreement and the dealership’s rights to represent The Raynor Group dba
Eurotech to the U.S. Government.
