Conditions • The price is inclusive of VAT. • Operating hours may be subject to adjustments as deemed appropriate. Both parties need to agree before proceeding. • The cooking ingredients adhere to the Foohouse's specified standards and guidelines, typically excluding beef, lamb, and seafood. • Special diet menus can be requested on a case-by-case basis (additional cost may be applied). • The service prices may undergo annual adjustment during the contract period in the event of increased food costs or labour costs. Foodhouse will propose the adjustment for the school's consideration before any further actions are taken. • Menu will be planed a month forward and new menu will be submitted to the School by 25th for approval. The School shall consider and approve within 5 days upon received. • In case of providing catering service for guest, The School has to inform number of guest and visit date to Foodhouse at least 3 days prior. The details of food services and prices are as agreed upon both parties on a case-by-case basis. 15 Commercial Terms
Additional Catering Services 16 Commercial Terms Option Additional Services 1 2 1) Event Catering - Providing varieties of event catering (e.g., Meetings, Open house, Student Activities, etc.) by professional catering team to ensure an enjoyable time and a pleasant dining experience. - Information of the event is required 7 days prior to the event date. - Price depends on requirement and will be submitted 3 days prior for approval. 1 2 2) Meal Box - Providing meal boxes for students during a field trip. - Information of the field trip is required 7 days prior to traveling date. - Arranging meal box according to requirement and price will be submitted 3 days prior for approval. 1 2 3) Snack Shop - Provide services in the school's snack shop, Café and Smoothie Bar. - Foodhouse will manage products and prices according to Foodhouse structure. √ √ √ √ ꭗ √
Foodhouse Responsibilities Topic Responsibility Staff • Provide an on-site Site Manager, Nutritionist, and welltrained staff • Provide proper training program for staff to reinforce standards and develop their skills. Marketing Activities • Provide special menus during special festivals e.g., Chinese New Year, Christmas, etc. Quality and Safety Management • Provide well-balanced and nutritious food to serve the needs of the whole school. > The 4-week menu cycle will be designed. > Special diet menus can be requested on a case-by-case basis. • Providing proper raw materials, condiments, cooking gas and cleaning chemicals. • Standard operating procedure for receiving goods to ensure quality, quantity, and safety. • Implement and control inventory system First-Expired, FirstOut (FEFO) to maintain quality of goods and ease of tracking. • Daily cleaning of dining area, kitchen area, and equipment to ensure all operational areas are kept to the strictest hygiene and safely standards. • Provides pest control in the kitchen area. • Implement safety measures in the workplace and provide each staff with appropriate uniform and Personal Protective Equipment (PPE) by Foodhouse-owned cost. • Working procedure that follows GMP standard. • Random internal audit of food hygiene and safety procedures in accordance with GMP standard. Equipment Management • Kitchen equipment maintenance. • Foodhouse will manage subcontractors to provide kitchen equipment maintenance for the equipment provided by Regents International School Pattaya based on under its warranty period. After the warranty period, Foodhouse will provide preventive maintenance for the kitchen equipment. For the corrective maintenance and repairs will be done by subcontractors managed by Foodhouse. And Foodhouse will pay for the cost if the equipment was misused. 17
Service Recipient: Regents International Responsibilities Topic Responsibility Other • Monthly cost for gas. • Monthly utilities cost for electricity and water in the kitchen area is a fixed amount of 10,000 THB per month. • If the School selects option 2 of this proposal, Foodhouse will be responsible for rental fees for the Snack Shop, Café, and Smoothie Bar at 3,000 THB per operating day (approximately 540,000 THB per academic year). • Foodhouse will be responsible for labour cost, staff welfare & benefits and ensure the staff are legally paid as per employment contract to keep their motivation. • All appropriate Authority Certification and Permits shall be the responsibility of Foodhouse. Topic Responsibility Facility • Provides cooking area or kitchen, kitchen equipment, and dining equipment. Foodhouse is to be responsible for maintenance of the equipment and repair costs after taking over from the School. At the end of the contract term, the equipment is to be returned to the School in good working condition. • Provides the meters for utilities: electricity, and waterin the kitchen. • Provide appropriate office space for Foodhouse, equipped with essential amenities such as furniture, a local phone, internet connection, etc. Should additional installations or items be necessary for Foodhouse to meet its contractual obligations, the School is delighted to collaborate in facilitating those arrangements. Maintenance • Provides routine maintenance of the kitchen infrastructures and renovate for area and facilities (kitchen and dining area) improvement during contract term. Cleaning • Provides pest control in dining areas. 18

Conditions Investment - The proposed investment budget is a preliminary estimate as of May 2024. Should there be any additional requirements or adjustments to the investment budget, both parties are required to engage in mutual discussions before proceeding further. - The preliminary investment budget is for providing catering services at Regents International School Pattaya for a period of 3 years agreement (1 st August 2024 – 31st July 2027). - Foodhouse retains full ownership of all assets invested throughout the agreement period. However, upon the expiration of the agreement, ownership of fixed assets will be transferred to the School. - In the event that the agreement is terminated before the completion of the 3 years term, regardless of whether the contract is terminated by either party with internal necessity or for any other reasons, the School agrees to purchase all fixed-assets that Foodhouse has invested and/or non-fixed assets as mutually agreed calculating from the outstanding book value until the termination date. Foodhouse will inform such amount to the School and the School agrees to settle the payment within 45 days from the termination date. - In the event that the School wishes Foodhouse to make additional investments beyond the above-mentioned items, both parties must engage in mutual discussions to outline the investment details in writing. This shall not restrict Foodhouse's right to propose joint investments in conjunction with adjustments to food service prices and/or contract extensions and/or other service terms adjustments to align with the additional investment. 22

Liabilities and Limitations During the provision of services in accordance with the Master Service Contract, Foodhouse shall put in place a Public Liability Insurance policy that covers a liability for loss or damage that occurs directly as a result of negligence or corruption or failure to comply with mutually agreed-upon operating conditions, which proved to be caused by Foodhouse's representatives while performing duties. The amount of compensation for damages will fall under 1,700,000 Baht (One million seven hundred thousand Baht) and the School has the right to claim under the following conditions: a) Damage to any properties or assets under the ownership of the School and third parties per the actual damage value, which such compensation for damages per one event or other events combined will not exceed the limit specified in paragraph one above per policy year. b) Responsible for injuries to any consumers, e.g., students, teachers, Tas, admin, and support staff in the case where it is proved that many consumers have abnormal symptoms caused by eating food prepared by Foodhouse or in the case where the consumers encounter health problems due to failure to perform the duties of Foodhouse's representatives. In all proven cases, the medical cost will be borne by Foodhouse per the actual amount. However, the liabilities per one event or other events combined will not exceed the limit specified in paragraph one above per policy year. However, the loss or damage must be discovered within 7 (seven) days from the date it occurred. In the case of criminal liability, the School must file a complaint with the police and inform Foodhouse of compensation details for damages and losses in writing within 3 (three) days from the occurring date. In case of notifying any abnormal symptoms arising from eating Foodhouse food, the School shall inform Foodhouse of such case as soon as possible, but not later than 3 (three) days from the date of consuming the food served by Foodhouse. 24
Terms & Conditions Payment terms • 30 days • After the completion of our service in each month, Foodhouse will issue an invoice to Regents International School Pattaya by 5 th of the latter month and the payment will be settled without delay by the end ofthe issuedmonth. • Such agreement will be applied upon received the confirmation letter from Regents International School Pattaya and in the event that the agreement between both parties is in progress for any reasons.
