Master of Laws Program in Business Laws (English Program)

Registration

In each semester, students are required to register for courses and/or thesis comprising
not less than 3 credits and not exceeding 12 credits provided that in all other respects
registration shall be in accordance with the Regulations of Thammasat University on Graduate
Studies B.E. 2561

Semester dates:

Semester 1: August – December
Semester 2: January – May
Semester 3: June – July (Only for thesis and IS)

Learning System

The Program is a part-time two-semester system. Classes are conducted in the evenings
of Monday through Friday from 17.30 – 20.30 hrs.

Program structure and courses

In order to be awarded an LL.M. degree in Business Laws, students are required to
complete a minimum of 39 credits which shall consist of:

1) Plan A (Form Kor 2) requires the fulfillment of required courses and a thesis.

Course Description

Compulsory Courses (15 credits)
LB600 Advanced Contracts and Torts Law

This course focuses on the fundamental concepts, theories, history and legal principles
of contracts and torts and the development of contract and tort laws focusing on current
problems through the study of teachings and cases of common law and civil law countries
including Thailand.

LB601 Corporate Law
This course explores the concepts of corporate law, especially the separation of the legal

entity, limited liability of shareholders, capital, dividend, authorities, duties, liabilities of the
directors, rights and remedies of shareholders, principles of majority and unfair acts toward
minority shareholders, shareholders’ protection, mergers and acquisitions, and meetings. The
course also includes a study of the roles of supervising organizations, courts, and stakeholders
through the comparison between common law and civil law traditions and case studies.

LB602 International Business Transactions
This course provides a study of the legal principles applicable to the operation of

international trade and foreign investment and a forum for the discussion of related legal
problems.

LB603 Law on Business Finance
The course examines the legal principles of business finance and other relevant laws, e.g.

risk analysis and management, loan contract framework, money and capital markets, laws on
securities and stock exchange, laws on financial services, corporate and project financings,
collateral, securitization, and derivatives. The course also includes the study of the roles of
supervising organizations on financing business and the analysis of the relevant laws, as well as
case studies.

LB604 Research Methodology
This course requires conduct of research on a particular topic chosen by each student

with the advice and approval of the instructor. Students are, in particular, expected to conduct
in depth research with consultation of academic data in accordance with research methodology
in the field of law, with a view to developing their research into a thesis or an independent
study. Over the course, each student is required to present his or her work in the class for the
purpose of interactive discussion amongst students and the instructor.

LB620 Selected Legal Problems on Information Technology and Cyberspace

This course focuses on impacts of information technology and networks on economic,
social, educational, cultural, and legal conditions in light of both controls and promotions e.g.
computer related crimes, development of cyber police, development of systems, and services
and e-transactions and e-government.

LB621 Intellectual Property Law
This course covers various issues and trends of domestic and international intellectual

property laws relating to copyrights, patents, trademarks, and other intellectual property issues
through study of cases in the United States, Europe, United Kingdom, Japan, and Thailand.

LB622 Alternative Dispute Resolution
This course provides a study of the concepts of out-of-court settlements of disputes e.g.

negotiations, conciliations and arbitration, the advantages and disadvantages of each alternative
and related domestic and international laws. The study also covers principal institutions
providing out-of-court settlements of disputes and problems relating to the settlement of
disputes with state organs.

LB623 International Transportation Law
This course is aimed at analysing problems and issues relating to international

transportation contracts by land, sea and air including multimodal transportation as well as the
rights, obligations and liabilities of all parties concerned under relevant treaties, international
rules and practices and Thai Laws.

LB624 Insurance Law and Risk Management
This course examines the meaning of “risks”, classification of risks, analysis and priority

of risks, forms and management of financial, marketing and legal risks. The class will also
discuss insurance as a form of risk management focusing on Thai legal rules of insurance
businesses in comparison with those of foreign countries concerning forms of insurance
especially new forms of liability insurance, which respond to the liability risks of business
operators, such as liability of directors and executives of various professionals, against damage
caused by their operation. Insurance for damage resulting from commercial goods, including
unsafe products and agricultural products, as well as life accident and health insurance as tools
for business risk management will be discussed.

LB625 Taxation
This course reviews the history of taxation, its definition, rationales and objectives. The

main topics include the taxation system of Thailand and Thai taxation law as prescribed in the
Revenue Code. The scope of this course includes personal income as well as corporate taxes.

LB626 Competition Law
This course is aimed at exploring the problems and solutions with respect to trade

monopolies, domestic and international problems of specific laws regulating economic
activities, problems of trade malpractices and problems arising from enforcement of laws
regulating economic activities relating to production and trade.

LB627 International Economic Law
This course provides a study of the legal systems applicable to international economic

relations with respect to international trade, finance, investment, and development by focusing
upon the study and analysis of the applicable legal systems and mechanism at international and
regional levels as well as study and analysis of the impacts of international economic laws on
domestic legal systems.

LB628 Bankruptcy and Debt Restructuring Law
This course provides a study of the basic concepts and fundamental principles of law on

the management of debt enforcement of natural and juristic persons. The course studies the
liquidation of juristic persons, debt restructuring, and business reorganization, both within and
outside the formal dispute settlement forums, as well as international insolvency procedures.

Elective Courses (3 or 12 credits)
LB642 Labor Law and Social Security

This course examines the effectiveness of current laws on the protection of employees
e.g. the Civil and Commercial Code, labour protection laws and labour relation law with special
emphasis on the rights of employees to form a labour union, take part in administrations,
submit claims, call for negotiations, initiate strikes, gain access to medical treatments, and be
protected in case of employment termination, unemployment and retirement.

LB643 Human Rights Law
This course covers an in-depth study of the essential principles of international law on

human rights from various legal perspectives both in theory and practice. It examines the
source and evolution of human rights laws, relevant legal mechanisms and their enforcement
together with the impact of human rights laws with special emphasis on relevant international
instruments e.g. Charter of the United Nations, Universal Declaration on Human Rights of the
United Nations, International Covenant on Civil and Political Rights, United Nations Convention
on Children’s Rights etc. The course also analyses the practice of states and international
organizations both at the governmental and non-governmental levels for the protections and
safeguards of human rights.

LB644 Advanced Environmental Law
This course explores and analyses the theories and legal principles relating to the

prevention, control, management and mitigation of all forms of pollution e.g. water, air, noise,
vibration, litter, toxic waste, and harmful substances. The class also provides a study of the
claims of compensation for the damage caused by such pollution as well as the laws and
principles relating to environmental audits and assessments, environmentally protected and
pollution control areas, promotional measures for environmental conservation as well as the
functions of government agencies and of authorities concerned with the promotion and
conservation of the environment.

LB645 Consumer Protection Law
This course examines the principles and concepts encouraging the promulgation of

consumer protection laws and legal measures for consumer protection. It is also aimed at
determining the enforcement of such measures to remedy the consumers and procedural rules
for consumer litigations. A comparative study of consumer laws of Thailand and other countries
including problems relating to consumer protection will also be conducted.

LB646 Advanced Administrative Law
This course provides a study of the history and nature of the administrative and source

of administrative law, the application and interpretation of administrative law, administrative
organizations, theories on administrative actions, legal principles of administrative contracts,
responsibility of the administrative as well as legal principles relating to administrative
personnel and property and legal principles relating to the control of the administrative organs.

LB647 Advanced Criminal Law
This course is aimed at providing the overview of the theories on the structures of

criminal offences in common Law and civil Law countries and analysing the evolution of
criminal law concepts and theories.

LB648 Philosophy of Law
This course examines concepts of natural law and positive law including several schools

of legal philosophy e.g. the historical school, the school of pure theory of law, the school of
critical legal study, and sociological jurisprudence as well as concepts of justice, problems of law
enforcement, the relationship between law and morality and current functions of the
philosophy of law.

LB649 Business Law Seminar

This course is seminar-based and encourages students’ critical thinking toward complex
problems regarding business laws which are fundamentally related to the domestic economic
system and the dynamic international system. It is aimed at providing a general framework that
can be adopted in finding solutions for business legal issues.

LB650 Comparative Law of Civil Procedure and Evidence

This course provides a study of the fundamental concepts of procedure and fact-finding
in civil cases of civil Law and common law systems as well as problems relating to standing to
sue, class action, adversarial and inquisitorial systems, interim injunctions before and during
the proceedings, court jurisdiction, admission of evidence, protection of trade secrets of clients
and execution of judgments. The course will compare these issues to those of Thailand and
explore potential international judicial cooperation.

Independent Study Courses (6 credits)

LB700 Independent Study

This option requires the completion of student’s research on a topic proposed by the
student and approved by advisor(s). The final research must be successfully defended by the
student before a committee composed of the advisor(s) and another faculty member or scholar
appointed by the Dean of the Faculty of Law.

Thesis Courses (15 credits)

LB801 Thesis

This option requires that the student conduct research that constitutes contribution to
legal science through a legal thesis and research report, which must subsequently be published
in a certified legal journal. The student’s thesis must comply with the ethics of legal writing and
meet the applicable publication standard.

A GUIDE TO COMPLETE A THESIS

A student must earn at least 12 accumulative credits, with GPA of at least 3.00, or has
been enrolled in a program for not less than 2 regular semesters and proceed as follow:

Thesis Topic Notification

1) Once the thesis topic is set and granted by advisor, a student and an advisor agree
on the research topic by signing the Thesis Topic Notification Form (Nor Mor. 04 Form).

2) A student scans the completed Nor Mor. 04 Form and saves as a PDF file.
3) Visit “www.thesistulaw.com”, fill in username section with student ID, password
section with ID number or passport number (for a foreign student), search for thesis topic
reservation, and upload the scanned version of a completed Nor Mor. 04 Form into the system.
4) A student submits the singed Nor Mor. 04 Form to the Office of the Program.

Request for Thesis Outline and Proposal Examination

1) A student completes the Request for Outline Examination of Thesis
(Nor Mor. 05 Form) signed by his/her advisor.

2) A student submits Nor Mor. 05 Form to the Office of the Program with these
following documents:

❖ copies of thesis outline
(depending on the number of examination committee);

❖ a copy of transcript
(a printed version from the Registrar website is acceptable); and

❖ a copy of Turnitin result ≤ 20%
3) There must be at least a one-month gap between the date of thesis outline
examination and the proposed date of thesis examination.

Request for Thesis Examination

It is mandatory for a student to attain at least the GPA of 3.00 before submitting
the Request for Thesis Examination.

A student submits the Request for Final Examination Form (Nor Mor. 06) to the Office
of the Program signed by his/her advisor along with these following enclosures:

Thesis Progress Evaluation

In a semester that a student registers thesis credits and meets the conditions, the
student can submit the Thesis Progress Evaluation Form (Nor Mor. 16 Form) signed by an
advisor to the Office of the Program. The submission deadline will be announced every
semester.

Tips: When and how many credits should a student register in each semester?

Students are responsible for managing their study plans and making a decision on
the credit registration of each semester while bearing in mind the condition that if no
credit is registered in a semester, request for leave shall be submitted. However,
students can still continue working on their research even though no credit is
registered in that semester.

Online Application for Graduation

In the semester expected to graduate, a student has to s u b m i t a n Online Application
of Graduation on the registrar website within the designated time, which will be announced
every semester. Failure to do so, a student will not be able to graduate regardless of the
fact that a student has earned all credits and completed all progress. The period for
submitting an Online Application of Graduation is usually at the beginning of each
semester. To submit an Online Application of Graduation, follow these steps.

1) Complete the application online via http://web.reg.tu.ac.th/registrar/home.asp and
print it out.

2) Attach the picture of your ID card or passport (for foreign students) within the
provided area in the form. Make sure not to cross any details in the picture which
indicate your name, surname and date of birth as they are needed for verification.

3) Scan and save the form in a PDF format.
4) Submit the scanned form to the system of Office of the Registrar, Thammasat

University via https://goo.gl/duy44w.
5) Submit your photo to the application of the Office of the Registrar, TUPicNow. It can

be downloaded from both Google Play (Android) and the App Store (iOS). The
account for TUPicNow will be available within 1-2 weeks after the submission of an
Online Application of Graduation in 4).
In case a student is unable to graduate within the semester expected, the submitted
Online Application of Graduation can be cancelled and then resubmitted in the next semester.

Procedures after Thesis Examination

1) A student will have their thesis revised according to suggestions of the
committee and;

2) A student submits the following documents to his/her advisor for a thesis approval:
2.1) a revised thesis,
2.2) a form "Request for Checking Format",
2.3) an academic article to be submitted to Thammasat Business Law Journal and
2.4) a request for submission of an article

3) A student must submit the following documents to the Office of the Program:
❖ Format checking
(Please be noted that the format checking process takes at least 2 weeks)

• a revised thesis in .docx format submitted to [email protected]
• a form "Request for Checking Format"
❖ Article submission

• Submit one copy of an approval of a thesis to the Office of the Program
[A student can ask each committee member to sign more than one copy if a
student wishes to have a copy of a thesis.]

4) A student2 must upload a completed thesis to www.tuethesis.com. The thesis must
be accepted by his/her advisor and readjusted the format. [Guideline for using TUeThesis
website can be found on the last page of the Guidelines to Complete a Thesis / IS.]

❖ Name the folder with your student ID.
❖ Username: Student ID
❖ Password: ID number/ Passport number (for foreign students)
❖ Upload a thesis in a PDF format
❖ After uploading, a student must inform the Office of the Program for an approval

of a student’s status in order to continue the next step
❖ Print a Copy Catch result page and ask an advisor to sign and then submit the

signed form to the Office of the Program.

must download a thesis file from the TU-eThsis website. The reference numbers will be found
on every page

Request for Changing a Thesis Topic

A student can request for changing a thesis topic after the topic was registered by
following these steps.

1) Submit the "Request for Changing a Topic of Thesis/Independent Study"
(Nor Mor. 07 Form) signed by an advisor to the Office of the Program

2) Once informed by the Office of the Program, collect the Nor Mor. 07 Form signed by
the Director of the Program

3) Scan the signed Nor Mor. 07 Form and save the file in a PDF format
4) Upload the form in 3) to the system;

4.1) go to the website, http://www.thesistulaw.com
4.2) log in to the system (username: your student ID, password: ID number for

Thai students or passport number for foreign students)
4.3) select the menu 'changing a thesis topic'
4.4) upload the PDF version of Nor Mor. 07 into the system.
5) Submit the Nor Mor. 07 Form to the Office of the Program

Request for Changing Committee Members

When there is a circumstance that a student has to change either one or more than one
of committee members. It is obligatory to set a whole new committee. The member from the
former committee, however, can become a member in the newly established committee.
A student has to follow these steps.

1) Submit the Request for Changing Committee Members (Nor Mor. 08 Form) signed
by the new thesis advisor to the Office of the Program

2) Once informed by the Office of the Program, collect the Nor Mor. 08 Form signed by
the Director of the Program

3) Scan the signed Nor Mor. 08 Form and save the file in a PDF format
4) Upload the form in 3) to the system by the following steps;

4.1) go to the website, http://www.thesistulaw.com
4.2) log in to the system (username: your student ID, password: ID number for

Thai students or passport number for foreign students)
4.3) select the menu 'changing the advisor form '
4.4) upload the PDF version of Nor Mor. 08 into the system.
5) Submit the Nor Mor. 08 Form to the Office of the Program

A student can request for changing a thesis topic after the topic was registered by following
these steps.

(Nor Mor. 07 Form) signed by an advisor to the Office of the Program
2.) Once informed by the Office of the Program, collect the Nor Mor. 07 Form signed by
the Director of the Program
3.) Scan the signed Nor Mor. 07 Form and save the file in a PDF format
4.) Upload the form in 3.) to the system by the following steps;
(a) go to the website, http://www.thesistulaw.com, (b) log in to the system
(username: your student ID, password: ID number for Thai students or passport
number for foreign students), (c) select the menu 'changing a thesis topic' and
(d) upload the PDF version of Nor Mor. 07 into the system.
5.) Submit the Nor Mor. 07 Form to the Office of the Program

4 A student who registers thesis credits is obliged to submit the Nor. Mor. 6 Form. Failure to do
so, a student will get NP (No Progress) in a transcript automatically.
Tips: Students are responsible for managing their study plans and making a decision on the
credit registration of each semester while bearing in mind the condition that if no credit is
registered in a semester, request for leave shall be submitted. However, students can still
continue working on their research even though no credit is registered in that semester.

In the semester a student expected to graduate, a student
LL.M. student has to submit an Online Application of Graduation on the
registrar website within the designated time, which will be

not be able to graduate regardless of the fact that a student
has earned all credits and completes all credits and progress.
The period of Online Application of Graduation5 is usually at
the beginning of each semester. Thus, a student is
responsible for self-evaluating the possibility of graduation
within the semester.

To submit an Online Application of Graduation, follow

these steps.

1. Complete the application online via

http://web.reg.tu.ac.th/registrar/home.asp and print it out.

2. Attach the picture of your ID card or passport (for

foreign students) within the provided area in the form. Make

sure not to cross any details in the picture which indicate

your name, surname and date of birth as they are needed for

verification.
3. Scan and save the form in a PDF format.
4. Submit the scanned form to the system of Office of the

Registrar, Thammasat University via https://goo.gl/duy44w.

Once meeting the following requirements, a student can

proceed to step 6E.

1. Having at least the GPA of 3.00.

2. Only for those who have not yet passed the English

A GUIDE TO COMPLETE AN INDEPENDENT STUDY

A student must earn at least 12 accumulative credits, with GPA of at least 3.00, or has
enrolled in a program for not less than 2 regular semesters and proceed as follow:

Topic Notification

1) Once the topic is set and approved by an advisor, a student and an advisor shall
record their agreement on the research topic by signing the Topic Notification Form (Nor Mor.
04 Form).

2) A student scans the completed Nor Mor. 04 Form and saves as a PDF file.
3) Visit “www.thesistulaw.com”, fill in username section with student ID, password
section with ID number or passport number (for a foreign student), search for thesis topic
reservation, and upload the scanned version of a completed Nor Mor. 04 Form into the system.
4) A student submits the singed Nor Mor. 04 Form to the Office of the Program.

Comprehensive Examination

1) A student must earn at least 15 accumulative credits, with GPA at least 3.00.
2) Each student is allowed to take the comprehensive examination for 3 times at the
maximum.
3) Students have to pass the examination within the third time. Otherwise, student
status will be terminated.

Independent Study Outline Examination

Once your advisor allows you to have the oral examination and the chairperson’s name
is given by the advisor, your IS draft has to be sent and reviewed by the chairperson. This stage
will take around 1 month. Thereafter, students have to revise there IS draft according to the
chairperson’s comments to be able to attend the Independent Study Oral Examination.

Request for Independent Study Oral Examination

It is mandatory for a student to earn at least 12 accumulative credits, attain GPA of at
least 3.00 and pass the comprehensive examination before submitting the Request for the IS
Oral Examination.

1) A student completes the Request for Final Examination Form signed by his/her
advisor.

2) A student submits Nor Mor. 03 Form at the Office of the Program with these
following documents:

❖ copies of IS draft (depending on the number of examination committee);
❖ a copy of transcript (a printed version from the Registrar website is

acceptable); and
❖ a copy of Turnitin result ≤ 20%
3) After proposing an examination, an IS draft will be sent to the chairman designated
by the advisor.
4) The chairman will review your work and give comments. The students have to
revise their works according to the chairman’s comments. This stage will take around a month
before the examination.
5) After the examination, the student has to revise his/her work in accordance with the
committee’s comments.

IS Progress Evaluation

In a semester that a student enrolls for IS credits and meets the conditions following the
process in below table, a student can submit the Progress Evaluation Form (Nor Mor. 16 Form)
signed by an advisor to the Office of the Program. The deadline will be announced every
semester.

Independent Study (6 Credits)

1. Research in progress with topic, introduction, 3 credits
hypothesis, background, scope, objectives, conclusion,

Tips: When and how many credits should a student register in each semester?

It is a student’s responsibility to evaluate oneself. IS credits are different from thesis
credits. For IS, the student has to enroll 6 IS credits at the same time. The advisor
has to give you progress evaluation for all 6 credits.

Online Application for Graduation

In the semester a student expects to graduate, a student has to register for the graduation
on the registrar website within the provided time. The schedule will be announced every
semester. Otherwise, a student will not be able to graduate even if he/she earns all credits and
completes the whole process. The period of the Online Application of Graduation is usually
within the beginning of each semester. Thus, it is each student’s responsibility to evaluate the
possibility of one’s graduation.

1) A student must complete the Online Application for Graduation form via
http://web.reg.tu.ac.th/registrar/home.asp

2) Attach your ID card (for Thai students) or passport (for foreign students) in the
provided box at the bottom of graduation request form

3) Scan the whole form (together with your ID or passport) in .pdf format.
4) Name the scanned .pdf filename using your student ID and then submit the .pdf file to

the Office of the Registrar, Thammasat University via https://goo.gl/duy44w. The
Office shall certify your ID card or passport. Therefore, please do not cross out your
name, last name and date of birth.
5) Upload a photo of yourself to the Office of the Registrar, Thammasat University via
"TUPicNow" application.** Download the app on Google Play (Android) or the App
Store (iOS).
Your account on TUPicNow will be available within 1-2 weeks after you completed the
Online Application of Graduation.
A student who cannot graduate in the semester registered to be graduated can cancel
and repeat the whole process again in the next semester.

Procedures after Oral Examination

1) A student must have their IS revised according to the committee’s suggestions and;
2) A student submits these following documents to his/her advisor in order for an IS to
be approved:

2.1) a revised IS; and
2.2) a form "Request for Checking Format",
2.3) an academic article to be submitted to Thammasat Business Law Journal and

❖ Print a Copy Catch result page and ask an advisor to sign and then submit the

signed form to the Office of the Program.

6 In case a student wishes to publish a thesis in printed version (the red hard cover), a student
must download a thesis file from the TU-eThsis website. The reference numbers will be found
on every page

Request for Changing an IS Topic

A student can request for changing an IS topic after the topic was registered by
following these steps.

1) Submit the "Request for Changing a Topic of Thesis/ Independent Study"
(Nor Mor. 07 Form) signed by an advisor to the Office of the Program

2) Once informed by the Office of the Program, collect the Nor Mor. 07 Form signed by
the Director of the Program

3) Scan the signed Nor Mor. 07 Form and save the file in a PDF format
4) Upload the form in 3) to the system by the following steps;

4.1) go to the website, http://www.thesistulaw.com
4.2) log in to the system (username: your student ID, password: ID number for

Thai students or passport number for foreign students)
4.3) select the menu 'changing a topic'
4.4) upload the PDF version of Nor Mor. 07 into the system.
5) Submit the Nor Mor. 07 Form to the Office of the Program

Request for Changing Committee Members

When there is a circumstance that a student has to change either one or more than one
of the committee members, up it is obligatory to set up a whole new committee. The member
from the former committee, however, can become a member in the newly established
committee. A student has to follow these steps.

1) Submit the Request for Changing Committee Members (Nor Mor. 08 Form) signed
by the new IS advisor to the Office of the Program

2) Once informed by the Office of the Program, collect the Nor Mor. 08 Form signed by
the Director of the Program

3) Scan the signed Nor Mor. 08 Form and save the file in a PDF format
4) Upload the form in 3) to the system by the following steps;

4.1) go to the website, http://www.thesistulaw.com
4.2) log in to the system (username: your student ID, password: ID number for

A: Once you have done enough research on the potential thesis/IS topic, you may first
