OVF HISTORY

In the mid 1980’s, when the Greater OKC Chamber of Commerce and other
leaders in the state resolved to diversify the area’s industrial base and create
organizations that could facilitate growth of new and existing businesses, the
Oklahoma Venture Forum was launched.

Today, OVF is a non-profit organization providing entrepreneurs and growing
ventures in Oklahoma access to capital and management development through
education, networking, and other resources. OVF’s membership is a diverse
network of venture capital firms, private investors, banks, non-bank lenders,
attorneys, accountants, business consultants, economic development
representatives, universities, incubators, and entrepreneurs committed to
fostering new and existing business ventures and the commercialization of new
ideas and technologies in Oklahoma.

Throughout the year, the OVF provides opportunities for the exchange of
information and ideas at the Power Lunch and OVF After Hours events. These
events feature informative speakers discussing current issues and experiences
in launching new and existing industries in Oklahoma. In addition, OVF events
highlight selected business seeking capital investment. These events are
tailored to the investment and entrepreneurial communities and encourage an
environment for growth in our state.

OVF EVENTS

MEMBERSHIP KICKOFF

August 19th, 2021
All OVF Directors are strongly encouraged to participate in the membership drive and to invite a
potential new member. Members will talk about the importance of OVF membership, and the
chairman will discuss each member level and its benefits.

POWER LUNCHES

University of Oklahoma PHF Conference Center (Hybrid)
Power Lunches occur on the second Wednesday of September through April and the OVF
Awards luncheon in May. Each Power Lunch event will feature a main speaker, a pitch presenter,
a networking break-out. These events will be streaming via Zoom.

INNOVATION DISTRICT AND OVF CROSS-OVER EVENT

Two event dates October 12th, and October 21st (Hybrid)
October 12th will be an Innovation District Happy Hour featuring OVF. The October 21st event will
be an OVF After Hours Pitch Event Hosted and Sponsored by Innovation District.

OVF AFTER HOURS PITCH EVENTS

OVF will offer 3 OVF After Hours Pitch events each session (Hybrid).
After Hours events start at 5:30 pm and end around 7:00 pm. These events offer networking
opportunities and elevator pitch pre-views from several founders. OVF After Hours are sponsored
and will offer a special guests’ presentation. Elevator pitches will be streamed via Zoom for those
unable to attend.

OVF AWARDS EVENT

Oklahoma History Center, May 18th, 2022 (Hybrid)
The awards event includes the Venture of the Year, Most Promising New Venture, and the Award
for Economic Impact. Recognizing new, and promising ventures and economic impact is
important to fulfilling the OVF mission.

BYLAW HIGHLIGHTS

PURPOSES
SECTION 1. The general purposes of this corporation (the “Forum”) will be to encourage the
development and growth of venture activities, including:

a. Providing the means for investors, entrepreneurs, and others to exchange experiences
and opinions through discussions and studies of all the aspects and functions of
venture investing and the development and growth of new and existing businesses.

b. Promoting venture investing and educating members and the public and governmental
authorities in the advancement, improvement and uses of venture capital.

c. Encouraging the formation of investment groups to fund ventures in Oklahoma.
d. Encouraging economic opportunity and growth in Oklahoma through a more complete

utilization of Oklahoma's resources.
e. Undertaking any other functions consistent with these Bylaws that will further advance

the usefulness of this organization to its members, to businesses in Oklahoma and to
the general public.

OFFICERS AND DUTIES
SECTION 1. The officers of the Forum will be a Chairman, Chairman Elect, such Vice
Presidents as the Board may appoint, a Treasurer, a Secretary, and such other Officers as
the Board may from time to time establish with such rights and duties as are specified by the
Board.
SECTION 2. The Officers of the Forum will be appointed annually by the Board and will hold
office for one year (from July 1 through June 30) or until their successors are chosen and
qualified. The Chairman will present a slate of officers to the Board for approval prior to June
30 of each year.
SECTION 3. The Chairman will be the chief appointed official of the Forum and will preside
at all its meetings. Prior to 2008, this office was designated "President."
SECTION 4. Chair-Elect. The Chair-Elect will serve as assistant to the Chairman. In the
absence of the Chairman, the Chair-Elect will act in the Chairman's stead. Upon completion
of his/her term, the Chair-Elect will succeed to the Office of the Chairman.
SECTION 5. The Vice Presidents will have such duties as may be assigned by the
Chairman.
SECTION 6. The Treasurer will be responsible for maintaining the financial records of all
funds of the Forum and the membership records; and will be responsible for the collection of
dues and other receipts of the Forum; and will also be authorized to sign checks on behalf of
the Forum for those expenditures duly authorized by the Board or Forum.
SECTION 7. The Secretary will be responsible for maintaining minutes of all business
meetings of the officers or membership and for all notices to members.

BOARD OF DIRECTORS
SECTION 1. The Board will have supervision, control and direction of the affairs of the
Forum, its committees and publications, will determine its policies or changes therein, and will
actively pursue its objectives and supervise the disbursement of its funds. The Board may
adopt such rules and regulations for the conduct of its business as the Board deems
advisable.

OVF BOARD OF DIRECTOR DUTIES

OVF board terms start August 1st and end May 31st.
As an OVF Director, you are responsible for:

o Exercising due care in your service
o Being reasonably informed and prepared
o Devoting enough time to the office and regularly attending meetings
o Inquiring when needed and being candid in discussion
• Avoiding conflicts of interest (and disclosing a conflict if it arises)
• Maintaining confidentiality

You will be expected to help identify and secure:
• Sponsors
• Speakers
• New members

Your work will also include:
• Reading agendas prior to each meeting
• Mastering the website and/or phone app
• Registering for events that you will attend
• Sharing social media & communications
• Inviting guests to OVF events
• Welcoming guests at events
• Attending the membership drive with a potential member
• Reaching out to members who have not renewed

EXECUTIVE DIRECTOR TASKS

Communication and Outreach:

• Design sponsor packages that support and sustain OVF programs and activities
• Initiate and respond to correspondence from Members and Board of Directors
• Maintain membership database and prepare annual membership handbooks
• Collaborate with web host to maintain OVF website: www.ovf.org
• Function as the Webmaster and Tech Support for members and guests
• Develop, maintain, and deploy the OVF communications (press releases, email,

newsletter, event announcements on social media)
• Coordinate with The Golding Group for Pod Cast/Video sessions
• Coordinate with news writer for speaker articles and images

Events:

• Plan and administer monthly Power Lunch (8)
• Plan and administer OVF After Hours (3)
• Plan and administer Membership Drive event (1)
• Plan and administer OVF Awards event (1), including coordination of Selection

Committee meetings
• Coordinate with speakers, pitch presenters and sponsors
• Coordinate speaker gifts and recognition pieces
• Function as point of contact for all OVF vendors

Board of Directors and Committees:

• Prepare agenda, and other supporting materials for Executive Committee meetings
and Board of Directors meetings

• Organize committee meetings, coordinate/execute committee directives and promote
and encourage subcommittee action

Financial:

• Maintain books and documentation for all revenues and expenses; invoice and collect
all accounts receivable, and remit all accounts payable

• Work with the Treasurer to prepare annual operating budget, prepare monthly financial
statements and reconcile bank accounts

• Submit fiscal year end reports to vendor for tax return preparation

General:

• Maintain dedicated phone line for the organization
• Secure director’s and officer’s policy and general commercial insurance policy
• Other duties as determined to ensure the success of the organization.

attend with ideas, solutions, or questions. If you have items that you wish for

more time is dedicated to advancing ideas.

You should always accept or decline the invites to these meetings so that we can keep track
of attendance.

PHFCC after Power Lunches
The Executive Committee will meet six times each session. For these meetings
it is necessary for you to read through the full agenda prior to the meeting and
arrive with ideas, solutions, or questions. If you have items that you wish for
the Executive Committee to address, please make sure to send them to Che’
by Friday prior to the meeting. Please bring your own copy of the agenda to
each meeting.
