Laws and regulations set to govern our family
Organization

Teague Family Constitution and By-Laws

ARTICLE I: PURPOSE
Section A: Name – The name of this Organization shall be Teague Family-
Descendants of Larry and Mary Teague.
Section B: National Affiliation – The organization is not a member of a
National nor State organization
Section C: Purpose – The purpose of this organization shall be to:

1. Foster communication between all members
2. Strengthen family bond between all members
3. Increase knowledge of family ancestry for all members
4. Host bi-annual family gathering for all members to attend
5. Uplift all members

ARTICLE II: MEMBERSHIP & DUES

Section A: Eligibility - Membership shall be open only to descendants of
Larry and Mary Teague as well as those that are married to descendants of
Larry and Mary Teague.
Section B: Dues – Dues shall be (subject to change only by majority rule vote)
1. $200.00 per year for members that are deemed a family (2 or more people i.e.,

spouse and/or children)
2. $100.00 per year for members that are deemed single (do not have children) but not

a College Student
3. $50.00 per year for members that are deemed a College Student (18 -24 years old)
4. Dues are due January of every year
5. $75.00 for each guest that attends the Teague Family Reunion 3-day Weekend

ARTICLE III: OFFICERS

Section A: Officers – The officers shall be a President, Vice-President,
Secretary, Assistant Secretary, Treasurer, Vice Treasurer, Sergeant at Arms,
and Assistant Sergeant at Arms. These officers form the Executive Board for
the Teague Family

Section B: Eligibility – Officers must be

1. A descendant of Larry and Mary Teague.
2. Able to perform duties of position
3. Able to attend and participate in majority of Executive Board meetings
4. Able to attend and participate in majority of family reunion events

Section C: Election – The Officers shall be elected by members of Teague
Family via majority rule voting held at family reunion meeting during family
reunion event. If Officer becomes unable to perform said duties before family
reunion meeting, Officer will willingly resign his/her position. Vice/Assistant
Officer will assume said position and perform duties. If Officer is unable to
perform said duties and does not willingly resign, Executive Committee will
hold an emergency meeting to remove Officer and replace with Vice/Assistant
Officer

Section D: Term – The Officers shall serve until he/she resigns or becomes
unable to perform duties. Officer’s inability to perform duties shall take
precedents if Officer does not willingly resign. The term of office shall begin
two weeks after the family reunion meeting unless Officer is not able to
perform duties.

Section E: Vacancy – If a vacancy occurs in the office(s) of any Executive
Board member Vice/Assistant shall assume the office. The vacancy of
Vice/Assistant position shall be filled by a special election. The President will
call an emergency meeting (via technology, phone, and/or gathering) to
replace Vice/Assistant Officer. All members of Teague Family shall attend.
Vacancy shall be filled by either a nominated Teague Family member via
majority vote or member appointed by Executive Board.

ARTICLE IV: DUTIES OF OFFICERS

Section A: President – it shall be the duty of the President to:

• Preside at Executive Board meetings
• Preside at Family Reunion Business meeting
• Preside at Executive Board meetings with State Presidents
• Vote only in case of a tie
• Represent the Organization Teague Family
• Serve as an ex-officio member of all committees except the nominating

committee
• Perform such other duties as ordinarily pertain to this office

Section B: Co- Vice-President – It shall be the duty of the Vice-President to:

• Preside in the absence of the President
• Serve as chairperson of the Program Committee
• Work with President on annual finance Audit
• Assist President in leading and motivating Teague Family Organization

members to feel valuable, inspired, and connected to one another

Section C: Secretary – It shall be the duty of the Secretary to:

• Record the minutes of all meetings
o Record those present as well as those absent
o Record Topic and Speaker
o Presiding Officer
o Committee reports - written and oral
o Announcements
o Any motions or decisions acted upon by the membership

• Keep a file of the Organization’s records
• Maintain a current roster of membership (keep electronic and hard copy)

Cont’d Section C: Secretary – It shall be the duty of the Secretary to:

• Collect quarterly Treasurer Reports distribute to Executive Board prior to
meeting

• Collect State President report distribute to Executive Board prior to
meeting

• Issue notices of meetings and conduct the general correspondence of
the Organization

• Collect and maintain the following information for each member’
o Member’s full name, address, telephone number, and email
address
o Preferred Communication Method: email, text, phone
o Date of birth
o Committee assignment, office held
o Service Project Interest
o Committee Interest
o Personal Interest

Section C: Assistant Secretary – It shall be the duty of the Assistant
Secretary to:

• Preside in the absence of the Secretary
• Assist Secretary in maintaining membership roster
• Assist Secretary in collecting State President reports to distribute to

Executive Board
• Assist Secretary in issuing notices of meetings and general

correspondence of the Organization
• Attend all (or majority) of Executive Board Meetings
• Attend all (or majority) of Executive Board and State President

Meetings
• Attend all Special Meetings as needed

Section D: Treasurer – It shall be the duty of the Treasurer to:

• Receive all funds, process request for payments, release of family
reunion allotment monies to State Presidents (for Family Reunion
Event), and Deposit Slips.

• Send State President pre-determined allotment to host family reunion

• Keep an itemized account of all receipts and expenditures and make
reports as directed

• Keep record of which members pay dues however individual records are
for Treasurer and Vice Treasurer “eyes only” and not to be discussed
with anyone except individual member identified with monies

• Monies shall be sent to Treasurer via Check, Cashapp, Zelle, or money
order (cash can be given, only in person, to Treasurer or to Assistant
Treasurer in absence of Treasurer)

• Handle the money with high standards and set a tone of integrity

• Incoming checks should receive immediate restrictive endorsement
(preferably a bank stamp or handwritten “For Deposit Only, ABC Bank
Acct # 12345”) and be deposited within a week with no cash back

• Cashapp, Zelle, Money Orders, and Cash should be deposited within a
week with no cash back

• Outgoing checks and/or other forms of monies, must be supported by
approved invoices, receipts, or vouchers

• Receive documentation stating amount of money to distribute for each
said cause or activity (From Executive Board and/or State President)

• Checks or monies sent out should require 2 signatures (second-
signature Assistant Treasurer) and never be signed in advance

• The Executive Board approves one signature for monies sent out in the
amount below $100.00

• Safeguard personal members information as well as Teague Family
reports and bank statements

• Receive and reconcile bank statements

• Keep a simple monthly reconciliation of Bank account

• Send summarized quarterly Financial Report to the Executive Board

• Train Assistant Treasurer

• Treasurer plays a critical role in helping sustain the Teague Family
Organization

Cont’d Section D: Treasurer – It shall be the duty of the Treasurer to:

• Treasurer maintains members confidence and supports overall mission
effectiveness

• Attends all (or majority) Executive Board meetings
• Attend Special Meetings as needed

Section E: Vice-Treasurer – It shall be the duty of the Vice Treasurer to:

• Preside in absence of Treasurer
• The Vice Treasurer should be detailed oriented
• Handle money with high standards and set a tone of integrity
• Co-Sign with Treasurer checks and/or monies sent out above the

amount set by the National Board that requires 2 signatures
• Assist Treasurer with quarterly Financial Report for the Executive

Board
• Assist Treasurer with monthly bank statement report as needed
• Assist Treasurer as needed
• Attend all (or majority) Executive Board meetings
• Attend all (majority) Executive Board and State President meetings
• Attend special meetings as requested

Section F: Sergeant at Arms – It shall be the duty of the Sergeant at Arms to:

• Ensure that the Bylaws and standing rules are not violated
• Ensure order of Executive Board members are executed in an

expeditious manner
• Keep order in meetings (Standing up stating “Resume order in the

meeting, The President will re-take the floor”
• Forcibly Remove any member or guest who is disruptive or rowdy
• Head of security and order of the Organization
• Protector of the President

Cont’d Section F: Sergeant at Arms – duty of the Sergeant at Arms

• Sergeant At Arms should be levelheaded and able to think his way
out of a situation rather than be quick to resort to brute force

• Sergeant At Arms should have a serious and awareness of mind
while on duty

• He should refrain from alcohol and mind-altering narcotics before or
during meetings

• The Sergeant at Arms is Teague Family’s Security and officer of
order, he should be taken with most utmost respect

• Present at all meetings (or majority of meeting)

Section G: Assistant Sergeant at Arms – It shall be the duty of the
Assistant Sargent at Arms to:

• Preside in the absence of the Sergeant at Arms
• Assist Sergeant at Arms in maintaining order during the meeting (by

standing up and moving towards the individual or individual(s) that
are disruptive or out of order)
• Present at all meetings (or majority of meetings)
• He should refrain from alcohol and mind-altering narcotics before or
during meetings
• Assistant Sergeant at Arms should have a serious and awareness of
mind while on duty
• Assistant Sergeant at Arms should be levelheaded and able to think
his way out of a situation rather than be quick to resort to brute force
• Second in Command of security and order of the Organization

ARTICLE V: MEETINGS

Section A: Meetings – Family Reunion 3-day celebration shall be held every
other year on an even year as well as the second weekend in August unless
otherwise voted at Family Reunion business meeting or Special meetings by
Teague Family. The destination shall be determined during a prior family
reunion meeting via majority rule voting.

Section B: Special Meeting – Special meetings may be called by the
President with the approval of the Executive Board.

Section C: Executive Board and State Presidents shall meet once a year mid-
year or as needed.

Section D: Executive Board shall meet quarterly (three times a year) or as
needed

Section E: Treasurer and Assistant Treasure shall meet to prepare quarterly
report for Executive Board, meet biennial (every 2 years) to prepare report for
Family Reunion meeting, and as needed

ARTICLE VI: EXECUTIVE BOARD

Section A: Responsibility – Management of the Teague Family shall be
vested in an Executive Board’s responsibility to the entire membership to
uphold these bylaws.

Section B: Membership – This Board shall consist of the officers as listed in
Article III.

Section C: Meetings – This Board shall meet at least once between regular
meetings to organize and plan future activities to strengthen the goals of the
Organization.

Section D Meetings – This Board shall take recommendations from State
Presidents under consideration when selecting State Family Members to
shadow each Executive Board Office.

ARTICLE VII: STATE LEVEL POSITIONS

Section A: Selection – State Presidents are nominated during Teague
Family reunion family meeting. If Nominee accepts positions Nominee’s duties
begin two weeks after Family reunion family meeting. State President will hold
position until he/she resigns unless state members deem State President is
not performing duties to the betterment of the state members. At said time
state members will attempt to resolve concerns with State President. If
concerns are not able to be resolved, Executive Board will be notified. Once
Executive Board is notified a Special meeting will be held with state members
to hear their concerns and potential resolutions. Next a meeting will take place
with State President to hear his/her concerns and potential resolutions. The
meeting will also discuss state members concerns and potential resolutions. A
meeting will be scheduled with Executive Board, state members and State
President to discuss if a resolution is possible or if vote for new State
President is necessary.

Section B: Duties – The responsibilities of the State Presidents shall be to:

• Maintain an awareness of the activities and programs sponsored by the
Teague Family i.e., interact with Family Facebook, Younger generation
IG, Meet-up with state members, etc.

• Meet on a regular basis with the state members to discuss upcoming
State meetings, State’s short term and long-range plans as well as goal
setting to help increase the ability to enforce Teague family purpose as
listed in Section C on a State Level.

• Attend Executive Board and State Presidents meeting held once a year.
Send high level progress report (information) quarterly (3x a year) to
Executive Board President.

• Keep State members aware of paying dues yearly advise can do on a
monthly basis or whatever works for them (Members do not have to
report if they paid dues or not to State President).

• Ensure have state members’ accurate contact information: phone
number(s), email address, Social Media handles, and address

• Discuss with State Family Members the possibility of them shadowing
Executive Board Officers whose position they are interested in (might
want to consider in the future).

Section B: Duties – The responsibilities of the State Presidents shall be to:

• Advise each State Family Member of roles, duties, and responsibilities
of each Executive Board Officer.

• Report to Executive Board which State Family Members are interested
in shadowing each Executive Office

ARTICLE VIII: COMMITTEES
Section A: Program Committee – A program committee composed of the
Vice-President as chairperson and four other members shall be appointed by
the President before the end 2024 Family Reunion, whose duty shall be to
plan the overall programs of the Organization.
Section B: Other committees – Finance, Membership, Social, and
Destination Family Reunion Scouters,
Section C: Special Committees – The President shall have the authority to
appoint any special committees, with the approval of the Executive
Committee, from time to time as need demands.

ARTICLE IX: AMENDMENTS
Section A: Selection – these bylaws may be amended by majority vote of the
membership or Executive Board and State Presidents (If unable to have a
majority of members attend meeting).
Section B: Notice – All members shall receive advance notice of the
proposed amendment at least fourteen days before the meeting. [The time
may be extended to the following meeting.]

This Constitution and By-Laws shall be available to all Teague Family
Members
