Opening • Bruce Collins congratulated everyone on participation and support of the year-long 50th Anniversary celebration. • Made comments on the excellence of the E Awards. • He thanked the board members for their hard work, building working relationships and willingness to “lean in” in supporting the Council and its work. Minutes • Pamela Bryant presented minutes from October (last meeting as we did not have a November Board meeting). Greg Cody made motion to accept. Terri Quinton seconded. Motion carried. Financials • Monica Menzel and James Estes presented the financials • Revenue $188,027 favorable to budget • Expenses are $92,329 favorable to budget • Forecast has been updated to reflect actuals • No changes to new legal fee


• Finalizing paperwork for new banking institution • MBDA draw down is slightly delayed • E-Awards still receiving funds, Golf Classic is favorable, ACCESS all funds collected and the 50th Anniversary short fall will be covered by the special reserve • Relocation and lease improvements will be covered by special reserves • No changes to contingency • Motion to accept financials made by Don McKneely; seconded by Pam Nelson. Motion carried. • Brandon discussed the Audit Report included in the board package. o Independent view by the auditor is that the Council received a clean audit; no findings Certification • Certification report included in board book • Motion to accept the certification report by Alexis Dennard and seconded by Yareli Esteban. Motion carried. Nomination Committee • 2023 election is complete. Not enough votes cast to carry the vote forward Monica ask for a motion to ratify the results for the buying entity and the MBE seat. • Motion to ratify buying entity vote by Terri Quinton; seconded by Jason Lynch. Motion carried. • Motion to ratify MBE seat vote by Pamela Nelson; seconded by Jeni Rajbhandari. Consent Agreement • ICSCWG Report – included in the Board Report • MBEIC Report – included in the Board Report 2023 Council President’s Report • Margo reported on One Percent Plus Initiative. • MBDA update: o Plaintiff has contacted the council to provide services, the judge’s order was to provide service to any of the plaintiffs meeting was scheduled but the plaintiff did not show, meeting has been rescheduled. o The brief from the DOJ is included in the board book • NMSDC update –


o Adjustment check received for $23K from 2022-no supporting documentation provided. o Stacey Keys, President of the Georgia council and chair of the affiliates has reviewed the financials and believes the Councils are owed ~$4.1M. o She has submitted her findings to NMSDC and the affiliate Presidents. Details are included in the board book. o NMSDC corporate has decided to negotiate the affiliate agreement with each Council. Margo has still not received. o Margo is serving on the KPI group. o 2024 Calendar included in your board book. o Board Installation proposed dates, February 1st, 7th or 8th, still finalizing. o Hard Hat will be a week early as Globe Life is undergoing renovations. o Leslie Marshall will be the sponsor and underwrite for next year at Glen Eagles Golf Course. o Motion to approve consent agenda and President’s report by Pamela Bryant; seconded by Milton Quinn. 1 DFW MSDC MBE Input Commitee End of Year Report 2023 IMPORTANT HIGHLIGHTS ADVOCACY Public Policy Briefing (February) presented by Clifton Miller - A briefing on the Texas Legislative Day in Austin, on March 15, 2023. Attendees also received administration on access and use of the Texas Legislative Online (TLO) platform. Texas Legislative Day(March) Several MBEs supported the Texas Regional Affiliate Councils to advocate for small businesses in Texas to educate our Texas Legislators about the impact of MBEs and voice concerns regarding many state bills and initiatives that were to be determined during the legislative session. CEO Challenge, 1% Plus: The DFW Council along with CEOs from the DFW area are taking the pledge to be intentional about inclusion of minority businesses to drive the economy of the nation. CEOs are urged to TAKE THE PLEDGE to increase spend with minority suppliers by 1% or more year over year. MBEs are encouraged to take the pledge which can be found on the DFW MSDC website. 2 BUILDING CAPACITY Preparing for Access 2023: This virtual event provided MBEs and opportunity to received suggestions for navigating ACCESS and developing their Capability Statement with fellow MBE leader, Terri Quinton. Unlock the Power of Market Research (August)- Jenica Oliver, CMO Blueprint Marketing Group and MBEIC 2nd Vice Chair and Dawn Carr, CEO Mahogany Insights. MBEs presented an overview of market research and how to utilize insights to grow their business. Perfecting Your Pitch (September) A collaboration program with the Inclusive Supply Chain Working Group which was led by Tamika Tutt of Alcon and Pam Nelson, MBEIC Chair. Perfecting Your Pitch provided MBEs an opportunity to meet with corporate buyers to conduct their pitch and then receive feedback and suggestions from buying entity buyers make in-person pitches/capability statements. This event was held in person following the Quarterly Supply Chain luncheon. CONNECTING New Supplier Orientation: The MBEIC participated in the New Supplier Orientation Meetings held virtually each month to welcome newly certified MBEs. MBEs are invited to attend and participate in the MBEIC meetings. Meet the Chairs of DFW MSDC and MBEIC (February) – Meeting was held in person at the council office. Chair of the Board, Bruce Collins, Chair of ISCP, Mary Gano, Cochair ISWG, Clifton Miller, and MBEIC Chair- Pamela Nelson were presenters for the event. Mr. Collins provided an update on the 1% Initiative and DFW Airport. Ms. Gano provided insights for upcoming opportunities with Vistra. Mr. Miller and Ms. Nelson provided insights for MBEs to be involved and utilization of the council and resources. Ms. Posey provided final comments and overview of activities for the 50th Anniversary. MBEIC Member Lounge (April)-MBE 2 MBE Networking Mixer and Introduction to Comerica Business HQ – MBEs met in-person at Comerica’s Business HQ to network and learn about services and amenities available for MBEs. After providing a brief overview of their business, MBEs were able to network with each other, tour the Comerica Business HQ and find potential partners and services providers for their business.


3 MBEIC Conversations (November) – MBEs attended the virtual meeting and had an opportunity to ask questions of the MBEIC leaders in attendance as well as council staff. Each MBEs introduced their companies and provided ideas for programming, and suggested topics for future programs. The honorees: VDart Sidd Ahmed, CEO Category IV Mohr Partners Robert ShiShibuya, CEO Category III Bracane Company Pamela Nelson, CEO Category II This distinction is noteworthy as it placed our members in the spotlight among over 16,000 businesses represented by the National Minority Supplier Development Council (NMSDC). The triumph does not stop there. Out of these three exceptional nominees, VDart and Bracane Company were declared winners at the National Conference and Exchange on October 25, 2023, a testament to the caliber and excellence of businesses within our region. These victories not only reflect the individual strengths of these MBEs but also underscore the collective impact of our supportive network and the dynamic platform provided by our Affiliate Council. GOVERNANCE ONE PERCENT PLUS: The DFW MSDC introduced the One Percent Plus ini�a�ve in 2022 following an Economic Impact study conducted by Supplier.io exposing the current economic gap between Minority Business En��es (MBEs) and non-minority firms. The purpose of the Ini�a�ve is to: • Cul�vate deeper rela�onships in the DFW market among Buying En��es and MBEs based on shared commitment. • Encourage opportuni�es for more cost savings, innova�on, market penetra�on and profitability. • Serve as a model for inten�onal economic growth that benefits the region and na�on. • Create construc�ve collabora�on beginning in the DFW market that drives greater u�liza�on of MBEs. As the ini�a�ve con�nues to drive measurable impact, we will accomplish the following in 2024: 1. Reengage the One Percent Plus commitee beginning on February 5th. 2. Provide monthly updates related to the One Percent Plus ini�a�ve for our internal and external stakeholders beginning in March. 3. Develop quarterly messaging to drive par�cipa�on and engagement for all Council events related to the Ini�a�ve. 2024 First Quarter messaging will focus on recruitment and par�cipa�on. We will target the Board Installa�on on Feb 8th, HARD HAT on Feb 27th, and the Quarterly luncheon on March 27th. 4. Distribute the Buy Those That Buy UsTM survey to capture Buying En�ty spend for 2023. The 2023 data will serve as our baseline to track measurable impact. 5. Engage the Buying En��es CEO Champions at the 2024 ACCESS luncheon and share an update along with the base line numbers on May 15, 2024. No. 4:23-CV-0278-P MINORITY BUSINESS DEVELOPMENT AGENCY ET AL., Defendants. Raymond Cervantes, MBDA Execu�ve Director and I met with Plain�ff Nuziard on December 19, 2023. Kevin Wiley joined Zoom call. Nuziard wanted funding from MBDA which we do not provide. He described his business and shared he has met with several federal employees that wanted his services (penal erec�on assistance) but the federal government does not cover the costs of the procedure, he felt the MBDA Center should assist in


ge�ng the federal government to underwrite coverage for the numerous employees reques�ng his services. Addi�onally, he requested a lis�ng of all procurements by federal agencies of which he could provide a bid; and assistance in securing a cash infusion to his business. MBDA requested his Capabili�es statement, and a writen financial summary and funding requested. Upon receipt Michael Garret will source procurement opportuni�es based on the Capabili�es statement and NAICS codes. Mr. Cervantes will refer Nuziard to MBDA financial resource partners. NMSDC: NMSDC distributed the Affiliates Agreement on December 20, 2023, at 4:29 pm with over half of the Affiliates closed for the holidays. It was proposed that the Affiliate agreement (which was originally to be distributed September 8, 2023), be signed, accepted by the Affiliate Councils and their respec�ve boards, and returned by January 15th. Atached is: 1.DFW MSDC response to a mee�ng request with Ying that outlines some of DFW MSDC’s Board concerns and our request for informa�on. 2. The Affiliate Agreement. 3. No�ce of Need for Further Nego�a�ons and Alignment shared collec�vely from the 23 Regional Minority Supplier Development Councils (RMSDCs) across the US regarding the 2024 Affiliate Agreement. 4. The Change in Funding document sent a�er NMSDC received the Affiliate document. Below is a summary of key concerns included in the na�onal level discussions regarding cer�fica�on and the affiliate agreement. In reviewing the Affiliate agreement, we hope to have our concerns answered for future direc�on and considera�on. CERTIFICATION: • Indemnifica�on current language does not address site visits by the Affiliates. • DFW MSDC MBEs at risk of losing State of Texas HUB cer�fica�on and SBE cer�fica�on. • NMSDC to date is unable to define cer�fica�on approval process. • Applicant cer�fica�on funding is directed to NMSDC. • DFW MSDC would s�ll be required to provide cer�fica�on outreach and support requiring personnel. • Funding a�er 2024 related to cer�fica�on is no longer being discussed as Making/keeping Councils whole for at least 24 months as reported throughout 2023. Confidential | Not for Distribution Outside of Authorized or Permitted Use Confidential | Not for Distribution Outside of Authorized or Permitted Use Page 1 of 15 AFFILIATE MASTER SERVICES AGREEMENT This Affiliate Master Services Agreement (“Agreement”) is made as of January 1, 2024 (the “Effective Date”) between National Minority Supplier Development Council (“NMSDC”), having its principal place of business at 65 West 36th Street, Suite 702, New York, NY 10018 and [Regional Affiliate Company Name] ("Affiliate") having its principal place of business [Affiliate Address]. NMSDC and AFFILIATE are referred to individually as a "party" and jointly as the "parties". NMSDC provides products and services throughout the nation and globally, directly and through its network of affiliates and strategic partners (the “NMSDC Network”), in achieving its vision and mission: to support and grow minority business enterprises. The purpose of this Agreement is to define the obligations and responsibilities of each of party in furtherance of the mission and vision of NMSDC. It serves as a comprehensive agreement that governs the business relationship between the two parties. 1. TERM AND TERMINATION. This Agreement is effective from the Effective Date for three (3) years renewable or until terminated by either party. Termination can occur with ninety (90) days' notice and payment of any outstanding fees, or with thirty (30) days' notice following an unresolved material breach, or immediately under insolvency conditions. Post-termination, the Affiliate must return or certify the destruction of all NMSDC materials and cease using NMSDC's licensed marks and database. NMSDC will remove the Affiliate from marketing materials within ninety (90) days of the termination. 2. INDEPENDENT CONTRACTOR STATUS. (a) Relationship of Parties. The Affiliate is an independent service provider. Nothing in this Agreement will be interpreted or construed as creating or establishing the relationship of employer and employee between parties. Affiliate will not take any actions that binds NMSDC in any manner except as expressly authorized in advance by NMSDC in writing. NMSDC is not liable for debts or obligations of the Affiliate, and the Affiliate is not liable for debts and obligations of NMSDC. (b) Nonexclusive. Affiliate will retain the right to perform services for others and create partnerships during the term of this Agreement that will not conflict with the mission and vision of NMSDC, compete directly with services offered by NMSDC and partnerships of NMSDC, and otherwise compromise the performance of the Affiliate related to this Agreement. Affiliate will notify NMSDC prior to performing such services or entering such partnerships. NMSDC will have the right to utilize the services of other affiliates and strategic partners during the term of this Agreement and will notify Affiliate prior to utilizing such services. (c) Conflict Resolution. If a disagreement arises between Affiliate and a third party, or between Affiliate and NMSDC, parties will initially seek resolution through structured dialogue and mutual collaboration. If parties cannot come to a resolution, the issue will escalate to the NMSDC boardchartered Affiliate Engagement Committee for mediation and resolution. This approach ensures disputes are managed constructively, maintaining the integrity of the network, and allowing all parties to continue their essential work with minimal disruption. 3. AFFILIATE SERVICES. (a) Scope of Agreement. Affiliate agrees to provide services to national members of NMSDC, local members, and NMSDC-certified minority business enterprises (“MBEs”) in the territory defined as __________________________________ (the “Service Area”), and in compliance with the terms

Affiliate agrees to service and support MBEs pursuant to the requirements of NMSDC and to promote the development of MBEs and national and local members set forth in this Agreement and attached Exhibits. (b) Statement of Work. The specific services to be performed by Affiliate will be documented in a Statement of Work (“SOW”), substantially in the form attached hereto as Exhibit A.1 and signed by both parties. The SOW will set forth, at a minimum, the services and deliverables that Affiliate will provide to NMSDC annually. The SOW will renew automatically each year if notice is not provided by NMSDC to Affiliate by October 1 each year but will terminate if the Agreement terminates. Additionally, the SOW may be amended only by an agreement in writing signed by both parties hereto. And the Affiliate agrees to the following obligations: (i) Affiliate shall follow, support, and adhere to the workplan outlined in the SOW, which is designed to focus on connecting MBEs to opportunities, resources and facilitating growth of MBEs. (ii) Affiliate is solely responsible for the organization, operation, publicity, fundraising, legal affairs, and all other aspects of services defined in the SOW in the Affiliate Service Area, hereunder, including recruitment, training, constituent management of members, and carrying out Affiliate Service Area activities in a proper manner subject to any reclamation of rights by NMSDC. (iii) Affiliate actions and communications shall positively reflect and bolster the NMSDC brand, mission, and vision. (iv) Affiliate commits to collaboratively enhancing the NMSDC Network by sharing data, best practices, and engaging in other mutually beneficial activities. (v) Affiliate will provide timely invitations to any meetings where a majority of NMSDC Affiliates are participating to ensure NMSDC can maintain the spirit of “One NMSDC” across the NMSDC Network. (vi) When requested by NMSDC, Affiliate shall send appropriate representative(s) to NMSDC sponsored events, training, meetings, or sessions. (vii) Affiliate shall name and maintain primary points of contact, as well as alternative points of contact for each critical function associated with the Affiliate Service Area. (viii) Affiliate CEO/President and council executive leadership staff shall be present in person during business hours at least nine (9) months of the year in the Affiliate Service Area. (ix) Affiliate shall complete and return to NMSDC, within the response time required by NMSDC, any and all reporting required by NMSDC as set out and updated via the SOW and NMSDC Affiliate Handbook. (x) Affiliate shall maintain financial management systems sufficient to provide all financial information reasonability necessary for prudent fiscal management of the organization; compliance with all contracts to which Affiliate is a party; and compliance with all reporting obligations under federal, state, and local tax laws and other applicable law. Affiliate shall, as necessary, consult with qualified accountants, bookkeepers, or other professionals for assistance in creating and maintaining such financial management systems. (xi) Affiliate shall notify NMSDC in a timely manner if and when Affiliate is involved in any legal action or labor dispute which may in any way involve potential exposure to NMSDC. (xii) Affiliate shall, at Affiliate’s expense, administer an annual review of its financial statements if operating revenues are less than $200,000 or an audit of its financial statements if operating revenues are $200,000 or more. Review or audit must be performed by an independent certified public accountant and in accordance with applicable state law. (xiii) Affiliate shall have up-to-date bylaws, IRS Form 990, and review/audit on file with the NMSDC. (xiv) Affiliate shall develop and submit to NMSDC a master calendar of expected yearly activities and events by year end for the following year.
