• Meeting was held as a Zoom call. Meeting started at 7:34 a.m.

OPENING AND VOTING AGENDA

• Monica Menzel reviewed minutes from prior month and asked for motion to accept. Terri Quinton made a motion
to accept the meeting minutes. Rachel Kutz seconded. Motion carried.

FINANCIALS

• Mr. James Estes reviewed the financials. Mr. Estes informed the Board that the revenue for the period ending May
was $429.5K against a budget of $260K. National Dues and Renewals are performing as expected. The Expenses
actuals were $374.8K against a budget of $394.3K

• National Dues and Renewals are performing favorably.
• No changes to the forecast from the plan
• As for the complete financials, Greg Spoon made motion to accept as presented. Yareli Esteban seconded.

• Greg Spoon presented the audit completed by Raymond Best CPA. This was a clean audit. Clif Miller made a
motion to accept the audit result and Ashley Duffie seconded.

CERTIFICATIONS

• Mr. Rob Simpson presented current certification statistics. 14 New Certifications, 61 Recertifications. Don McKneely
made motion to accept as presented. Betty Manetta seconded. The motion carried.

CONSENT AGENDA

• Materials provided in the board book.

PRESIDENT’S REPORTS.

• CARES act expires May 31, we have applied for another grant.
• MBDA grant is currently through June 30 if extension is not granted.
• MBDA – grants have been applied for and waiting to hear back results in June/July
• Golf and Tennis event will take place in person. Board membership is asked to sign up.
• Hard Hat was held in Dallas Convention Center and was a success with good attendance
• New entities are emerging that are providing “certifications” that will need to be addressed. Bonnie will be bringing

this up with national.

following year. NMSDC allocation method and
cashflow allow for early distribution of funds.
(3) As a result of Administrative Staff turnover
we were .required to bring in Temporary staff to
handle transition.

July 2021 Board Report

The Inclusive Supply Chain Working Group (ISCWG)’s (chartered in 2006 by the board) Monthly
Review and Planning Session was held on Monday, July 12, 2021 via Teams. The meeting lasted
for 1.0 hour, beginning at 9:05AM CST and ending at 10:00AM CST.

REVIEW AND PLANNING SESSION PROGRAMMING UPDATES
The team reviewed the programming for the remainder of 2021 as listed in the table below. It
was discussed during the meeting that having back to back sessions in October may not be
pragmatic in terms of audience availability. Hence, the team is going to look into the possibility
of rearranging the schedule to pull some of the programming into August and September. Once
the dates are firmed on based on speaker availability, the necessary preparations will be done
by the program lead and the team.

• planned deliverables or the remainder of 2021 are identified in the second table on
page 2.

CENTER OVERVIEW

The Dallas MBDA CARES Act Center was an educational resource for
business sustainability during the COVID-19 pandemic, as we provided a
consistent, content-rich, scheduled, and repeatable virtual series of
programming, training, and support that minority and small businesses
have come to rely upon as first-in-class services, at no cost to their
bottom line.

KEY MILESTONES

The Dallas MBDA CARES Act Center, operating from June 2020
through May 1st, 2021, impacted the North Texas area through
combined web-based and virtual outreach, including:

101 procurement, PPP, tax prep, finance, mixer and business
development webinars, 31 of which were directly produced by the
Dallas MBDA CARES Act Center.
141 grant, third-party fund, PPP/EIDL loan opportunities, and
COVID-19 announcements tailored specifically to address the
needs of minority-owned businesses during the pandemic.
expanding our distribution reach from 1,456 businesses and
individuals to more than 750,000 throughout the state of Texas,
through free and sponsored content. We worked with strategic
partners to share our offerings with their subscriber bases,
including, the City of Dallas Office of Economic Development, City
of Fort Worth Equity Board, Dallas ISD, and Fort Worth ISD, just
to name a few.

MBDA
DFW MSDC was awarded the 5-year grant to operate the Department of Commerce’s Minority
Business Development Agency Business Center Dallas commencing July 1, 2021 – June 30, 2026.
The 5-year grant totals $2,050,000.00; $410,000 annually. MBDA Centers are funded by the federal
government to foster growth and global competitiveness of U.S. businesses that are minority-owned.
The MBDA Business Center – Dallas Fort Worth works individually with MBE clients. to The Center

offers access to:
o procurement opportunities through internal and external resources, and
o capital through appropriate conventional and non-conventional sources,
o markets through strategic consultations, a National MBDA network, including business and
specialty centers throughout the U.S., and global market access.

Located in Dallas, the DFW MSDC Center has no geographic restrictions in servicing clients or
opportunity recruitment. We search opportunities nationally and have had a client as far as South
Dakota. DFW MSDC Certified MBEs and subscribers receive all services free as a benefit of
certification. As a federal funded program, we also serve non-certified MBEs, however fees will be
assed for those services. All transactions are tracked, reported and vetted for report acceptance by
the national MBDA grant compliance officers. MBDA Center results are reported in aggregate to the
Department of Commerce and to Congress as Congress approves the national MBDA

DFW MSDC was awarded a one-year grant- Coronavirus Response and Relief commencing July 1, 2021 – June
30, 2022 for $727,384.00 This grant is committed to assisting minority-owned businesses in successfully
developing and sustaining their business currently and post-pandemic.  DFW MSDC Coronavirus Response
and Relief (CRR) will offer:

o business resources through a combined approach of web-based business development
content, including live and on-demand webinars, and in-person small group and individualized
consultations,

o technical assistance in the areas of financial literacy, human resources, technology solutions,
legal, marketing and communications, real estate, and property services, and

o technology assistance and support to MBEs with hardware, software and training tackling the
digital divide,

o access to capital through third-party grants, loans, and other financing opportunities tailored
to minority-owned business enterprises in their recovery from the effects of the COVID-19
crisis.

The awards was based on several factors, most importantly, the strength of the proposal developed
and written solely by DFW MSDC president, and DFW MSDC’S performance record for the preceding
two MBDA 5 year grants and the documented impacts from the 2020 CARES Act grant operated by
DFW MSDC. Performance information attached.

15 WAYS TO BUILD AN

ACCOUNTABLE TEAM

Accountable teams demonstrate two characteristics: First,
they have a high degree of clarity on what they need to
accomplish, and second, everyone is fully committed to
making it happen. Here are 15 strategies to help you build a
more accountable team:

1. Assess where you stand. Think about your team right now.

Does it demonstrate high clarity and commitment?

2. Talk to your team. Set up a meeting to talk through your

collective sense of the group's strengths and weaknesses.
Identify gaps where you could be stronger.

3. Increase the clarity. Accountable teams clearly

understand their business context, organization's strategy,
stakeholder expectations and top priorities. If you can
increase clarity, you will find it helps increase the degree of
commitment.

4. Define your team's obligation. Work with your team to 80% of teams are mediocre

about the value your group needs to create for your accountable.

MORE STRATEGIC AND AGILE SUPPLY CHAINS

COVID-19 has exposed vulnerability at health care organizations across the globe on critical issues,
including safety, equipment, data availability, and infrastructure. Early on, it became apparent that
“going it alone,” in terms of depending on an organization’s own supply lines and capabilities, wasn’t
possible. This led to ad hoc collaborations, with providers, suppliers and non-health-care companies
jumping in to deliver resources and capacity to address the crisis.

Successful supply chains are becoming a key differentiator and vital part of the care delivery process in
ways we have never seen before in health care. Getting it right requires strategic systems thinking
around all functions in the organization. Among the topics for boards to consider:

Increasing storage and self-distribution. What’s old is new again. We see a trend toward more self-
distribution models instead of just-in-time delivery from distributors. This allows organizations to buy
in bulk, control distribution and minimize their reliance on items at risk of being depleted.
Organizations do not have a limitless supply of capital so this is not a one-size-fits-all procurement
strategy, but it may make sense for certain items in the supply chain.

"In these unprecedented times, what priorities should hospital and health care system boards
focus on to prepare for 2021 and beyond? As organizations manage through the pandemic,
we expect continued disruption to be the norm, and pathways to success will increasingly
depend on collaboration, innovation, digitization and scaling ahead of the competition."

Deeper relationships and back-up suppliers. The value of vendor-of-choice relationships became
apparent as many hospitals scrambled for pandemic-related supplies. The key is striking a strategic
balance between price, performance and trust. Getting the lowest price but lacking a relationship
that cannot be “prioritized” in a crisis is not ideal. Neither is overreliance on one vendor without
having plans B, C and D in place. We see many organizations developing connections with tiers of
back-up suppliers — often smaller and geographically closer than their primary vendors — to gain
flexibility, speed and as much certainty as possible that critical items will be on hand when needed.

New supply chain models for new care settings. Health care futurists believe that by 2040, most care
will be delivered at home, in outpatient settings or virtually. Adapting to this new way of care — in
terms of supplies and delivery methods — will require relationships with different types of vendors,
such as retailers, contract employees and technology providers. This is an exciting but huge
challenge: how to reimagine supply chains to deliver non-hospital-based care in a safe, cost-
effective and high-quality way at scale.

Smarter, faster, predictive information. Expect to see more automation software and artificial
intelligence (AI) in health care supply chains. In addition to freeing personnel from repetitive tasks,
these technologies can assist decision-makers in identifying trends and providing resources to
workers. For example, predictive analytics focused on population health within an organization or
system could alert managers to trending disease states and their associated supply needs. Supply
chain managers could use AI tools to master the new transportation logistics of getting supplies to
widely dispersed home care settings and so on.
