LOCATION/TIME

• Meeting was held at the Council Offices. Meeting started at 4:05 p.m.

MINUTES

• Minutes were reviewed by Monica Menzel. Ms. Terri Quinton made motion to accept the minutes and Betty Manetta
seconded the motion; Motion carried.

FINANCIALS

• Mr. James Estes reviewed the financials. Mr. Estes informed the Board that the revenue for the YTD period ending
Nov was $665.5K against a budget of $714.3K. The Expenses actuals were $850.6K against a budget of $1,023.4K.

• There was an error in the financial regarding special events and Mr. Estes will be revising the results and therefore
the vote for acceptance will be delayed.

• Mr. Clif Miller proposed that the Executive Committee take up for discussion modeling of scenarios of various
affiliate agreements. This will be brought back to the board in January.

• Following the certification reporting, Mr. James Estes brought in revised schedules. Rob Simpson made a motion
to accept the revised financials. Don McKneely seconded.

CERTIFICATIONS

• Mr. Rob Simpson presented current certification statistics.
• The Certification committee recommends 9 new certification and 27 recertifications. 3 out of region: 3 are new and

1 are renewing. Recertification cycle time is 2.7 business days, New certification is 21.8 business days. Both cycle
times are top of class across other councils.
• Mr. Clif Miller made a motion to accept certifications and Silvana Rosero seconded the motion. Motion carried.

CONSENT AGENDA/REPORTS.

• Inclusive Supply Chain Working group: Clif Miller and Jeni Rajbhandari provided an overview of the November
planning meeting which laid out topics for 2020

• Ms. Betty Manetta review recent events and planning activities included in the Board materials

• Ms. Margo Posey reviewed the Mentoring Experience document. There are roughly 50 applications for mentees.
This program will kick off in January.

• Monica Menzel provided update on election results. Per the Nominating Charter, conclusive election results are
based on a minimum vote of 10% of the eligible membership which would mean over 130 votes, we did fall short of
that with 97 votes and so, the executive committee was called upon to ratify the results which they did.

 Asian American Seat – Neena Biswas of B12 Consulting
 At-Large Board Seat – Thomas Crowther of The Crowther Group

Betty Manetta made a motion to accept these election results. Don McKneely seconded. Motion carried.

• Clif Miller made a motion to accept the officer slate. John Lozano seconded. Motion carried.

• Lastly, it was noted that there will be two board member changes:

o John Lozano will be transitioning off the board to be replaced by Suzanne Maddux. Also, with the departure

of Miya Maysent from JCPenney’s, her replacement is T’Wana Brown. Bio’s for both Ms. Maddux and Ms.

Brown were included in the board materials.

BRAGS

• Margo Posey recognized Rachel Kutz as Executive Advocate of the year, Terry Quinton as MBE advocate of the
year and ATT as corporation of the year.

• Clif Miller recognized the ISCWG for the consistent performance of their work. Clif also recognized Betty for being
a consistent participant.

• Silvana bragged on Ericsson on recent matchmaking event.

• Jeni Rajbhandari recognized Margo for her leadership of the council throughout the year..

• Betty recognized Margo was on a recent panel for a recent Hispanic chamber event council stressing the importance
of certifications.

PRESIDENT’S REPORT

• Ms. Posey reviewed the 2019 snapshot. Number of certified MBE grew from 939 to 980.
• Also reviewed was the calendar for 2020. Board meeting during months of the QBL will be coordinated to happen

on the same day.
• MBDA reports was also reviewed. Grant year ends in March in 2020. It is expected that the grant will continue.
• Included in distributed material is a poll on proposed dates for the board retreat

STRATEGIC IMPERATIVES

Rachel is still working toward getting the buying entities together for strategic imperative #1. Dates were
discussed as options.

MBEIC JANUARY 2020 REPORT

MBEIC’s representative, Silvana Rosero, participated during the new member orientation on
January 7, 2020, sharing information about MBEIC’s role and importance of networking and
providing input to our committee.

The MBEIC leadership team prepared the proposed calendar of events for 2020. Our first event
for 2020 entitled “Meet the Chairs – 2020 Vision Clarity” is scheduled for January 22, 2020, at
the council’s office from 11:30 a.m. to 1 p.m. The format will be a fireside chat between the
MBEIC Chair, Betty Manetta, and the D/FW MSDC Chair, Bonnie Clinton.

The MBEIC leadership team has set up bi-monthly calls with the President to review events for
the year. The D/FW MSDC MBEIC committee has committed to conduct seven events
throughout the year based on input from our members of what they are interested in 2020.
These will be a combination of lunch and learns, networking, and webinars.

Looking forward to a great year filled with learning, growth, networking and revenue
opportunities.

1. D/FW MSDC

2020 BOARD SIGNATURES Annually in January all Board members are provided Documents
of the D/FW MSDC Board. The documents include Conduct, Conflict, Responsibilities, etc
that require your review and signature. The documents have been forwarded to you and are
available for your signature at the Board retreat. We will provide a copy of your signed
documentation. A sample of all documents are included within your Resource Guide Binder.

D/FW MSDC COUNCIL 2020 CALENDAR The 2020 Board meeting and major event calendar
is included in this package. All dates have been updated to your Outlook calendars. If you
have an assistant please provide name and contact so we can ensure all partieis are updated
of any changes.
The calendar is not all inclusive,dates and changes may be required.

D/FW MSDC COUNCIL 2020 DUES & SPONSORSHIPS Dues and discounted sponsorships are
due by February 29, 2021. Sponsorship packages were sent out in November 2019. We are
in need of a Signature Sponsor of ACCESS.

D/FW MSDC MEMBER MANAGEMENT TOOL The Member Management Tool Guide will be
included monthly and track registrations of Buying Entities including buyers, end-users and
Supplier Diversity Professionals. For the Council to receive full value of the components of
the software purchased it is imperative that we have member and MBE engagement.

BUY THOSE THAT BUY USTM This year’s program has been announced and information and
questions deciminated to our Buying Entities for inclusion in the White Paper and
Recognition at the annual BUY THOSE THAT BUY USTM Breakfast. The Breakfast will take
place on Friday April 24th at the Anatole at 7:15am. The April Board meeting will follow
immediately afte the breakfast and should condlude by 10 am.

SUPPLIER DIVERSITY WORKING Will hold their first meeting of the year in February. We
urge every Buying Entity board member company to have represwntation on the Suppier
Diversity Professionals Working Group.

MBDA Current grant year expires March 31, 2020. Five year grant expires March 31, 2021.

NATIONAL DUES DISTRIBUTION POLICY
THE OBJECTIVE

To distribute national member dues between the National office and Regional Councils for services
provided to national members for fiscal year 2019 based on the following criteria:

Membership Renewal Dues

-- 20% of dues income will be allocated to the National office.

-- 80% of dues income will be allocated to Regional Councils.

New Member Dues

-- 20% of dues income will be allocated to the National office.
-- 20%-30% recruitment incentive will be paid to the National office or Regional Councils actively

engaged in the recruitment of new national members. Payment of incentive will only be made on a
per member basis from the dues payment received for the first year of membership. The 20% recruitment
incentive will apply to dues payments ranging from $9,000 to $19,000. The 30% recruitment incentive will
apply to dues payments ranging from $25,300 to $38,000.

-- 50%-60% will be allocated to Regional Councils.

NATIONAL DUES DISTRIBUTION POLICY

Distribution of Dues Among Regional Councils

Membership dues income subject to distribution in 2019 has been set at $8,605,050 per the approved budget
$7,382,400 (85.6% of budget) has been collected by January 15, 2020.

Distribution estimate stated below takes into account the distribution of member renewal dues ($7,818,050)
and new member dues collected ($554,650).

-- $411,791 (4.9% of dues income) is set aside to provide:
-- Life and long-term disability insurance coverage for Regional Council full-time staff ($70,844)
-- Certification training ($71,481)
-- Technology - affiliate certification portal annual licensing and hosting fees, and software maintenance
($132,000); software enhancements and depreciation ($55,183); NMSDC certification staff
support/affiliate portal help desk (salaries and fringe benefits-$80,207)
-- Telephone ($163)

-- $47,790 has been distributed/allocated to selected councils directly engaged in the new member recruitment
process.

-- Approx. $6,154,524 (73.5% of dues income) will be distributed among the Regional Councils as follows:

70% Base Dues - divided equally among all Regional Councils.
15% Performance Bonus - allocated according to performance metrics in effect since 2014.
10% Headquarter Stipend - allocated on the basis of national member headquarter location. Stipend

allocation may vary from Council to Council base on level of dues paid by national members.
5% Transition Funding - allocated to Regional Councils losing over 35% of national dues distributed in 2013.

As we launch into 2020, we acknowledge the 13th year of gathering best practices and
numbers related to the BUY THOSE THAT BUY USTM initiative. This letter is to alert you
on key information and submission dates.

BUY THOSE THAT BUY USTM was initiated by our MBEs and adopted by the Council Board
of Directors. It showcases best practices that are making a real difference in the
utilization of certified D/FW MSDC minority-owned businesses. In addition, it
encourages all of us to utilize our Buying Entity and certified MBEs when making a
personal or business purchase whenever possible.

The attached timeline is provided to ensue inclusion in the annual Whitepaper and
attendance at the Recognition Breakfast.

Week of January 20th – Part 1 - Best Practices Survey distributed (The link to the survey
is https://form.jotform.com/93113003951951). We have also attached a WORD
document containing the 2020 survey questions for your reference.

kept confidential. Numbers are used to review aggregate trends associated with

2020 BTTBUTM Best Practice Survey Questions

1. EXPANDED UTILIZATION IN SUPPLY CHAIN – Not every certified MBE has the
capacity to work with large companies. What has your company done to build an
ecosystem that encourages and utilizes smaller suppliers along your supply chain
footprint. Examples actual utilization of a smaller MBE in a specific area or Tier 2
program utilization. Provide at least one specific example of utilization of a
smaller MBE.

2. JOB CREATION – Describe how your efforts in minority business inclusion have
helped MBEs to create new jobs. Provide a specific example.

3. MBE GROWTH AND DEVELOPMENT – Cite an example of an MBE you have
helped significantly grow their business either within your supply chain or
through referrals within your industry. Describe how you helped develop the
