UNRESOLVED FUNDS DUE TO AFFILIATE COUNCILS Fernando and Ying, Thank you for your note, and for your efforts to assist with this reconciliation process. I know this has been a journey that no one anticipated being on. Our number one priority is to wrap this up before the end of the year with all funds for 2022 and 2023 reconciled and distributed to affiliates by December 15th. Once this process is behind us, we will have an opportunity to investigate what got us here, review the current internal processes and procedures, determine what got us to this point, and work collaboratively to establish new processes to prevent a recurrence in the future. As you can imagine it was a bit concerning to hear “Thank you for bringing this to our attention," when affiliates are due roughly $4M in total based on the limited financial information (we will provide requested financial information) I have. With a controller, COO, CEO, treasurer, and finance committee in place, surely someone should have noticed that something was awry and brought it to everyone’s attention. Nevertheless, we want to start 2024 with a clean slate and new processes and procedures that build confidence in the NMSDC financial infrastructure. Please see below my responses to your comments in previous messages, and our ask of you moving forward. We look forward to scheduling the meeting to review the financials to bring the outstanding funding and distribution to closure by December 15th. 1. 2022 Member Dues Distribution Reconciliation. After careful analysis it has been determined that the regional affiliates are owed $509,429 for 2022. On Thursday, Nov. 2 you will receive the workbook along with the 2022 Financials. On Friday, Nov. 3 payment/distribution will be processed to all 23 regional affiliates. We have received these funds, and thank you, but on what data were these payments based? You did not provide the audited financial statements, or any financial statements as requested. You did insert into the spreadsheet a snipped of the statement of financial position. Please provide the data as requested so we can confirm your analysis. As you know, we had numerous problems with the performance calculations and had to rely on Accenture to validate that information for accuracy. We are discussing utilizing a 3rd party again to ensure integrity of data and accuracy in the calculations. Fernando: The 2022 Statement of Activities (Income Statement) was utilized to determine National Dues Distribution. This distribution workbook dated 11/02/2023 included a worksheet titled Statement of Activities. See attached excel workbook. 2. 2023 Q1-Q3 Member Dues Distribution Reconciliation. Our Previous Commitment: Have Q1-Q3 Reconciliation complete by Wednesday, Nov. 1. Unfortunately, we are not able to complete the process by today as committed. Several factors contributed to this delay including a shift in personnel and technology issues. I agree that this is unfortunate. You indicate that some of the challenge is a lack of resources dedicated to this process. As NMSDC has tripled the size of the staff, from 17 to close to 50, I would hope some of those FTEs would be allocated to support resolving this critical issue. Please let us know what you need, and possibility we can identify resources to support your efforts to get this done sooner than later. Remember the goal is to have all funds distributed by December 15, 2023. Fernando: We expect to meet this requirement. Our Ask: Your support in allowing us to complete the reconciliation process by the end of November. Due to system and personnel constraints, our AR reconciliation associated with the 2023 Q1-Q3 will take longer than anticipated but will be completed by Wednesday, Nov. 15. Final


reconciliation documents, including financials, will also be distributed as early as Friday, Nov. 17 and no later than Thursday, Nov. 30. The additional time will enable us to ensure our financial analysis is sound and correct. We will agree to support the November 30th date with the understanding that all 2022 and 2023 funds will be distributed to councils by December 15, 2023, with 3rd party verification. Given the number of deadlines missed throughout this year, as you can imagine there is a low level of confidence in NMSDC meeting timeline commitments. Let us know what you need to support this timeline. Fernando: Titus Mitchell Accounting Firm audits National Dues Distribution at the end of each fiscal year. The audit validates Dues Distribution at the NMSDC (distribution) and Regional Affiliate level (receipt). At the present time there is no authorization to engage any additional 3rd party firm to validate. Our Current Distribution: In advance of finalizing Q1-Q3 reconciliation, we distributed $989,000 to the regional affiliates on Oct. 19. Any applicable outstanding dues owed will be processed within 48 hours of Q1-Q3 reconciliation completion. Yes, you did distribute funds in October, but you missed all the quarterly deadlines you established throughout the year for distributing funds and providing the reconciliation. You may recall we sent numerous emails requesting reconciliation and bringing this to your attention with the final email going to Ying on October 5th. 3. The November monthly payment, based on estimated dues, will be processed on Friday, Nov. 11. Due to the estimated distributions made throughout the year, adjustments may need to be made in the December estimated payment. The 2023 Q4 reconciliation process is beginning immediately. 2023 Q4 true-up will be completed during 2024 Q1. 2023 Final Reconciliation will take place Q1- 2024. We received the monthly payment in the amount of $21,712 - which is different from what we have been receiving of $22,922. I sent an email requesting clarification immediately with no response. We don’t disagree with adjustments and changes, but if you found the resources needed to calculate an adjustment to the monthly distribution, there should have been time and resources set aside to complete the process. Also, it was reported at the conference that NMSDC is in the best financial position in its history, with 53 new corporate members and 100% retention. Given that, should we not expect the monthly allocation to increase if our ratio is still the same? Please provide the data to support the change. Fernando: Data will be provided to support the Dues Distribution. Thank you for your patience during this year as we transitioned from past practices and personnel. We apologize for the delays you have experienced as a result of the transition. We continue to work on improving the processes, including implementing new CRM and simplified reporting that we expect will improve the process as well. Please review the shared information and materials and if you have any comments, questions, or concerns don’t hesitate to contact me. Unfortunately, patience is running thin, as this is not the way to run a business. It has been an entire year, and many councils depend on these funding sources to meet their respective obligations. Clearly there is a breakdown somewhere in the process. Please remember ’Thank you for bringing this to our attention' as we work to bring closure to an outstanding estimated debt of roughly $4M dollars in total. Fernando: Agreed, there is a major concern based on the process breakdown. We will work


collaboratively to identify the issues and begin the improvement process. We will review the information for 2022 and 2023 and will provide feedback once we receive the supporting documents as requested. It is clear that we must shore up these processes so that we have clear communication and a timely flow of information and funds going forward. By way of review, our ask is as follows - Schedule a meeting to review all relevant data and analysis that you used to arrive at the figures you’ve proposed. Please send the requested information in advance so that we can be prepared prior to the meeting. (Setting up meeting for morning of December 5th) Confirming. Do a deep dive into the processes of accounting, reconciliation, and distribution of funds reconciliation, to ascertain where this process broke down and what changes we need to make to rectify this moving forward. As we have discussed previously, timely funds distribution is crucial to efficient council operations. Fernando: The recommendation to the Finance Committee will be to review and change policies to enable a more efficient and timely process. Implement a review/oversight process involving an independent third-party firm that can standardize and validate all aspects of reconciliation. Fernando: We are not authorized to source for an independent 3rd party firm to provide oversight. The intent is to distribute National Dues based on actual revenue vs. estimated. Coupled with policy changes the process should improve, eliminate recurrence of similar issues, thus, minimizing the need for reconciliation process. . NATIONAL DUES DISTRIBUTION POLICY THE OBJECTIVE To distribute national member dues between the National office and Regional Councils for services provided to national members for fiscal year 2022 based on the following criteria: Membership Renewal Dues -- 20% of dues income will be allocated to the National office. -- 80% of dues income will be allocated to Regional Councils. New Member Dues -- 20% of dues income will be allocated to the National office. -- 20%-30% recruitment incentive will be paid to the National office or Regional Councils actively engaged in the recruitment of new national members. Payment of incentive will only be made on a per member basis from the dues payment received for the first year of membership. The 20% recruitment incentive will apply to dues payments ranging from $9,000 to $19,000. The 30% recruitment incentive will apply to dues payments ranging from $25,300 to $38,000. -- 50%-60% will be allocated to Regional Councils. Distribution of Dues Among Regional Councils Actual 2022 dues collection as of December 31, 2022 totaled $12,618,138 (member renewals - $10,082,751; new member dues - $2,039,088; 2021 late payment dues - $496,300) of which $9,344,166 is allocated to the Regional Councils as follows: -- $269,661 (2.14% of dues income) used to provide: -- Life and long-term disability insurance coverage for Regional Council full-time staff ($68,978) -- Certificattion training ($15,341) -- Technology - affiliate certification portal annual licensing and hosting fees, and software maintenance ($158,400); software enhancements depreciation ($26,878) -- Telephone ($65) -- $117,165 (1%) allocated to selected councils directly engaged in the new member recruitment process. -- $9,344,166 (74% of dues income) allocated among the Regional Councils as follows: 70% Base Dues - divided equally among all Regional Councils. 20% Performance Bonus - to be allocated equally among 23 Regional Councils (subject to adjustment for non- 10% Headquarter Stipend - allocated on the basis of national member headquarter location. ADVOCACY In the realm of advocacy, the 23 Regional Affiliate Councils of the National Minority Supplier Development Council (NMSDC) play a pivotal and dynamic role. Spread across the nation, these regional affiliates are uniquely positioned to champion causes that profoundly impact diversity, equity, and inclusion policies and programs. With a nuanced understanding of the local business landscape, each affiliate tailors its approach to address its region's unique challenges and opportunities. The Situation: Following the Supreme Court decision on affirmative action in higher education in June 2023, a series of attacks on minority business programs at the local, state, and federal levels have unfolded. These developments laid the foundation for our comprehensive advocacy strategy and campaign, focused on educating and engaging our congressional members. The Strategy: From June to October, the Regional Affiliate Presidents embarked on a series of highly productive meetings with members of Congress. These meetings occurred within various Congressional districts and during the impactful "Day on the Hill" event on October 23rd in Washington, D.C. The primary objective of these sessions was to educate elected officials on policies that actively support minority-owned businesses. These meetings encompassed detailed discussions regarding the local economic impact of minority-owned firms and strategies to enhance their growth, competitiveness, and sustainability. Each interaction provided an opportunity for the Regional Affiliates to effectively educate congressional representatives on the pressing issues confronting Minority Business Enterprises (MBEs). Specifically, the meetings and outreach efforts were centered on addressing the ongoing legal and political challenges both corporate and government entities face. These challenges pose a significant threat to the very existence of supplier diversity programs. Throughout the August Recess (August 1 – September 11), Council Presidents and MBEs tirelessly met with Members of Congress, Senators, and their staff in nearly 16 District Offices. Beyond these in-person meetings, Regional Presidents and MBEIC Chairs maintained regular contact with congressional offices through phone calls and emails, collectively reaching out hundreds of times during this period. During this experience, CRMSDC president Sharon R. Pinder, MBE Input Committee Chair Sonya Hopson, MBE Legislative Chair Harris Floyd member Dokmai Walker met with members and staff of Senator Chris Van Hollen, Senator Ben Cardin, Representatives Kweisi Mfume, Gerry Connolly, Don Beyer, Glen Ivy, Eleanor Holmes Norton.


The pinnacle of this 5-month advocacy campaign was the "Day on the Hill" event on October 23rd in Washington D.C. During this event, Council Presidents, corporate representatives, and MBEIC Chairs convened with over 50 key lawmakers. They shared invaluable insights and experiences from the minority business community. Still, more importantly, they educated Members and their staff about the crucial and unique role that Congress plays in acknowledging past and existing discrimination. This recognition forms the basis for continuing programs aimed at rectifying disparities resulting from such discrimination. During this experience, CRMSDC president Sharon R. In addition to the impactful in-person meetings with Members of Congress, the morning session of the event featured presentations from notable figures, including Mayor Steven K. Benjamin, Senior Advisor to the President, and White House Director of Public Engagement, and Deidra Henry-Spires, Senior Advisor to the SBA Administrator. The afternoon session included presentations from Rep. Glenn Ivey (House Judiciary, Homeland Security, Ethics Committees); Dr. Winslow Sargeant (Former Chief Advocacy Officer, SBA); Sarah von der Lippe (Minority Business Enterprise Legal Defense and Education Fund -MBELDEF); Cate Benetti and Ryan Lambert (House Small Business Committee); and DeMarcus Walker and Shivani Pampati (Senate Committee on Small Business and Entrepreneurship). The situation demands our continued time and attention. The current attack on affirmative action is a growing battle, and its potential effects on businesses could be profound. Our commitment to advocacy remains unwavering as we navigate these challenges and work toward a more inclusive future.


DFW MSDC 2023 Snapshot – Year in Review North Texas Economic Impact $8.98 Billion reported revenues of 1,130 local DFW MSDC certified minority businesses. 1,218 Certified ethnic minority-owned businesses (88 out-of-region headquartered 92 Regional & National Buying Entity Partners 32,763 employed by the 1,130 DFW MSDC certified Minority-owned Businesses (Including 22,000 Ethnic Minority employees) 1,601 Bids, plans, and proposals disseminated. 25 North Texas cities/counties served.
