• Meeting was held as a Zoom call. Meeting started at 7:32 a.m.
OPENING AND VOTING AGENDA
• Monica Menzel reviewed minutes from prior month and asked for motion to accept. Silvana Rosero made a motion
to accept the meeting. Betty Manetta seconded. Motion carried.
FINANCIALS
• Mr. James Estes reviewed the financials. Mr. Estes informed the Board that the revenue for the period ending
November was $849.9K against a budget of $607.5K. National Dues are well above plan and Renewals are performing
as expected. Reflected also is the bonus of 50.3. The Expense actuals were $821.2K against a budget of $834K
• Forecast is adjusting to reflect higher revenue and office supplies, insurance and temporary help were adjusted on the
expense side
• As for the complete financials, Terri Quinton made motion to accept as presented. Rob Simpson seconded. The
motion carried.
CERTIFICATIONS
• In Rob Simpsons absence, Margo reviewed certifications: 35 New Certifications, 96 Recertifications. Heather
Herndon-Wright made motion to accept as presented. Don McKneely seconded. The motion carried.

CONSENT AGENDA
• Materials provided in the board book.
PRESIDENT’S REPORTS.
• President’s report topics were included in the board book.
• E-Awards will be virtual. Margo encouraged buying entities to nominate Supply Chain professionals. Toyota is
signature sponsor. Reception will take place after, and Emerald City will be entertainment. Bundle packages for
sponsorship will go out next week.
• Due to scheduling with E-Awards, Margo has proposed that we omit the November board meeting. Greg Spoon
made motion to accept change and Jeni Rajbhandari seconded. Motion carried.
• Margo also proposed annual meeting and board installation as live event in February. Annual report and economic
impact would also be available.
• NMSDC-Conference is taking place next week.
• Margo presented a resolution on indemnification. Discussion followed and review will be taken (including that of
affiliate agreement) by board members and legal counsel. It was agreed that further review will be taken and
consideration be given to a single letter signed by all affiliates.

(1) January 2021 resulted in an adjustment based on NMSDC National Memberships paid. Allocation for January was $14,049,
this may change throughout the year, based of NMSDC paid Memberships.
(2) The 2020 Bonus was received in late December 2020, normally received in May of following year. NMSDC allocation
method and cashflow allow for early distribution of funds.
(3) Operating expenses covering additional two Programs have exceed projections MBDA and CRR
(4) Credit card costs are exceeding projections as a result of higher value of use by MBEs, which is an upside in receipt of
payments.
(5) Cyber and Commerical Liablity packages reflected an increase
(6) Additional Professional fees in connection with special year end work.
(7) As a result of Administrative Staff turnover we were .required to bring in Temporary staff to handle transition.

The Board Chairs and Presidents of the 23 regional affiliates of the National Minority Supplier
Development Council (NMSDC) are submitting this correspondence jointly to share our concern
related to legal exposure on certification decisions executed on behalf of NMSDC.
Our boards are unanimously supporting the resolution that the Greater New England MSDC board
approved and submitted to you, seeking to have NMSDC indemnify and hold harmless all the regional
councils in connection with disputes that arise from certification or recertification decisions. For your
convenience, a copy of this resolution is enclosed.
One of the essential pillars of the work of our network is the certification of businesses as Minority Business
Enterprises (MBEs) that are minority-owned and controlled. As you know, the criteria for the certification
and recertification of MBEs are governed by the NMSDC, including issues relating to ethnic groups,
ownership; governance and control; and day-to-day management. Similarly, NMSDC outlines the
process for certification, including application; desk audit; site visit; Certification Compliance
Committee review; and board approval.
Under the current structure for certification and recertification, the regional councils have been tasked
with collecting and reviewing applications, including the required documentation; conducting site
visits; applying the criteria to the facts, and assessing whether a business is qualified to be certified or
recertified; and collecting fees for certification or recertification. Regional councils routinely consult
with NMSDC’s Network Delivery Services on the certification and recertification process, and a wide
variety of certification/recertification issues are referred in writing to NMSDC’s Field Operations
Committee, including the existence of “extenuating circumstances.”
Decisions by regional councils to approve or deny applications to certify or recertify a business as an
MBE have inevitably led to disputes over the years. In some cases, the applicant disputes a decision
to deny certification or recertification. Often, competitors argue a decision to approve certification
or recertification. Irrespective of the cause, these disputes may lead to litigation, which can be
expensive and significantly distract the regional councils, its staff, and the board of directors.
We believe that the potential for litigation would be reduced if potential plaintiffs know they are facing
a united front comprised of NMSDC and the regional councils. In addition, if the certification or
recertification decision ultimately results in litigation, the negative impact, both financial and otherwise,
would be reduced if NMSDC and the regional council were united in defending the most important

aspects of MBE certification, including: the NMSDC process; the NMSDC criteria; and the application
by the councils of the requirements to the specific facts of the certification or recertification.
Therefore, all 23 boards of the regional affiliates of NMSDC believe that if we have made reasonable
efforts to follow NMSDC’s criteria and process, and appropriate steps to apply that process and
standards to the facts before it, then it is reasonable to expect that NMSDC will indemnify and hold
harmless the regional councils from claims that arise in connection of certification or recertification
decisions.
Would you please advise of some time to discuss these issues in greater detail and agree on a path
forward?
