It will be Bonnie last executive meeting to host. She thanked the team for all she has learned from the experience. Minutes • Monica Menzel presented minutes from prior meeting. Terri Quinton made motion to accept, David Sanchez seconded. Motion carried. Financials • YTD Revenue of $836.9.2K vs budget of $702.3K – Bonus has been booked – driving most of favorable variance; subscriber levels up. National Dues and Local renewals are exceeding budget. • YTD Expenses are $977.1k vs budget of $958.3.5 • Full Year Forecast suggest we will be favorable by ~$6,000. • Don McKneely made a motion to accept financials, Terri Quinton seconded. Motion carried. Consent Agenda • Preliminary report on in-kind reporting ($57,225) was provided along with 2022 MBE spend ($362,561). Final report will be provided in Jan. • Nominating Committee – Monica Menzel


Of the 3 open Buying Entity Positions subject to new terms, incumbents, Monica Menzel, Kallie Malmgren and Jason Lynch (Bonnie’s replacement) are being recommended for ratification: Monica Menzel Comerica Bank Kallie Malmgren Oncor Jason Lynch Toyota There were 2 MBE seats that were also up for re-election: The AsianAmerican seat and the At-Large seat. Based on most votes received and support of the nominating committee and by virtue of demonstrable commitment to the council, the executive committee ratified the following: Reena Batra (Software Professionals, Inc) - Asian American Seat Garland Milton Quinn (Alpha and Omega Industries) - At-Large Seat Monica Menzel asked for a motion from the executive committee to ratify the two winners. Brandon Rakestraw made a motion. David Sanchez seconded. Monica also presented slate of officers for the 2023 year. The nominating committee recommends the following officer slate for 2023: Chair Bruce Collins – DFW Airport 1st Vice Chair Brandon Rakestraw – American Airlines 2nd Vice Chair Rob Simpson – Texas Instruments Secretary Monica Menzel – Comerica Bank Treasurer David Sanchez - Pepsico MBEIC Chair Pamela Nelson 2nd term Monica asked for a motion from the executive committee to ratify our Officer Slate. Motion was made by Terri quinton and the motion was seconded by Bonnie Clinton. • MBEIC –. Pam was not present to provide and but the report provided recap recent event. 15 attendees at latest call. • E Awards - Margo indicated that we will have the largest attendance. She is looking to the board for idea on how to get responses earlier. Bonnie suggested a drop dead date and a note that prices will increase after the drop dead date. Some suggested that we should reconsider a Thursday vs Friday date for future e-awards. • Recent Events – DISD day was a huge success with over 1000 attending. Don commented on the success of recent DISD. • Mentoring program update will take place in board meeting

The survey response rate was approximately 20% with an average of 74% of votes cast being for 1st, 2nd, and 3rd place being relatively equally distributed for the topics identified in the table below.
