CREDIT POLICY & TERMS OF SALE
Payment Terms: Koch Air is pleased to extend, as a standard term of sale, net 30 terms to its open account
customers in good standing. Customers in good standing are those who pay their invoices within 30 days from the
date of invoice.
Remittance: When paying invoices, your check remittance should indicate the amount and the invoice numbers
being paid. Statements are sent to customers on a monthly basis to allow our customers to reconcile their accounts
and to provide a summary of purchases for the month. Checks received without a remittance will be applied to your
account, with a remittance sent showing how the payment was applied.

Delinquent Accounts: Payment terms are Net 30 from invoice date. Delinquent accounts are subject to being
placed on credit hold. When an account is placed on credit hold, satisfactory payment arrangements must be made
with the Koch Air Customer Finance Team for the business relationship to continue. The delinquent balance will be
subject to a monthly service charge. A service charge rate of 1% per month or 12% annually will be charged.
An account that is delinquent to the point that Koch Air has suspended all sales transactions must satisfy the
following requirements in order to be considered for an open account privileges:
1. Pay all delinquent balances, service charges and any related collection fees
2. Complete a new credit application, submitting financial statements and other information as requested by
Koch Air
3. Koch Air management will review the information and Koch Air will make a decision concerning the open
account status
NSF Checks: A NSF check will remove open account privileges. Cash or Cashier’s check will be required to
replace any NSF check. Failure to take corrective action within 3 working days of notification may result in Koch
Air pursuing legal action. A $25.00 fee will be assessed for each NSF check returned.
Lien Rights: Koch Air will protect their lien rights. If an account becomes past due, Koch Air shall, at its option,
exercise lien rights on any equipment sold by the past due account in order to secure payment of the debt.
Incorrect or Disputed Invoices: Koch Air is anxious to correct or resolve incorrect or disputed invoices in
a prompt manner. Please bring these to the attention of your Territory Manger and our Customer Finance Team
immediately. When a disputed invoice becomes due, pay the correct amount against the incorrect or disputed
invoice. This provides the Customer Finance Team written notice and documentation of the discrepancy or claim
for the amount withheld.

Carrier® Factory Authorized Dealers (FADs) continue to have a competitive advantage in 2016
with the FAD Full-Year Financing Promotion. This promotion will provide FADs with
reimbursements on qualifying financing plans and equipment for the entire year. This eliminates
interruptions tied to the start/stop selling periods of seasonal promotions and off-sets a portion
of the cost associated with providing financing to homeowners.
DEALERS MUST FILE REIMBURSEMENT CLAIMS FOR THIS PROMOTION AT
www.CarrierIncentives.com. Promotion terms are subject to (1) product availability and (2)
change or cancellation without prior notice.
Promotion Guidelines
Promotion Dates
All sales must occur between January 1, 2016 and December 31, 2016. For each eligible
financing reimbursement, FADs have 60 days from the date of sale to (1) install the qualifying
equipment, (2) file the financing promotion claim on CarrierIncentives.com, AND (3) process
funding for Carrier Consumer Financing through Wells Fargo Retail Credit for the homeowner
financing transaction.
This promotion is not retroactive for homeowners who purchased qualifying equipment prior to
January 1, 2016. Carrier systems or units purchased after December 31, 2016 do not qualify for
this promotion.
Dealer Eligibility
To be eligible to participate in this promotion, a Carrier dealer must meet all of the following
criteria at the time of sale and during the claiming/reimbursement process.
1. Current with all FAD eligibility requirements
2. Status must show “active” in the HVACpartners.com dealer profile for the FAD Program at
the time of sale and throughout the claiming/reimbursement process.
If FAD status is not maintained (either 1 or 2 shown above) at any point in the
sale/claiming/reimbursement process, dealer is not eligible for reimbursement.
3. Dealers working toward the FAD requirements and non-FADs are not eligible for this
promotion.
4. Enrolled in the Carrier Consumer Financing Program through Wells Fargo Retail Credit.
5. Carrier FAD must be located and doing business in the United States. Carrier FADs located
in Canada are not eligible.

Eligible Sales
Sales to homeowners in the U.S. are eligible for the FAD Full-Year Financing Promotion. Only
Carrier systems/units sold as a replacement for the homeowner’s existing systems/units or as
an add-on to an existing home qualify.
The following sales are NOT eligible for this promotion:

• Residential new construction applications or upgrades

Eligible Products
Eligible products are listed on the “2016 Carrier® FAD Full-Year Financing Promotion - Product
Grid”. This grid is available from Carrier distributors and on the HVACpartners.com and
CarrierIncentives.com websites.
All reimbursements on the financing product grid, excluding ductless splits and IAQ must
include the sale of a standard Carrier branded control. Standard controls include Infinity®
System (SYSTXCC), Performance™ Series (TP or ZONECC) or Comfort™ Series (TC or
ZONECC).
Eligible equipment from the “2016 Carrier® FAD Full-Year Financing Promotion - Product Grid”
must be financed through one of the following financing plans.

1No-Interest if Paid in Full: The interest accumulates during the promotional period. Interest is added into the
customer account balance if the account is not paid in full during the promotional period. If the customer pays the
balance in full before the promotional period expires, they pay no interest.

3Equal Payments: The monthly payment required during the equal payments period will be in an amount required to
pay the unpaid balance of the account at the beginning of the first billing cycle of the equal payments period, in fixed

could be less than the other fixed payments.

Cool Cash Rebates
Dealers may not claim the FAD Full-Year Financing Promotion on the same sale that a Carrier
Cool Cash rebate is claimed.
During Carrier Cool Cash Rebate promotion periods, FADs can offer the following on each
qualifying sale:
1. The FAD Full-Year Financing Promotion
2. The Cool Cash product rebate
IMPORTANT: If a FAD offers both a Cool Cash product rebate and a FAD Full-Year Promotion
financing plan (1019, 4091, 4115), the FAD can only claim reimbursement for either the rebate
OR the financing, not both. For example:
a. If a FAD chooses to claim the financing reimbursement, the FAD is responsible
for 100% of the cost to fund the homeowner’s product rebate. FADs are also
responsible for all rebate payment arrangements to the homeowner. Equipment
claimed must be eligible on both the “FAD Full-Year Financing Promotion”
Product Grid AND on the “Cool Cash Product Rebate Grid”.
b. If a FAD chooses to claim for the product rebate reimbursement, the FAD
assumes 100% of the financing cost.
Dealer Reimbursement
For each eligible financing reimbursement, FADs have 60 days from the date of sale to (1)
install the qualifying equipment, (2) file the financing promotion claim on CarrierIncentives.com,
AND (3) process funding through Wells Fargo Retail Credit for the homeowner financing
transaction.
Dealer Claim Process
1. Homeowner selects a qualifying financing plan (1019, 4091, 4115) with Carrier Consumer
Financing through Wells Fargo to purchase and finance eligible products from the “2016
Carrier® FAD Full-Year Financing Promotion - Product Grid”.
2. FAD pays full financing fee due to Wells Fargo at time of financing transaction
3. To claim financing reimbursement, FAD goes to www.CarrierIncentives.com and enters sale
date and selects FAD Full-Year Financing Promotion
a. FAD enters eligible products, purchase date, installation date and includes salesperson’s
MyHVACpin #
b. FAD enters last 4 digits of Homeowner’s Wells Fargo Account # (provided when
financing was approved), and selects the promotion financing plan number used,
validates and confirms accuracy of information entered, completes claim and documents

The terms of the NATE Icon program are contained in the following pages of this Application and Dealer Agreement.
Dealer hereby applies to Carrier Corporation, with an office located at Carrier Parkway, PO Box 4800, Syracuse, NY 13221
(hereinafter called “Carrier”) for appointment of a NATE Icon, and if approved by Carrier, dealer agrees to comply with the following
programs terms:
1.1 During the term of the Agreement, at least fifty percent (50%) of the technicians that certify or approve any service or installation
work employed by Dealer shall have been certified through NATE (core + 1 specialty exam—heating or air conditioning).
1.2 Dealer shall comply with all Carrier installation and service instructions and policies and shall perform all equipment installations
and service in accordance with generally accepted trade practices and all federal, state and municipal laws.
