The Belgian-Luxembourg/Thai Chamber of Commerce Minutes of Annual General Meeting 1/2022 On Tuesday 26th April 2022; at 18.30 – 19.00 hrs. At Hansar Bangkok Hotel Preliminary proceedings Ms. Siriporn Wuthilaohaphan, the President of the Chamber, chaired the meeting. There were a total of 23 ordinary members represented (15 in-person and 8 proxies), constituting a valid quorum as the Chamber has a total of 85 ordinary members who have voting rights. 1. Opening Ms. Siriporn Wuthilaohaphan, the President of the Chamber and Chairman of the Meeting opened the meeting at 18.30 hrs. and deeply thanked the members for attending the Annual General Meeting. The chairman appointed Ms. Sarudha Netsawang, the Executive Director, to conduct the Annual General Meeting. 2. Approval of the minutes of The Annual General Meeting of 30th March 2021 The minutes of the Annual General Meeting of 30th March 2021 was approved without change. 3. Review of the Annual Activities Report of 2021 and Activities in 2022 BeLuThai reached 86 paying members at the date of 31st December 2021, consisting of 84 Ordinary Members and 2 individual members. In 2021, the Chamber welcomed 16 new members and 20 members resigned their membership. The Executive Director, Sarudha Netsawang highlighted the activities of 2021 and commented that the events were well attended overall. Some events were organized together with other Chambers giving BeLuThai members access to a broader network. The Chamber continuously participates in monthly Joint Chambers Events in the Eastern Seaboard. The Chamber started various events in 2021, starting with the BeLuThai Late New Year Celebration Evening in February. The Annual General Meeting and Reception in March that was held to thank Dr. Sutharm Valaisathien for his 10 years of Presidency to BeLuThai. Later in September, we hosted the “Blockchain Technology and Digital Currencies for Companies” online Webinar. And another successful event in November was the Eastern Seaboard Networking Event, which was honoured by the presence of H. E. Mrs. Sibille de Cartier d’Yves, the Ambassador of the Kingdom of Belgium in Bangkok. The Chamber also hosted the lively Christmas Dinner by Blue Elephant Cooking School & Restaurant in December which was well attended. In 2022, BeLuThai will organize more physical networking events and business discussions. Also the online networking events with other BeLu Chambers in Asian countries from February onwards. The activities for 2022 are such as; BeLuThai Dialog Box, Khon Kaen Business Forum, Panel Discussion, GALA Dinner, MultiChamber Networking Night and Christmas Dinner are planned throughout the year. 4. Approval of Financial Statements for the year ended 31st December 2021 Marc Dehertogh, the Vice-President, explains the revenues and expenses as shown in the financial statement. In 2021, BeLuThai recorded an excess of expenditures over revenues of 94,939.35 THB. The members approved the Financial Statements for the year ended 31st December 2021. Amendment of the By-Laws to reflect the Chamber’s address in the new location With approval from the Board of Directors, the Chairman announced that the address of the Chamber will be changed from: Room 1229, 4,4/5 Level 12, Central Tower, Rajdamri Road, Pathumwan, Bangkok 10330, Thailand with phone number 02-697-9069. And asked the members to approve the amendment of the By-Laws in Article 1. The members approved the change of the address and the amendment of the By-Laws in Article 1. 7. INTRODUCTION 2022 is our eventful year, we are pleased to share our annual report this year, reflecting the progress and achievements of BaluThai. In 2022, BaluThai continued to thrive as a leading purveyor of authentic Thai cuisine at our Christmas Dinner at Blue Elephant (full name), delighting our valued members and friends with the flavors and traditions of Thailand. Our commitment to quality, sustainability, and community engagement remained at the forefront of our operations. Throughout the year, we achieved significant milestones, including expanding our membership and strengthening our partnerships with local companies. We also made progress in our sustainability initiatives, implementing measures to reduce waste, conserve energy, and promote eco-friendly practices across our operations by introducing our recycle backdrop program together with our partner company. In addition, BaluThai remained dedicated to giving back to the communities that have supported us. We participated in various charitable activities, including donations to local causes, and community engagement programs to the Joint Foreign Chambers of Commerce in Thailand (JFCCT). In 2022, there was a financial loss of 460,772.35, which was mainly attributed to the upgrade of the Chamber's IT system and the rising costs of living and activity operating in Thailand. MEMBERSHIP We are thrilled to announce that our membership numbers in 2022 increase from 85 to 95 reflecting the increasing support and loyalty of our valued members. BeLuThai organized and co-hosted multiple successful events, which were well-attended overall. Some of the highlights include: SUPPERNAP (Thailand) Data Centre Site Visit and BeLuThai Eastern Seaboard Golf day We visited and experienced the most advanced data center in Southeast Asia. Followed by the first sports event hosted by us, BeLuThai Eastern Seaboard Golf Day at Pattana Golf Club & Resort, Chonburi, and finishing the lively and active day by Networking event The funds were raised during the BeLuThai Eastern Seaboard Golf Day and presented to the Foundation for Slum Child Care, Baan Sua Yai
BeLuThai Annual General Meeting 2022 Our Annual General Meeting (AGM) and networking night 2022 was held at Hansar Hotel Bangkok. The event was well-attended by members and guests of BeLuThai, who gathered to discuss the past year's accomplishments and future plans. BeLuThai 30th Anniversary Gala Dinner In September we held our highly anticipated 30th Anniversary Gala Dinner at The Athenee Hotel, a Luxury Collection Hotel. The event, which was held under the theme of "The Great Gatsby" was very successful with 150 attendees from the Belgian-Luxembourg and Thai business communities coming together for an evening of glitz and glamour. BeLuThai Welcome Back The welcome back event was the first gathering of BeLuThai members after the holiday break. The attendees were excited to reconnect with one another and start the new season on a positive note. The event was hosted at The Montien Hotel Surawong Bangkok with over 70 attendees.
Belgium & Luxembourg Day Company Visit 2022 We organized a full day of company visits to the GalloThai chocolate factory and Ducati Thailand. The event was a unique opportunity for members to learn about the operations and production processes of these leading companies in our communities. BeLuThai Christmas Dinner We hosted a traditional Christmas Dinner 2022 at the Blue Elephant Cooking School and Restaurant. The event brought together members and families of the business community to share in the spirit of Christmas and celebrate the end of another successful year. BeLuThai Eastern Seaboard Briefing and Networking Evening The evening began with a briefing on the BCG economic model by WHA Group, followed by the Multi-Chambers Eastern Seaboard Networking at OZO North Pattaya Hotel. The event was wellattended with over 140 participants. The networking event provided a great opportunity for attendees to connect with fellow members and friends of our business community in Eastern Seaboard area.
FINANCES Administrator, Ms. Khaewalee Chuaynukul is responsible for all day-to-day accounting transactions. Thai accounting data entry, monthly closing, bank and balance sheet reconciliation, withholding taxes, and VAT submissions to the Revenue Department are outsourced to Ms. Supaporn Naiyo. In 2022, BeLuThai recorded a total income of THB 3,482,787.22 with an excess of expenditures over revenues of THB 460,772.07. COMMUNICATION In addition to E-mail, website, Facebook page, LinkedIn and Instagram, there are other channels that members can get more information about BeLuThai news and activities. Due to a lack of advertisers, the Chamber was not able to produce Connect Magazine in 2022. The magazine was replaced by BE CONNECTED Newsletter which is sent to all contacts every week. Connect Magazine will come back in 2023. SERVICES TO MEMBERS Contacts: The Chamber provides the opportunity – through activities like luncheons, seminars, and dinner meetings – to meet and exchange information with leading Belgian, Luxembourg and Thai business people regularly, as well as with members of other Foreign Chambers of Commerce. Information: the BeLuThai website provides information on Chamber members, Chamber events, the business and economic environment in Thailand and Belgium/Luxembourg, social and cultural matters, as well as on trade inquiries. It also provides a large number of links to Thai and international websites which will be of use to our members. Members are also informed about the activities of other Chambers through E-mail and broadcasting news. Participation: BeLuThai is an official body that can be utilized by its members to have access to the Thai authorities.
