“Air Management Supply has The roots of The Century Companies go back to 1973 when Dennis Bearden
remained open and committed founded a small supply operation in Houston. It did not stay that way for long.

own a new business that needs to build and strengthen its brand or you own a well-established company looking for fresh ideas, the Century
Companies’ Marketing Team can help. To get started on a custom piece or full-scale campaign, please answer or provide the items below.
High-resolution logo. The quality must be at least 300 dpi, or plan enough time for us to recreate your
logo. Logo design/redesign is also available.
Contact info. Your company phone, website, TACL, etc.
Budget for your piece(s). This amount should not include co-op reimbursement: how much is the
contractor willing to spend out-of-pocket?
What is your goal? What do you hope to gain by creating this custom piece? Typical examples are:
more equipment sales, increase number of customers with maintenance agreements, more IAQ /
accessory sales, increase average service ticket, etc. It is better to have ONE clearly-defined goal than
several goals. This goal will determine the headline and design of the ad and help us form the main
message.
Medium for ad. Do you want a postcard, newspaper, door hangers, business cards, magazine, TV, radio,
etc? Because budget is the single most important factor when determining your marketing medium,
the Century Marketing Team can make recommendations for the best medium based on your budget,
target market, and goals.
Memberships/Association logos and awards. Include NATE, BBB, or other logos to include in your ad.
Three to four offers and expiration dates for each. Offers should be directly in line with your goal for
the marketing piece. Remember to include the original price for any discounted offers - this helps to
build value in the mind of the consumer. Financing promotions can also be good offers. Don’t forget to
tell us about any exclusions or limitations to your offers.

CO-OP ALLOWANCE
One of the benefits of becoming a Rheem dealer with Air Management is an annual co-op marketing budget. The purpose
of the co-op fund is to help dealers grow their businesses through co-branded marketing, advertising, and promotions.
GENERAL GUIDELINES
All co-op claims are subject to review by Air Management Supply and Rheem.
The Rheem logo height must be at least 0.5” on small print items to be co-op eligible; can be promoted in any media. Any claim for advertising, in any media, that features

The Fine Print
Program participants will receive quarterly statements from Air Management starting in April. Actual “Cool Cash” earnings will appear on the statement only after the
program goals and minimums have been reached. A dealer enrollment form must be completed. Dealers will not be eligible for participation or program benefits until
the completed and signed forms are received and approved by Air Management.
Each enrollment form must include either a Federal ID Number or the dealer’s Social Security number. Corporations must: 1) use their Federal ID Number, 2) give the
full legal company name, and 3) identify themselves as a corporation. As required by the IRS, all participants may receive a Federal 1099 misc. income tax form for
rebate checks of $600.00 or above, subject to IRS rules in effect at time of rebate.
The dealer is responsible to notify Air Management of any information changes including, but not limited to name, address, and phone number.
2021 Sales less any floor plan or any other consignment account balance at the end of December will be compared to the same figure for the previous year to calculate
cool cash. Dealer Sales that were paid by a debit/credit card will be deducted from the Cool Cash calculation. Air Management may find it necessary and reserves the
right to change the “Cool Cash” Program and may initiate changes impacting procedures, rules, earning percentages, and rebate earned, and is the sole judge on
purchase figures and earnings calculations. Air Management reserves the right to end the “Cool Cash” Program at any time.

AMS FLOOR PLAN AGREEMENT
RHEEM SALES COMPANY, INC. AIR CONDITIONING DIVISION
PLAN: AIR MANAGEMENT SUPPLY, INCORPORATED
1) To participate, each Dealer must provide:
a) Dealer Inventory Plan Agreement;
b) Credit Information Form
2) Forward completed and signed forms to the Rheem Credit Department in Fort Smith, Arkansas. Please indicate credit
limit needed on the Credit Information form; however, the Dealer must qualify for at least a $10,000 credit line to
participate in the program.
3) Each order will be handled as a separate transaction. The Dealer will not be required to pay off one transaction
before the next one will be approved.
4) Only transactions invoiced in excess of $2,500 will be considered.
5) Air Management will be notified when the Dealer account is approved and set up. Upon notification, the
Rheem Inventory can be delivered to the Dealer. The Dealer will be billed under the Distributor’s normal billing
procedure and title to the Rheem inventory passes to the Dealer upon delivery.
6) The Distributor will assign its accounts receivable for each transaction completed under this Program to Rheem.
A copy of the Distributor’s invoice, evidencing sale and delivery of the Rheem inventory to the Dealer, must be
forwarded to the Rheem Credit Department in Fort Smith, Arkansas. Credit will be issued to the Distributor in the full
amount of the assigned accounts receivable. The Dealer will receive invoice notification of this assignment.
7) Each transaction will be invoiced separately, provided each invoice is greater than $2,500.
Each invoice will receive Net 90 Day terms.
8) Interest will accrue on any past-due balance at the lesser of prime lending rate + 5% or maximum rate of interest
permitted by law. Further, no additional equipment will be sold by Rheem while a Dealer has an unpaid, matured balance.
9) All Terms are Net. No Discounts allowed.

AMS FLOOR PLAN AGREEMENT
WITNESSETH:
WHEREAS, the parties hereto believe it to be in their best interests to offer, to arrange for, and to participate in a Dealer Inventory
Program (the “Program”) pursuant to which Rheem may give to Distributor credit on its account with Rheem in exchange for Distributor
assigning to Rheem certain accounts receivable of Distributor resulting from the sale by Distributor to Dealer of heating and air conditioning
equipment sold to Distributor by Rheem (the “Products”), and
WHEREAS, Rheem, Distributor, and Dealer wish to participate in the Program and be bound in accordance in the terms and conditions hereof;
NOW, THEREFORE, in consideration of good and valuable consideration and of the covenants, conditions, and agreements hereinafter
set forth, the parties hereto agree as follows:
1. Rheem, in its sole discretion, may make the Program available to Distributor and Dealer upon Rheem’s review and approval of the
following documents and information:
(a) Credit Information Form and other forms required by Rheem.
2. (a) Upon receiving credit approval from Rheem, Distributor may assign to Rheem, and hereby assigns to Rheem, all Receivables,
whether now existing or hereafter arising and without any further act or instrument, in accordance with the terms hereof, that Rheem
agrees to accept. For purposes hereof, “Receivables” shall mean and include all accounts, contract rights, general intangibles, chattel
papers, instruments, documents and all forms of obligations owing by Dealer to Distributor arising out of the sale of Products by Distributor
to Dealer after the date hereof, all proceeds thereof, and all of Distributor’s rights to Products evidenced thereby, rights to insurance
policies covering said Products, and right, title, security interests and guarantees with respect to such Receivables, including rights of
replevin, reclamation and stoppage in transit and all other rights of an unpaid seller of merchandise.
(b) Distributor must submit to Rheem a copy of each invoice for the Products sold by it to Dealer. The submission to Rheem of such
invoices by Distributor shall be deemed to constitute a representation, warranty and covenant by Distributor that each of the Receivables
evidenced thereby (i) arose from the sale and delivery of Products in the ordinary course of its business, (ii) has been billed and is owing
in full and is not subject to any dispute (real or claimed), offset, defense, or counterclaim, and (iii) is for an amount certain payable in
accordance with the terms of such invoice.
(c) Only Receivables for which Rheem issues to Dealer a confirming invoice will be deemed assigned and accepted Receivables
hereunder, and no Receivable shall be deemed assigned and accepted unless Rheem issues Dealer such a confirming invoice therefore.
For each Receivable that Rheem accepts, Rheem will credit the account of Distributor in an amount equal to the face amount of such
Receivable. Rheem will have complete discretion in deciding which Receivables to accept.
(d) In the event that either Dealer or Distributor breaches any representation, warranty or covenant contained in this Agreement, Rheem
shall have, in addition to all other rights under this Agreement, the right to charge back to the Distributor immediately the full amount of
Receivable affected thereby, but such chargeback shall not be deemed a reassignment thereof, and Rheem shall retain a security interest
in such Receivable and in the merchandise represented thereby until such Receivables are fully paid, settled and discharged and all of
Distributor’s obligations with respect thereto are fully satisfied.
(e) As security for all of Distributor’s obligations owing to Rheem from time to time, including all amounts owing hereunder, Distributor
hereby grants to Rheem a security interest in and lien upon all Receivables assigned to, and accepted by, Rheem, all books and records
related thereto, and all products and proceeds of the foregoing, in each case whether now owned and existing or hereafter acquired or
arising, and wheresoever located.
(f) Distributor agrees to provide reasonable assistance to Rheem in the collection of the Receivable from Dealer. Distributor authorizes
Rheem to file UCC financing statements that Rheem deems necessary or appropriate to perfect and protect its interests in Receivables
and related assets. If Dealer pays to Distributor any amounts owing under any Receivable that has been assigned to and accepted by
Rheem, Distributor will hold such amounts in trust for Rheem, will keep such payments segregated from all of its other assets, and will
immediately transfer such payments to Rheem, in the form received (together with any necessary endorsements). If any Products shall be
returned by Dealer to Distributor, Distributor shall immediately pay Rheem the full amount of the assigned and accepted Receivable related
thereto. If any dispute or claim arises in respect of any Receivable assigned to, and accepted by Rheem, Distributor shall immediately pay
the full amount of such Receivable to Rheem.

3. Distributor may sell Products to Dealer on payment terms that obligate Dealer to pay for the invoiced Products with Net 90 Day
terms, provided that (a) Dealer complies with the terms of this Agreement and any other terms of the Program and (b) the aggregate total
of each invoiced transaction is greater than $2,500. Interest will accrue on any past due/balance at a rate per annum equal to the lesser
of prime lending rate + 5% or the maximum rate of interest permitted by law. Further, no additional equipment will be sold to Dealer while
Dealer has an unpaid, matured balance.
4. Notwithstanding anything to the contrary contained herein or elsewhere, any and all amounts due to Rheem from Dealer and/or
Distributor under the Program may be immediately called due and payable on the occurrence of any of the following events:
(a) Default in the payment by Dealer or Distributor of any obligation owing to Rheem, arising either under the Program or otherwise;
(b) Any representation or warranty of financial information furnished to Rheem in connection with the Program shall at any time prove to
be incorrect.
(c) Failure by Distributor or Dealer to observe or perform any covenant or obligation under this Agreement or the Program;
(d) Dealer or Distributor shall become insolvent (however defined or evidenced) or commit an act of bankruptcy or make an assignment
for the benefit or creditors or appoint a committee of creditors or make or send notice of an intended bulk transfer or if there shall be
convened a meeting of the creditors or principal creditors of Distributor or Dealer, or if any petition or application to any court or tribunal,
at law or in equity, by or against Distributor or Dealer, be made for the appointment of a custodian, receiver or trustee for the Distributor or
Dealer or for any substantial portion of the property or assets of Distributor or Dealer, or if Distributor or Dealer shall cease to function as a
going concern or if the usual business of Distributor or Dealer shall be terminated or suspended.
5. Nothing herein shall obligate Rheem to sell Products to Distributor or Dealer, or to accept Receivables from Distributor. This
Agreement is not intended to limit or restrict Distributor’s right to select its Dealers and the terms and conditions upon which it deals with
them, except, to the extent necessary to qualify Receivables for assignment and acceptance hereunder.
6. Distributor and Dealer each represents that its obligations herein (i) are valid and binding upon it and are legally enforceable
in accordance with the terms hereof, (ii) and do not violate its certificate if incorporation, by-laws or other applicable organizational
documents, or any agreement to which it is a party.
7. Rheem shall, at all reasonable times, have full access to and the right to audit Distributor’s or Dealer’s books and records, confirm
and verify all Receivables assigned to Rheem and to do whatever else Rheem deems necessary to protect its interests.
8. Failure by Rheem to exercise any right, remedy or option under this Agreement or delay by Rheem in exercising the same shall not
operate as a waiver thereof. Rheem’s rights or remedies under this Agreement shall be cumulative and not exclusive of any other right or
remedy which Rheem may have at law.
9. Dealer and Distributor each agrees to furnish to Rheem from time to time such information regarding its business affairs and financial
condition as Rheem may request.
10. Dealer and Distributor each agrees that Rheem may discontinue the Program at any time without any liability whatsoever to Dealer
or Distributor, and that Rheem may in its sole judgment determine the amount of credit outstanding or to be outstanding at any particular
time to Dealer or Distributor. Dealer agrees to pay, or reimburse Rheem for paying, any and all excise, floor, sales and other taxes, if any,
applicable to the transactions contemplated hereby, and Dealer agrees to indemnify and hold harmless Rheem against loss by reason of
any such taxes. This Agreement may be terminated by any party hereto upon seven days prior written notice to the others; provided that
such termination shall not relieve any party of any obligation or duty contemplated hereby and incurred prior to such termination date, and
the security interests granted hereunder shall remain in full force and effect until all of such obligations and duties have been fully paid and
satisfied.
11. The Program is available only to Dealers that qualify for a minimum credit line of $10,000 and only orders in excess of $2,500 will be accepted.
12. This agreement shall be governed by and interpreted in accordance with the laws of the state of Georgia.
