1. DEFINITIONS (1 of 3)

The terms defined in clause 1 of this Constitution of the Club have the same meaning wherever appearing in this Constitution. Terms
below have the corresponding meaning listed.
“Anniversary Date” means the first day of the month one year following the month in which GVC Points are purchased, and the same
day each year thereafter. Where a Member acquires more GVC Points, the Anniversary Date will be the same as the existing Member
Points.
“Anniversary Year” means the one-year period commencing each year on the Anniversary Date and ending at the end of the day on the
day prior to the next Anniversary Date, but in the first year means the period from the date of first sale of GVC Points to the end of the
day prior to the next Anniversary Date.
“Annual Levy” means the annual fee payable by each Member as determined by the number of GVC Points they acquire and in
accordance with this Constitution, which are applied towards the Club operations and services provided to Members.
“Apartment(s)” means an apartment at a Resort/Complex to which GVC Points have been determined by the Club.
“Room(s)” means a room at a Resort or Hotel within to which GVC Points have been determined by the Club.
“Best Fit System” is a reservation system that assigns the highest priority Apartments/Rooms for each reservation giving preference to
reservations made furthest out.
“Club” or “Global Vacation Club” means the Club established by Global Vacation Club.
“Global Vacation Club” means the vacation system with its various product features that allows its Members to use.
“GVC” means the abbreviated term for Global Vacation Club.
“Club Manager” means Global Vacation Club, which is responsible for managing the Club.
“Constitution” means the Global Vacation Club Constitutional Guidelines and Regulations as amended from time to time.
“Daily Point Values” means how many Points are required to stay in each Apartment/Room on a daily or weekly basis.

“Governing Documents” means the Constitution (this document), the Product Disclosure Statement, the Members Users Guide, all as
amended from time to time, and any other document from time to time which regulates Membership in the Club.

“Guest” means a person other than a Member who uses the Resorts, Hotels or other vacation accommodation fin the GVC product
features, used through the rights of a Member in accordance with the Governing Documents.

“Constitutional Guidelines” means these Guidelines and Regulations as amended from time to time.

“Member”, “Global Vacation Club Member”, or “Club Member” means any person who is issued with GVC Points as an individual or
jointly with any other person. All Members are subject to this Constitution. Being a family member of a Member, or living in the same
residence as a Member, does not result in any Member’s rights being available to that person and any Club use or exercise of any Club
privileges and benefits are subject to this Constitution.

“GVC Member Services Consultant” means a Club representative employed by Global Vacation Club to process Member reservation
request and holiday booking requirements.

“Nominated Person” means the person(s) who is/are authorised to make and cancel holiday reservations/bookings, where the Member
is a corporate entity or where the Membership comprises of more than two natural people.

Where relevant, reference to a ‘Member’ in this Constitution is a reference to the Nominated Person(s) of that Member(s).

“Occupant” means a person occupying an Apartment or Room in a Resort, Hotel or an Apartment Complex for any period and any
derivations thereof have a corresponding meaning.

“Points” or “GVC Points” means the currency for determining a Member’s use rights of the Resorts, Hotels and Apartment Complex and
hold such rights and obligations as set out in writing at the time of their creation and issue.

“Points Available” are the total number of Points available for use in a Member’s account, whether saved or borrowed. The usage value
of these Points renews annually on the first day of the Anniversary Date of their purchase.

“Points Acquired” are the total number of Points purchased and held for a period of twenty-five (25) years, commencing from the date
of purchase, which are renewed annually.

“Resort(s)” means Apartments or Rooms and associated Communal Areas appurtenant to such Apartments or Rooms.
“Hotel(s) means Rooms and associated Communal Areas appurtenant to such Rooms.
“Apartment Complex(s)”means Apartments or Rooms and associated Communal Areas appurtenant to such Apartments.
“Resort/Hotel Manager” means the general manager or manager of the Resort or Hotel where the guest is staying.
“Resort/Hotel/Apartment Complex Regulations” means those regulations governing the use of Resort, Hotel or Apartment Complex.
“Weekend Only Reservation” is a two-night Friday and Saturday reservation. Any other combination of days is not considered a
Weekend Only Reservation.
“GVC X” means the vacation properties feature of the Club whereby Members can utilize their GVC Points and also purchase discounted
accommodation in a variety or Resorts, Hotels, Apartments and other types of accommodations.

“GVC X City Linx” means the capital and popular tourist cities vacation properties feature whereby Members can utilize their GVC Points
and also purchase discounted accommodation in a variety or Resorts, Hotels, Apartments and other types of accommodations.
“Global Grabs” means an additional feature of the Club offering a selection of vacations which Members can use at discounted rates
without using their GVC Points.
“Global Voyagers” means an additional feature of the Club that offers Members a stay at a vacation property on land followed by a
luxury ocean cruise available in a variety of destinations around the world.
“Global Gems” means an additional feature of the Club that offers Members a stay at a vacation property on land followed by a luxury
river cruise available in a variety of destinations around the world.
“2 Vacations 1 Voyage” means the signature concept the Club offers in its Gems and Voyagers features, combining a stay in a vacation
property on land and a luxury ocean or river cruise in selected worldwide destinations.
“Additional Features” means additional products and services the Club adds or removes at its absolute discretion in order to provide
Members with a continuous supply of alternative vacations.

2. RESORT REGULATIONS

Where the vacation property comprising of a Resort, Hotel or Apartment Complex Regulations of that Resort, Hotel or Apartment
Complex insofar as they relate to the use of the vacation property, have precedence over these Constitutional Guidelines and all
Members must, to the extent applicable, comply with those Resort, Hotel or Apartment Complex Regulations.

3. ADMINISTRATION

3.1 Nominated Person

If the Member’s’ Membership comprises of more than two natural people, or the Member is a corporate body, the Member must
designate a Nominated Person. The Nominated Person is the only person authorised to make and cancel holiday
reservation(s)/booking(s). The Member is however bound by, and is responsible for, the actions of the Nominated Person. Where
relevant, reference to ‘Member’ in these Guidelines is a reference to the Nominated Person of that Member.

3.2 Annual Levy

The Annual Levy is determined in accordance with this Constitution, payable by each Member of the Club which are applied towards the
Club operations and services provided to its Members. The Levy amount is calculated at US$0.25 per GVC Point in accordance with the
amount of GVC Points one acquires and is payable annually for the tenure of the membership. The Levy is subject to an annual increase
of no more than 7.5%.

Each Member’s Annual Levy for each year of the Member’s membership term, deemed the “Anniversary Year” is due and payable in on
the Anniversary Date in advance of using GVC Points. The Annual Levy must be not be in arrears when wishing to use GVC Points for a
reservation. The Annual Levy is payable in advance if a Member requires to borrow GVC Points from his/her’s following year’s allocation.

3.3 Annual Enrolment Fee

The Annual Enrolment Fee, payable by each Member, is determined in accordance with this Constitution, payable by each Member on
their Anniversary Date and in advance of using their GVC Points allocation and or any other feature that offers vacation products and
services. The Annual Enrolment Fee is set at US$349 or US$1,495 for a 5-year term and is subject to an annual increase of no more
than 7.5%.

3.4 Amendments

GVC may amend these Constitutional Guidelines from time to time, which may include the amendment of any fees or hours of
operation listed in these Guidelines.

3.5 Violations

(a) Failure to abide by these Constitutional Guidelines or any individual Resort, Hotel or Apartment Complex Regulations may result in
temporary or permanent suspension of the defaulting Member’s rights and privileges including, but not limited to, the temporary or
permanent suspension of current or future bookings at one or more Resorts, Hotels or Apartments by the Member, Guest or invitee.
Where a Membership is held by more than one Member, the suspension can be applied to one or more Members; and/or immediate
cancellation of any current or existing booking at a Resort, Hotel or Apartment.

(b) Any Member whose rights and privileges are suspended either temporarily or permanently is prohibited from visiting or staying at
any Resort, Hotel or Apartment Complex during the period of their suspension.

3.6 Discipline

(a) This Constitution includes the power for the Club to terminate occupancy at a Resort or Hotel or Apartment Complex for violation of
the Constitutional Guidelines or any directions given by the Club Manager.

(b) Any complaint or grievance by a Member concerning any employee of the Club or any matter relating to the Club, Resorts or Hotels
is to be made in writing to the Club Manager.

3.7 Enforcement

(a) The Club Manager has full authority to implement these Constitutional Guidelines and can cancel a booking and request a Member
and/or Guest(s) to immediately leave a Resort or Hotel or Apartment Complex if he/she deems it necessary and in the interests of
the Club and its other Members; and

(b) Member Services Consultants have full authority to apply these Constitutional Guidelines when processing reservations for a Resort,
Hotel or Apartment Complex.

3.8 Administrative Fees

This Constitution includes the power for the Club to charge administrative fees when the Annual Levy is not paid by the date due and to
set fees for the transfer of GVC Points. These fees are set forth below and may be amended from time to time, by the Club:

(a) Annual Levy not paid by the due date are subject to a late fee calculated at 15%p/a if full payment is not received within 10 days
after due date.

(b) A return cheque or dishonour charge of US$25 (including direct debits).
(c) An administrative fee of US$100 is payable for adding or removing a person (other than the Applicant and/or Spouse) to the

membership.

3.9 Publication Fees

If Members request additional copies of printed publications and/or marketing materials to be issued, the Club reserves the right to
charge a fee as determined by the Club Manager from time to time for the issue and distribution of such printed publications and/or
material.

4. RESERVATIONS OF GVC X OR GVCX CITY LINX

4.1 Point Reservations

(a) Members may reserve time for occupying Apartments or Rooms to the extent allowed by the use of a Member’s GVC Points,
subject to the Constitution and the availability of Apartments or Rooms. Reservations may be made only by a Member and only by
using their own GVC Points account.

(b) The Club honours bookings on a first to book, first served basis. All bookings are confirmed in writing and assigned a booking
number. The Club only honours bookings that are confirmed in writing to a Member.

(c) The Club is not responsible for conflicting bookings and cancellations of joint Members. If such conflict occurs, the Club reserves
the right to suspend any usage of the Member’s GVC Points account until the joint Members have resolved their conflict in writing
to the Club Manager, such notice to the Club Manager being duly signed by each of the joint Members.

(d) Rooms and Apartments are assigned by the Best Fit System so that stay opportunities for all Members are maximised. All Rooms
and Apartments are ranked in order of preference with special features, such as views given the highest priority. The Best Fit
System assigns the highest priority Rooms or Apartment available for the length of stay, giving preference to bookings made
furthest out. Subject to applicable legal requirements, special requests may be accepted at the time of making the booking with
medical documentation, however it cannot be guaranteed although all attempts will be made to honour the request.

4.2 Guest Use

(a) Any Non-Member use, whether by rental or by gift, is considered Guest usage.
(b) The Member does not have to be present during Guest(s) usage of GVC Points, however the Member is responsible for making the

Guest(s) booking(s) and any communication relating to such booking(s).
(c) A Member may charge a Guest for use of GVC Points.
(d) Any member permitting Guest(s) to make use of the Club benefits, iMUST acquire a Guest Certificate prior to arrival on any Hotel,

Resort or Apartment Complex. Guest certificates will only be issued and confirmed by GVC at a cost of US$25.00 per booking.

4.3 Request for Reservations

(a) Member wishing to use his or her GVC Points may request the Club to reserve/book an Apartment(s) or Room(s) for his or her
chosen holiday dates.

(b) Requests for reservations may be made to the Club online, by telephone, letter, fax or email as directed by the Club during
business hours, Monday to Friday, 9am to 5pm, (“GMT +7hrs”). These hours are subject to change and notice will be given to
Members via the Members’ newsletter publication or email. Reservation requests by letter and email are accepted but the Club is
not responsible for lost documents or timeliness of bookings. Electronic or telephone bookings take first priority in the processing of
reservations.

(c) GVC Points booking(s) can be made up to 12-months in advance of the required check-in date.
(d) Members occupying a Resort, Hotel Apartment or other types of accommodation, are responsible for abiding by the Rules and

Guidelines of that particular vacation property.

4.4 Confirmation of Reservations

All reservations must be confirmed by the Club in writing or by email, and a booking number must be assigned before the booking is
deemed valid. This booking confirmation must be presented at the time of check-in at the Resort, Hotel, Apartment or other types of
accommodation. The booking confirmation will state the number of GVC Points charged for the booking and the Member’s GVC Points
balance for the remaining annual period. If a booking confirmation is not promptly received, the Member should call Global Vacation
Club Member Services. The Member is responsible for verifying the accuracy of the reservation and sanction of the booking and upon
receipt of the booking confirmation, immediately notify Global Vacation Club Reservations of any errors (if any).

4.4 Confirmation of Reservations (continued)

The Club does not guarantee any booking other than that confirmed on the printed GVC booking confirmation. A Guest name must be
advised at the time of making a Guest reservation to ensure the correct name is printed on the booking confirmation and to avoid entry
to the accommodation being refused.

4.5 Delinquency

(a) No reservation requests shall be confirmed if a Member is delinquent in the payment of the Club’s Annual Levy and/or Annual
Enrollment Fee, any amount owing to the Club or owed on or in connection with the agreement for the purchase of GVC Points.

(b) If following the receipt of confirmation of reservation as set out at regulation 4.4 a Member is delinquent in the payment of the
Club’s Annual Levy and/or Annual Enrollment Fee, any amount owing to the Club and/or delinquent under the agreement for
purchase of Points, the confirmed booking may be cancelled by the Club Manager and if so cancelled may result in the forfeiture of
any GVC Points or cash, credit or debit card paid for that/them booking(s).

4.6 Last 48-hour

Any Apartment or Room which has been reserved and a Member for whatever reason plans not to occupy, Members are advised but not
obliged to inform GVC Reservations of their intent, providing the notice is no less than 48-hours. This non-enforceable clause is purely
for the interests of providing other Members with the opportunity to occupy that particular vacation property.

4.7 Cancellation of GVC X or GVC X City Linx Bookings

(a) A Member, or the Club pursuant to regulation 4.5, may cancel a reservation by notice to the Club in such manner as notified by the
Club from time to time.

(b) Some vacation properties may incur a booking cancellation penalty charge, especially ones located in popular tourist destinations or
capital cities. A Member shall be informed at the time of a reservation request if the vacation property(s) in question incurs a
cancellation charge prior to a Member confirming the booking(s). In the event a Member cancels the booking where a penalty is
incurred the Member’s GVC Points Account shall be deducted accordingly. In the event the booking was paid for by way of cash,
credit or debit card, the Member shall be penalized in accordance with the amount (US$) as stated at the time of booking including
credit or debit card charges incurred.

4.7 Cancellation of GVC X or GVC X City Linx Bookings (Continued)

(c) All GVC Points or in the event a booking was paid for by way of cash, credit or debit card, which have been forfeited may be
reinstated by the Club Manager if the cancellation was due to the death or a serious medical condition of a Member, their immediate
family or their Guest. Any reinstatement of GVC Points or cash refund will be made at the sole discretion of the Club Manager and
will only be considered once the Club Manager has received documentary evidence which substantiates, in the opinion of the Club
Manager, the request for reinstatement. The reinstated GVC Points usage rights shall not exceed three months from date of
reinstatement.

(c) The Member will not be charged a cancellation GVC Points penalty or fee (US$) if paid for in cash, credit or debit card if the
Member:
(i) alters a booking by increasing the number of reserved nights at the reserved Apartment/Room; or
(ii) alters a booking by upgrading the type of reserved Apartment/Room, on condition that the number of nights reserved
or the booking does not decrease; or

(e) The Member is entitled to reduce the number of nights reserved, however the Member may forfeit GVC Points or cash payment
where the reduction occurs. The GVC Points or cash payment forfeited by the Member will equal the difference in the number of
GVC Points used to reserve the Apartment/Room prior to the reduction and the number of GVC Points or cash payment used to
reserve the Apartment/Room immediately after the reduction.

(e) The Member is entitled to downgrade the type of reserved Apartment/Room, however the Member may forfeit GVC Points of cash.
The GVC Points or cash payment forfeited by the Member will equal the difference in the number of GVC Points or cash payment
used to reserve the Apartment/Room prior to the downgrade and the number of GVC Points or cash payment used to reserve the
Apartment/Room immediately after the downgrade.

4.8 Length of Stay

There is a minimum 2-night stay in all vacation properties featured in the Club, unless only one of those nights is available.

5. BORROWING POINTS

Member may, in a current Anniversary Year, use GVC Points from the following Anniversary Year provided that all assessments (Annual
Levy and Annual Enrollment Fee) for the GVC Points for the following Anniversary Year are paid in advance of borrowing.

6. UNUSED POINTS

(a) GVC Points which are unused by a Member at the end of an Anniversary Year may be carried over for use immediately in the
following Anniversary Year. The Member must inform GVC 3-months prior to the expiry date (Anniversary Year) of that year’s
allocation. Failure to notify GVC will result in the forfeiture of any unused GVC Points.

(b) From the Member’s account of GVC Points, the Club deducts first against any carry over Points from the prior year and then against
the current Anniversary Year’s GVC Points. By doing this, the Club assists the Member in minimising the potential of having GVC
Points expire.

7. DAILY ROOM SERVICE CLEAN

In most cases, a daily room service clean is provided for any stay at a Resort, Hotel or Apartment. However, availability of a daily
service clean may vary and may be subject to change on a Resort/Hotel/Apartment to Resort/Hotel/Apartment basis. Details of room
service clean availability, frequency and any surcharges payable will be advised at the time of booking.

8. GENERAL USE OF A RESORT OR HOTEL OR APARTMENT

8.1 Check-in – Check Out Procedures

(a) All people who are residing at a Resort, Hotel or Apartment Complex shall immediately on arrival call at the Resort/Hotel/Apartment

office or reception to advise of their arrival.

(b) All people who anticipate arriving after 5pm shall prior to that time advise the Resort/Hotel/Apartment office or reception

accordingly.

(c) At the time of check-in at the Resort, Hotel or Apartment Complex, a person must present written GVC confirmation of their

reservation received from the Club.

(d) Apartments or Rooms may be occupied at any time after 2pm on the day of commencement of their occupation and must be

vacated no later than 11am on the day of termination of their occupation unless the specific property rules determine otherwise.

(e) Occupants who arrive at the Resort/Hotel/Apartment earlier than, or who wish to leave later than, the times referred to in

regulation 8.1(d) may use the recreational facilities available to the Resort/Hotel/Apartment at the sole discretion of the vacation

property Manager. . 12

8.2 Failure to Vacate

(a) If a Member or Guest (“non-vacating Member or Guest”) fails to vacate an Apartment or Room at the end of the GVC Points use or
such later time as may be agreed to by the Resort/Hotel/Apartment Manager; or otherwise makes unauthorised use of an
Apartment or Room during a period other than such Member’s GVC Point use, or prevents another Member or Guest (“detained
Member or Guest”) from using or occupying an Apartment or Room during such other GVC Member’s Point use, then the non-
vacating Member or Guest is subject to immediate removal, eviction or ejection from the Apartment or Room wrongfully used or
occupied.

(b) The Resort/Hotel/Apartment Manager may use whatever methods he/she deems appropriate to remove the non-vacating Member
or Guest from the Apartment or Room and may, but is not obliged to, assist the detained Member or Guest in finding comparable
alternate accommodation during such late departure. If the Resort/Hotel/Apartment Manager determines, in his/her absolute
discretion, to allow the Member or Guest to reside at the property for a period greater than the GVC Point use, or to assist the
Member or Guest to obtain adequate alternate accommodation, the entire cost of such additional accommodation is for the account
of the non-vacating Member or Guest.

(c) If a Member or Guest renders an Apartment or Room uninhabitable by an intentional or negligent act, such Member or Guest is
deemed a non-vacating Member or Guest for such period as the Apartment remains uninhabitable and is subject to the
consequences described in this regulation 8.2 and may have his or her Membership in the Club suspended or terminated.

8.3 Restrictions on Use of any Facility

The Resort/Hotel/Apartment Manager may, for any reason, impose restrictions for any period on the use of any facility at the Resort/
Hotel or Apartment, in which case no person can enter upon or use such facility in contravention of those restrictions. Members and
Guests must comply with any such restriction.

8.4 Non-availability of Apartment or Room

If a Member has a confirmed reservation for a GVC Point use and there is no Apartment or Room available at the Resort, Hotel or
Apartment Complex for which the reservation was made, then the Resort/Hotel/Apartment Manager will try and arrange comparable
alternate accommodation for such Member at the Club’s expense, in the same Resort, Hotel or Apartment Complex if possible.

8.5 Renting of Apartments or Rooms Booked with GVC Points

(a) A Member may charge a Guest a fee for the use of an Apartment/Room subject to any restrictions imposed by the Club Manager in
order to comply with any law or requirement of any governmental agency, and on such terms as the Club Manager considers
appropriate from time to time, but must not do so as part of an ongoing commercial enterprise.

8.5 Renting of Apartments or Rooms Booked with GVC Points (continued)

(b) The Club Manager is entitled to determine, in its discretion, whether or not a Member is conducting an ongoing commercial
enterprise and such Member must immediately comply with any request from the Club Manager or its employees to provide
information that may be required to assist with this determination.

(c) The Club Manager is entitled to use its GVC Points as part of its usual business operations.

9. USE OF APARTMENTS AND ROOMS

9.1 Holiday Occupancy

(a) No Apartment or Room is held for purposes other than accommodation and occupancy is subject to the occupancy limits set out in
regulation 9.1(b). GVC is not in any way restricted by this Regulation, 9.1(a) in its activities pertaining to the sale of GVC Points.

(b) A Member must not permit more than the numbers of people, including children of any age, to occupy an Apartment or Room
above which is stated on the GVC Booking Form.

(c) Apartments and Rooms may vary in occupancy limits between Resorts, Hotels and Apartments, Members are advised of the
relevant occupancy limits at the time of making a reservation. Club occupancy limits may be strictly enforced.

(d) Members checking into a Resort, Hotel or Apartment Complex with more people in their party than the occupancy limit for the
relevant Apartment or Room will be given the opportunity to reserve a larger Apartment or Room if available, subject to use of
additional GVC Points or payment by cash, credit or debit card, or to reduce the number of people in their party or if necessary, to
vacate.

(e) Members and Guests are the only people permitted to occupy an Apartment or Room. Members and Guests must ensure that
children under the age of 18 years only occupy an Apartment or Room under parental supervision.

(h) The Member is responsible for any damage or loss of any items that might occur during occupancy by a Member or a Member’s
Guest. Charges for any missing items, damage during occupancy, excessive cleaning requirement or charges for any unpaid
services are billed to the Member. The Member must pay that bill in the time indicated in it. Non-payment of such charges is cause
for suspension of reservations made or intended to be made and occupancy privileges until paid in full.

(i) Members, Guests and other people must not bring into, store or use any flammable chemical, liquid, gas or other material in an
Apartment or Room, other than materials intended for proper use in such Apartment or Room.

(j) Members, Guests and other people must not make any structural changes, reorganise or remove furniture, wall hangings or floor
coverings within an Apartment or Room.

9.2 Inspection

The Resort/Hotel/Apartment Manager may inspect the Apartments or Rooms at all reasonable hours.

9.3 Right of Entry

The Resort/Hotel/Apartment Manager may, at reasonable times and upon reasonable notice, enter any Apartment or Room for the
purposes of maintenance.

10. USE OF RECREATIONAL FACILITIES

Members, Guests and other people must not:

(a) enter the swimming pool (where applicable) after physical exertion without first showering;
(b) bring into the swimming pool area (where applicable) any glass or breakable items; or
(c) enter the swimming pool (where applicable) unless he or she is wearing a swimming costume. If there is disagreement over what

constitutes a swimming costume, the Resort/Hotel/Apartment Manager’s decision is final and binding. Children must be
accompanied by a responsible adult at all times.

11. CONDUCT AND GENERAL USE OF A VACATION PROPERTY
11.1 Conduct and General Use, whilst at the Resort each Member must

(a) abide by the Constitution Guidelines of the Club this document);

(b) comply with any requests and directions of a Resort/Hotel/Apartment Manager;

(c) not conduct themselves in any manner either: (i) in violation of any law or ordinance; or (ii) that may be a nuisance, disturbance,

hazard, or an unreasonable interference with the use and peaceful enjoyment of a Resort, Hotel or Apartment Complex by other

Members and Guests;

(d) not use the Resort, Hotel or Apartment Complex for any purpose which is, or may be, illegal or injurious to the reputation of the

Resort, Hotel or Apartment Complex or the Club;

(e) not mark, paint, drive nails, screws or the like into, or otherwise damage or deface, any part of the Resort, Hotel or Apartment

Complex;

(f) not hang any washing or other article from any part of the Resort, Hotel or Apartment Complex including patios and railings and do

things so as to be visible from any other Apartments or Common Area, except where provision is made in the Apartments/Rooms to 15
do so, without the prior written consent of the Resort/Hotel/Apartment Manager;

11.1 Conduct and General Use, whilst at the Resort each Member must: (continued)

(g) not camp or erect any temporary structure at the Resort, Hotel or Apartment Complex without the prior written consent of the
Resort/Hotel/Apartment Manager;

(h) not install or maintain any exterior lighting on any Apartment/Room or the Common Area without the prior written consent of the
Resort/Hotel/Apartment Manager; or

(i) not barbecue in any place other than in designated barbecue area.

11.2 Children

All people whilst at the Resort, Hotel or Apartment Complex must ensure that any child for whom they are responsible is properly
supervised at all times. Children are expected to play and behave in a manner that does not create any undue disturbance to the
holiday enjoyment of other Members, Guests or other people or cause damage to property.

11.3 Animals

Members, Guests or other people must not bring or keep on a Resort, Hotel or Apartment Complex without the consent of that
particular vacation property. Members are advised to check with GVC Member Services at the time of booking for such a request.

11.4 Collection for Charities/Commercial Activities Members or Guests or must not, whilst at a Resort or Hotel:

(a) collect or solicit from any person any monies or other contributions for charitable or other purposes;
(b) sell any tickets in or otherwise conduct any lottery or raffle; or
(c) undertake any other commercial activities.

11.5 Advertising and Marketing Members, Guests or other people must not, whilst at the Resort:

(a) advertise, market or cause the advertising or marketing of any matter of any kind or display or exhibit any material whatsoever; or
(b) approach or solicit any Member or guest for any professional, business or commercial purpose. This regulation 11.5 does not limit

GVC in its activities concerning the sale of Points.

12. LIABILITY FOR MEMBERS’ AND GUESTS’ PROPERTY

12.1 Securities

Members and Guests should lock their Apartments or Rooms when unattended. Any suspicious or unusual activity should be reported
immediately to the Resort or Hotel Manager.

12.2 Liability

Members and Guests occupy and use a Resort, Hotel or Apartment Complex and the Apartments or Rooms at their own risk. They
hereby release and indemnify Global Vacation Club, the Club Manager, the Club and their respective officers and employees from and
against any action or demand due to any damage, loss, costs, injury or death caused by or as a result of the Members’ or Guests’ act,
use or occupation of the Resort, Hotel or Apartment Complex and Apartments or Rooms, except to the extent that it was caused by the
willful or negligent act or omission of Global Vacation Club, the Club Manager or the Club.

12.3 Lost Property

All property lost or found should be reported to and, if found, handed to the Resort/Hotel/Apartment Manager.

12.4 Storage of Property

Except in areas which may be designated for such purpose by the Resort/Hotel/Apartment Manager, neither Members nor Guests may
store personal property on the Resort, Hotel or Apartment Complex other than within an Apartment or Room during occupancy.

13. SUPPLY OF INFORMATION

A Member (or a person authorised in writing by a Member) may view a statement of Member information via the Member’s GVC Points
Account available on the Club’s online portal www.gvcpoints.com

14. ADDITIONAL BENEFITS

From time to time the Club may enter into additional Resort/Hotel/Apartments affiliation arrangements, add travel features through
which Members may use, or trade in their GVC Points for accommodation. Members will need to comply with the rules and guidelines
governing such arrangements or programmes in particular relating to use, exchange or trade in or of their GVC Points. The Club retains
the absolute right to add or remove any Resort, Hotel, Apartment Complex or travel feature of the Club.

15. GLOBAL VOYAGERS

Global Voyagers is an additional feature of the Club whereby Members and Guests can access a variety of luxury ocean cruises to
worldwide destinations. All Global Voyagers feature a luxury cruise combined with a luxury Resort, Hotel or Apartment stay that offer a
combined vacation trip from 10 nights or more which the Club refers to as 2 vacations, 1 voyage. The majority of cruises offered are
paid for by way cash or credit card and from time to time the Club may offer some cruises that can be paid for by way of GVC Points.

(a) Ocean cruises may sail to a variety of countries and in some cases continents on a particular voyage. Members and/or Guests are
responsible for applying and acquiring all necessary visas or multiple visa entries to the countries specified on the GVC Voyager of
their choice. The Club accepts no responsibility or liability for a Member or Guest being refused entry into a specific country.

(b) Cruise cabins often referred to as staterooms on ocean liners differ in terms of size, location and views, with balcony staterooms
commanding a higher price, porthole staterooms at the mid-level pricing and inside staterooms being the lowest.

(c) All cruises featured in Voyagers include an all-inclusive standard meals and non-alcoholic drinks water and juices) at designated
restaurants onboard the ship.

(d) The majority of cruise ships offer a soft drinks (if not included) and/or alcoholic drinks packages which for an additional fee. GVC
Member Services will provide Members and Guests information pertaining to these packages upon request.

(e) Facilities onboard the ocean ships are mostly free with the exception of spa and beauty treatments.
(f) Ocean ships offer a wide variety of entertainment onboard which are generally require no entry fee.
(g) Land excursions are not included in Voyagers vacations. These can either be purchased onboard the ship or from private vendors at

the ports where the vessel docks throughout its cruise itinerary. If a Members and/or Guest purchases a Land Excursion from a
private vendor at a port throughout the cruise, they are solely responsible for allowing ample time to be back at the port in time to
board the ship before it leaves. Private vendors have no business relationship to the cruise lines. Ocean Liners operate to strict port
arrival and departure timetable and will only delay a port departure if for some reason the delayed Land Excursion was organised
by the ship in question.
(h) From time to time, the Club may offer at its discretion, selected cruises that can be paid for by using GVC Points.
(i) Ocean cruise lines operate their own individual cancellation policies and may result in a Member or Guest forfeiture of part or all
monies paid for the cruise. If the cruise was booked using GVC Points, the Member will be informed of GVC Points penalty.
(j) Members and Guests are advised to ensure they have adequate travel insurance before embarking on a Voyagers holiday.
(k) The luxury Resort(s) and/or Hotel(s) and/or Apartment(s) stay(s) that may be taken post and/or preceding your cruise may be paid
for by using GVC Points or by way Cash, Credit or Debit Card.
(l) The Club and the Club Manager hold the absolute right to add or remove a GVC Voyager at their discretion in order to maintain the
quality and discounted prices offered for this feature.

16. GLOBAL GEMS

Global Gems is an additional feature of the Club whereby Members and Guests can access a variety of luxury river cruises to worldwide
destinations. All Global Gems feature a luxury river cruise combined with a luxury Resort, Hotel or Apartment stay that offer a
combined vacation trip from 10 nights or more which the Club refers to as 2 vacations, 1 voyage. The majority of river cruises offered
are paid for by of way cash, credit or debit card and from time to time the Club may offer some cruises that can be paid for by way of
GVC Points.

(a) River cruises may sail to a variety of countries on a particular cruise itinerary. Members and/or Guests are responsible for applying
and acquiring all necessary visas or multiple visa entries to the countries specified on the Global Gem of their choice. The Club
accepts no responsibility or liability for a Member or Guest being refused entry into a specific country.

(b) River cruise cabins often referred to as staterooms may differ in terms of size, location and views, however almost all command a
river view with some ships providing a balcony as a standard stateroom feature.

(c) All river cruises featured in Gems comprise of an all-inclusive meals package referred to as B.L.D (Breakfast, Lunch and Dinner)
and non-alcoholic drinks.

(d) Some river cruise ships offer alcoholic drinks served during meals as part of the all-inclusive package, generally comprising of
selected wines and beers indigenous to the cruise sailing locations. Branded wines, beers and spirits will be chargeable if consumed
on the vessel. GVC Member Services will provide Members and Guests information pertaining to these packages upon request.

(e) Facilities onboard the river ships are mostly free with the exception of massage and beauty treatments and in isolated cases the
pool and sauna (where applicable). Recreational facilities are far less than those offered on luxury ocean cruise ships due to the
size of the vessels.

(f) Most river ships offer entertainment onboard which is included in the cruise package price.
(g) Land excursions are included on all cruises featured in Gems. Some ships may offer additional land excursions that may incur an

additional charge and can be purchased onboard the ship.
(h) River cruise lines operate their own individual cancellation policies and may result in a Member’s or Guest’s forfeiture of part or all

monies paid for the cruise as well as forfeiture of GVC Points or cash for the vacation property stay. .
(i) Members and Guests are advised to ensure they have adequate travel insurance before embarking on a Gems holiday.
(j) The luxury Resort(s) and/or Hotel(s) and/or Apartment(s) stay(s) that may be taken pre or post the cruise may be paid for by

using GVC Points or by Cash, Credit or Debit Card.
(k) The Club and the Club Manager hold the absolute right to add or remove a Global Gem at their discretion in order to maintain the

quality and discounted prices offered for this feature.

17. GVC X & GVC X CITY LINX

GVC X and GVC X City Linx are additional features of the Club offering Members and Guests a portfolio of accommodation choices,
comprising of castles, stately homes, chateaus, lavish Beit al-sha-r (Arabian tents), treehouses, hotels, resorts and apartments.

(a) Members and Guests have the option to choose the unit(s) size(s) that will accommodate their travelling party at anytime
throughout the year, subject to availability.

(b) GVC X is a continuous organically growing portfolio of vacation properties that can be can be accessed by Members and/or Guest
using GVC Points (selected vacation properties) or by cash, credit or debit card.

(c) GVC X City Linx provide Members accommodation choices in hotels, resort or apartments in capital or popular tourist cities
worldwide, using either GVC Points or by way of cash, credit or debit card payment for exhausted Members GVC Points Account.

(d) Members can request bookings for a GVC X property anywhere from 24 hours to one year in advance of the required check-in date.
(e) GVC X additionally offers discounted accommodation at a selection of properties without the need to use GVC Points.
(f) The Club reserves the absolute right to remove or add properties in this feature, ensuring optimum quality and choices are always

maintained.

18. GLOBAL GRABS

Global Grabs is an additional feature of the Club whereby Members and Guests can take advantage of a selection of discounted vacation
packages, all of which can be enjoyed without using GVC Points. This Club feature is designed to offer Members additional vacation
time when the Member has used up all of their allotted GVC Points for a particular Anniversary Year.
(a) Mini Grabs, comprising of short break vacations with a minimum of 2-night up to 4-nights at a Resort or Hotel in selected

destinations around the world;
(b) Themed holidays, comprising of super luxury camper vans, luxury houseboats and more, at discounted rates. For private motorised

accommodation, Members and Guests are responsible for fuel, toll, parking, mooring (if any) charges. The Club does not accept
any responsibility for damages to these motorised accommodations that occur through the direct negligence of a Member or Guest.
(c) Short river and ocean cruises offer vacations to selected destinations around the world for a minimum of a 2-nights stay or more at
discounted rates.
(d) All Grabs vacation features are to be paid for by cash, credit or debit card, GVC Points cannot be used in this feature.
(e) The Club and the Club Manager hold the absolute right to add or remove a Global Grab at his/her discretion in order to maintain
the quality and discounted prices offered for this feature.
