Sciences, Universiti Teknologi MARA (UiTM), Malaysia. A BSc
degree holder in Forestry from the Universiti Putra Malaysia,
an MSc from the University of Nebraska-Lincoln, USA,
and a Ph.D. from the University of British
Columbia, Canada, specializing in remote
sensing for forest resources management.

CEO Insights

Today’s commercial business environment is more dynamic
than ever. In principle, clear direction, top leadership team and
excellent operational processes remain critical but the
company is urged to move at “internet pace” accept
continuous change and disruption as “the brand new every
day”. Software technology is redefining how the work received
has been completed, organizations are restructuring to be
extra agile and responsive to an expanding array of risks and
opportunities.
With years of consultancy experience from Research
Innovation Business Unit (RIBU) to Business Innovation &
Technology Commercialization (BITCOM). Today, UiTM
Technoventure Sdn. Bhd. (UTV) as the new private wing of UiTM
will carry the UiTM consultancy portfolio to a new size and this
is aligned with UiTM 2025 transformation plan.
With over 1000 registered consultants with diverse strengths
and experiences. UTV is to keen challenge ourselves to drive
further talent commercialization into a brand new level

Strategic Planning Event 2021 (SPE’21)

UTV held the first Strategic Planning Event on 16 & 17 December 2021 at Tasik Kebun,
Serendah, Selangor. A total of 48 pax attended which includes UTV Chairman, UTV Board of
Directors & CEO, UTV Head of Departments, UTV staff & UTV staff’s families.

DIRECTORS' REPORT

The directors ofUITM TECHNOVENTURE SON. BHD., have pleasure in presenting their
report and the audited financial statements of Company for the financial year ended 31
December 2021.

PRINCIPAL ACTIVITIES

The Company is principally engaged in faciliting the exploitation of and income generation
from Universiti Teknologi MARA ("UiTM")'s intellectual property rights including but not
limited to UiTM's research output (product and services) through licensing, outright sale or
any other commercialisation made on behalf ofUiTM.

During the financial year, the Company has changed its nature of business to other management
consultancy business, market research and public opinion polling and leasing of intellectual
property and similar products, except copyright works.

FINANCIAL RESULTS

The results of operations of the Company for the financial year are as follows:

In the opinion of the directors, the results of operations of the Company during the financial year
have not been substantially affected by any item, transaction or event of a material and unusual
nature.

DIVIDENDS

No dividend has been declared or paid by the Company during the financial year. The directors
also do not recommend any dividend payment in respect of the current financial year.

RESERVES AND PROVISIONS

There were no material transfers to or from reserves or provisions during the financial year
other than those disclosed in the financial statements.

ISSUE OF SHARES AND DEBENTURES

The Company has not issued any new shares or debentures during the financial year.

SHARE OPTIONS

No options have been granted by the Company to any parties during the financial year to take up
unissued shares of the Company.

No shares have been issued during the financial year by virtue of the exercise of any option
to take up unissued shares of the Company. As of the end of the financial year, there were no
unissued shares of the Company under options.

OTHER STATUTORY INFORMATION

Before the financial statements of the Company were made out, the directors took reasonable
steps:

(a) to ascertain that proper action had been taken in relation to the writing off of bad debts
and the making of allowance for doubtful debts and had satisfied themselves that there
were no known bad debts need to be written off and that no allowance for doubtful debts
is required; and

(b) to ensure that any current assets which were unlikely to realise their book values in the
ordinary course of business, including the values of current assets, had been written
down to an amount which the current assets might be expected so to realise.

At the date of this report, the directors are not aware of any circumstances:

(a) which would render it necessary to write off any debt or make an allowance for
doubtful debts in the financial statements of the Company; or

(b) which would render the values attributed to current assets in the financial statements
of the Company misleading; or

(c) which have arisen which would render adherence to the existing method of valuation
of assets or liabilities of the Company misleading or inappropriate; or

(d) not otherwise dealt with in this report or financial statements which would render any
amount stated in the financial statements of the Company misleading.

At the date of this report, there does not exist:

(a) any charge on the assets of the Company which has arisen since the end of the financial
year which secures the liability of any other person; or

(b) any contingent liability of the Company which has arisen since the end of the financial
year.

No contingent or other liability has become enforceable or is likely to become enforceable
within the period of twelve months after the end of the financial period which, in the opinion
of the directors, will or may substantially affect the ability of the Company to meet its
obligations as and when they fall due.

In the opinion of the directors, no item, transaction or event of a material and unusual nature
has arisen in the interval between the end of the financial period and the date of this report
which is likely to affect substantially the results of operations of the Company for the
financial period in which this report is made.

DIRECTORS' INTERESTS

According to the register of directors' shareholding, none of the directors in office at the end
of the financial year had any interest in shares of the Company during and at the end of the
financial year.

DIRECTORS' BENEFITS

Since the end of the previous financial year, none of the directors of the Company has received
or become entitled to receive any benefit (other than the benefits included in Directors'
Remuneration as disclosed in Note 6 to the Financial Statements) by reason of a contract made
by the Company or with companies in which the directors have a substantial financial interest.

During and at the end of the financial year, no arrangement subsisted to which the Company was
a party whereby the directors of the Company might acquire benefits by means of the acquisition
of shares in, or debentures of, the Company or any other body corporate.

DIRECTORS' REMUNERATION

The directors' remuneration is disclosed in Note 6 to the Financial Statements.
