Michael Kors looks to walk off with Jimmy Choo in $1.75B deal

BY ASHLEY ARMSTRONG
The Telegraph

Michael Kors, the U.S. handbag Michael Kors
maker, has made an offer to snap up
luxury shoe brand Jimmy Choo in a “We believe that Jimmy Choo is

JAB has recently been shifting its
focus away from high-end goods
and toward its interests in coffee
and sandwiches after sealing bil-
lion-dollar takeovers for Douwe Eg-
berts coffee and Panera Bread.

Michael Kors made the move for
Jimmy Choo after losing out in a
takeover tussle with Coach to buy
accessories firm Kate Spade earlier
this year.

It is the New York-based fashion
company’s first takeover since list-
ing in 2011.

JAB has undertaken to vote
its shares in favour of the take-
over, which will be structured as a
scheme of arrangement, which re-
quires 75 percent of shareholders
to approve the deal. Jimmy Choo’s
management, which own 1.55 per-
cent of its shares, have also given
positive undertakings.

In addition to JAB, it is under-
stood that China’s Hony Capital had
shown interest in making a bid, as it
eyed up the potential for expanding
Jimmy Choo in Asia.

Jimmy Choo was originally
founded by the eponymous Ma-
laysian-born and Hackney-based
shoemaker and former Vogue jour-
nalist Tamara Mellon in 1996.

The company then passed
through a number of private equi-
ty owners with Mellon leaving the
business in 2011 following an acri-
monious dispute with Towerbrook
Capital.

The argument was later docu-
mented in her book, “In My Shoes,”
in which she likened private equity
firms to “vultures” who didn’t un-
derstand the world of fashion.

“We are pleased to announce
the acquisition of Jimmy Choo, an
iconic brand with a rich history as
a leading global luxury brand,” said
John D. Idol, Michael Kors’ chair-
man and chief executive.

DINING REVIEW

Two for the road: Jetty’s in Jupiter, Ke’e in Juno Beach

Woody had several reasons to make
the move. “I wanted to be closer to my
parents, who lived in John’s Island,

The courtyard-style home is tucked
away at the south end of John’s Island,
just steps away from the beach, ten-

to the Village Shops and a bike ride
away from the Beach Club.

The homes in Oceanside Village

of their approved loans in June had
scores between 650 and 699.

Scores like these are typical of con-

their files at the national credit bu-
reaus or are bouncing back from cred-
it woes suffered during the Great Re-
cession. Another 4.3 percent of loans
approved had even lower FICOs, rang-
ing from the low 500s to 649.

Federal Housing Administration-
backed mortgages that closed in June
spanned an even broader range of
scores. FHA’s average score for home-
purchase loans was 683, but more
than 1 of 4 (26 percent) of its borrow-
ers had scores from 550 to 649. Just un-
der 2 percent had scores FHA consid-
ers the rock bottom it will allow – 500
to 549, numbers that indicate serious
derogatory items in applicants’ credit
files, possibly even previous mortgage
defaults or foreclosures.

Note that FHA uses its own propri-
etary underwriting system, known
as TOTAL, which often yields more-
generous decisions on approvals than
Fannie’s or Freddie’s.

Debt-to-income (DTI) ratios – an-
other major factor hard-wired into the
black boxes – can be deal-breakers in
mortgage applications that otherwise
look pretty good. DTI refers to the ratio
between your monthly credit-related
expenses – including rent, mortgage
payments, credit cards, student loans
and the like – and your monthly gross
income. If you have $6,000 in income
and $2,500 in total debt payments,
your DTI is 42 percent.

Fannie’s and Freddie’s average DTIs
look strict, but there’s actually more
wiggle room for mortgage applicants
this summer than any time in recent
years. The average DTI for Fannie and
Freddie during June was 39 percent.
FHA, which tends to be more forgiv-
ing on debt matters, had average DTIs
in June of 43 percent.

Bottom line: Get rid of preconceived
notions you may have about how
tough it is to get approved. Standards
are more flexible and not as tough
as you probably thought. At the very
least, check them out. 
