TENANCY AGREEMENT

A TENANCY AGREEMENT is made the day and the year stated in Section 1 of the
First Schedule hereto between the party whose name and description are stated in Section
2 of the First Schedule hereto (hereinafter referred to as “the Landlord”) which expression
where the context so admits shall include his / its heirs, personal representatives successors-
in-title and permitted assigns of the one part and the party whose name and description are
stated in Section 3 of the First Schedule hereto (hereinafter referred to as “the Tenant”)
which expression where the context so admits shall include his / its heirs, personal
representatives successors-in-title and permitted assigns of the other part.

WHEREAS the Landlord desires to let and the Tenant desires to rent the office referred to
and described in Section 4 of the First Schedule hereto (hereinafter referred to as “the Said
Premises”) for the term and upon stipulations, terms and conditions hereinafter appearing.

NOW IT IS HEREBY AGREED as follows:-

1. The Landlord lets and the Tenants takes all that premises for a term stipulated in
Section 1 of the Second Schedule hereof at the rent stipulated in Section 2 of the
Second Schedule hereof payable in advance, the first of such payments to be made
on the signing hereof and subsequent payments on the 1st day of each month thereof.

2. The tenancy of the whole Said Premises shall be held by the Tenant for a period of
ONE (1) year with an option to renew the tenancy after the expiration of the said
tenancy upon the same terms and conditions but at a rental to be mutually agreed
upon.

3. Upon the execution of this Agreement, the Tenant had paid the Landlord the sum
stipulated in Section 3 of the Second Schedule, being securities deposit for the due
performance and observance contained herein. Deposit for water and electricity as
stipulated in Section 4 of the Second Schedule shall be payable to the Landlord upon
execution of this Agreement. Such deposits are to be refunded by the Landlord free
of interest upon full compliance with the terms, stipulations, conditions hereinafter
mentioned.

PROVIDED ALWAYS that the said deposits shall not at any time be deemed to be
payment in respect of rent herein reserved either in advance or otherwise nor shall it
be utilized by the Tenant in any manner for the satisfaction of any monies payable by
or recoverable from the Tenant during the course of this tenancy.

4. THE TENANT HEREBY COVENANTS WITH THE LANDLORD as follows:-

a) To pay the rent on the days and in manner aforesaid without any deduction
whatsoever.

b) To pay and discharge the electricity, water, telephone and sewerage charges
(Indah Water Konsortium) in respect of the Said Premises during the tenancy.

c) To permit the Landlord and / or his agents at all reasonable times upon prior
appointment to enter upon the Said Premises to examine the state of repair and
condition thereof.

d) Not to make any structural alteration or addition to the Said Premises or any
part of it without the Landlord’s written consent.

e) Not to assign, sublet and/or part with possession of the Said Premises or any
part of it without the written consent from the Landlord.

f) Not to do or permit to be done on Said Premises anything which will or may
infringe any of the laws, by-laws or regulations made by the government, the
Town council or any other competent authority affecting the Said Premises.

g) On the termination of the tenancy to peacefully and quietly deliver vacant
possession of the Said Premises. To maintain to the original condition the coat of
white paint on the walls of the Said Premises before the delivery of vacant
possession.

h) To repair all the damages caused by the Tenant at his own expense, including
clogged toilets and drainage system due to misuse and negligence by the Tenant,
fair wear and tear excluded.

i) To maintain and keep in good tenantable conditions the Said Premises.

j) To use the Said Premises as an accommodation only and not to permit the same
to be used as to cause annoyance to the neighbours.

k) For TWO (2) months before the expiry or termination of the Tenancy, whichever
is the sooner, to permit the Landlord or his agents by prior appointment to enter
the Said Premises at all reasonable times to show the property for sale or rent.

5. THE LANDLORD HEREBY COVENANTS WITH THE TENANT as follows :-

a) That the tenant paying the rents thereby reserved and observing and performing
the agreements and stipulations on their part herein before contained shall
peaceably and quietly possess and enjoy the Said Premises during the tenancy
created without any interruption or disturbance by the Landlord or any person
lawfully claiming under or in trust of the Landlord.

b) To pay all quit rent, assessments and any other outgoings payable to the
relevant authorities due on the Said Premises.

c) To keep the Said Premises insured against loss or damage by fire excluding
Tenant’s belongings.

d) To keep main structure of the Said Premises including roof and main walls in
good and tenantable condition.

e) If the Tenant shall at any time or times during the continuance of the term herein
created give to the Landlord any written notice specifying any repair for which
the Landlord is liable under the stipulations on his part herein contained and
requiring the Landlord forthwith to execute the same and if the Landlord shall not
within FOURTEEN (14) days after the service of the notice proceed diligently
to execute such repairs, then the Tenant shall be entitled to execute the repairs
and recover all repair costs from the Landlord.

6. PROVIDED ALWAYS AND IT IS HEREBY AGREED as follows:-

a) If the rent hereby reserved or any part of it shall be unpaid for THREE (3) days
after becoming payable and for THIRTY (30) days after Landlord’s delivery of
written notice of such nonpayment to Tenant or any material condition or
stipulation on the Tenant’s part herein contained then it shall be lawful for the
Landlord at any time thereafter to reenter upon the Said Premises and thereupon
this tenancy shall absolutely terminate but without prejudice to the right of action
of the Landlord in respect of any antecedent breach on this Agreement by the
Tenant.

b) Both parties may terminate this Agreement by giving each other ONE (1) month
notice in writing or by paying ONE (1) month rent in lieu of such notice
whereupon this Agreement shall be terminated and neither party shall have any
claim against the other save and except for any antecedent breach (es).

c) In the event of the Said Premises or any part thereof at any time during the term
hereby granted being damage by fire so as to render the Said Premises or such
part thereof unfit for use then (save and except where such fire has been caused
by the default or negligence of the Tenant) the rent hereby reserved or a fair
proportion thereof according to the nature and extent of the damaged sustained
shall ceased and be suspended until the Said Premises or such affected part
thereof shall be rendered fit for occupation and use. If after a period of ONE (1)
month from the happening of such event the Said Premises is still not rendered
fit for occupation and use then the Tenant shall be entitled to forthwith terminate
the tenancy herein created and any rental paid in advance of fair proportion
thereof shall be refunded to the Tenant and this Agreement shall terminate and
the parties hereto shall have no claim against each other save for any antecedent
breach PROVIDED ALWAYS that the Landlord shall not be bound or compelled
to rebuild or reinstate the same unless the Landlord in his absolute discretion
thinks fit.

d) Should the Tenant be desirous of extending the tenancy after the expiry of the
period, the Tenant shall within ONE (1) month before the expiry of the said term
give notice in writing to the Landlord indicating his intention to that effect.

e) Any notice requiring to be served under the provision of this Agreement shall be
deemed to be sufficiently served on the Tenant is sent by registered post to the
Tenant’s above mentioned address, and the same shall be deemed to be
sufficiently served on the Landlord if sent by registered post to the Landlord’s
above mentioned address.

f) All stamp duty and cost of preparation of the Tenancy Agreement shall be borne
and paid by the Tenant.

g) Words importing the masculine gender shall be deemed and take to include the
feminine and neuter gender and the singular to plural and vice versa.

h) Time wherever mentioned shall be the essence of this Agreement.

i) This Agreement shall be legally binding upon the parties hereto, their heirs,
executors, trustees, administrators, the successors in title and permitted assigns.

j) The First Schedule and the Second Schedule hereto shall be taken read and
construed as an essential part of this Agreement.
