AIM OF THE DOCUMENT This document is aimed at providing the Techno-Commercial offer of 160.170 KWp and 160.05KWp DC Capacity solar roof top power plants based on the initial discussion with the Management/ Technical Team of the company. The Techno Commercial proposal submitted herein is subject to the Detailed Site Survey & Engineering. IV. SCOPE OF WORK For AAKAR POWER Comprehensive Engineering, Procurement and Construction Contract (EPC) including: Design, Engineering, Testing, including developing overall plant layout showing all walk ways, cable trenches, auxiliary facilities. Procurement of Modules, Inverters, Cables, Junction box, module’s structure etc. Construction/Erection of panels, inverters. Power Evacuation cable from ACDB point near to Inverter outlet onwards. Delivery of evacuation of electricity at 415V output from Solar Power Plant. (Max 100mtr Al Ar Cable shall be in the scope of APSPL. If the cable length exceeds 100 mtrs, the extra cost shall be in the scope of Customer. All civil works including structures and foundations required for mounting the solar modules. Assistance for claim of subsidy to client. Client shall claim the subsidy. (If Applicable) Assistance towards Net Metering documentation. For Owner/Developer/Client Provide site (shadow free area @80 sq.ft per kWp capacity) and diagrams with true South. Provide control room / isolated space for inverter and other electrical (approx. 100 sq.ft well ventilated room, if required). All necessary clearances to work inside the premises. Site and related scopes like right of way, access to site. Site Development activities including but not limited to drainage, fencing, support Infrastructure, panel cleaning arrangements, internal lighting and fire protection equipment. Approval for Grid Connectivity from Discom / Net Metering Arrangements. Power and soft water for construction & module cleaning etc. for cleaning related activities. Cleaning of Modules shall be in the scope of Customer. AAKAR POWER will provide training to client’s employee. Fire & Allied Insurance + Third Party Insurance after commissioning of Plant V. ASSUMPTIONS & EXCULSIONS ASSUMPTIONS The client shall provide suitable space for setting up aforementioned system with unrestricted access.

Clear mounting area is available for the PV on the roof without shading/obstruction. The indicative power plant capacity is considered based on initial discussions, this is to be confirmed post detailed site survey and Engineering. Assumed roof can withstand the dead + live load of modules. The sufficient area is available for inverters and ACDB / ACCB. Preferred to have control room for mounting inverters and ACDB / ACCB. LAN connectivity for remote plant monitoring system (Weblogger, Data Logger or SCADA which ever applicable as per Inverter Make). Secured storage area for component storage during course of project execution EXCLUSIONS Construction Power & water is in customer scope. Computer / desk top for data logging under customer scope. Post COD soft water and other equipment’s for module cleaning to be arranged by client for the cleaning. AAKAR POWER will provide training to client’s employee for cleaning. VI. The above price includes breakdown maintenance support for Five year period. i.e. In case of any fault occurring due to negligence in workmanship of our staff, our services shall be free for a period of five years starting from the date of commissioning of the plant.

The above price is exclusive of Taxes -- (GST extra). The GST mentioned above is at the prevailing rate. GST rate at the time of Invoicing shall be applicable on the plant – Any change in the GST rates shall be to the scope of the customer. e. Contract Price shall be inclusive of all transportation and insurance cost till the Project Site only. b) PAYMENT TERMS The terms of payment for the scope of supply as mentioned in this offer are as follows:- 35% of order value in the name of “AAKAR POWER SYSTEM P. LTD.” as advance with confirm Work Order. 60% of order value in the name of “AAKAR POWER SYSTEM P. LTD.” before dispatch of Major Components to site (Structure, Module and Inverter). 5% of order value in the name of “AAKAR POWER SYSTEM P. LTD.” within 30 days from the date of Commissioning (start of power evacuation from solar power system). c) VALIDITY The above quoted price is valid for a period of 30 days from the date of this offer. Thereafter, the same can be extended as mutually agreed upon. d) WARRANTY a. All equipment supplied by us shall carry original equipment warranty terms. Our warranties are not valid for any mishandling, abused wear and tear, sabotage/force majeure conditions. b. This warranty will not cover damages caused due to lightning, storm, over voltage & normal wear & tear as the same will be covered under the Fire & Allied insurance policy and damage policy which has to be taken by the client. AAKAR POWER will not be liable for any damage due to monkeys after installation. c. 90% of the specified minimum output of the module for a 10-year period and 80% of the specified minimum output of the module from 11-25 year period, provided the Modules are maintained clean and area being shadow free.

The solar array is comprised of solar modules that generate DC electricity in proportion to the amount of sunlight available, generating the most power on a clear day when the sun is at a normal angle to the array. The microprocessor control circuit shall automatically adjust the DC-DC converter to ensure that it should always match to the PV array Maximum Power Point (MPPT) under varying conditions and transfers the maximum possible power to Inverter. All connections shall be MS galvanized clamps, bolt, nut & washers. The concrete foundation shall be designed for the uplift forces. d) CABLES All cables have been designed to minimize losses and ensure optimal operation even at high temperatures. These cables are extremely robust and resist high mechanical load and abrasion. High temperature resistance and excellent weather proofing characteristic provide a long service life. He will be empowered sufficiently to coordinate, implement, maintain and monitor the overall quality issues of the project from the initial stages to final commissioning and handover. b) QUALITY CONTROL PLAN We will establish a fully documented quality plan which, on implementation, ensures that product and service conforms to specific requirements. In order to meet this it will carry out the tests as listed in the tables below. AAKAR POWER will follow appropriate test methodology to carry out these tests in accordance appropriate standards. c) QUALITY CONTROL PLAN - ELECTRICAL Tests on Electrical side are classified into four categories. The same are listed in the table below. Type Test: This test is carried out on one product of the same type. Test certificate from a reputed lab is used to validate this. Routine Test: This test is carried out by the manufacturer during production. Manufacturer test report is used to validate this test. SAT: Site Acceptance Test is carried out during inspection by an AAKAR POWER authorized representative at the project site. XI. SAFETY RULES The objective of the safety policy is to set down in clear and unambiguous terms the Company’s management approach and commitments toward occupational health and safety of persons, workplace conditions and practices. It sets out clearly all individual roles, responsibilities, accountabilities and authorities towards occupational health and safety. The management of AAKAR POWER believes that all "accidents" or “workplace injury” can be prevented and that the safety and health of its employees and contractors are of primary importance in the operation of its business Every effort to address all areas of risk assessment, hazard control and accident prevention shall be made to protect personnel against harm and damage to property The promotion of safe work practices and the proper maintenance of plant and equipment shall be our basic responsibility. All personnel including contractors are accountable for ensuring success through adequate planning, proper organization and strict enforcement and control. Every employee shall recognize their responsibility to ensure their own health and safety and the that of their co- workers The Site Management team shall provide a safe and healthy workplace for all persons. This shall be achieved in conjunction with effective implementation of the AAKAR POWER Occupational Safety and Health Management System program through the consensus effort of Management, Employees and Contractors.

EFFECTIVE DATE OF ORDER Effective Date shall be the date of the release of Mobilization Advance along with Work Order. XV. JURISDICTION Any disputes relating to this Contract shall be subject to the court of competent jurisdiction situated exclusively within the limits of city of Agra (Uttar Pradesh, India). XVI.
