MEMORANDUM OF ASSOCIATION
1. Name of the Association
The name of the Association shall be “VAISHNAVI LAMANI ARCADE OWNERS ASSOCIATION”, hereinafter referred to as “the Association”. The Association is registered under the Telangana Societies Registration Act, 2001 (Act 35 of 2001), as applicable under G.O. Ms. No. 20, dated August 18, 2014.
2. Registered Office
The Registered Office of the Association shall be located at the administrative premises of Vaishnavi Lamani Arcade, situated on land admeasuring 2299.47 Sq. Yards, in Survey Nos. 158 and 160 Part, Kompally Village, Dundigal-Gandimaisamma Mandal, Medchal–Malkajgiri District, Telangana. This land was acquired through a registered Development Agreement Cum General Power of Attorney, Document No. 5579/2018, Book-I, dated 27/04/2018, registered at R.O. Medchal-Malkajgiri.
3. Interpretations
• “Act”: Telangana Societies Registration Act, 2001.
• “Bye-Laws”: Registered bye-laws of the Association as amended from time to time.
• “ManagementCommittee”:Governingbodyoranycommittee formed by the General Body or Management Committee for specific purposes.
• “Developer / Builder”: M/s Vaishnavi Builders, the developer of Vaishnavi Lamani Arcade.
• “Premises”: Individual units constructed on the above land and intended for commercial use.
• “Common Areas and Amenities”: Facilities including club house, roads, utilities, etc., meant for collective use by Members, occupants, guests, and employees.

• “Association”: Vaishnavi Lamani Arcade Owners Association.
• “Member”: Any individual or entity owning a unit in the
Arcade, either directly or through legal assignment.
• “Nominal Member”: Any occupant/tenant/caretaker not owning a unit.
• “General Secretary”: An elected or nominated individual responsible for executing secretarial duties.
• “PermissibleInvestments”:Securefinancialinstrumentssuch as government securities, tax-free bonds, fixed deposits in nationalized or top private banks, and select mutual funds.
Note: Words importing masculine gender shall include feminine gender and vice versa.
4. Area of Operation
The Association shall operate within the premises of Vaishnavi Lamani Arcade, covering all common areas, facilities, and units situated in the specified land. Legal matters shall fall under the jurisdiction of Ranga Reddy District Courts.
5. Aims and Objectives
• Takingpossessionandcontrolofallcommonareas,amenities, and infrastructure.
• Ensuring upkeep and maintenance of shared spaces and equipment.
• Administering cleanliness, security, lighting, and appearance (e.g., exterior painting).
• Undertakingbothroutineandmajorrepairs,excludinginternal unit maintenance (except minor support).
• Collecting maintenance charges and other dues on a regular basis.
• Promoting harmonious, safe, and peaceful coexistence for all Members and Nominal Members.

• Executing other responsibilities and decisions as determined by the General Body.
• Managing investments of collected funds in approved instruments.
6. Equipment of the Association
The Association shall assume control over all infrastructure and equipment handed over by the Developer and those acquired in the future for common benefit.
7. Certificates and Assurances
• The Association is formed on a no profit, no loss basis.
• It shall not engage in agitational or political activities.
• Officebearersshallservevoluntarilywithoutremunerationor financial benefit from Association funds.
• Signatures of office bearers are certified as genuine.
8. Declaration
We, the undersigned, declare that we have voluntarily come together to form this Association and are committed to managing its affairs in accordance with the Telangana Societies Registration Act, 2001, and relevant rules. We seek to formally register this body under the aforementioned act.

BYLAWS OF THE ASSOCIATION
1. Definitions
Owner: A registered individual/entity holding title to a unit.
Tenant/Lessee: A person or entity occupying a unit under a valid lease agreement.
Common Areas: Shared spaces including corridors, lobbies, lifts, staircases, parking lots, etc.
Association: The body comprising all unit owners, responsible for the governance and maintenance of the property.
Managing Committee: Elected members are responsible for implementing these bylaws.
2. Use of Premises
Units are for legal commercial purposes only. Residential usage is strictly prohibited.
Prohibited operations include gambling, illegal trade, or any activity involving hazardous materials.
3. Common Areas
Must be kept clean, free of clutter, and used only for intended purposes.
No storage, marketing displays, or promotional installations allowed.
Smoking is banned in all common spaces.
4. Noise and Nuisance
No excessive noise, vibrations, or offensive odors allowed.
Events must be pre-approved in writing by the Managing Committee.
5. Building Access and Security
All occupants and visitors must comply with security protocols.

Entry beyond permitted hours requires written consent.
Security personnel are empowered to restrict unauthorized access.
6. Maintenance and Repairs
Tenants handle internal maintenance; structural issuesare to be reported by the Owners.
Modifications require prior written approval from the Association.
7. Waste Management
All waste is to be disposed of in designated areas only. Hazardous material disposal must follow legal standards. Penalties for unauthorized dumping.
8. Signage and Advertising
No signage without written permission.
Signs must be professional, non-obstructive, and aesthetically aligned with the property.
9. Parking Regulations
Each unit is allocated fixed parking slots. Unauthorized usage of other slots is not permitted.
Double parking, use of visitor bays by owners/tenants, or parking in fire lanes is strictly prohibited.
Deliveries are to be scheduled between 9:00 AM and 6:00 PM, avoiding peak traffic times.
Heavy penalties and towing at the owner’s cost for violations.
Repeated violations may result in the temporary suspension of parking privileges.
10. Insurance
Owners must insure structural aspects via the Association.
Tenants must maintain public liability and content insurance.
11. Health and Safety
Fire safety norms must be strictly followed.

Fire exits must remain unobstructed.
Regular fire drills may be conducted.
12. Animals and Pest Control
Pets are not allowed, except certified service animals.
Owners and tenants must conduct periodic pest control at their own cost.
13. Leasing/Renting Guidelines
Owners must register tenants with the Association before occupation.
A copy of the lease agreement must be submitted. Minimum lease duration: 11 months.
Tenants must comply with all association bylaws. Owners remain liable for tenant violations. Subletting by tenants is not permitted.
Owners must ensure proper vetting and background verification of tenants.
14. Renovation and Interior Work
All renovation work must be pre-approved.
Working hours for construction: 9:30 AM to 6:00 PM (Weekdays only).
Damage to common property during renovation will be recoverable from the Owner.
15. Compliance and Enforcement
Breaches of bylaws may result in fines, legal action, or termination of services.
Enforcement will be overseen by a designated Compliance Committee.
16. Meetings and Voting
Association meetings to be held quarterly or as needed.

Each owner shall have voting rights proportionate to their share/ unit size.
17. Amendment to Bylaws
Amendments require approval from 75% of owners.
All changes must be registered with the relevant civic body.
