Dear Prospective Member,
When I consider what it feels like going home, I have a vision of the road into my
grandfather’s farm followed by laughter and conversation with friends and family
on his porch. Visits to my grandfather’s farm are some of the times I felt most
content. This feeling was not from wealth or material things. Quite the contrary,
it was from a belief that we have all we need, and that happiness is a result of
relationships with friends, family, and the Creator.
While I have had many great experiences in my life, there is always a longing to
get back to that simple contentment I learned from my grandparents and parents.
Those of you that know me well, know that I love golf, despite the fact that I am
not very skilled (yes, I know that is an understatement!). What I love about golf is
being in the outdoors and spending time with friends, family and meeting new
people. Some of my dearest relationships started on the golf course.
Additionally, sharing a meal together is the other way that I find connectedness
with people. Whether around my grandfather’s table eating home-grown
vegetables or enjoying the finest cuisine at a five-star restaurant, many of my
fondest memories have taken place over a meal.
After my grandfather’s death in 2004, I had the chance to purchase a portion of his
farm. I knew when I did, that someday I would build a golf club on the property
that would combine great golf, lodging and dining to create an atmosphere that I
had experienced growing up. While all of our facilities are designed to be world
class, the most important aspect of the club is the pursuit of that feeling of
connectedness, of coming home and of contentment.
Our club is named in honor of what I learned from my grandfather. That what
matters most is not our economic position, but the feeling of a job well done,
strong faith, and family and friends dearly loved. Simply put, contentment.
As you review the enclosed materials, I am hopeful something will resonate with
you, and you will join us as we build our own Contentment. A place where
members, staff and guests all feel like they are coming home. I look forward to

MEMBERSHIP PLAN
OWNERSHIP AND USE OF CLUB FACILITIES
Contentment Development, Inc. (“Company”), will own and operate the golf, lodging,
and social facilities known as Contentment (the “Club”). Use of these facilities is
available to members of the Club, guests of members and other persons permitted by
the Club from time to time. References in this Membership Plan to Contentment shall
collectively refer to the Club.
PURPOSE OF THE CLUB
Club intends to build and maintain an eighteen-hole golf course, practice facilities,
clubhouse and lodging units and other recreational amenities on real estate located in
Traphill, NC. The facilities will be made available to the Club Members and guests for
their use and enjoyment.
MEMBERSHIP PRIVILEGES
“Membership” provides a revocable license to use the golf and lodge facilities. The
Club offers four general classifications of membership: Founder, Corporate, Full and
Ambassador.
Each member will be permitted to use the facilities of the Club in accordance with this
Membership Plan and the Rules and Regulations.

FOLLOW THESE PROCEDURES TO APPLY FOR CLUB PRIVILEGES
Persons who are interested in purchasing a membership must be invited to apply for
membership and must submit a Membership Application. Upon acceptance for
membership by the Club, applicants must pay the required membership initiation fee
and any other required dues and fees within ten (10) days after the date of written
notice of acceptance, unless payment of such amounts is otherwise described in their
Membership Purchase Agreement. The number of memberships is limited and
eligibility for membership is subject to availability.

PURPOSE OF PERMITTING PERSONS ACQUIRING A MEMBERSHIP TO OBTAIN
RECREATIONAL USE OF CLUB FACILITIES. MEMBERSHIPS SHOULD NOT BE
VIEWED OR ACQUIRED AS AN INVESTMENT AND NO PERSON PURCHASING
A MEMBERSHIP SHOULD EXPECT TO DERIVE ANY ECONOMIC PROFITS FROM
MEMBERSHIP IN THE CLUB.
NO FEDERAL OR STATE AUTHORITY HAS PASSED UPON OR ENDORSED THE
MERITS OF THIS MEMBERSHIP PLAN.
COURT OR OTHER PROCEEDINGS
If any legal action or proceeding is brought by Club, a member or other party because
of an alleged dispute, breach, default or misrepresentation in connection with the
Membership Plan, the Club Facilities or any matter involving the Club, the successful
or prevailing party or parties will be entitled to request from the court recovery of
reasonable attorneys’ fees, costs and all expenses even if not taxable as court costs
(including, without limitation, all such fees, costs and expenses incidental to appeals),
incurred in that action or proceeding, in addition to any other relief to which such party
or parties may be entitled.
CONFLICT
In the event of a conflict between the terms and conditions in the Membership Plan and
a Member’s Membership Application or Membership Purchase Agreement issued by
Club, the terms in the Membership Plan shall control. If any provision of the
Membership Plan is declared void or unenforceable, such provision shall be severed
from the Membership Plan and the remainder of the Membership Plan shall otherwise
remain in full force and effect.

GENERAL DESCRIPTION OF THE MEMBERSHIP PLAN
THE MEMBERSHIP DOCUMENTS
The terms and privileges of membership in the Club and the policies and procedures
under which the Club is operated are described in this Membership Plan, the Rules and
Regulations, the Membership Application, Membership Purchase Agreement and the
Schedule of Dues, Fees and Charges (collectively, the “Membership Documents”), all of
which are subject to change from time to time, in the sole discretion of the Club.
DESCRIPTION OF CLUB FACILITIES
The facilities that will be available at the Club, referred to herein as the “Club Facilities,”
will include the following:
▪ An eighteen-hole championship golf course;
▪ Driving range & putting green;
▪ Practice facility;
▪ A clubhouse which will include full-service dining, lounge, golf pro shop and
locker rooms;
▪ Lodging units with private bedroom/ bathroom suites and common living areas;
▪ Other facilities may be added at the sole discretion of Contentment Development,
Inc.
Use of the Club lodging by members and their guests shall require the payment of
additional fees and charges and is subject to availability.
CLUB MEMBERSHIPS
IN GENERAL
MEMBERSHIP OPPORTUNITY
The Club is accepting requests for membership at a member-oriented golf and sporting
club in accordance with the terms and conditions of the Membership Plan. Membership
provides an opportunity to enjoy the golf facilities, dining facilities, overnight
accommodations, and amenities as appropriate with other members and guests, and to
participate in a variety of golf and sporting activities. Pursuant to the Membership Plan,
the privilege of using the facilities provided at the Club is available to members and
designees, their family members and guests, and such other persons as may be
permitted by the Club from time to time.
ELIGIBILITY FOR MEMBERSHIP PRIVILEGES
Membership is available by invitation only. Invitations may be extended only by the
Club.

The Club is currently offering the opportunity to make application for an available
membership to persons who desire to use the Club Facilities and are approved for
membership by the Club.
The Club may reserve any or all memberships. And therefore, the Club is not required
and may not be compelled to issue any membership.
THE CLUB MAY MAINTAIN A RESERVATION LIST OF PERSONS DESIRING
A MEMBERSHIP
There is no assurance that a membership will be available at the time a Membership
Application and Membership Purchase Agreement is submitted to the Club. In the
event a membership is not available at the time of application, then the Club may
maintain a reservation list for such classification of membership.
In order to be placed on a reservation list, the Membership Application and
Membership Purchase Agreement must have been acted upon favorably by the Club.
The Club, in its sole discretion, may revise the reservation list priority. Any person
placed on a reservation list may also be required to pay a reservation fee in the amount
established by the Club.
FOUR CLASSIFICATIONS OF MEMBERSHIP ARE AVAILABLE IN THE
CLUB
The Club is offering the following four general classifications of membership: Founder,
Corporate, Full and Ambassador. All memberships are non-equity.
Once all available memberships have been sold, the Club will establish a waiting list,
by membership category, of those applicants approved for membership. As the Club
determines that memberships are available, persons on the waiting list will be issued
memberships at the sole discretion of the Club.
NUMBER OF MEMBERSHIPS IN THE CLUB
The total number of active, dues-paying memberships in the Club is currently
established as follows:

FULL MEMBERSHIPS
Those approved for Full Memberships must maintain such status in good standing for
so long as their membership is active. This membership requires the payment of a non-
refundable membership initiation fee. Full members can bring up to (7) seven guests
per visit and has full access to the Club and lodging seven days per week and the
membership includes all immediate family. This membership can be transferred, one
time only, to the member’s spouse or child at any time during his or her first 10 years
of membership.
AMBASSADOR MEMBERSHIPS
Individuals approved for Ambassador Memberships are under 40-years of age,
includes the immediate family and access to the Club may be limited to weekends
(Friday-Sunday). This membership requires the payment of a non-refundable
membership initiation fee. Upon reaching 40 years of age, the difference between what
was paid as an initiation fee and the then going Full member initiation fee rate will be
due and can be paid over five (5) years. Ambassador members can bring up to (3) three
guests per visit. If the Ambassador Membership category is not filled, the Club may
increase the Full Membership category, at its discretion, by converting available
Ambassador Memberships at a ratio of one Full Member per two Ambassador
Memberships.
CORPORATE MEMBERSHIPS
Only eligible business entities may hold a Corporate Membership (the “Authorized
Entity”). Corporate Members must pay the applicable membership initiation fee and
dues as set by the Club from time to time in its Schedule of Dues and Fees. The
Authorized Entity may designate up to three (3) people to receive Corporate Member
privileges at the Club, provided such people are directors, officers, partners, members
or employees of the Authorized Entity. The Club may change the number of designated
Corporate Members at any time at the Club’s sole discretion. The Authorized Entity
has the ability to change the named Members on an annual basis for a fee of $1,000 for
each change. Corporate members have the ability to bring up to eleven (11) guests

maximum/company visit up to three (3) times per year, otherwise seven (7) guests per
visit. Corporate Members have the ability to sponsor four (4) or less unaccompanied
guests without being present. This opportunity is subject to control and modification
by the Club at any time.
FOUNDER MEMBERSHIPS
Founders are those members who have made a significant contribution to the
development of the Club. Founders will be granted certain rights and privileges, as
described elsewhere in this document, that will not be available to Full, Ambassador or
Corporate Members. Founder Members will have the right to receive an additional
membership to donate to a family that may not otherwise be able to afford the initiation
fee. The receiving member, upon acceptance by the Club will be designated a “Founder
A” Member. Founder A Members will have the same rights and privileges as the
Founder Members. Only Founder Members, however, will have the right to transfer
the original Founding Membership (not the Founder A Membership) one time.
Founder members have the ability to sponsor four (4) or less unaccompanied guests
without being present. This opportunity is subject to the control and modification by
the Club. The ability to bring a maximum of eleven (11) guests per visit up to three (3)
times per year, and seven (7) guests per visit, during other visits. Founder Members will
not pay dues for the first five (5) years of operations beginning on January 1, 2024.
Founders are entitled to preferred reservation access to the overnight lodging facilities
and preferred starting times for golf and other activities at the Club.
Founder Members may transfer their membership, one time only. Once approved for
membership in Club, the transferee, shall only be entitled to the unused portion of the
period applicable to the nonpayment of dues, if any.
MEMBERSHIP PRIVILEGES
Full, Ambassador, Corporate, and Founder Memberships entitle the member and their
immediate family to use the Club Facilities and to participate in the Club-sponsored
events and Membership privileges, in general, will be subject to this Membership Plan
and the Rules and Regulations as they may be amended from time to time.

THE CLUB MAY ESTABLISH RULES REGARDING USE OF CLUB
FACILITIES AND MAY MODIFY CATEGORIES
To provide the utmost playing pleasure for all members, the Club reserves the right to
establish different rules governing access, sign-up privileges, guest privileges and
starting times with respect to the golf and other facilities of the Club.
Club reserves the right, in its sole and absolute discretion to modify membership
categories, reserve memberships for future sale, and to modify the terms and
conditions of this Membership Plan. The advertising of a membership for sale by a
member is not allowed.
NO EASEMENT OR EQUITY RIGHTS
Club membership permits the use of the Club Facilities but does not provide any
member with a vested or prescriptive right or easement to use the Club Facilities. The
Club membership is not an investment and does not provide any individual members
or the members collectively, with an equitable or ownership interest or any other
property interest in the Club or the Club Facilities. Members acquire a revocable license
to use the Club Facilities and memberships are revocable at the sole discretion of the
Club.
A MEMBERSHIP MAY NOT BE PLEDGED EXCEPT FOR PURCHASE MONEY
OBLIGATIONS
A member may not pledge or hypothecate the membership in any manner, except to
the extent the lien or security interest is approved in advance by the Club and is
incurred as a result of obtaining the membership. All other pledges and hypothecations
are void.
FAMILY PRIVILEGES
All member classifications provide usage privileges to the member’s spouse and to
their unmarried children who are under the age of twenty-three (23), and who are
living at home, attending school on a full-time basis or in the military. All children
under the age of eighteen (18) must be accompanied by an adult member while on the
golf course.
SIGNIFICANT OTHERS
A significant other (“Significant Other”) is an unmarried person who lives with an
unmarried member in a personal, couple relationship. The Significant Other cannot be
related to the member by blood or marriage and must live with the member in the same
primary residence. Upon written request, the holder of a membership may request the

Club to authorize use of the Club’s Facilities by such Significant Other if (i) the holder
of the membership furnishes the Club with such information as may be required by the
Club regarding the Significant Other, and (ii) the holder of the membership and the
Significant Other both execute an affidavit which attests to the nature of their long term
relationship with each other. The Club may accept or reject, in its sole and absolute
discretion, such request to extend use of the Club Facilities by the Significant Other.
This Significant Other shall have the same rights of play as a spouse as set forth above.
CLUB MEMBERS MAY HAVE GUESTS USE CLUB FACILITIES
Members are entitled to have guests use the Club Facilities in accordance with the
privileges granted by the classification of membership selected and in accordance with
the Rules and Regulations of the Club. In the event that the guest does not pay the Club
for required fees and charges, the member is responsible for the payment of the
applicable daily guest fees established by the Club from time to time and for all charges
incurred by their guests. Members will also be responsible for the deportment of their
guests. No guest may play the golf course in excess of three (3) times in a single calendar
year as an accompanied guest. The Club reserves the right to establish and/or modify
guest usage provisions.
Full and Ambassador Members may bring no more than seven (7) and three (3) guests
respectively on each visit to the Club.
TRANSFER AND RESIGNATION POLICIES, FULL AND FOUNDER MEMBERS
All Full and Founder membership classifications may transfer their membership at any
time within the first 10 years of their membership to a spouse or child. That recipient of
this membership must continue paying the dues in order to keep the membership in
good standing. If this new member does not pay dues as stated, this membership
becomes null and void and is deemed given back to the Club. A membership can only
be transferred one time per this transfer clause.
MEMBERSHIP TRANSFERS UPON THE DEATH OF THE MEMBER
Upon the death of a Full, Ambassador or Founder Member, the surviving spouse, if
any, may (i) continue membership privileges without the payment of any additional
membership initiation fee or transfer fee, or (ii) resign the membership. If the surviving
spouse does not notify the Club of their intention to continue the membership within
ninety (90) days after the member’s death or the deceased member is not survived by
a spouse, then the membership will be deemed by the Club to be resigned.

LEGAL SEPARATION OR DIVORCE OF MARRIED MEMBERS
In the event married members are legally separated or divorced, title to the
membership, including all rights and benefits thereof, shall vest in the spouse awarded
the membership by the court or by mutual agreement of the parties, provided that such
spouse fulfills all of the eligibility requirements for membership in the Club. Both of
the divorced or legally separated persons shall be required to give written notice to the
Club designating the person who is entitled to the membership privileges immediately
after the divorce or separation. Until written notice has been provided to the Club,
both spouses shall remain responsible for the payment of all dues and other fees
associated with such membership. In no event will the club become involved in
disputes between separated or divorced members or in disputes over ownership of
memberships. The Club may in its sole discretion suspend all membership privileges
associated with the disputed membership until the ownership of the membership is
resolved.
APPLICATION FOR MEMBERSHIP PRIVILEGES
A MEMBERSHIP APPLICATION MUST BE MAILED OR DELIVERED TO THE
GENERAL MANAGER
Persons invited to join the Club must mail or deliver a fully completed and signed
Membership Application to the General Manager at the Club. Upon acceptance for
membership by the Club, applicants must pay the required membership initiation fee
to the Club and any other required dues and fees within ten (10) days after the date of
written notice of acceptance, unless payment of such amounts is otherwise described in
the Membership Purchase Agreement.
REVIEW OF APPLICATION FOR MEMBERSHIP PRIVILEGES
All applicants for membership must be approved by the Club. After receiving the
Membership Application, the Club will determine whether the applicant has satisfied
the relevant conditions of membership. All evaluations shall be made without regard to
race, color, national origin, sex, religious preference, creed or any disabilities of the
applicant and will be at the sole discretion of the Club. The applicant will be notified in
writing of the Club’s decision.
DECLINATION OF APPLICANTS
The Club may approve or reject any applicant in its sole and absolute discretion, and
the decision of the Club on any application shall be final. If a decision is made to accept
an application by the Club, the Club shall notify the applicant, and the applicant shall

be responsible for payment of the membership initiation fee and all dues, fees and
charges and shall then be entitled to the rights and privileges of the applicable
membership category. If the applicant is denied for membership, the applicant may not
be further considered for membership in the Club for a period for one (1) year following
the date of the Club’s notice to the applicant of the declination. The Club is under no
obligation to give any reason for denying an applicant. In the event the applicant paid
the applicable membership initiation fee to the Club for the membership selected, the
membership initiation fee shall be refunded, without interest, upon notice to the
applicant of the declination.
RESERVED MEMBERSHIPS
All unissued memberships will be reserved by the Club and will not be available
memberships in the Club. The Club is not required and may not be compelled to sell
any reserved membership. The Club may issue a reserved membership to any person
which the Club, in its sole discretion, determines appropriate from time to time. The
Club shall have no obligation to pay dues on its reserved memberships.
HONORARY MEMBERSHIPS
The Club may allow use of the Club Facilities (except any areas that may be designated
as member-only by the Club from time to time) by sponsored invitational non-member
users and other Contentment guests from time to time upon payment of fees and
compliance with the rules established by the Club.
In addition to the memberships described herein, the Club may issue a limited number
of Honorary memberships to persons designated by the Club from time to time. These
Honorary memberships are in addition to all other memberships to be issued at the
Club and shall be available on terms and conditions and allow such privileges as shall
be established by the Club. The users of these Honorary memberships may be changed
at any time by the Club and new user designated to use the membership privileges from
time to time.
THE RIGHTS OF MEMBERS TO USE CLUB FACILITIES
If approved for membership in the Club, the member agrees to be bound by the terms
and conditions of this Membership Plan and the Rules and Regulations, as each may
be amended from time to time.

TAX CONSEQUENCES OF ACQUIRING A MEMBERSHIP IN THE CLUB
The Club makes no representations and expresses no opinions regarding the federal or
state income tax consequences of acquiring a Club membership. All members acquire
their memberships subject to all applicable tax laws as they may exist from time to time.
Members paying a non-refundable membership initiation fee should consult with their
own tax adviser with respect to the tax consequences of paying the non-refundable
membership initiation fee.
DUES AND CHARGES
THE MEMBERSHIP YEAR OF THE CLUB
The Club’s membership year will constitute the twelve-month period commencing
January 1 and ending on December 31, unless otherwise established by the Club from
time to time.
ANNUAL DUES
When the member pays the required annual dues, the member shall be permitted to
use the Club Facilities in accordance with the membership classification selected by the
member.
DUES, FEES, AND CHARGES ARE SET PRIOR TO EACH MEMBERSHIP YEAR
Each year the Club will determine the amount of dues, fees and other charges to be paid
by each member of the Club for the next membership year.
DUES SHALL BE PAYABLE ANNUALLY
Dues shall be due and payable on an annual basis, on or before February 1, unless
otherwise established by the Club from time to time. The failure of any member to pay
dues within the prescribed time period shall constitute grounds for forfeiture of
membership privileges in the Club including all the non-refundable initiation fee at the
sole discretion of the Club.
THE MEMBERSHIP PROGRAM SUMMARY DESCRIBES THE CURRENT DUES,
FEES AND CHARGES
The current dues and fees charged for use of the Club Facilities are described on the
Schedule of Dues, Fees and Charges. The amount of dues, fees and charges for
subsequent years is subject to change.

FINANCIAL RESPONSIBILITY FOR CLUB MEMBERSHIP
Each member shall be legally and financially responsible for his acts or omissions as
well as those of the member’s immediate family, significant others, and guests. Each
member shall be liable for the payment of the membership initiation fee and all dues,
fees, assessments and other charges and liabilities associated with the membership.
NO OPERATING ASSESSMENTS TO CLUB MEMBERS
Club members are not subject to any operating assessments.
OTHER MEMBERSHIPS IN THE CLUB
The Club shall have the right to create additional categories or classes of membership
from time to time, conferring such rights and privileges and imposing such obligations
as it deems appropriate, and to prescribe the qualifications and requirements for
membership in any such class or category. In addition, the Club may increase or
decrease the number of memberships in any current membership category and/or the
total number of active, dues-paying memberships in the Club in the future, and will
consider usage patterns, economic conditions and other factors in doing so.
CLUB OPERATIONS
MANAGEMENT AND CONTROL OF CLUB FACILITIES AND OPERATION
OF CLUB
The Company, in its sole discretion, will be responsible for the management and
operations of the Club. The Club Facilities will be operated in a manner comparable to
other facilities in the State of North Carolina and throughout the country which offer
comparable facilities and comparable weather patterns. The Club is responsible for the
governance and administration of the Club Facilities and has the exclusive authority to
accept members, set dues and charges, establish rules and regulations and control the
management and affairs of the Club.
CLUB HAS THE RIGHT TO DESIGNATE INDIVIDUALS TO USE CLUB
FACILITIES
The Club and its owners shall have the right to designate persons to use any or all the
Club Facilities, including the golf course, for any purpose and upon such terms and
conditions as are determined from time to time by the Club. The persons designated by
the Club shall include, without limitation, unaccompanied guests of the Club, persons
who are employees of the Club, persons who are prospective members in the Club,
persons who are involved in special events held at the Club, and other persons,
including, but not limited to those who obtain reciprocal usage privileges at the Club
pursuant to arrangements the Club makes, in its sole discretion, with other Club

facilities. The individuals designated by the Club are subject solely to approval by the
Club. Use of the Club Facilities by members may be restricted or reserved from time to
time by the Club.
CLUB HAS THE RIGHT TO USE CLUB FACILITIES FOR PROMOTIONAL
PURPOSES
The Club and its designees shall have the right at any time to hold promotional and
other special events at the Club, including golf tournaments, to promote the Club in
advertisements and promotional materials by referring to the Club and the availability
of memberships in the Club.
MODIFICATION OF FACILITIES
The use of the Club Facilities may be modified or otherwise restricted as deemed
necessary by the Club. Membership does not create any presumption that the Club
Facilities or services that are now or hereafter available will continue to be available in
their current state or condition. The obligation to pay dues is not dependent on the
availability of all the Club Facilities or the frequency of use. Tournaments, special
events, repair, maintenance and/or construction or remodeling of any of the Club
Facilities, governmental regulations, health emergencies, and/or other occurrences may
make it necessary for the Club to change the hours of use, or to restrict the use of one
(1) or more of the Club Facilities, or to close the Club temporarily. In its sole discretion,
the Club may reduce or suspend dues during the time when the Club Facilities, in whole
or in part, are not available. The Club reserves the right, in its discretion, to refuse use
of the Club Facilities by any person at any time.
MISCELLANEOUS
ACKNOWLEDGEMENT OF MEMBERSHIP RIGHTS
Club members will not be entitled to vote on any the Club matters or otherwise become
involved in the management or operation of the Club, except as otherwise specifically
provided herein. A member acquires only a revocable license to use the Club Facilities
in accordance with this Membership Plan, the Rules and Regulations and the
Membership Application, as same may be amended from time to time, but does not
give a member a vested, prescriptive, or easement right or interest in land, the Club,
the Club Facilities or any of the Company’s assets. Membership in the Club is not an
investment in the Club and does not provide the member with an equity or ownership
interest or any other property interest in the Club or the Club Facilities.

THE CLUB MAY MODIFY OR TERMINATE THIS MEMBERSHIP PLAN
The Club reserves the right to modify the terms and conditions of this Membership
Plan or terminate this Membership Plan at any time. The Club may also discontinue
operation of any or all the Club Facilities, sell or otherwise dispose of the Club
Facilities, or convert the Club into an equity member-owned club, in its sole discretion,
at any time.
RELEASE, DISCLAIMER AND INDEMNIFICATION
While using the Club Facilities or participating in the Club events, whether on or off
the premises, members and their family, significant others, and guests are charged with
the responsibility of using proper judgement and caution at all times. The Club and
the Company assume no liability for injuries caused to or incurred by any member,
family member, significant other, guest or other person or for damage to property
resulting from the use of the Club Facilities. Consequently, any member, family
member, significant other, guest or other person who uses or accepts the use of any of
the Club Facilities or services, or engages in any athletic contest, exercise or other Club
activity, either on or off the premises, does so at his or her own risk and shall hold the
Club and the Company and their employees and agents, harmless from any injury,
damage, claim, or liability resulting from such use or engagement. Members are
charged with the responsibility of notifying their family members, significant others,
and guest regarding this release from liability and disclaimer. In consideration of the
rights and privileges of membership, each member agrees, on his or her own behalf,
and on behalf of his or her family, significant other, and guests, to be bound by this
Membership Plan and the Rules and Regulations. Furthermore, each member agrees
(i) to hold harmless and indemnify the Company, the Club, the Club’s third party
management company, Club management personnel and all other employees and
agents, and (ii) to provide a defense by counsel, of the Company’s choosing, from any
claim, demand, cause of action, liability or loss which results from or is connected with
the member, member’s family, significant other or guests presence on the Club
property or any violation of this Membership Plan or the Rules and Regulations by the
member, member’s family, significant other or guests, or any dispute arising from
membership in the Club.

CONTENTMENT PHILOSOPHY
As no rules can govern every situation, we thought it would be useful to give a philosophy.
Contentment, the club, was built to encourage the pursuit of Contentment. If your behavior
fosters Contentment, then you are on solid ground. If it doesn’t you should change.
Importantly, Contentment, the club, is supposed to feel like coming home to family. All
members, staff and guests are in the Contentment family. None are perfect. All are loved and
welcome. Act that way.
1. GENERAL CLUB RULES
1.1. The Club is to be used for recreational purposes only and is not intended
to be used as a place of personal business. Any solicitation of members by other members
or staff is strictly prohibited. No pictures or video of the Club, its members, family
members, guests or employees may be used at any time for any member’s commercial
purposes, for posting on public websites or social media, without the advanced written
consent of the General Manager.
1.2. Members, their family and guests shall abide by all rules and regulations
of the Club as they may be amended from time to time.
1.3. No performance by entertainers will be permitted on the Club Facilities
without the advance permission of the General Manager.
1.4. Dining room activities for groups will be permitted only with the
permission of the General Manager.
1.5. Alcoholic beverages will not be served or sold, nor permitted to be
consumed, at the Club during hours or at locations prohibited by law. No alcoholic
beverages will be sold or served to any person not permitted to purchase the same under
the laws of the State of North Carolina, or any applicable ordinances or regulations. The
Club reserves the right, in its sole discretion, to refuse service to any individual when
that individual appears to be intoxicated.
1.6. Outside catering is not permitted. All food and beverages consumed on
the Club Facilities must be furnished by the Club unless otherwise permitted by the
General Manager.
1.7. Commercial advertisements shall not be posted or circulated in the Club,
nor shall solicitations of any kind be made on the Club Facilities or upon the Club's
stationery or letterhead.

1.8. No petition shall be originated, solicited, circulated or posted at any of the
Club Facilities.
1.9. Members shall not use the roster or list of members of the Club for
solicitation or commercial purposes. Members shall not distribute the Member roster,
Member email addresses or list of members to anyone. Members shall not send mass
emails to the membership without advanced written permission from the General
Manager.
1.10. It is contrary to the Club's policy to have the Club Facilities used for
functions that are in any way related to past, present or future fundraising efforts for the
benefit of a political cause, except as specifically permitted by the Club.
1.11. Members should not request special personal services from employees of
the Club who are on duty or the personal use of the Club's furnishings or equipment
which are not ordinarily available for Member's use.
1.12. All complaints, criticisms or suggestions of any kind relating to any of the
operations of the Club, or its employees must be addressed to the General Manager
either in writing or via scheduled meeting.
1.13. Members and their family members and guests may not abuse any of the
Club's employees, verbally or otherwise. All employees of the Club are under the
supervision of the General Manager and no Member, family member or Guest shall
reprimand or discipline any employee or request any employee to leave the Club
Facilities for any purpose whatsoever. Any employee not rendering courteous and
prompt service should be reported to the General Manager immediately.
1.14. The Club's Facilities shall be open on the days and during the hours as may
be established from time to time by the Club. Areas of the Club may also be closed from
time to time for scheduled maintenance and repairs.
1.15. Smoking of any kind is not permitted at any of the Club Facilities,
including electronic smokeless cigarettes.
1.16. Illegal drugs are not permitted at any of the Club Facilities. Misuse of any
type of drugs is not permitted at any of the Club Facilities.
1.17. Absolutely no fireworks are permitted anywhere on the Club Facilities or
adjacent areas unless part of a fireworks exhibit organized and conducted by the Club.

1.18. Personal/private firearms and all other weapons of any kind are not
permitted at the Club Facilities at any time unless otherwise approved in advance by the
General Manager.
1.19. No member, family member or guest is allowed in the service or restricted
areas of the Club.
1.20. Use of the Club Facilities may be restricted or reserved from time to time
by the Club.
1.21. Family and Significant Other privileges may be denied (and if denied,
guest rights may be restricted) if the family member has exhibited conduct or character
unbecoming of a member or in any way endangering the good order, welfare or
character of the Club, as determined in the Club’s sole discretion.
1.22. Violation of any of these rules or conduct in a manner prejudicial to the
best interests of the Club will subject the person in violation to disciplinary action.
1.23. The personnel of the Club have full authority to enforce these rules and
any infractions will be reported to the General Manager.
1.24. The use of drones at or around the Club Facilities is strictly prohibited.
This restriction is in place to protect and preserve the privacy and comfort of all.
1.25. The Club reserves the right to amend or modify these rules as it determines
appropriate from time to time in the Club’s sole discretion.
2. SOCIAL MEDIA POLICY
2.1. Use of media, social media or other electronic communications, in a
manner that is detrimental to the Club, its members, family members or employees,
including without limitation, making social media posts that are false, defamatory,
unverified or otherwise detrimental to the Club, its members, family members or
employees is strictly prohibited.
2.2. Social media postings that include members, family members or guests
without their express consent is prohibited.
2.3. Use of the Club’s name, images of the Club Facilities, amenities or staff for
any commercial purpose including but not limited to social media posts is strictly
prohibited without the prior written consent of the General Manager.

3. PHONE USAGE & DIGITAL DEVICES
3.1 Mobile phones are permitted at Club Facilities. Ringers should be set on
silent or vibrate tone only and all calls must be taken away from others and at a volume
that does not disrupt the environment of the Club or others. Use of speaker phones is
not permitted.
3.2 Computers, tablets or other digital devices are permitted at the Club.
Sounds emitting from such devices should not disrupt the environment of the Club or
others. Headphones or other personal listening devices should be worn when audio is
used with such devices.
4. CONTACT INFORMATION
4.1. Each Member shall be responsible for filing with the Club, in writing his
or her mailing address, email address and any changes thereto, where the Member
wishes all notices and invoices of the Club to be sent.
5. MEMBERSHIP CORRESPONDENCE
5.1 Complaints or suggestions concerning the management, service or
operation of the Club should be in writing, signed by the Member (or including the
Member’s name) and addressed to the Club’s General Manager. Errors in billing charges
should be directed to the attention of the Accounting Department.
6. CLUB SERVICES AND ACTIVITIES
6.1. The Club provides a variety of social, cultural and recreational events in
which all members are encouraged to participate.
6.2. Private functions are permitted at the Club only with advance permission
by the Club. The Member hosting the function shall (i) assume full responsibility for the
conduct of guests in accordance with these rules, (ii) be responsible for any damage, (iii)
be responsible for the removal of all items used in connection with the function that are
not provided by the Club and (iv) be responsible for all charges related to the private
function.
6.3. Special event functions will be scheduled from time to time at the
discretion of the Club.

7. LOSS OR DESTRUCTION OF PERSONAL PROPERTY
OR INSTANCES OF PERSONAL INJURY
7.1. Each Member as a condition of membership, each family member and each
Guest as a condition of invitation to the Club Facilities, assumes sole responsibility for
his or her property. The Club shall not be responsible for any loss or damage to any
private property used or stored on the Club Facilities, including golf club storage.
7.2. Any such personal property which may have been left in or on the Club
Facilities for six months or more without payment of storage thereon, may be sold by
the Club, with or without notice, at a public or private sale, or may be otherwise disposed
of, and the proceeds, if any, shall belong to the Club.
7.3. No person shall remove from the Club's premises any property or
furniture belonging to the Club without proper written authorization. Every Member of
the Club shall be liable for any property damage and/or personal injury at the Club, or
at any activity or function operated, organized, arranged or sponsored by the Club,
caused by the Member, any Guest or any family member. The cost of such damage shall
be charged to the responsible Member's Club account.
8. RESERVATIONS AND CANCELLATIONS
8.1. Dining and event reservation policies will be determined by the Club from
time-to-time.
9. SERVICE CHARGE
9.1. A service charge percentage will be added to all food and beverage sales
and other applicable Club services.
9.2. Cash tipping is not permitted by members of the Club.
10. CHILDREN
10.1. Children are the responsibility of the parents or adult guardians. Children
who are under the age of 12 should be supervised by an adult. Individual Club Facilities
may have their own separate age requirements, which will be set forth in the applicable
section of the Rules and Regulations or otherwise communicated at the particular Club
Facility.
10.2. The staff of the Club are not allowed to supervise children while at work
nor should it be expected that staff will supervise children’s activities at any time unless
activities are sponsored and managed by the Club.

10.3. Members are responsible for the conduct and safety of their children when
at the Club Facilities.
11. ATTIRE
11.1. While the Club has a relaxed dress code, it is expected that members will
choose to dress in a fashion befitting the surroundings and atmosphere provided in the
setting of the Club. It is also expected that members will advise their family members
and guests of the dress requirements.
11.2. Gentlemen and ladies are requested to dress in a fashion compatible with
the appropriate occasion.
11.3. The dress standards of the Club may be changed or waived by Club
management from time to time for special activities and functions.
11.4. Shirts and shoes are required in all Club Facilities.
11.5. Clothing that contains inappropriate words, statements or images,
including politically sensitive words, statements or images should be avoided.
12. GUEST PRIVILEGES
12.1. Guest privileges may be extended to guests of members subject to
applicable guest fees, charges and rules and regulations established by the Club from
time to time. Although it is the intention of the Club to accommodate guests without
inconvenience to the members in accordance with the Membership Plan, the Club
reserves the right to limit the number of guests that accompany a Member on any given
day or period of time (for example, holidays). Guest privileges may be denied,
withdrawn or revoked at any time for reasons considered sufficient by the Club in its
sole and absolute discretion, which may include, without limitation, if a Guest has
exhibited conduct or character unbecoming of a member or in any way endangering the
good order, welfare or character of the Club, as determined by the Club in its sole
discretion.
12.2. No guest may play the golf course in excess of three (3) times in a single
calendar year as an accompanied guest. In addition, blackout periods may be instated
during holiday periods.
12.3. A particular individual using the Club Facilities as a guest must be
registered by the sponsoring Member with the Club. Members will be charged guest
fees for use of the Club Facilities as determined from time to time by the Club.

12.4. Guests will be entitled to use the Club Facilities only in accordance with
the privileges of the category of membership of the sponsoring Member upon payment
of daily fees.
12.5. Guest charges for any services will be charged against the sponsoring
Member's Club Account, unless alternate arrangements are made with the General
Manager.
12.6. The Club reserves the right to require identification by each guest.
12.7. The sponsoring Member shall be responsible for all charges incurred by
the Guest. The sponsoring Member is also responsible for the conduct of a guest while
at the Club. If the manner, deportment or appearance of any guest is deemed to be
unsatisfactory, (i) the sponsoring Member shall, at the request of the Club, cause such
guest to leave the Club Facilities and (ii) the Member may face disciplinary action for the
guest’s behavior as determined by the Club.
12.8. Members may host golf foursomes, with the number permitted and the
accompanied or unaccompanied status determined by the Club from time to time.
13. GENERAL GOLF RULES
13.1. The Rules of Golf as adopted by the U.S.G.A. together with the Rules of
Etiquette as adopted by the U.S.G.A. shall be the rules of the Club, except when in
conflict with local rules or with any of the Rules and Regulations herein.
13.2. Walking is permitted at times determined by the Club.
13.3. All players must check in with the pro shop.
13.4. If a foursome or other group of players fails to keep their place on the
course and loses more than one clear hole on the players ahead, the group must allow
the following group to play through. Do the same when you stop to search for a lost ball.
No more than five minutes should be used to search for lost balls.
13.5. All players who stop after playing nine holes (or other number of holes)
for any reason must obtain permission from the Pro staff to resume play.
13.6. All tournament play must be approved in advance by the General
Manager.
13.7. Enter and leave bunkers at the nearest level point to the green. Smooth
sand over with a rake upon leaving.

13.8. Repair all ball marks on the green.
13.9. Each player must have his or her own set of golf clubs or rentals may be
provided.
13.10. Proper golf attire is required for all players. Improperly dressed golfers
shall be asked to change before playing. If you are in doubt concerning your attire, please
check with the pro shop before starting play.
13.11. If lightning is in the area, all play shall cease.
13.12. The Club may close the golf course to general play during adverse weather
conditions, when necessary maintenance of the golf facilities is required, when the
course could be damaged by play or when golf tournaments or promotional events are
held at the Club.
13.13. Jogging, bicycling or recreational walking is not permitted on the golf
courses while the course are open.
13.14. No beverage coolers are permitted on the course unless provided by the
Club.
13.15. Twosomes may play at the discretion of the pro shop. Twosomes should
not expect to play through foursomes and should not exert any pressure on the groups
ahead. Foursomes shall have the right of way.
13.16. Twosomes and singles may be grouped with other players, if available, at
the discretion of the pro shop.
13.17. Groups of five or more players shall only be permitted on the golf course
with the permission of the pro shop.
13.18. Junior golf play will be at the discretion of the pro shop.
13.19. Fees, including guest fees, unaccompanied guest fees and caddie fees (if
applicable) will be determined from time to time by the Club.
13.20. Any misuse or disregard of the Rules and Regulations may cause
privileges to be reviewed, suspended or terminated.

14. HOURS OF PLAY
The hours of play and pro shop hours shall be posted in the pro shop. The pro
shop shall determine when the golf courses are fit for play.
15. GOLF STARTING TIMES
15.1. Starting times for golf play will be arranged through the pro-shop or
reservation desk.
16. PRACTICE FACILITY
16.1. The practice facility is open during normal operating hours as posted in
the pro shop. The practice range may be closed for general maintenance or special events
at the Club's discretion.
16.2. Range balls are for use on the practice range and may not be used on the
golf course.
16.3. Golf carts are not permitted on any tee area. Parking of golf carts is allowed
in designated areas.
16.4. Balls must be hit from designated areas. No hitting is permitted from the
rough or sides of the practice range.
16.5. Proper golf attire is required at all times on the practice range.
16.6. Hand bag ball shaggers are not permitted.
16.7. Lessons by unauthorized professionals are prohibited.
17. GENERAL GOLF CART RULES
17.1. Golf carts shall not be used by a Member, family member or Guest on the
Club Facilities without proper assignment and registration in the pro shop. Personal
golf carts are not allowed.
17.2. Golf carts may only be used on the golf course when the course is open for
play.
17.3. Each operator of a golf cart must be at least 16 years of age and have a valid
automobile driver's license.

17.4. Obey all golf cart traffic signs.
17.5. Always use golf cart paths where provided, especially near tees and
greens.
17.6. Do not drive a golf cart within 15 feet of a green, a tee or a bunker, except
on golf cart paths.
17.7. Never drive a golf cart through a hazard.
17.8. Be careful to avoid soft areas on fairways, especially after rains. Use the
roughs wherever possible.
17.9. Operation of a golf cart is at the risk of the operator. Cost of repair to a golf
cart which is damaged shall be charged to the Member who is responsible for such
damage, whether caused by the Member or the Member’s family members or guests.
The responsible Member shall be held fully responsible for any and all damages,
including damages to the golf cart, as well as injury to any persons and damage to any
other property, that are caused by the misuse of the golf cart by the Member or the
Member’s family members or guests and shall reimburse the Club for any and all
damages the Club may sustain by reason of misuse.
17.10. Each person using a golf cart accepts and assumes all responsibility for
liability connected with operation of the golf cart. The person also expressly agrees to
indemnify, defend and hold harmless the Club and its owners and their affiliates and
each of their respective directors, officers, employees, representatives and agents, from
any and all loss, cost, claim, injury, liability or damages, whether direct or consequential
(including reasonable attorneys’ fees), resulting from or arising out of the person's use
and operation of the golf cart.
17.11. "Course Closed" or "Hole Closed" signs are to be adhered to without
exception.
17.12. Violations of the golf cart rules may result in loss of golf cart privileges
and/or playing privileges.
18. HANDICAPS
18.1. Handicaps are computed under the supervision of the pro shop in
accordance with the current U.S.G.A. Handicap System.

18.2. All members and their guests with a U.S.G.A. approved handicap may
participate in Club tournaments. All handicaps submitted may be reviewed by the pro
shop.
18.3. To establish a handicap, a Member must have turned in a minimum of five
scores. members are responsible for turning in all their scores on a daily basis.
18.4. The pro shop shall assist any members needing help with the posting
procedures.
18.5. Accurate records are to be kept of scores turned in and recorded for all full
rounds played. The pro shop shall determine if there are violations by members in
turning in their scores.
19. GOLF COURSE ETIQUETTE
19.1. Persons using the golf courses should do their part to make a round of golf
a pleasant experience for everyone. Here are some suggestions:
• Do not waste time. Anticipate the club or clubs you may need and go directly
to your ball. Always be near your ball to play promptly when it is your turn. If
a player is delayed in making his shot, it would be courteous for such player
to indicate to another player to play which should not be deemed playing out
of turn.
• The time required to hole out on and around the green is a chief cause of slow
play. Study and clear the line of your putt while others are doing the same. Be
ready to putt when it is your turn.
• Be sociable but reserve your extended conversations for the 19th hole.
• When approaching a green, park your golf cart on the cart path on the best
direct line to the next tee. This can save about one-half hour per round. Never
leave the golf cart in front of the green where you will have to go back to get it,
while the following players wait for you to get out of the way.
• When play of a hole is completed, leave the green promptly and proceed to the
next tee without delay. Do the scoring for the completed hole while the others
in your group are playing from the next tee.
• If you are not holding your place on the course (see General Golf Rules), allow
the players behind to play through. Do the same if you stop to search for a lost
ball.

• Carefully rake sand traps after use.
20. OTHER CLUB FACILITIES
20.1. Regular operating hours for Other Club Facilities will be posted by the
Club and may be changed from time to time.
20.2. It is the responsibility of all persons using Other Club Facilities to consult
with their physician, and such person should be in good physical condition and have no
physical, medical or psychological conditions, disabilities, impairments or ailments,
chronic or otherwise, which would preclude, impair or prevent such individual from
using Other Club Facilities, or engaging in active or passive exercise. Members assume
full risk of loss and responsibility for damage to their health.
20.3. Any Member or guest with health or physical problems should first
consult his or her physician before using any of the Other Club Facilities and notify staff
upon entrance to the facility.
20.4. Guest fees may be charged for use of Other Club Facilities. If fees are
established, the Member's Club account will be billed.
20.5. All weights and pieces of equipment must be returned to their proper
places at the completion of use.
20.6. Casual workout attire is acceptable at Other Club Facilities such as tee-
shirts, tank tops, gym shorts or warm-up pants for men; and leotards, tights, tee-shirts,
tank tops, gym shorts or warm- up pants for women. Closed toed shoes must be worn
in Other Club Facilities at all times.
20.7. Pregnant women should not use Other Club Facilities that would elevate
their core body temperature.
20.8. Smoking is not prohibited at Other Club Facilities.
20.9. It is the responsibility of all persons to obtain instruction on how to use the
equipment prior to usage of such equipment, and the equipment is only to be used in
accordance with such instructions.
20.10. No clothing or personal articles may be stored under benches or in the
common areas.

20.11. Children under 12 years of age are not permitted to use Other Club
Facilities unless accompanied or supervised by an adult. The Club may require proof
that a minor has passed a physical examination prior to using Other Club Facilities.
20.12. Horseplay, profanity, disruptive conduct and indiscreet behavior at Other
Club Facilities are strictly prohibited.
20.13. Music, video devices and the like may be utilized if played at a sound level
that is not offensive to other members and guests.

I. PURCHASE OF MEMBERSHIP
I hereby apply for the following category of Membership in Contentment (the "Club"):
MEMBERSHIP CATEGORY MEMBERSHIP INITIATION FEE
Ambassador Membership $15,000
a. $1,000 upon execution
b. $4,000 when ground has been broken for golf course construction (estimated November 2022)
c. $5,000 once golf course construction is substantially completed (estimated October 2023)
d. $5,000 once golf course opens (estimated June 2024)
I hereby agree to pay to the Club the Membership Initiation Fee according to the above schedule,
and to pay the membership dues, fees and charges, including any applicable sales tax, or other taxes, for
the category of membership selected. The Membership Initiation Fee is refundable until such time that the
golf course has been completed and the Club has opened for business. I agree that my facilities use
privileges at the Club and my obligations for dues, fees, and other charges pursuant to my Membership
shall be in accordance with the Ambassador membership category as such is described in the Club’s
Membership Plan Documents, as such may be amended in the Club’s sole discretion, at any time.
Membership is contingent upon approval by the Club and the Club completing construction of the
golf course and opening for business, which approval and opening date shall be at the Club’s sole and
absolute discretion. I understand and agree that I will have no access to the Club Facilities until the Club
officially opens following the completion of the golf course. Upon signing this Agreement, I authorize the
disclosure and release of information to the Club for investigating my qualifications for membership,
including my credit history, criminal background checks, and agree to hold the Club harmless from any
and all such acts.
I HEREBY ACKNOWLEDGE THAT THIS MEMBERSHIP IS ONLY A REVOCABLE LICENSE TO USE
THE CLUB FACILITIES PURSUANT TO THE TERMS AND CONDITIONS OF THE MEMBERSHIP PLAN
DOCUMENTS. I HEREBY ACKNOWLEDGE THAT I AM ACQUIRING A MEMBERSHIP FOR THE SOLE
PURPOSE OF OBTAINING RECREATIONAL USE OF THE CLUB FACILITIES, AND NOT AS AN
INVESTMENT OR FOR ANY ECONOMIC PROFIT OF ANY NATURE FROM THE MEMBERSHIP OR
MEMBERSHIP IN THE CLUB.
II. PAYMENT OF DUES, FEES AND CHARGES
I understand that the Club will bill me for dues either annually in advance or as the Club might
decide from time to time. I know that the obligation to pay dues begins on the date that the Club opens for
business and that the dues for my first membership year shall be prorated as of such date. I understand
that I am liable for all fees and charges incurred by myself, and/or my family and guests. All food,
beverage, merchandise and services of the Club charged to my account shall be billed monthly, and
payment is due on receipt of the monthly statement. I agree to pay the account when due, and I agree that
the Club may assess a late charge for past-due accounts as set forth in the Membership Plan Documents. I
agree to maintain a current credit card account in my name on file with the Club at all times. In the event
my account is more than twenty-five (25) days past due, the Club shall have the right to bill such past-due
amounts to my credit card. I acknowledge that the Club may take whatever action it deems necessary to
effect collection, including without limitation, suspension or termination of my privileges or membership
and/or legal action, and that I shall be liable for all costs and for any expenses of such legal action and
reasonable attorneys’ fees, including any fees required in connection with appellate proceedings.

III. MEMBERSHIP DOCUMENTS
I hereby acknowledge receipt of the Membership Documents and that I have read and understand
them, and agree to be bound by the terms and conditions thereof as the same may be amended from time
to time by the Club and this Membership Purchase Agreement. I further acknowledge that I am not relying
on any oral representations of any party in acquiring a Membership in the Club.
I have reviewed all documents and obtained all information that I believe necessary to my decision
to execute this Membership Application and Agreement. I further acknowledge that I have the right to
consult with an attorney in connection with the execution of this Membership Purchase Agreement, and
that I have consulted with an attorney to the extent I believe such advice is necessary. I understand that
my membership in the Club is subject to termination or suspension of privileges for disciplinary grounds
in accordance with the Membership Plan and the Rules and Regulations.
IV. ASSUMPTION OF RISK, INDEMNITY, AND LIMITATION OF LIABILITY
I hereby acknowledge that the use of the Club Facilities and any privilege or service incident to membership
is undertaken with knowledge of risk of possible injury. I hereby accept any and all risk of injury to myself,
my family members, my guests and other persons sustained while using the Club Facilities or involved in
any event or activity incident to membership in the Club. In accepting the risk of injury, I understand that
I am releasing, discharging, indemnifying, defending and forever holding harmless the Club and its
successors and assigns and each of its board of directors, officers, members, employees, representatives
and agents and the other members of the Club and any Club committee and all such committees’ members,
from any and all claims, actions, suits, procedures, costs, expenses, damages and other liabilities (including,
but not limited to, court costs and attorneys’ fees) arising out of, in connection with, or otherwise resulting
from any injury or death, or damage to personal property sustained or incurred by me, my family members,
my guests and any other person resulting from or arising out of any conduct or event connected with
membership in the Club and use of any of the Club Facilities. If I make a legal claim against the Owner,
Operator or any of their affiliates, partners, directors, officers, shareholders, employees, members,
representatives or agents, any remedies, if any right to relief is established, shall be limited to such amount
equal to what has been actually paid for my Initiation Fee, and upon such refund, the membership shall be
terminated.
V. MISCELLANEOUS
I hereby submit a check in the required amount of the Membership Initiation Fee along with this
executed Membership Application and Agreement.
I consent for myself, my family members, and my guests to photography, audio recording, video
recording and any release, publication, exhibition, or reproduction of same while on Club property, to be
used for live streaming, promotional purposes, advertising, inclusion on web sites, and any other purpose
by the Club, the Club’s designee, or such third parties which have been granted permission for same by
the Club. You release the Club and its affiliates, their successors and assigns and each of their respective
owners, shareholders, board of directors, officers, members, managers, officers employees, representatives,
guests, and agents from any liability connected with the taking, recording, digitizing, and/or publication
of photographs, computer images, video and/or sound recordings and waive all rights you may have to
any claims for payment or royalties in connection with any exhibition, streaming, webcasting, or other
publication of these materials, regardless of the purpose. You also waive any right to inspect or approve
any photo, video, or audio recording taken.

This Membership Application and Agreement shall be governed by and construed and enforced
in accordance with the laws of the State of North Carolina without giving effect to principles of conflicts of
law. All disputes relating to or arising out of this Agreement shall be handled in accordance with the
Dispute Resolution Section of the Membership Plan. If the prospective member is married, the signatures
of both spouses are required.
This Agreement may be executed in multiple counterparts, each of which shall be deemed an
original but all of which shall be deemed one and the same instrument. Facsimile or electronic signatures
on this Membership Agreement shall be treated as and given full force and effect as original signatures. If
the prospective member is married, the signatures of both spouses are required.
