In today’s business environment, change is the only constant. Companies
which do not align their business operations in line with the changing
processes often face the risk of becoming obsolete.
Businesses seek to diversify into new areas to increase their sales,
revisit their processes, shed off divisions which do not add much value
to concentrate on core competencies instead. All this calls for
restructuring.
With this thought in mind, the client approached MCA for realigning
their work processes and systems and sought advice on the
restructuring mode to be undertaken for the Company.
Challenging at first predominantly due to non-maintenance of separate
books for its energy and defence divisions, the team lead by Omar S M
and Devi Prasad was able to successfully identify the assets and
liabilities attributable to each division, set proper systems in place,
chalk out an organisational hierarchy, compare and analyse the possible
modes of restructuring, identify Slump Sale as the most suited option
and undertake all the measures in executing such option thus providing
a comprehensive solution to the client

equipment hence royalty, thus TDS. If the same was
without re-installing rights, it doesn’t lead to
royalty/TDS

The decision to allow 100 per cent FDI in defence marks a major push
to defence manufacturing under the 'Make in India' initiative. The
government has dropped the requirement for 'state of the art'
technology requirement to apply for FDI relaxation above 49 per
cent. This does not however mean automatic approval for defence
deals. Deals above 49 per cent still need government approval but
now deals not involving 'state of the art' technology can also opt the
route.
