BY-LAWS
ARTICLE I - Offices

The principal office of the corporation in the State of Colorado shall be located in the City of Pueblo, County of Pueblo, as the
Board of Directors may designate or as the business of the Corporation may require from time to time.

ARTICLE II - Membership

Section 1. There shall be two classes of membership, Proprietary and Non-proprietary with such categories as shall be designated
by the Board of Directors in the Club’s Rules and Regulations from time to time.
Section 2. Proprietary membership shall consist only of such categories that require the purchase of a membership certificate
or the transfer of such certificate according to the Rules and Regulations.
Section 3. Non-proprietary memberships shall be those not required to purchase a membership certificate and shall be subject
to such limitations as shall be set forth in the Rules and Regulations.
Section 4. The number of available memberships shall be limited by the Articles of Incorporation and assigned to categories
by the Board of Directors from time to time as necessary.
Section 5. Membership shall be by application, approved by the Board of Directors, and signed by the applicant and one
member as sponsor. Acceptance shall be by vote of the Board of Directors and the proceeding thereon shall be secret,
confidential
and final. Two negative votes shall be necessary to exclude the applicant. No person failing of election shall be again processed
for membership within one year. Readmission after resignation shall be automatic for ninety days providing all past dues
and fees are brought current. After ninety days there shall be a two-year waiting period, to be determined at the discretion of the
Board, for application as a new member and shall require all fees to be reassessed. Resignation is defined as being voluntary and,
if a membership is terminated by the Board of Directors, there shall be a two-year waiting period to be determined at the
discretion
of the Board prior to being eligible to reapply for membership.

ARTICLE III - Rights of Members

Section 1. Each member, upon qualifying for membership, shall receive written evidence indicating class of membership for
which he/she has been qualified.
Section 2. The family of a member of the Club may enjoy all Club privileges to which the member is entitled. The word
“family” shall be construed to include only the spouse and unmarried children of members under the age of twenty-four years and
residing in the residence of the member, or attending a bona fide college or university.
Exceptions may be granted in some cases, such as grandchildren and exchange students residing in the residence, at the discretion
of the General Manager. Members in the Associate categories may have a guest for any of the sports facilities by paying current
guest fees. All guests must be accompanied by the member. The Board of Directors shall have the right to withdraw such
privileges
from any member of a family who, in its opinion, has abused the same or conducted himself in a manner detrimental to the
best interest of the Club.

Section 3. Any member in good standing may introduce into the Club as his/her guest, any adult person residing outside of
the thirty-five mile radius from the Club upon such terms and conditions as the Board of Directors may determine, and the
privileges

weeks at any one time. Immediate family, such as an unmarried son or daughter over the age of 23 temporarily residing in the
residence for more than two weeks, may be given extended privileges at the discretion of the General Manager.
Section 4. Any member in good standing may invite a non-member within the thirty-five mile radius to be his guest upon
such terms and conditions, including the payment of applicable fees, as the Board of Directors may determine, provided however,
that any such guest be accompanied by the Member.
Section 5. Members shall be responsible to the club for any indebtedness incurred by their guests.
Section 6. No special assessment against a member in excess of $250.00 during any calendar year, other than the assessment
made in connection with a member’s admission, shall ever be made or levied, except and unless 51% of the Members present and
voting consent to the same at an annual or special meeting of Proprietary members called and conducted in the manner prescribed
in Article VIII.
Section 7. Widows and widowers of deceased Proprietary and Non-proprietary members shall be placed in a membership the
same as their former spouse or a category of their choice. The Club may require proper legal documentation for such transfer.
Dues will be forgiven for a ninety-day period following the death of the member, at which time the surviving spouse shall
commence
paying the then current applicable dues. Where appropriate, a fee may be charged for transfer to a category having greater
privileges. In the event transfer is not applied for within ninety days of the member’s death, the certificate of membership, in the
case of a Proprietary member shall be surrendered to the Club. In the event of a refusal or failure to surrender the certificate of
membership within one hundred eighty days of the member’s death, the certificate shall be canceled on the books of the Club by
the Secretary and deemed null and void for all purposes.

ARTICLE IV - Fees, Dues, and Charges

Section 1. The Board of Directors shall, from time to time, establish the initiation or membership fees and an initial, nonrecurring
assessment with respect to each class of membership.

said indebtedness. All accounts shall be due and payable within thirty days of the billing date. Any member who fails to pay
any dues or any other indebtedness owing to the Club, within thirty days of billing, will be assessed a late charge of $25.00 and a
one and one-half (1 1/2) percent monthly finance charge on the unpaid balance. If such dues and other indebtedness are not paid
within sixty days of billing, the member will be assessed a $50.00 late charge which shall be in addition to the $25.00 previously
assessed after 30 days, and in addition to the one and one-half (1 1/2) percent monthly finance charge assessed on the unpaid
balance. The member shall be subject to suspension from the use of the Club facilities (by the Board of Directors). Any member
delinquent in the payment of membership obligations after 75 days, may be expelled from membership by action of the Board of
Directors as provided in Article X. In the event of expulsion for failure to pay dues and other charges, the certificate of
membership
shall be surrendered and if not surrendered within thirty days of expulsion, the certificate shall be canceled on the books of
the Club by the Secretary and deemed null and void for all purposes.
Section 6. Corporations or businesses holding memberships shall be liable jointly and severally with the individual member
for all dues and charges incurred by the member authorized to use such membership.

Section 1. The property, policy, business and conduct of the Club in the corporation shall be managed, determined and controlled
by a Board of Directors which shall consist of nine persons.
Section 2. The Board of Directors shall be elected by the members to serve a three year term. No member shall be eligible to
serve more than two consecutive three-year terms. A Board member may serve as President for two years. They need not be
consecutive
and they may not serve as President their sixth year.
Any vacancy in the Board shall be filled by the Board by election of a member to serve until the next annual meeting at which
time the members shall elect a member to serve for the unexpired term.
(a) The President shall, at least thirty days before the annual meeting, appoint a nominating committee of five Proprietary
members which shall nominate at least one Proprietary member for each vacancy on the Board about to occur. The names of
all such nominees shall be posted by said committee on the bulletin board at the Club at least ten days before the annual
membership meeting.
(b) Any twenty-five Proprietary members of the Club may nominate in writing to the Secretary other Proprietary members
for the same vacancy or vacancies for which nominations have been made by the nominating committee and the secretary
shall post on the Club bulletin board the names of such nominees at least five days before the annual meeting. No member

shall be eligible for election as a director unless he shall have been nominated by either of such procedures, and his name
posted for the required length of time, as provided above.
Section 3. At the annual membership meeting, only Proprietary members may vote on the nominees to fill the vacancies on
the Board of Directors. Absentee ballots will not be permitted. Cumulative voting will not be permitted. If a Proprietary member
does not cast as many votes as there are nominees, his ballot will not be voided. In the event two or more nominees receive the
same number of votes, and as a result of such tie all vacancies are not filled, the newly elected Board will break the tie by secret
ballot following the annual meeting, and must fill the vacancy by selecting one or more of the nominees resulting in the tie vote.
Section 4. It shall be the duty of the Board of Directors to maintain, operate and improve the Club and they are expressly
given full powers not inconsistent with these by-laws to accomplish such purpose. The Board of Directors shall have the sole
authority to convey any part of the Club’s property not, in the judgment of the Board of Directors, necessary for the present or
long range purposes or use of the Club. The Board of Directors shall have the sole authority to encumber all or any part of the
Club’s property, providing however, that no instrument of conveyance or encumbrance shall be valid unless consented to by
resolution
of the Board, approved and signed by not fewer than six members of the Board.
Any transfer or conveyance shall be subject to the limiting provisions of the Amended Articles of Incorporation, Article VI,
Section
1.
Section 5. The Board of Directors shall meet on a regular basis for 10 months of the fiscal year. Between meetings the affairs
of the Club shall be operated by the General Manager, and Board matters shall be acted upon by the Executive Committee.
Neither
the General Manager nor the Executive Committee shall have the authority to change Club policy that has been adopted by
the Board, nor shall they have the authority to encumber or transfer property without the specific authority of the Board.
Special meetings may be called by the President at any time, and upon written request by any three members of the Board, a
special
meeting must be held. Six members of the Board then elected or appointed and serving shall constitute a quorum at any
meeting for transaction of business. At any meeting of the Directors, the affirmative vote of five Directors shall be required with
respect to any decision of the Board. A Director may vote either in person or by proxy, executed in writing by the Directors. Such
proxy shall be filed with the Secretary before or at the time of the meeting. No proxy shall be valid after four months from the
date of its execution, unless otherwise provided in the proxy.
Any member of the Board of Directors or any committee designated by such Board may participate in a meeting of the Board of
Directors or committee by means of telephone conference or similar communications equipment.
Section 6. Indemnification of Officers and Directors. The Board of Directors of the Club shall have the power to:
(a) Indemnify any person who was or is a party or is threatening to be made a party to any threatened, pending, or completed
action, suit, or proceeding, whether civil, criminal, administrative or investigative (other than an action by or in the
right of the Club), by reason of the fact that he/she is or was a director, officer, or employee of the Club, against expenses
(including attorney fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by him/her in
connection with such action, suit or proceeding if he/she acted in good faith and in a manner he/she reasonably believed to
be in the best interests of the Club and, with respect to any criminal action or proceeding had no reasonable cause to believe
his/her conduct was unlawful. The termination of any action, suit or proceeding by judgment order, settlement, or conviction
or upon a plea of nolo contendere or its equivalent shall not of itself create a presumption that the person did not act in good
faith and in a manner which he/she reasonably believed to be in the best interests of the Club and, with respect to any criminal
action or proceeding, had reasonable cause to believe that his/her conduct was not unlawful.
(b) Indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed
action or suit by or in the right of the Club to procure a judgment in its favor by reason of that fact that he/she is or was a
director, officer or employee of the Club, against expenses (including attorney fees) actually and reasonably incurred by
him/her in connection with the defense or settlement of such action or suit if he/she acted in good faith and in a manner he/
she reasonably believed to be in the interests of the Club; but no indemnification shall be made in respect of any claim issue,
or matter as to which such person has been adjudged to be liable for negligence or misconduct in the performance of his/her
duty to the Club.
c) Indemnify a director, officer, or employee of the Club to the extent that such person has been successful on the merits
in defense of any action, suit or proceeding referred to in Subsection (a) or (b) in this Section 6 or in defense of any claim,
issue, or matter therein against expenses (including attorney fees) actually and reasonably incurred by him/her in connection
therewith.
d) Authorize indemnification under Subsection (a) or (b) of this Section 6 (unless ordered by a court) in a specific case
upon a determination that indemnification of the director, officer, or employee is proper in the circumstances because he/she
has met the applicable standard of conduct set forth in said Subsection (a) or (b). Such determination shall be made by the
Board of Directors by a majority vote of a quorum consisting of directors who were not parties to such action, suit, or proceeding,
or if such quorum is not obtainable (or even if obtainable, a quorum of disinterested directors so directs) by independent
legal counsel in a written opinion.
e) Authorize payment of expenses (including attorney fees) incurred in defending a civil or criminal action, suit, or a proceeding
in advance of the final disposition of such action, suit, or proceeding as authorized in Subsection (a) of this Section
6 upon receipt of an undertaking by or on behalf of the director, officer or employee to repay such amount unless it is ultimately

determined that he/she is entitled to be indemnified by the Club as authorized in this Section 6.
f) Purchase and maintain insurance on behalf of any person who is or was a director, officer or employee of the Club,
against any liability asserted against him/her and incurred by him/her in any such capacity or arising out of his/her status as
such, whether or not he Club would have the power to indemnify him/her against such liability under the provisions of this
Section 6.
Section 7. Restricted Funds. The Club shall establish a restricted fund, the purpose of which is to insure that certain revenues
of the Club are restricted to and available for expenditures of a capital nature.

of Directors, and any interest earned on restricted funds.
Expenditures from the restricted fund shall be limited to: the purchase of capital assets and the payment of principal and interest
on current or pre-existing debt incurred in the purchase of capital assets. The term “capital assets” shall include all items
capitalized
or recorded as additions to the property accounts of the Club, and in addition, shall include other expenditures as authorized
by two-thirds vote of the Board of Directors which, although recorded by the Club as operating expenses, could otherwise have
been capitalized under alternative accounting principals. All transactions authorized by the Board of Directors and charged to the
restricted fund account shall be reported to the membership as part of the annual financial statement.
Section 8. Attendance of members of the Board is necessary and upon unexcused attendance of three consecutive regular

12. The roster may not be used for any purpose without the express approval of the Board of Directors.
13. Harassment Policy - A fundamental policy of the Pueblo Country Club is to provide a workplace free from
prohibited harassment. To accomplish this goal, it is the policy of the club to prohibit the harassment of staff members in
any form by any other staff members, Club members, or other persons while the employee is engaged in Club business.
This prohibition extends to ethnic, racial, sexual, disability, age, marital status and religious harassment. It also prohibits
unwelcome sexual advances, requests for sexual favors, or other prohibited conduct that creates an intimidating, hostile or
offensive work environment.
The type of harassment that is prohibited may take many forms and includes, without limitation, verbal harassment (derogatory
comments, epithets and/or slurs), physical harassment (assault of physical touching or interferences), visual harassment (posters,
cartoons, drawings) and innuendos or false rumors.
Of specific concern is sexual harassment, which is a violation of both state and federal laws. It includes unwelcome sexual
advances,
requests for sexual favors, sexually motivated physical contact and other verbal, physical or visual forms of conduct of a
sexual nature when submission to that conduct is either explicitly or implicitly made a term or condition of employment; is used
as the basis for employment decisions; or when the conduct has the purpose or effect of unreasonably interfering with an
individual’s
work performance or creating an intimidating, hostile or offensive work environment.
Obviously, the Club cannot prevent violations of this policy unless such behavior is observed or reported. If a staff member has
reason to believe that the staff member or another staff member has been harassed, a staff member should report the violation to
the Manager. If the staff member is uncomfortable reporting the matter to the Manager; or should the staff member feel that the
Manager has not given a satisfactory response; or if the Manager is part of the problem, the staff member should report the
violation
to the Club President or to any Member of the Board of Directors.
To the extent possible, complaints will be kept confidential, and a reporting staff member can be assured that he or she will not
suffer negative consequences as a result of bringing concerns to management’s attention. All complaints received will be
promptly and thoroughly investigated. If the investigation reveals that a staff member has been harassed at work, appropriate
action, including disciplinary action against offending individuals, will be immediately taken.
Failure of any staff member, Club member, or other persons involved in the investigation of a harassment complaint to keep the
complaint confidential shall be a separate violation of this policy. A separate violation shall also occur if any retaliatory action is
taken against or directed at any staff member that has made a harassment complaint. Violations of this policy will result in
appropriate
disciplinary action, up to and including termination of employment, or in the case of a Club member, Club privileges. The
Club reserves the right to provide information regarding any harassment complaint or retaliatory conduct to the appropriate legal
authorities if the Club, in its sole discretion, believes illegal conduct has occurred.
