PART 1

Introduction

PHILIPPINE ASSOCIATION OF ACADEMIC/RESEARCH LIBRARIANS,INC.

PAARL Directory of Members is a publication of the association
to regularly update the information of its members. It also
serves as tool to maintain and build professional collaboration
among academic and research librarians. The year 2015, on
PAARL’s 42nd anniversary, the PAARL Directory of Members
2015 was published.

The directory comprises of two parts: Part 1 Introduction; Part
2 List of 2015 Members and the appendices.

The Introductory part includes the organization background
such as its history, list of presidents from 1973 to 2015, the
2015 composition of the Executive Board, standing and ad hoc
committees, program of activities, membership information,
and the articles of incorporation and the amended constitution
and by-laws.

The second part is the roster of individual members both
regular and associate (with asterisk), who have paid their dues
from January to December 2015. Entries are arranged
alphabetically by surnames and thereunder by their given
names. The following information are provided: name,
designation or position, professional license number,
institutional affiliation, address, contact numbers, email address
and the year of membership.

It also includes the institutional and institutional membership
which is comprised of academic and/or research libraries are
automatic members of PAARLNET represented by their
respective heads. PAARLNET is a network of PAARL academic/
research libraries, who have agreed to formalize an interlibrary
lending arrangement.

The last part is the Appendices which include the PAARL
Standards for Academic Libraries for 2010 and PAARLNET
Memorandum of Agreement.

A Brief History of PAARL

(based on the article “PAARL’s 40th Anniversary 1973-2013”
by Fe Angela M. Verzosa)

The Philippine Association of Academic and Research Librarians,
better known by its acronym, PAARL, is presently an association of
academic and research librarians in the Philippines that upholds the
profession of academic and research librarianship in the country. Its
principal mission is to articulate the concerns of academic and research
librarians and their institutions, and to influence information policy
development affecting the future of academic and research libraries. Since
1973, it has provided leadership in the development and growth of library
and information services in the country.

PAARL membership is open to all licensed librarians who hold bachelor’s or
master’s degree in library/information science from a university, college,
or technical school of recognized standing, and other information
professionals currently employed in academic and research libraries.
Institutional members are firms, agencies, institutions or organizations
maintaining academic or research libraries and support the objectives and
programs of the Association. It is currently governed by an Executive
Board consisting of nine directors, who are directly elected by the general
members every year. Guided by a Council of Elders, composed of five past
presidents, the Board defines the policies and regulates the activities of
the Association.

Now on its 42nd year, PAARL was founded through a resolution approved
by the Philippine Accrediting Association of Schools, Colleges and
Universities (PAASCU) during its conference held on 18-19 September
1972. The resolution called for “an association of academic libraries to be
organized as soon as possible, and that a committee of five formed to
formulate a constitution and by-laws of the association.”

The Committee of five, formed immediately after this conference, was led
by UP University Librarian Marina G. Dayrit (as chairperson), and included
Fr. Robert J. Suchan (Library Director of Ateneo de Manila University), Fr.
Paul de Vera (of San Beda College), Sr. Patricia Alcarez (of St.
Scholastica’s College), and Sr. Arcilla Cabula (of St. Joseph’s College). The
five drafted the association’s Constitution and By-Laws, and submitted
them initially for approval during its first general membership meeting
held at the UP College of Law on 18 November 1972, and then for
ratification by an initial membership of sixty (60) designated represen-

tatives of academic and research libraries on 20 January 1973.

The first nine members of the Board of Directors elected through secret
voting by the initial 60 member librarians on May 7, 1973 were: Marina
G. Dayrit (UP), Fr. Paul de Vera, OSB (SBC), Narcissa Muñasque (DLSU),
Fr. Robert Suchan, SJ (ADMU), Sister Patricia Alcarez, OSB (SSC), Ursula
G. Picache (UPILS), Angelina R. Tamesis (AIM), Rosa M. Vallejo (UPILS),
and Filomena Mercado-Tann (UP).

In their first organizational meeting on 5 August 1973, the Board elected
their officers:

PAARL was registered with the Securities and Exchange Commission on 16
February 1981 (under SEC Certificate of Registration No. 97479) as the
Philippine Association of Academic and Research Libraries, with the
following objectives to:

a) encourage and promote the collection, organization and dissemina-
tion of information on research and academic library work;

b) develop the usefulness and efficiency of these types of library ser-
vice and librarianship;

c) enhance the professional welfare and mutual aid among its mem-
bers; and

d) cooperate with other organizations for the purpose of fulfilling the
above objectives and purposes.

The Constitution and By-Laws were amended several times: on 21 May
1977, 27 January 1979, 31 January 1985, January 1987, January 1989,
29 January 1993, 26 January 1996, and 29 January 1999. On 8 June
2004, it was reincorporated (under SEC Certificate of Registration No.
2000406833), to its present name, "Philippine Association of Academic/
Research Librarians", together with its New By-Laws, which were adopted
on 30 January 2004. Three amendments to these By-Laws were approved
and ratified on 29 January 2010 during the Annual Meeting of Members
held at St. Paul University-Quezon City.

Under the 2004 By-Laws, the new corporate objectives were to:

a) promote equitable access to and effective use of recorded
knowledge in support of teaching, research, scholarship, and
community service;

b) articulate the concerns of academic and research libraries and their
institutions, and influence information policy development affecting
the future of academic and research libraries;

c) develop best practices and standards for the improvement of these
types of library service and librarianship;

d) develop a corps of professional librarians and information special-
ists in academic and research institutions; and,

e) cooperate with other organizations of similar aims.

Projects

PAARL’s first projects were focused on the integration of indexing activities
carried out by its member institutions (in other words, cooperative
indexing) and the publication of union catalogs, holdings lists, and guides,
in the attempt to facilitate information access to the collection of its
member libraries. These cooperative projects resulted in the publication of
the following:

To inform and update the members, PAARL also published an annual
directory and quarterly Newsletter. In 1997 PAARL issued for the first time
the PAARL Bulletin, Volume 1, No. 1. It was compiled and edited by
Mrs. Veneranda O. Sajorda, with the assistance of Mrs. Maribeth Aguila
and Rhoda D. Flores. The bulletin printed the papers presented in the
seminars conducted in 1996. Also, for the first time in the year 2000,
PAARL embarked on an ambitious project, The Union Catalog of History
Materials on Region I, which was funded by the National Commission for
Culture and the Arts–National Committee on Libraries and Information
Services, then headed by Ms. Fe Angela M. Verzosa, its 2000 President.
This database project, approved in 2001 with former President Mrs.
Salvacion Arlante as project coordinator, covered about 7,000 materials in
various formats from here and abroad, with about 10% annotated, and
disseminated in CD format, and web-accessible. It was launched at the
2003 Philippine Book Fair held at SM Mega Mall in September.

On June 9, 2000, PAARLNET, a network of academic, school and research
libraries, imbued with a desire to formalize the practice among PAARL
member-libraries involved in interlibrary lending, was launched with an
initial membership of thirty (30) institutional libraries.

The membership has grown to about 150 institutional members, and
continues to increase. It is hoped that the spirit of cooperation and
resource-sharing among libraries will be strengthened with PAARLNET.

In August 2004, again for the first time, PAARL experimented with an
innovative consortium acquisition project, the PAARLNET Book Acquisition
Consortium Project, to enable member libraries, big and small, to enjoy a
guaranteed discount of between 5 to 10% from publishers’ US domestic
list prices, and a frequency of from monthly to weekly shipments of books
delivered door-to-door free of shipping and handling charges, for a trial
period of one year. With a sense of solidarity, PAARL had hoped to achieve
better terms and a bargaining leverage with publishers and vendors alike.
(The Memorandum of Understanding and the Project Summary was ap-
pended to the 2004 directory.)

In the same year 2004, the Association embarked on two very worthy
projects, one on a 2-year publication project of a book, Developing an

Outstanding Core Collection for College and University Libraries,
which may very well serve as a reference tool for CHED in providing a
basic list of books required for colleges and universities in the
undergraduate programs. By 2006, the project, with Mrs. Florenda Mallari
as coordinator, has completed bibliographic searching for the first volume
on the Social Sciences.

In 2007, the other publication project, Filipiniana Books for College
Libraries (A Core Collection of Filipiniana Materials for College Libraries in
the Social Sciences) was launched. This 479-paged bibliographical tool for
building Filipinina collection in the social sciences consists of 5000+
citations of significant Filipiniana book titles culled from various sources
published on or before 2005, and made available in electronic format in
CDROM.

PAARL also began its involvement in social networking activities to further
reach out and interact with its members in the mid-2000s. In May 2005,
PAARL launched, through the initiative of its past president, Fe Angela M.
Verzosa, an e-discussion group at the Yahoo Groups site. It has now the
biggest number of subscribers among local library organizations. It has
also created in February 2007 its own Wiki, organized and maintained by
its past president (for 2000 and 2004) Fe Angela M. Verzosa. As a Library
2.0 initiative of PAARL, this project was originally intended to be a hybrid
book and wiki, presenting links to research articles, case studies,
conference papers, lecture presentations, technical and country reports,
and profiles on Philippine Librarianship, Libraries in the Philippines, Library
Schools in the Philippines, Library Standards for Philippine Libraries,
Outstanding Filipino Librarians, Library Organizations in the Philippines,
and Useful Links under any library-related subject. This wiki eventually
serves not only as a sourcebook and pathfinder to the rich resources
available locally and through the Internet, but also as a tool to enable the
library community to share new information and resources on Philippine
Librarianship.

PAARL as a Facebook group was created in April 2009, while PAARL and
PAARLWiki at Facebook, as fan pages, were created in August of the same
year. Towards the end of 2009, PAARL Online, the online gateway to
information on PAARL, was launched as the association’s official website,
all created and maintained by the 2000 and 2004 President.

Subject Cataloging of Filipiniana Materials, with Mrs. Emelinda de Jesus
and Susana Ferrer of the UP Main Library's Technical Services Division as
resource speakers. The success of this library event was followed by
another one in 1981 with Mrs. Pat Nievera, the Ramon Magsaysay

Presidential Papers archivist, and Mrs. Yolanda Granada, head of the UP
Archives, as resource persons on the seminar-workshop on Archives
Administration at the National Library on November 5-6, 1981. After these
initial successes, PAARL institutionalized this program by conducting an
average of two to three such activities every year, and about four public
fora/symposia, which are held, traditionally, one at the beginning of the
year, another in celebration of the Philippine Academic Book Fair in July,
another during the Manila Book Fair in September, and the fourth on the
occasion of the National Book Week in November.

At the onset of the third millennium, when the Professional Regulation
Commission (PRC) required the Continuing Professional Education (CPE)
program for the renewal of professional license, most of PAARL’s CPE
activities were geared towards enhancing the skills and competencies of
professional librarians to become at par with their tech-savvy counterparts
in other parts of the globe. Topics on knowledge management, metadata,
borderless learning, e-library, e-learning, Web 2.0 and Library 2.0, 3rd
generation library management, and many similarly relevant subjects of
high impact proved to be appealing to the perceived needs and continuing
educational requirements of the librarianship profession in the country. A

PAARL likewise regularly holds library tours to give its members the
opportunity to visit exemplary libraries for benchmarking purposes. For
the first time, however, in 1997 it organized a library tour outside the
country, in Taiwan, and recently, it conducts annual benchmarking tours
within Southeast Asia (Singapore in 2010, Hong Kong in 2011, Kuala
Lumpur in 2012, Bangkok in 2013, South Korea in 2014 year and Japan
this year).

Standards for Academic Libraries

In an effort to upgrade libraries in private higher education in the
Philippines, the Private Higher Education Sectoral Area of the Bureau of
Higher Education made a study of the library resources in the country as
of SY 1975-76. A survey was conducted using an eight-page questionnaire
addressed to head librarians. The Fund for Assistance to Private Education
(FAPE) distributed and retrieved the questionnaires through the assistance
of the Bureau of Higher Education. One result of this study was a strong
recommendation to implement a Tentative Library Standards for Private
Higher Education, which was drafted by the study team and presented to
a larger professional group at a national convention of the Philippine
Library Association (PLA) on June 3, 1977.

In 1988, PAARL felt that the 1977 Standards needed upgrading to satisfy
the current needs of tertiary education, which had undergone several
changes. In pursuit of this objective, PAARL created a Standards
Committee tasked to formulate the Library Standards for Academic
Libraries in the Philippines. Miss Marina Dayrit, PAARL’s founding
president, was appointed chairman. Members of this Committee included:

The proposed standards were presented to the general membership in a
Seminar-Workshop held at the University of the Philippines-Visayas in
Iloilo in October 1988, and again in the seminar-workshop on Map
Utilization in the same year. The participants in the Iloilo public hearing
were librarians from the Visayas and Mindanao, while those who attended
the Manila seminar were librarians mostly coming from Luzon. The final
document was submitted to the Department of Education, Culture and
Sports and became known as the DECS Library Standards for Tertiary
Education. It was issued as Inclosure no. 3 to DECS Bulletin no. 1 s, 1988.
In answer to the growing clamor for a revision of the Library Standards,
PAARL conducted a seminar-workshop on Accreditation and Library
Standards: Library Achieving Academic Excellence in 1995. This was
followed by another seminar on Library Standards: Review & Update held
in Davao City in 1998. A Task Force on Library Standards was formed in
1999 to revise the standards based on the proposals agreed upon during
the Davao Conference. Headed by Ms. Loreto M. Seriña of Jose Rizal
College, the other Members of the Task Force included:

The draft was presented in the December 1999 issue of PAARL Newsletter
and distributed at the General Assembly held at De La Salle University, on
January 28, 2000. At the Planning Workshop for the new Board for 2000,
the incoming President, Ms. Fe Angela M. Verzosa, appointed Ms. Lolita

Gonzales to chair the Task Force in place of Mrs. Seriña, who was
subsequently appointed to the Board for Librarians. Verzosa also asked
the Board to approve her plan to conduct a series of public hearings
before the Standards were submitted for final approval, and to incorporate
these hearings as part of the Conference Committee’s scheduled forums.
Three public hearings on the revised standards were scheduled as forums
for the year 2000 in Manila, and one as a workshop held in Cebu City. The
first public hearing was held on March 17, 2000 at the University of Santo
Tomas, with Ms. Salvacion M. Arlante (UP), Ms. Belen Vibar (UAP), and
Prof. Candida Agcaoili (UST) as panel reactors. Also acting as moderators
were Ms. Sajorda (UPH-R) and Ms. Flores (UST).

The second public hearing was held on June 9 at the Pamantasan ng
Lungsod ng Maynila, with Dean Ursula Picache (retired UP Dean and
PAASCU accreditor), Dean Josephine Sison (UP ILS), and Ms. Perla T.
Garcia (DLSU) as panel reactors. Ms. Lolita Gonzales and Ms. Verzosa
served as panel moderators. The third public hearing was held last Sep-
tember 13 on the occasion of the 11th Philippine Book Fair held every year
at SM Mega Mall, Ortigas Center, Pasig City. Serving as panel reactors
were Ms. Corazon M. Nera (CEU, UE), Ms. Teresita C. Moran (Ateneo
Professional Schools), and Ms. Celedonia T. Cayaban (De La Salle College
of St. Benilde).

The last public hearing was held in Cebu City during the Seminar on Back
to Basics: New Strategies for Millennium Libraries” held at Holiday Plaza
Hotel, October 25-27, presided by Ms. Lolita P. Gonzales, with Ms. Corazon
M. Nera as resource person.

The 2000 PAARL Library Standard for Academic Libraries was formally
presented to the Board for Librarians during the Annual General Assembly
on January 26, 2001, and to the CHED Office of Programs and Standards
in March 2001 for adoption.

In its efforts to improve the standards reflecting the current library trends
as they impact on Philippine Librarianship, PAARL revised these standards
in 2010. The 2010 Standards were presented by Task Force Chair, 2000
and 2004 President Fe Angela M. Verzosa at four PAARL Forums (June 18,
July 7, August 20, and November 25) for deliberation. It was subsequently
approved by the 2010 Board for presentation at the 2011 Annual General
Assembly held on January 28, 2011 at The National Library of the
Philippines Auditorium. It is fervently hoped that the new standards will
continue to serve as a useful model in credentialing academic libraries in

Scholarship Grants

In addition to the yearly activities of providing quarterly informal forums
and the annual conferences or seminars, PAARL created a scholarship
program to assist academic or research librarians in their professional
growth.

The Mary Polk Memorial Award, funded by the first President of PAARL,
the late Miss Marina G. Dayrit, is to honor the life and accomplishments of
Mary Polk, the first librarian of the University of the Philippines, who
started the first formal library training program in the state university.
This scholarship grant is given to a student pursuing a master's in library
or information science at the University of the Philippines.

The second grant for professional development and research is the
Master’s Thesis Fellowship Grant intended to foster research in
academic librarianship by financing graduate students in library/
information science on their thesis research and/or thesis writing. The
amount of P 10,000 is taken from the interest income of PAARL's
Scholarship Fund, which is sourced from the ten percent of the proceeds
from the yearly operating income of the Association.

The third is a one-time award granted to any member to enable him/her
to attend an international conference and/or to read a paper to be
presented in such conference. This international sponsorship award is
granted depending on the availability of funds. Members who apply for
sponsorship are given the maximum of P 10,000 per grantee to cover
transportation cost or registration fee in the international event. Grantees
must render a report and/or conduct an echo seminar upon his/her return
from said seminar or conference.

Other grants are in the form of sponsorships to seminars or
conferences given to two (2) active members every year, whose
registration fees are waived to enable them to attend these activities. Past
presidents are also given 50% discount on registration fees to encourage
them to attend seminars. The complete list of grantees is available on our

Awards

In recognition of outstanding contributions to academic and research
librarianship and to library development in general, PAARL confers several
annual awards, namely:

• The Academic/Research Librarian of the Year Award, given to
two individual librarians (one from Luzon, and the other from
Visayas/Mindanao) who have made outstanding national contribu-
tion to academic or research librarianship and to library develop-
ment.

• The Professional Service Award, given to the immediate past
president of the association in recognition of his/her exemplary ser-
vice to the association.

 The Academic/Research Library of the Year Award, given in
recognition of an academic or research library’s outstanding na-
tional contribution to the academic or research community with a
cash award of P 5,000.

• The Lifetime Achievement Award, the highest recognition given
to an academic/research librarian as a hallmark of professional ex-
cellence as a lifetime achiever.

 The Outstanding Library Program of the Year Award, given to
an academic or research library in recognition of its outstanding li-
brary program that contributes to Philippine academic librarianship
andlibrary development in the Philippines. The library program must
have a strong impact on the library community, be innovative, sus-
tainable and may be replicated to other library communities, or in-
stitutions.

Today, despite its struggles and challenges, PAARL’s presence in the library
community of professionals is in an enviable position. As one of the largest
nationwide organization of professional librarians, it continues to impact
on its commitment to update our librarian’s knowledge and skills, and to
advocate and promote the cause of Philippine librarianship.

KNOW ALL MEN BY THESE PRESENTS:

THAT WE, the undersigned, all of whom are of legal age, citizens
and residents of the Philippines, have this day voluntarily associated
ourselves together for the purpose of forming a non-stock corporation
under the laws of the Philippines.

AND WE HEREBY CERTIFY:

First: - That the name of said corporation shall be: “Philippine
Association of Academic/Research Librarians, Inc.”

Second: - That the purpose or purposes for which said corporation was
formed are as follows:

1. To promote equitable access to and effective use of recorded
knowledge in support of teaching, research, scholarship, and
community service;

2. To articulate the concerns of academic and research libraries and
their institutions, and influence information policy development af-
fecting the future of academic and research libraries;

Seventh: - That the corporation shall have no shares or capital stock and
shall function exclusively for educational, civic, social, and charitable
purposes and no dividend or pecuniary profit shall ever be declared or
paid to any member, and that the fees, charges, contributions, donations,
grants, devices, bequests, gifts and endowments as well as property as
may from time to time be acquired or received or collected shall be spent
in such activities as may be necessary to enable the corporation to carry
out the purposes for which it was formed, and that said directors shall
receive no remuneration whatsoever but shall function exclusively for the

AMENDED BY-LAWS

of the

PHILIPPINE ASSOCIATION OF ACADEMIC/RESEARCH
LIBRARIANS, Inc.

(As amended on 29 January 2010)

ARTICLE 1. NAME AND DOMICILE

SECTION 1. NAME

The name of this organization shall be the Philippine Association
of Academic/ Research Librarians (PAARL) hereinafter referred to as
the “Association”.

SECTION 2. DOMICILE

The Association is a non-stock, non-profit service organization. Its
principal office and business address shall be in Manila, Philippines.

ARTICLE II. OBJECTIVES

SECTION 1. SPECIFIC OBJECTIVES

The Association which represents the librarians in institutions
supporting scholarly research and/or formal education on the collegiate
level and above shall have the following objectives:

a. To promote equitable access to and effective use of recorded
knowledge in support of teaching, research, scholarship, and
community service;

b. To articulate the concerns of academic and research libraries
and their institutions, and influence information policy
development affecting the future of academic and research
libraries;

c. To develop best practices and standards for the improvement
of these types of library service and librarianship;

d. To develop a corps of professional librarians and information
specialists in academic and research institutions; and,

ARTICLE III. MEMBERSHIP

SECTION 1. TYPES OF MEMBERS

The Association shall have the following as members:

Regular Members – are licensed librarians who hold bachelor’s
and/or master’s degree from a library school or are majors in library/
information science from a university, college, or technical school of
recognized standing and currently employed in academic and research
libraries. All past presidents automatically become regular members but
are exempted from paying their membership dues.

Associate Members - those former members of the Association
and librarians who are not licensed or connected with academic or
research libraries but are interested in becoming members of the
Association, such members may be appointed to committee work including
chairmanship thereof but cannot be elected into office.

Institutional Members – are institutions and/or organizations
maintaining academic or research libraries and interested in supporting
the purpose and objectives of the Association. The representative of an
institutional member shall be designated upon payment of its membership
due and shall have the rights and privileges of a regular member provided
he meets any of the qualifications for regular membership. No more than
one representative shall represent an institutional member.

Honorary Members - shall be conferred by the Board upon
recommendation of the membership committee to retiree-librarians who
were former members of the Association and/or have contributed to
academic librarianship in the country in general, but they cannot elect nor
be elected into office.

All members shall upon payment of appropriate dues, be entitled to
selected publications and other services of the Association.

SECTION 2. MEMBERSHIP DUES

The annual membership dues for regular and associate members
shall be two hundred pesos (Php200), and for institutional members five
hundred pesos (Php500) subject to increase to be determined by the
Board. Honorary Members and all past presidents are exempted from
paying the membership dues.

Membership shall cease when dues are not paid but may be
reinstated upon payment of the same.

SECTION 3. ADMISSION TO MEMBERSHIP

Members shall be admitted by the Board of Directors upon
recommendation of the membership committee.

ARTICLE IV. BOARD OF DIRECTORS

SECTION l. COMPOSITION OF THE BOARD

The governing body of the Association shall be composed of an
Executive Board consisting of NINE (9) DIRECTORS, all of whom shall be
directly elected by the general members, including an ex-officio, the
immediate past president. They shall hold office for one year after their
induction into office. It shall determine policies and take such actions as it
considers necessary to carry out the objectives of the Association.

SECTION 2. POWERS OF THE BOARD

The Executive Board of the Association shall have the powers,
prerogatives and responsibilities inherent in their positions. The powers
and duties are as follows:

a) It shall define the policies and regulate the activities of the Associa-
tion.

b) It shall exercise the corporate powers of the Association in carrying
out the business affairs of the Association.

c) It shall approve the admission of new members as recommended by
membership committee.

d) It shall create such committees as may be necessary to carry out
the functions of the Association.

SECTION 3. OFFICERS

The Executive Board shall elect from among themselves the Officers
of the Association, namely: president, a vice-president, an executive
secretary, a treasurer, an auditor, and a public relations officer.

SECTION 4. DUTIES OF OFFICERS

President, shall be the chief executive of the association and shall preside
at all meetings of the Board. From his assumption of office and for the
duration of his term, the President shall disassociate himself from any
and all activities that may in one way or another restrict or hamper the
effective exercise of his powers and performance of his functions and
duties. At the Annual Business Meeting, he shall report to the general
membership on the general state of the Association.

Vice-President, if qualified, shall exercise the powers and perform the
functions and duties of the President during the absence or inability of
the latter to seat; he shall perform such other functions and duties as
are assigned to him by the President and by the Board.

Secretary, who must be a citizen and resident of the Philippine, shall
attend all meetings of the Board and keep a record of all the
proceedings thereof; prepare and maintain a register of all committees
of their election or appointment; cause to be prepared the necessary
official ballots for the election of the Board and perform such other
duties as are assigned to him by these By-laws, by the President, and
by the Board.

Treasurer, who must be bonded in an amount to be fixed by the Board,
shall collect, receive record and disburse all funds of the Association.
However, no disbursement shall be made except over his signature,
countersigned by the President or in the absence or inability of the
latter, by the Vice-President, or in the absence or inability of both, by
the Trustee so designated to act in their stead. He shall render reports
of receipts and disbursements as required by the Board; assist in the
preparation of the annual budget; and perform such other duties as are
assigned to him by these By-laws, by the President, and by the Board.
He shall furnish a surety bond at the expense of the Association in such
amount as may be required by the Board. The Treasurer shall make an
Annual Report to the Board of Directors and to the members of the
Association regarding the financial conditions of the Association and
such other reports that the Board of Directors may require of him.

Auditor, shall audit and examine the receipts of all finances and
disbursements of funds of the Association, and shall see to it that the
disbursements are properly carried out in accordance with these
By-laws, the resolutions of the Board of Directors and the members of
the Association.

Public Relation Officer, shall take charge of all the preparation and
publication of press releases of the Association and such other related
activities as may be requested by the President or the Board of
Directors to enhance the prestige and growth of the Association.

SECTION 5. EX OFFICIO

The immediate past president shall serve as ex-officio member of
the Executive Board without any voting power.

SECTION 6. COUNCIL OF ELDERS

A Council of Elders shall serve as an advisory body to the Executive
Board. It shall be composed of past presidents willing to serve as
consultants and chosen by the President with the approval of the Board.
Their term shall be co-terminus with the current officers and Board. Since
they serve at the pleasure of the President, they have no voting rights.

SECTION 7. TERM OF OFFICE

The Board of Directors shall have a term of one (1) year until their
successors shall have been elected and have assumed office. Election
shall be subject to a maximum of three (3) years in continuous
succession. (Amended on 29 January 2010)

SECTION 8. COMPENSATION

No member of the Executive Board shall receive any stated salary or
honorarium for his services. Furthermore, no member of the
Executive Board shall be exempted from payment of membership
fee, whether individual or institutional, and of registration fee for
any CPE-accredited conferences or seminars for which CPE credit
units will be applied by the member concerned. (Amended on 29

SECTION 9. REMOVAL

A Director may be removed for a cause by two-thirds vote of the en-
tire voting members.

The cause may be determined and proposed by two-thirds vote of
the Board, or by at least twenty- five voting members of the Association.

SECTION 10. VACANCIES

Whenever by reason of death, incapacity, resignation or removal, a
vacancy occurs in the membership of the Board of Directors, the same
shall be filled by the members in a regular or special meeting called for
that purpose. A director so elected to fill a vacancy shall be elected only
for the unexpired term of his predecessor in office.

ARTICLE V. COMMITTEES

SECTION 1. STANDING COMMITTEES

The standing committees of the Association are:

a) Conference Committee - to plan the short term programs of

activities of the Association.

b) Membership Committee - to screen applicants for membership,

with a view of categorizing the same, and make suitable

recommendations to the Board.

c) Ways and Means Committee - to recommend measures and

undertake the same that would provide for the financial viability of

the Association.
d) Publications Committee - to take charge of the PAARL

newsletters and other publications of the Association.

e) Law and Legislation Committee - to study all proposed changes

in the Articles of Incorporation and By-laws and its statutes and

laws of general interest or application, and submit a report thereon

and, with the approval of the Board, shall represent the Association

in supporting or opposing such proposals.

f) Awards and Scholarship Committee - the Committee shall

recognize individual members of the Association who have made

outstanding contribution to library development and shall assist a

member librarian to acquire a graduate or postgraduate degree for

professional growth.

g) Nominations and Election Committee (NOMELEC) - the

NOMELEC shall submit to the Board a list of nominees of PAARL

members who have been active for the last three (3) consecutive

years at least 3 months before the annual election, but not later

than August 31. It shall prepare guidelines to conduct the annual

election of the Board of the Directors, and canvass the poll re-

sults, which shall be embodied in a report to be submitted to the

incumbent Board. This Committee shall be chaired by a past presi-

dent with five (5) active members who are not candidates in the

ensuing election.

Election shall be by secret ballot mailed to each voting member at
least six weeks prior to the annual election which falls every first week of
December. The candidates who receive the largest number of votes shall
be deemed elected. In the event of a tie, the Board shall determine win-
ning candidates by secret ballot.

Any candidate desiring to contest an election shall, within two days
after the announcement of the results of the elections, file with the
outgoing Board of Directors, a written protest setting forth the ground
therefore. The Board shall decide on the merits of the election protest.

In case an election shall be declared null and void, the incumbent
Board shall hold over until such time that a new Board of Directors is
elected and proclaimed.

SECTION 2. AD-HOC COMMITTEES

The Board shall create ad hoc committees as it deem necessary.

Special committees of the Association shall be established by the
President and approved by the Board. These committees shall be
responsible to the Board and shall exercise such powers and functions as
the Board may invest them.

The President shall, with the consent of the Board, appoint the chairmen
of all committees from among the Board members except the NOMELEC
and Ad-hoc committees. Chairmen and committee members appointed
shall be involved in academic and research library work. No member of
these committees may serve in excess of three (3) years.

Each committee shall submit to the Board of Directors a written
report of its activities during the association year, together with any
recommendations considered necessary or advisable. Additional report
may be submitted by a committee as requested by the Board or the
President.

Sections relating to areas of interest actively represented among
members may be established by the Board of Directors. Members of each
section shall elect their own chairman.

The chairmen of sections and committees may upon invitation of the
Board of Directors attend and participate without the right to vote in the
meetings of the Board. They shall represent their interest in relationship
with the Board and shall inform members of decisions and policies
affecting their interest.

ARTICLE VI. MEETINGS

SECTION 1. ANNUAL MEETINGS

Annual meetings of the Association shall be held every last Friday of
January at the principal office or at such time, date, and place as the
Board may determine.

SECTION 2. BOARD MEETINGS

The Board of Directors shall meet monthly at such time and place as
may be decided by the Board. Special meetings may be called by the
President, or upon written request of at least three (3) members of the
Board.

SECTION 3. QUORUM

Five (5) members of the board shall constitute a quorum for the offi-
cial transaction of business and except in such matters in which it may re-
quire the affirmative vote of a greater proportion of the members.

SECTION 4. CONDUCT OF MEETING

When not in conflict with the By-Laws, Robert's Rules of Order,
(Revised) shall govern the conduct of all meetings.

SECTION 5. MANNER OF VOTATION

Whenever, in the judgment of the Board of Directors, a question
arises that should be put to a vote of the members, or cannot be
postponed for action at the annual meeting, the Board may refer the
question for vote by mail unless otherwise required in the By-Laws. The
closing date for the return of mailed votes shall be established by the
Board.

ARTICLE VII. FINAL TRANSACTIONS

SECTION I. CONTRACTS

The Board shall, by specific resolution, authorize any Officer to enter
into any contract or execute and deliver any instrument in the name or in
behalf of the Association.

SECTION 2. DEPOSIT OF FUNDS

All funds of the Association shall be deposited to the credit of the
Association in such bank(s) as the Board may designate. The Association,
through its treasurer and president, shall maintain an automatic savings/
current account for its operating expenses; and time deposits for idle
funds.

Separate accounts must be established for specific funds meant for
specific projects or purposes. A Reserve Fund established as seed
money and to be used only as starting fund at the beginning of the
calendar year may be utilized for the early months in operation
with the intent that whatever amount was borrowed from the Re-
serve Fund shall be returned immediately as soon as practicable.
This fund should be placed in a separate savings account and dis-
tinct from the Operation Fund. (Amended 29 January 2010)

SECTION 3. SIGNING OF CHECKS

All checks, drafts or other orders of payment of money, and all
notes, bonds or other evidences of indebtedness issued will be signed
jointly by the treasurer and the president and or another officer or director
authorized by the Board to serve as alternate signatory in the event the
treasurer or president is unable to sign.

SECTION 4. INDEPENDENT AUDITOR

The Board may engage the services of an external auditor to audit
the bank accounts and financial condition of the Association, and submit
an annual audited financial statement to be included in the treasurer's re-
port to members at its annual meeting.

ARTICLE VIII. BUSINESS YEAR

SECTION 1. BUSINESS YEAR

The business year of the Association shall be January 1 to December
31.

ARTICLE X. AFFILIATION

SECTION 1. AFFILIATION

The Board of Directors may, by vote, affiliate the Association with any
national or international association having a purpose similar to those of the
Philippine Association of Academic/Research Librarians, Inc. The Board of
Directors may vote to cancel an affiliation if undesirable, but such vote to
be effective shall be approved by the Association by majority vote.

ARTICLE XI. AMENDMENTS

SECTION l. AMENDMENTS

These By-Laws may be amended by the majority vote of the Board of
Directors and the majority vote of the members present in any annual
