Website Fee Proposal

Design, Navigation Architecture and Programming
of a CMS, Responsive Website

A.J. Ross will build a custom website for NM which consolidates Northern Medical Urgent
Care, Northern Medical Specialists, Community Primary Cares, Grand Street Medical, Orange
Medical Care, Psychiatry, Pulmonary, Podiatry and Neurology into one integration website
physician and services website. The site will be built so that it grows with NM as new physicians
and groups join. The agency will build a map where all locations,services and physicians can be
found with one click. Up to 60 pages.

AJ Ross will restructure your current navigation to provide a more streamlined user-friendly
experience while remaining informative. Restructuring may require an increase/decrease in pages
and or condensing of information within those pages.

We will provide one set of wire-frames (homepage and 1 interior page design). There will be
two (2) rounds of review and revisions to reach approval of design (see Stage I). The remainder
of the site will be derived from homepage and interior page approved designs.

Client will provide technical content (PDF’s, technical information) for site.

All pages will be built within WordPress and will create the ability to change content (text and
photographs on the pages) on the site. Navigation or any custom built features will not be editable
by you the client.

This is a completely customized website; not a template CMS programs offer. These programs
are used because they are the most widely recognized and offer the strongest options for support,
upgrades and SEO (Search Engine Optimization). This option would offer the greatest benefit
both now and in future years by decreasing the need to out source web content changes that can
be done in-house.

*Price does not include photography, copy writing, any additional coding, navigation or pages,
databases, intranet, connection of 3rd party software, API’s or stock photos or SEO.

AGENCY WEB SITE GOALS

We work closely with our clients to develop a website that is both visually appealing and
consistent with your brand. Our websites are developed to be marketing tools, informative and
customized to your way of doing business.

WEBSITE IS CONSTRUCTED AND APPROVED BY CLIENT IN 3 STAGES

Stage 1) Design and Navigation structure. Color pallet, navigation and sub-navigation are
established in this stage for client review. A.J. Ross will design with your brand in mind to assure
its consistency or to establish a brand you can use in future materials.

Take time to review and discuss with A.J. Ross staff the design and navigation to make sure it
fits company needs from both a sales tool and users perspective. Once this stage is signed off
on, any additional navigational buttons that need to be added will be at an additional expense
due to overall re-design. A limited amount of additional sub-navigation is open for discussion
of changing during stage 2 at NO additional charge due to the website typically not requiring a
redesign. We will provide up to 3 rounds of changes in this stage.

Stage 2) Website Construction. The website will be constructed online as materials (text and
content) are provided to A.J. Ross for client review. During this stage we will work together to
keep the content you need consistent with the visual brand of the website. Review will happen
online without interruption to your existing website so you can see how pages will load and
speed of site. We will provide up to 2 rounds of changes in this stage.

Stage 3) Making it Live. Upon all content being placed within website, client does a final review
and signs off on website as it is. Upon sign off we will make the site live and connect it to your
domain name so can start using it. For CMS (content management system) web sites, a meeting
to teach one or more employees will be conducted at A.J. Ross, or phone support is available
during regular business hours.

Our process is so much more than throwing a bunch of random keywords into your meta tags and
website copy. We believe effective SEO – the foundation for web visibility – should interweave
quality web content infused with the appropriate search terms, formatting the search engines can
read, and user-friendly copy design. We take the time to do a full keyword analysis of the real
search terms people are using everyday relating to your services, then strategically incorporate
them throughout the appropriate places on your website so that you can be found by the search
engines and visitors. This proposal outlines the necessary steps to enhance visibility and traffic
based upon that belief.

1. Website Analyses: $200 per hour (Estimate of 5-8 hrs.)
The agency will delve into the current optimization on each site, the current targeted search terms
and markets, and rankings check. This would determine any 301 redirects that would need to be
created and any pages that should be migrated to the new site.

2 - Optimize Current Copy: $200 per page

3 - Copywriting and Optimization: $300 per page
If copy doesn’t exist or current copy requires re-writing it will be done with SEO goals in mind by
inserting keywords/phrases into existing copy. Creating H tags to place into the body of the page
and creating Alt image tags if page has imagery that is appropriate for goal of that page.

Website SEO Review

Website Copy Design:
In order to be shown in the search results, it is important that the search engines can read the content on your site.
Your site is built in frames, which means that text is being pulled into each page rather than sitting on the website
pages themselves. This is not good for SEO. The search engines are not reading the content on your website, with
the exceptions of the old newsletters as those are in PDF. In order to optimize your website, it needs to be re-built
to allow for content and page specific meta data.

The first place the search engines go in response to a query is something called a title tag, part of the meta data.
This is the first line of each result on the search results page. Each web page has its own title tag, which should
be optimized with your search terms and target markets. The current structure of your site is not allowing for
these unique title tags. That title tag also has space constraints. Additionally, terms at the beginning of the title
tag are given greater weight than those at the middle or end of the title tag. For these reasons, best practices
dictate that you focus on one search term per page and one, possibly two markets, depending upon how
competitive the terms are in those markets. Each page must also have sufficient content.

For optimization purposes it is important to have a page for any service you wish to be found for, which includes
related terms. For example, you would need to target “financial planner” and “financial advisor” on two separate
pages. We recommend identifying the terms you think you would like to be found for. That will help us identify
how many pages you need to optimize. The above list may be sufficient based on your keyword focus.
(SEO) is the process of improving the visibility of a website or a web page in search engines via the "natural" or un-
paid ("organic" or "algorithmic") search results. In general, the earlier (or higher ranked on the search results page),
and more frequently a site appears in the search results list, the more visitors it will receive from the search engine's
users.

Website Copywriting

Keyword Research and Analysis
It is very important that you don't randomly select a search term to target for each page – keyword research and
analysis is crucial to web visibility. We will conduct competitive keyword research and analysis to determine the
terms people are actually using related to your services. It is important to identify how competitive a term may
be in your target markets. If the term is competitive, and you are targeting more than one market, it may be
necessary to create a separate page for the additional market. This all goes back to the title tag mentioned above.
For competitive terms and markets, it is particularly important to keep the keyword and market adjacent to each
other and at the beginning of the title tag.

Meta Tags
As mentioned above, it is very important for web visibility that appropriate search terms are in your title and meta
tags. Each page should also have its own unique description tag relevant to that page's content, which not only
plays a key role in website visibility, but also entices someone to actually click on your search result. The
description tag is often the content you see directly underneath your title tag on the search results pages.

It is also important to effectively use heading tags and alt image tags (a tag for pictures that is also part of an
optimized website).

We will create relevant title, description, keyword, heading and image alt tags incorporating the appropriate
researched keywords for pages we will optimize.

SEO Copywriting/Copyediting
For Internet visibility, it is extremely important that the keywords or search terms are not only incorporated in the
title and meta tags, but also in appropriate places throughout the content of each page of your site. The search
engines first look to a title tag in response to a query, then look to the page content itself. That is why on-page
optimization, and the amount of copy, is so important.

The vast majority of your pages have sufficient content. You will need additional content for the Home, Team
and 401(k) pages. We can SEO copy write or copyedit your pages to capture the attention of both the search
engines and prospects by strategically incorporating the keywords and markets.

Local Business Listings
Business listings on Google, Yahoo and Bing are separate from your website. They are the pushpin map listings
you see when you do a local search. You currently have a claimed listing on Google. This needs to be completed
with your logo and additional pictures, as well as a description. You have a listing on Bing, however, it needs to
be claimed and completed. You do not have a listing on Yahoo. We can claim and complete those listings for you
so that they include your logo and other pictures, correct categories, appropriate descriptions, hours, etc. You
should also create a Google+ page. To help boost rankings, you should post to this page whenever you post to
your social media accounts. Google likes to see that you are adding fresh content to their social network platform.
Be sure to post links to your site to help drive more traffic.

Thank you for selecting AJ Ross Creative Media to provide you with the marketing services
outlined. Your signature authorizes us to begin these projects. You will be billed per the terms
and conditions outlined below.

Terms and Agreement

Thank you for selecting AJ Ross Creative Media to provide you with the marketing services outlined above. The following
constitutes the Contractual Agreement between Northern Medical Group (“NMG”) and AJ Ross Creative Media, Inc.
(“AJRCM”).

➢ This Agreement incorporates the scope of the work set forth in the attached Proposal. Where there is a conflict between the
terms of the Proposal and this Agreement, this Agreement will control.

➢ The Agency will initiate no project without NMG’s prior approval of scope and cost.

➢ AJRCM will place final accepted artwork, which acceptance shall not be unreasonably withheld, on either a CD or zip disc
or in PDF format to be sent to NMG. Providing editable native files is at the discretion of AJRCM.

➢ Additional expenses associated with the development of materials may include the cost of stock photography if required,
additional mechanicals, color correcting or scanning of client supplied photography. NMG will be informed of any additional
expenses prior to its final acceptance of such additional expenses. When stock photography is used to create materials, NMG
is responsible for the cost of stock photography ( $150 per image). The cost for additional services if required are as follows;
$150 per ad mechanical, Adjustment Mechanical - $250. All additional studio or account management work will be billed at
$200 per hour. NMG will also be informed of any price changes, which result from a change in the scope of the project, and
must agree to the price changes in writing before AJRCM.

➢ NMG will have all ownership rights to the full version and component parts of the website work product described in the
Proposal created by AJRCM, once full payment for all of the work product described in the Proposal, as well as any additional
work product necessary due to a change in scope of the project, is received by AJRCM.

➢ AJRCM will not distribute, publish or post any information until NMG approves the materials. While it is understood that
AJRCM will take all prudent care possible in the development of material to be issued, we cannot undertake to verify facts
supplied by NMG. Therefore, NMG agrees to defend and indemnify AJRCM against loss or expense, including reasonable
attorneys’ fees, costs and time charges that AJRCM may incur as a result of any claim, suit or proceeding brought or threatened
against AJRCM, arising out of assertions made by NMG products or services in any advertising promotion or communications
AJRCM prepares for NMG if the assertions are based on information supplied to AJRCM through NMG..

➢ Should NMG fail to pay invoices when due or commit any other breach of this agreement, in addition to any other remedies
AJRCM may have for breach of this Agreement, AJRCM will retain all rights in any work product created under this Agreement
and will be entitled to terminate this agreement immediately and retain all monies already paid to AJRCM. Such payments
shall not be subject to return to NMG under any legal or equitable basis, including but not limited to those based in contract,
tort, quasi-contract or estoppel.

➢ For payment of the website, 50% is due on signing, 25% on sign off of design and the remaining 25% due when client signs
off on the completion of the site. Once full payment is received, site will then be put online. For other materials (Logo, etc.)
50% is due on signing and 50% due on completion of creative.

➢ Projects initiated but not completed by NMG within 45 days of commencement, due to no fault of AJRCM, will be billed
in full as if completed. AJRCM agrees to complete project(s) as such time that NMG is prepared to resume, assuming that
prompt payment has been received for the project(s).

➢ In addition to the ability to terminate this Agreement for cause, either party can terminate this Agreement with ninety (90)
days written notice when notice is delivered by certified mail. NMG agrees to be responsible for all work in progress and will
pay for all expenses incurred up to and including the final day of the termination period. Agency agrees to complete all projects
scheduled up to and including the final day of the termination period, provided they have been fully compensated for those
projects.

➢ AJRCM reserves the right to showcase and/or reproduce any work product it creates on behalf of NMG for the following
purposes: portfolio/new business presentations, releases to trade magazines and award shows and any direct mail, collateral or
print publication that profiles AJRCM.

➢ Each party agrees that during the course of this Agreement, information that is confidential or proprietary may be disclosed
to the other party, including, but not limited to software, technical processes or formula, source and object codes, business
plans and economic data, advertising relationships, client relationships, marketing data, etc. (“confidential information”).
Except as provided in this agreement, neither party shall use, reproduce or disclose the confidential information of the other
party other than is necessary for the performance of this agreement. Each party shall notify its employees of their confidential
obligations with respect to all confidential information and shall require such employees to comply with these obligations.
Upon termination of this agreement, all confidential information or copies thereof shall be returned to the party who owns it.
The confidentiality obligations of each party shall survive the termination of this agreement.

➢ NMG agrees that during this Agreement and for a period of two years after the termination of this Agreement, NMG shall
not solicit for employment nor contract for services with any employee or contractor of AJRCM, that was employed by or
under contract to AJRCM at any time during the term of this Agreement.

➢ This agreement shall be governed by New York Law and may not be assigned by either party without the other's prior written
consent. Any and all disputes and controversies that arise from this agreement, or any interpretation thereof, shall be determined
and decided by a one panel arbitrator of the American Arbitration Association in Montgomery, New York pursuant to the
Commercial Rules then applicable. In the unlikely event that arbitration is commenced, the prevailing party shall have its
reasonable attorneys' fees and arbitration costs paid by the other party. Until an award is made by the arbitrator, which includes
the ultimate division of costs, the parties shall equally bear the costs of any arbitration.
