Structure MAP & MRP Policy

MAP Policy

Berlin Gardens, LLC (“Berlin Gardens”) strongly supports qualified retailers who stock, sell, and provide a high
level of service for Berlin Gardens products by maintaining retail locations, in-store displays, catalogs, and websites. In
order to protect our premium brand image and reputation for quality products, and to support the interests of Berlin
Gardens retailers, we have updated and adopted our Minimum Advertised Price (“MAP”) policy. The MAP policy is
effective Jan. 1st, 2020, and it replaces any previous MAP policy issued by Berlin Gardens.

1. The current MAP is set at a 40% mark-up. Berlin Gardens will maintain an updated and current list of MAPs
subject to this MAP policy

2. The MAP policy applies to all retailers and distributors of Berlin Gardens products.

3. This MAP policy applies to any advertising of all applicable Berlin Gardens products in all print, radio, television
and Internet. This includes, but is not limited to, flyers, mail order catalogs, magazines, newspapers, direct mail, inserts,
television ads, billboards and radio spots. “Internet” advertising shall include, without limitation, websites, forums, online
marketplaces, email and social media posts.

4. This MAP policy does not apply to in-store advertising that is physically displayed only in a brick & mortar store
and not distributed to a customer. In-store price levels may continue to be operated consistent with market conditions in a
retailer area, however all advertising prices must be listed at the MAP price level. This MAP policy applies to all websites
even when no shopping cart is featured.

5. All sales made on or through the Internet must be sold at or above MAP prices.

6. MAP does not establish maximum advertised prices. Retailers and distributors may offer Berlin Gardens products
at any price in excess of the established MAP for such products.

7. This MAP policy does not in any way allow a Berlin Gardens retailer to advertise that they “have the lowest
prices” or that they “will meet or beat any competitor's price” or that consumers should “call for a price.” Internet pop up
ads of any manner that suggest a “discount or sale” and discount codes or coupon codes that suggest a “sale” or phrases of
similar verbiage that suggests a lower price than the MAP is in violation of the policy.

8. A Brick & Mortar Store retailer and distributor may advertise that a customer may “visit us for any in-store
specials” however, a customer must be physically present in the Brick & Mortar Store for these specials to be applied.

9. Berlin Gardens will protect its established retailers and distributors by discontinuing sales to any retailer that fails
to comply with the MAP policy, as any such sales would degrade both the value and image of Berlin Gardens and its
products. If Berlin Gardens determines that a retailer is lowering the perceived value of our product by continually and
intentionally undercutting another retailer’s prices, Berlin Gardens will remove the offending retailer from the “Find a
Dealer” link on the Berlin Gardens’ website.

FAILURE TO ABIDE BY THE BERLIN GARDENS MAP POLICY COULD RESULT IN THE IMMEDIATE
TERMINATION OF DEALERSHIP

Policies and Procedures

Order Placement:

Fully completed purchase orders may be submitted one of two ways:
1) Faxed order: Orders may be faxed on an order form to: 877.754.3888.

A dealer can expect an order confirmation within two business days as stated below.

• Please use the 2021 Berlin Gardens order forms found in the final pages of this price guide.
• To ensure accurate order processing and to eliminate delays, please be sure to furnish complete informa-

tion on all orders. Orders with incomplete information will be returned
• Because of the high margin of error it allows, placing orders by phone is highly discouraged. A deal-

er may be held solely responsible for any discrepancies on verbal orders.

Order Confirmation

• Standard order confirmations will be sent to you as a dealer via fax or email. If confirmation is not
received within two business days, please contact Structure Order Entry at: 800.593.3411 or email:
[email protected]. Please review all confirmations for order accuracy. Any mistakes
should be reported immediately to Structure Order Entry.

• Custom Orders: Allow 3-5 business days for order confirmation.

Policies and Procedures

Order Cancellation/Changes:

• Any cancellations or changes to a standard order must be made within 10 business days of the confirmed
ship date. Orders processed and packaged for delivery cannot be changed or canceled without incurring a
25% fee or an additional charge. A $250 Rescheduling Fee for B.O.S. will be added for a date change and
could delay the job 3-4 weeks.

• Custom Orders cannot be changed or canceled after the order confirmation is received.

Lead Time:

• Standard lead time on structures is 20 business days (four weeks) unless otherwise notified. Should lead
times increase during spring and summer months, a weekly update will be provided via email or fax. The
ship date is stated on the order confirmation.

Invoicing:

• An invoice will be mailed or emailed unless otherwise arranged. Invoices are sent after the order ships.

Terms:

• All orders are subject to pre-established credit terms and will be processed as prepaid until terms are
established. A Credit Application must be fully completed and signed before Berlin Gardens establishes
terms and set credit limits. Credit limits are reviewed annually. Any account exceeding its credit limit will
be asked to submit a payment before further orders are processed, even if the account is not past due.

• Standard terms are net 30 days or prepaid. A service charge of 1.5% per month, 18% per annum will be
added to invoices past due (over 30 days). These service charges will NOT be waived upon receiving
payment for your overdue invoice(s), but must be paid along with the overdue invoice(s).

• Prepaid orders enter into production the day the order is entered. Orders will NOT be shipped until pay-
ment is received. If payment is received after normal lead time, the order will ship in three business days.

• Regular orders are put into production the day the order is entered and processes at the regular lead time.

New Dealer Set Up:

• Berlin Gardens LLC requires you as a dealer to fill out a tax exemption form to keep on file with the
Accounting Department at time of account set-up. You must be able to legally fill out a tax exemption
form to be able to purchase any products from Berlin Gardens LLC. Orders for new accounts will not be
processed until a tax exemption form has been filled out and signed.

• Berlin Gardens credit application must be submitted, fully completed and signed, to open a new account
with Berlin Gardens LLC. Orders may be held until credit application has been approved.

• Orders are subject to pre-established credit terms and will be processed as prepaid until terms are set.

Yearly Minimum Sales:

• A dealer needs to purchase a minimum of $15,000.00 wholesale value annually to maintain his dealership
status with Berlin Gardens LLC. Failure to meet annual $15,000.00 amount may result in loss of dealer-
ship. If the dealer’s sales are below this amount, you will receive a notice prior to the end of the year so
that you will have the opportunity of reaching this goal.

Policies and Procedures

Freight Claims:

• Damages must be identified upon product delivery. Damages of any kind should be noted on the Delivery
Receipt. Both the freight carrier and the customer must sign the Delivery Receipt indicating product dam-
ages. Photos of damage must be sent, along with a copy of the Delivery Receipt, immediately to Structure
Customer Service via email: [email protected] or fax: 877.754.3888 if any damage
is detected. Freight damages or shortages reported more than two weeks after delivery may not be honored
by freight carrier or Berlin Gardens LLC.

Returns:

• Please contact Structure Customer Service personnel at 800-593-3411 or email: structureservice@berl-
ingardensllc.com for authorization to return a product. The customer is responsible for all freight charges
on unwanted items that are being returned. Items that are packaged properly and deemed resalable will be
credited to the customer’s account, less 25% restocking charge. Custom products, discontinued products,
or previously assembled products are not returnable.

Shipping Rates and Procedures

Freight Rates:

• Berlin Gardens LLC will arrange the best shipping method, which includes freight carrier (LTL), or semi
load delivery.

• Freight Rates are handled on a per order quote basis. Please see “Freight Quotes” below.

• Freight Costs are pre-paid by Berlin Gardens LLC and added to your invoice.

Freight Quotes:

• Dealers may request a shipping quote on structures being shipped to their business or another busi-
ness. Quote requests may be emailed to: [email protected] or requested by phone at:
800.593.3411. Please include the size and description of the item being shipped, city, state and zip code
destination. Shipments MUST be to a business, NOT a residential address.

• All freight quotes will be for quoting purpose only. All freight orders will be re-quoted at time of ship-
ment. Freight cost may fluctuate slightly and your cost will be based on rates at time of shipment.

Customer Pickup (CPU)

• A dealer or an end user (your customer) may pick up an order at the manufacturing facility in Berlin, OH
if desired. The date available will be in the ‘Ship Date’ field on your order confirmation. The dealer needs
to give a minimum of three days notice to be able to pick up an order. To schedule a pickup, please
contact Structure Scheduling at 800.593.3411 or email: [email protected].

• All orders must be picked up or shipped within 5 business days of the ship date listed on the order confir-
mation. A $25.00 per day warehousing charge will be added to your account for every day after the initial
5 days your shipment is held.

Third Party Billing:

• Freight Carrier (LTL) Shipments: A dealer that prefers third party billing on orders that need to ship via
freight carrier (LTL) must clearly state this on each purchase order along with the name of the carrier
