rōpū āwhina ko Raukawa ki te Tonga AHC Ltd.
This is the Fourth Annual Report presented to members by the
Raukawa ki te Tonga Trustees and the Directors of the Asset Holding
Company. The work over the past year has been consolidated by the
experience and contribution of trustees who have been in place for
three years providing stability for the Trust. At the end of the period
two trustees decided not to seek re-election when the cycle of
elections emerged and they stood down. Bernadette Arapere made
a significant contribution to the work of the Trust in its first three
years as Deputy Chair and as a valued trustee. Fiona Wilson also stood
down after serving a full term providing her expertise as a trustee to
members. I thank them both on behalf of our members. They were
replaced in September 2014 by two new members, Jerald Twomey
and Dan Arapere who were elected unopposed alongside the current
Chair who also stood for re-election.
As one of the last iwi to establish a Mandated Iwi Organisation, we
are learning from the experiences of others while also continuing
to complete the requirements to successfully negotiate the in-shore
fishery allocations on the coast. This is an ongoing challenge for 2015.
The greatest challenge is still to grow our membership. We could
double our membership if we could persuade members that there is
value in registration. We need support of the iwi to do this.
This report is presented in a similar format to previous reports so that
the historical record can be followed. Membership is of considerable
importance to us and we continue to report on this. We have been
pleased to have the opportunity to distribute funds and fish to hapū
and iwi during this year.
The current review of Te Ohu Kaimoana is also of interest to all iwi and
we await the outcome by the reviewer in the next year.
We are encouraged by the support of members and your ongoing
interest in the work of the Trust.

REGISTRATION OF MEMBERS
The registration of members remains an on-going challenge for the Trust, for the iwi and hapū. It is in our interests to
continue to prioritise registration and hence every hapū is asked to make it a goal to increase the number of registered
members. Despite our efforts over the past year we have not met our target to increase membership to 12,000.
We are aware that our people are spread around the globe and increasingly our whānau have made Australia home.
We are reminded of this regularly. Very few are registered with the Trust and we seek your assistance in communicating
with potential members in Australia and in other countries. Communication has been made easier so we should take
advantage of this. There is little change in our statistics for membership, although we have more validated members
than last year.
At the end of 2014, we have:
• 10,166 validated members
• 2,385 are under 20
• 5, 877 are under 40
• 1,200 are over 60
• 20 are over 90
Geographic statistics:
• 8,741 North Island addresses
• 3,456 are in the Horowhenua and Manawatu-Whanganui area
• 589 in the South Island
• 434 live in Australia

this report.
COMMUNICATION WITH MEMBERS
Communication with one another and with whānau and hapū near and far away has changed dramatically in the past
four years. When we were established in 2011, the expectation was that we would post newsletters to our members and
communicate on paper that the postal services would deliver. In a very short time this has changed dramatically. There
is now an expectation from many members that we will communicate electronically and use social media. We have set
up a website www.raukawakitetonga.maori.nz and this is generally a site for recording events, making announcements
and maintaining a record of them. While we recognise this as a place to communicate with members, not all members
check out websites. We have set up a Facebook page and will work to make contact with members who are Facebook
fans. We are aware of the changing technology and will take advantage of the various media available for maintaining
contact with members. We continue to need your help with maintaining contact with members and with keeping our
database updated.

DISPUTE RESOLUTION COMMITTEE
There have been no disputes referred to this committee. Heitia Raureti and Jessica Kereama-Stevenson have continued
to be available to serve on the Committee. They are available to again serve on the committee with one Trustee. Colin
Knox has filled that position.
ELECTIONS 2014
In order to continue the rotation of trustees electionz.com Ltd were asked to manage an election due in 2014 (our third
election). The trustees who had served three years since establishment in 2011, were required to stand down. This
ensures that no trustee holds office for more than 3 consecutive years without seeking re-election.
Four trustees (representing 50% of trustees) had stood down and been elected unopposed in late 2012. They were Colin
Knox, Rupene Waaka, Te Kenehi Teira, Aroha Spinks.
The remaining three, Rachael Selby, Bernadette Arapere and Fiona Wilson therefore stood down and were invited to
seek re-election. Bernadette Arapere and Fiona Wilson decided not to seek re-election and we record our gratitude
to them for their contribution as trustees. Rachael Selby, Jerald Twomey and Dan Arapere were elected unopposed in
September 2014 and will serve three years to September 2017.
POLICY DEVELOPMENT
As we move into our fourth year we have a Governance Manual in place and have completed significant work on policy
development. The Distribution Policy has been tested and continues to be an area in which we receive a range of views
from members about their expectations. We are pleased to report that we have successfully completed two rounds of
distribution.
The Distribution policy is based on the principle that:
• The value of the Trust Fund established in 2010 should be maintained for future generations.
The policy complies with the Trust Deed which enables Trustees to make charitable distributions to Marae, Iwi/Hapū or
any Entity Beneficiary. The recipient must make a request in writing and be registered as a charitable entity within the
meaning of the Charities Act 2005. They must use the distribution fund for the purpose proposed and applied for and
provide a plan to the Trustees for the use of the funds.

DISTRIBUTION OF FISH TO MARAE
Overview
Since the establishment of the Trust, fresh fish has been made available to manaaki marae hui within the rohe. The
Raukawa ki te Tonga Trust continues to facilitate this with the support and assistance of Te Rūnanga o Raukawa. In the
past 2 years the cost of fish to the Trust has been more than $10,000 p.a.
Principles
Fish will be made available for hui at marae listed in the Deed of Trust and at hui hosted by a Raukawa ki te Tonga entity.
It is only available to contribute to the whare kai. It is not available for resale, fundraising, raffle prizes and for whānau
parties (weddings, birthdays, fundraisers).
Process
• A Marae representative orders fish through Te Rūnanga o Raukawa;
• The representative will provide information on the purpose of the hui;
• The order will be made 2 weeks in advance of hui where feasible;
• Te Rūnanga o Raukawa maintains a register of orders and purpose;
• The Rūnanga representative will receive the order and report if it cannot be filled;
• The order is delivered to one of the 3 Rūnanga offices;
• A Rūnanga staff member will contact the representative when it is delivered;
• It must be collected on the same day of delivery;
• It is only available on Monday – Friday in working hours;
• The person placing the order must have a chiller or large fridge available for storage;
• Te Rūnanga o Raukawa provides a schedule of orders to the Trust on request.
Notes
• Fillets of fish are generally available in a 10 kg box.
• This will generally provide for 50-60 people if it is the only fish/meat on the menu.
• Marae should be circumspect in placing orders to avoid waste.
• Specific species cannot generally be ordered.
• The Raukawa ki te Tonga Trust pays for the fish.

NEGOTIATIONS WITH NEIGHBOURS
We have concluded negotiations to the north and south with Ngāti Apa and Te Ati Awa ki Whakarongotai. Negotiations
regarding the allocation of the in-shore fishery between the Rangitikei River and the Manawatu River continue with
Tanenuiarangi Manawatu Inc and Muaupoko Tribal Authority.
REVIEW OF TE OHU KAIMOANA
The Maori Fisheries Act 2004 finalised the allocation of the Maori Fisheries Settlement and also created four entities as
part of the Settlement.
• Te Ohu Kaimoana (The Maori Fisheries Trust)
• Aotearoa Fisheries Ltd (AFL)
• Te Putea Whakatupu Trust
• Te Wai Maori Trust
The Act also provided for a review of the Trusts after 11 years. An independent reviewer was appointed in 2014 to do
this work. The review is to explore the governance arrangements.
All Mandated iwi Organisations have been invited to participate in the Review. Trustees have met with the reviewer and
discussed the issues which are relevant to us as an iwi and as trustees. It is anticipated that the review will be completed
in 2015.

This annual report covers the operations of Raukawa ki te Tonga AHC Limited over the 2013-2014
fishing year from 1st October 2013 - 30th September 2014.
The global economy has seen the New Zealand economy stand out in the post global financial crisis.
Europe remains in a fiscal unstable position while the USA economy gathers strength and Asian
markets retrench.
The New Zealand economy is expected to show growth of 3-4% this year, our economy in recent
years has been fuelled by strong demand from China, however China is experiencing some effects
of a growth reduced economy.
The New Zealand fishing industry is in constant change, no more so than this year’s introduction of
the “foreign charter vessel act”. This has seen an immediate impact on Iwi ace returns, a 30% decline
in revenue, as up to 100,000 MT of quota ace will go uncaught this season.
A constant diverse range of investment opportunities continue to be evaluated including commercial
property, agriculture and business equity opportunities.
The board have been very positive with its investment at 10 Spring Street Sydney and since balance
date have invested $200k into ASX listed Centurial Metropolitan Property fund. This fund has $180m
worth of properties spread between Brisbane, Adelaide, New South Wales with a mix of industrial
and office accommodation. Other AHC investments will be commented on later in the report.
The company and the trust are proactive in negotiating neighbouring Iwi boundaries. Over the last 18
months we have finalised agreements with Ngāti Apa and Te Āti Awa ki Whakarongotai, negotiations
continue with Rangitāne and Muaūpoko.
I would like to acknowledge the continued work of my fellow directors Gabrielle Rikihana and Tom
Jamison, since balance date we have welcomed the appointment of Shelley Macrae ( Ngāti Raukawa,
Tūwharetoa,) as a director of Raukawa ki te Tonga AHC Limited.
Our deepest sympathy and condolences go to Tom and Marie Jamison at the recent loss of their
daughter Victoria.

In announcing the results, chairman Whaimutu Dewes said the consolidated profit was higher than the planned amount
of $20 million as outlined in last year’s annual report, and was a result of AFL’s divisions performing well during the year.
He said that Sealord Group Limited also posted a strong result and was a major factor in the return to profit.
The result contrasts with last year’s loss as a result of Sealord’s exit from its Argentinian business and losses on the part
of its North American joint venture, as well as catch harvest shortfalls in the domestic fishing operations.
AFL chief executive Carl Carrington said “From a group perspective, the commercial fishing companies are in excellent
shape and performing well. Aotearoa Fisheries divisions were ahead of target which is pleasing considering the difficult
operating conditions, like the exchange rate and soft demand for paua in Asia.
Within the AFL Group are included Moana Pacific Fisheries and Kia Ora Seafoods in Auckland; OPC and Pacific Marine
Farms in the Coromandel; Prepared Foods in Palmerston North; and Sealord Group, in Nelson.
In the new financial year, AFL intends to ramp up efforts towards becoming a leader in sustainability, which is wholly in
line with its tikanga. “There is no question that our long term future and our ability to protect our ‘licence to operate’
hinges on how well we perform in this area.
AFL’s strategic focus over the coming year is based on three main components, he says. The first of those is zero harm;
keeping people safe remains our number one priority for AFL. There are a number of programmes in place that allow for
continuous improvement and monitoring of progress, he says.
The second component is sustainability - maintaining and protecting the right to operate continues to be important. “A
robust sustainability programme has already been put in place and will continually develop over time. The programme
will keep AFL as a leading, indigenous, integrated and sustainable seafood business”.
Finally, the company will also push for higher margins on its products. “With finite resources, there is a need to capture
additional value from our products, which are of excellent quality, by accelerating growth into higher market margins
and channels,” Carl says.

Sealord Group Limited
In 2013 Sealord recorded a loss in relation to the sale of its Argentinian subsidiary, yuken, leading to a reported loss for
the year of $44.4 million.
Other factors included losses on the part of its North American joint venture, catch harvest shortfalls in its New Zealand
fishing operations such as pelagic, squid and southern blue whiting fisheries, and the sharp appreciation of the New
Zealand dollar, which has affected the selling prices of its key fish products.
2014 has seen a return to profitability and the appointment of a new CEO. Iwi will keep a watch on change and improved
performance.
Key Achievements from Aotearoa Fisheries’ Divisions
AOTEAROA FISHERIES INSHORE
The amalgamation of Moana Pacific Fisheries and OPC Fish and Lobster has resulted in the creation of Aotearoa Fisheries
Inshore.
This new entity will allow the inshore business to maximise the allocation and use of quota. They will continue trading
under existing brands but operating as a single business unit will allow for a more efficient, productive and sustainable
harvesting and marketing operation.

Divdend from Aotearoa Fisheries Limited
As part of the final fisheries settlement, a part of the commercial fisheries quota was allocated to Aotearoa Fisheries
Limited (AFL) with the Iwi getting shares in the Company based on the Iwi population from the 2001 census. For Raukawa,
the number of shares allocated was 2900 valued by AFL at $8,959,631 on settlement. In each financial year, a dividend
payment based on 40% of the profit (NPAT) of AFL goes to the Asset Holding Companies of their Iwi organisations. The
total dividend paid to Raukawa ki te Tonga AHC Ltd amounted to NIL as the return for the 2900 shares held.
2014 saw Aotearoa Fisheries Limited issue a 1 for 1 bonus share issue taking Raukawa ki te Tonga AHC Limited shareholding
in Aotearoa Fisheries Limited to 5800 shares. Attached to each share was a māori authority tax credit valued at $240
per share.

Raukawa Tauranga Ika Limited
2013 we reported the board of RTIL and TROR (shareholder), by way of resolution agreed to transfer the shares of RTIL
to Raukawa ki te Tonga AHC Limited.
This was the original vision in establishing RTIL and growing our fisheries assets. Settlement took place on 30th June
2014 with Te Runānga o Raukawa receiving $141,010 and the shares of RTIL been transferred to Raukawa ki te Tonga
AHC Group.
Paua
The AHC group have increased their Paua Holding to 9.551 M/T. Since balance date we have witnessed the rejection
at the Chinese boarder of all canned abalone. The reason for this “no agreed chemical exemption” this process needs
to be worked through with the two countries bureaucratic officials and agreed So2 is an acceptable lacquer for canned
abalone. This will change the face of the industry in New Zealand away from the traditional prepared foods limited
canning operation to exploring new markets in a different format. The AHC are moving into this market in a small way.
Lobster Fishery
This forms a significant part of our fisheries assets and income.
Because we are yet to finalise a boundary agreement with Muaūpoko, Te Ohu Kai moana will tender this fishery, this
will see a reduction in the coming years Income approximately $150,000.00. This industry is the “rock star of the fishing
Industry” recently 1 tonne of cray8 quota shares changed hands at $1m. We continue to search for cray4 quota shares
to purchase.
Surf Clam
Te Ohu has put in considerable effort with Iwi and commercial interests in Fisheries Management Areas 2 and 8 to
investigate opportunities for surf clam fisheries in these regions. This work builds on earlier efforts to increase commercial
opportunities for Iwi.
Discussions during the financial year between Iwi quota owners, Cloudy Bay Clams and Aotearoa Fisheries Ltd led to an
agreement to investigate a joint venture structure. This has near universal agreement from Iwi. However, more work
needs to be done before anything is able to be finalised.
The parties are currently focusing on the capital structure and workings of a proposed JV. It is hoped that the feasibility
work can be complete prior to the end of the year with agreement to proceed with a JV being made in the second
quarter of 2015.
Te Ohu chairman and chief executive visited Japan to finalise arrangements for the 2015 Global Fisheries Scholar, and
took three boxes of surf clams with them to showcase the seafood to executives from Nippon Suisan Kaisha, Limited
(Nissui), AFL’s 50 percent partner in Sealord Group. Peter Douglas, Te Ohu chief executive, said Nissui showed strong
interest in the tuangi, especially the larger ones.
Last year we reported that this fishery had been bought into the QMS, TACC for Area 8 is 2813 m/t. As advised, a working
group was established to negotiate with Cloudy Bay Clams on an integrated one-desk company to facilitate this fish
stock nation-wide. This work has taken longer than expected due to the on-going deliberations by Cloudy Bay Clams.
The working party which includes Toarangatira Pomare, Ben Potaka and Mike Paku expect a response from Cloudy Bay
Clams in the second quarter of 2015.

Major Maori Fisheries Issue To Be Resolved

Review 2015
It has been more than 10 years since a method for allocating the Maori Fisheries Settlement was determined and given
effect through the passage of the Maori Fisheries Act in 2004, creating four important entities to govern and manage
part of the Settlement. Those entities are:
• Te Ohu Kaimoana (the Maori Fisheries Trust),
• Aotearoa Fisheries Limited (AFL),
• Te Putea Whakatupu Trust, and
• Te Wai Maori Trust
The Act provides for a review after 11 years of operation and is to assess the effect of the governance arrangements of
the four entities on their performances in discharging their duties and functions under the Act, including their ability to
deliver benefits to the various beneficiaries of the Settlement.
It is also to consider the effect of restrictions on the disposal of Settlement assets as they relate to MIOs’ and AHCs’
ability to deliver benefits to Iwi beneficiaries, as well as AFL’s ability to deliver to its income shareholders (Iwi and Te Ohu
Kaimoana).
During the 2014 financial year, Te Ohu Kaimoana worked to put in place the arrangements that support the review
going ahead. We are providing resources for the Committee of Representatives to carry out their legal responsibilities,
for the Reviewer to undertake the review and for the necessary communication vehicles to keep Iwi informed on
developments. Te Ohu Kaimoana’s general counsel, Simon Karipa, has been the contact point for Iwi and the Committee
of Representatives, as well as assisting the Reviewer when required.
The Committee of Representatives was appointed by Iwi through the Electoral College process prescribed in the Act, and
Mark Ngata (Ngāti Porou) was elected chair. The committee has three roles: to set the terms of reference for the review,
to appoint a reviewer and to distribute the Review to Iwi. The terms of references were finalized in August 2014 and the
committee appointed Wellington barrister Tim Castle as the Reviewer around the same time.
When the Reviewer has completed his review, in the first few months of 2015, it is the role of the committee to send it
to all MIOs, AHCs, the four entities under review and the members of Te Kawai Taumata. Te Ohu Kaimoana is required to
hold a hui for Iwi to discuss the review and any recommendations, and the subsequent actions to be taken. We expect
to hold that in May 2015.
The review process is to be completed by the end of the 2015 financial year.

Both the AHC and MIO have had one-on-one discussions with the Reviewer for the purpose of recommending change.
Outlook For 2015 Financial Year
The board of directors anticipate reduction in earnings for the 2015 financial year. This is due to a reduced value of
Paua income and no lobster income; on top of this the impact of the foreign charter vessel act and TOKM tendering the
inshore quota. Our diversity of investments come into play in these years.
