Dear Friends,
It is with great pride and joy that I introduce our summer 2016 collections for both Baby Aspen and Kate
Aspen. After eleven years in business our goal remains the same - to help transform everyday events into
memorable celebrations. With each new collection, we strive to inspire creative and lasting memories
through a unique and thoughtful product mix.

The 2016 summer Baby Aspen launch includes our largest collection to date, “Happy Camper”, for both
baby girl and baby boy. A fresh take on a classic theme, the collection features gifts and apparel in both
red and pink plaids, with cheery accents of bright colors, sure to keep baby in cozy comfort all winter long!
“Lullaby”, a sweet and soothing collection includes everything you need to ensure snuggly sweet dreams
for baby. From silky soft swaddles to star patterned pajamas, now that’s what dreams are made of!
Kate Aspen offers an ever-expanding assortment of party accents, table décor, keepsakes, and small
gifts for weddings, birthdays, and special occasion celebrations. With collections ranging from “Romantic
Garden” to baby shower themes “Tutu Cute” and “Precious Cargo” Kate Aspen is truly for all you
celebrate. Fabulously priced and perfectly packaged, Kate Aspen has a little something for everyone.

The Company

The Aspen Brands company is made up of two distinctive brands: Kate Aspen® and Baby
Aspen®. Kate Aspen features gifts perfect for every personality and occasion, while Baby Aspen
features innovative and adorable boutique style baby gifts -- all with the creative, signature
packaging that has become the Aspen Brands Company’s hallmark. Based in Duluth, Georgia
(just north of Atlanta), The Aspen Brands’ creative, dedicated team, conceptualizes, designs, and
coordinates the manufacturing of quality, personality-infused products. Both Kate Aspen and
Baby Aspen launch new products year-round that appeal to a variety of consumers, thanks to
trend-right designs, gift-ready packaging, and attainable price points.

Our Story
In 2003, co-founder Jennifer Fallon discovered an untapped market while searching for wedding favors
for her own wedding. Along with internet marketing guru Brad Fallon the entrepreneurial couple started
the website myweddingfavors.com and watched as sales grew rapidly to more than one million dollars in
the first year. Realizing there was even more potential than initially thought, the Fallons partnered with
another entrepreneurial couple DJ Meng and Shirley Wang who brought much needed expertise the new
venture required: to design and manufacture their own line of products. Together they launched Kate
Aspen in 2004 and the industry took note.
Thanks to the collection’s trend-right designs in gift-ready packaging, Kate Aspen quickly grew, creating
a sensation with online retailers and their customers, who were craving fresh, distinctive designs at
affordable price points. Lines of of baby shower favors, bridal shower favors, and bridal shower gifts
followed and the market welcomed them with equal enthusiasm. In 2007 the company decided to bring
adorably packaged, innovative baby gifts to the market under a new brand, Baby Aspen.
With two distinctive brands and rave reviews from consumers and retailers, we now have an exciting
company where employees can learn, share, advance, and be a part of something very special – The
Aspen Brands Company! In the summer of 2015, founding partners DJ Meng and Shirley Wang took full
ownership of the company, becoming CEO and President respectively of The Aspen Brands.
Today The Aspen Brands is a multi-million dollar company encompassing both Kate Aspen and Baby
Aspen, selling to both online and brick and mortar retail trade across the globe. Over the years, the Aspen
Brands has been recognized by the Wall Street Journal, Entrepreneur Magazine, and Inc Magazine’s list
of the fastest growing companies in America while also being voted one of Atlanta's Top Places to Work
for 2011, 2012, 2013, and 2014.

 Baby Aspen gifts are sized for newborns through 9 months. The line is collection based as well as
item based. Collections are composed of a variety of unique products, all with a similar theme.

 Best Selling Item Types: Gift and Bath Sets, Bath Robes and Hooded Towels, Layette Sets,
Sleepers and Snuggle Sacks, Blankets and Lovies, Bibs, Socks, Diaper Covers, Banks, and Plush
Plus® featuring a Plush toy with bloomer, or socks for baby to wear.
Most Baby Aspen items are sized 0-9 months, with the addition of best-selling shark robes in size
12-18 months. Diaper covers are available in two sizes: 0-6 months, and 6-12 months.

General Advice for Effective Sales
Merchandising Tips – Baby Aspen
1) It’s best to always display two Baby Aspen samples per sku. One in packaging (as it comes) and one
out of the packaging so retailers can feel the quality and see all items in multi-item sets.
2) Risers may be used to elevate products and provide height to your display.
3) Clothes line & clothespins can be used to display our smaller items, such as socks and bloomers

Ordering Basics
 Minimum Opening Order for New Account: $200 (Order may be combo of Kate and Baby)
 Minimum Re-order for Existing Account: $100 (Order may be combo of Kate and Baby)

Types of Wholesale Retail Accounts That May Be Considered For Approval

 Brick and Mortar - Store having a physical presence.
 Direct Online Store (Web-only based businesses) – Internet website branded by you and

not promulgated through a third party website. For example, “yourstore.com” and not
Google, Amazon, Facebook, Ebay, Zullily, etc
 Catalog Companies - Printed and online publications distributed direct to consumers or
direct to retailers.

Other Requirements and Stipulations for New Accounts

 Wholesale Accounts must provide a valid Business Registration License and a current Tax Resale
Certificate. Both the business name and address on these documents must be consistent with the
business name and address as shown on the Baby Aspen account.

 All wholesale accounts agree to follow & maintain minimum suggested retail pricing (MSRP)
guidelines. Guidelines & Policy is posted on the BA website under the wholesale portal, “How to
Sell Our Gifts”.

 Brick & Mortar businesses must provide a photo image of actual store front(s).

 Web only businesses will be reviewed to verify wholesaler has a functional “retail” website with
a URL address with a working “shopping cart” with a secure checkout process.

 All Wholesale “Brick & Mortar” and Web only businesses (who sell strictly on their own
website) agree to not sell our products on any online third party marketplaces, for example
Amazon, eBay, Wal-mart, Etsy, etc. This list is indicative only and non-exhaustive. Selling to any
online marketplace is prohibited without written permission. A marketplace can be defined as a
site where multiple retailers are selling their goods. A website that is maintained by a single
retailer may be approved.

 Home based businesses that do not have a stand-alone website with shopping cart or physical
store front will not be approved. We encourage our retailers to market on social media but this
cannot be a sole means of selling product.

Ordering Procedures

Be sure that orders are complete prior to sending. Order forms must include:
 Name of rep placing the order
 A unique purchase order number
 Name, address, and contact information of retailer (including their email address)
 All required credit card information, including billing address, and CVV code
 State Sales Tax ID#
 Please use both Sku’s and Descriptions when identifying the item on the order

Orders should be submitted through Brandwise unless otherwise approved by Sales Manager

Ordering Notes
 Orders with missing payment information: we will contact the rep and/or customer for any

missing payment information (credit card number, CVV code, etc).We will request any missing
credit card information from the rep and/or customer (depending on the information provided on
the order); but, if we have not received a response within 5 business days, the order will be
cancelled.

 An email address is required in the “bill to” section on Brandwise. If the customer does not
provide an email address, please include your (Rep’s) email address. The email address provided
will be sent: order confirmations, updates, and invoices. We value your privacy and never share,
rent, or sell your information to a 3rd party.

Payment Options

We accept the following forms of payment:
1) Initial orders must be paid by credit card. For your convenience, we accept Visa, Mastercard,

American Express, and Discover for opening orders

2) Net 30 terms with $500 opening credit limit available for approved accounts. Credit reference
sheets must be provided at time of request for increased credit limits. Credit approval will be
at the discretion of The Aspen Brands Company. Payment of terms orders by credit card will
be charged 3%. 1.5% monthly interest will be applied to all invoices not paid within terms.

NOTE: Credit cards are authorized immediately prior to orders being filled. There must be a credit card
number on every order along with CVV code. If a future ship date has been requested, the credit card is
authorized 5 days before ship date and charged when the order ships.

Shipping Notes
 Orders are shipped via UPS Ground pre-paid anywhere in the United States and Canada unless

weight or packaging requirements necessitate shipment by freight carrier. The cost of freight will
be added to the invoice.

 Once the order has been finalized, orders ship from our warehouse within 1-3 business days
unless a future ship date or you’ve preordered backordered items. Depending upon destination,
delivery ranges from 1-5 business days.

 Baby Aspen will not offer drop shipping for wholesale retailers; however this option is available
for Kate Aspen.

 Backorders: We do our best to ship your order 100% complete, but we cannot guarantee every
item to always be in stock. We reserve the right to split ship or cancel back ordered items unless
specifically instructed in writing.

 No returns are accepted without an Aspen Brands return authorization number (RA#). All claims
for returns must be made within 30 days of the invoice date, and the return itself must be received
within 30 days of that date. Returns must be shipped back in their original packaging at customer
expense.

NOTE: Any returned orders without prior authorization will be subject to a 20% restocking fee.

Defects and Billing Discrepancies
For the customer’s convenience, a copy of the Return Authorization Form will be included in every order.

Procedure for Damaged or Defective Merchandise: Please inspect all items carefully when you receive
your order. If there is any damage, please call Monday-Friday 9AM - 6PM EST at 1-866-304-3786 at
your earliest convenience, but no later than 7 days after the package was delivered. Keep the original box,
packaging materials, as well as any paperwork that came in the box. Please email us a digital photograph
of the damaged box and/or items at [email protected]. A customer-care specialist will
help you file a claim with UPS if needed.

Sales Rep Sample Policy

 Sales Reps will receive a rep-sample kit including a selection of best sellers from our most
popular categories, free of charge.

 Additional product may be purchased for at wholesale cost as listed in the catalog when inventory
is available. To place your order, please contact Sales Support.

Marketing Support Materials
 Product Catalogs –are automatically shipped to reps and showrooms prior to Winter and Summer

trade shows. Additional catalogs are available upon request to showrooms and sales reps.
 Glamour Shots – lifestyle and product photography provided to showrooms prior to trade shows.

Photographs will showcase collections and lifestyle images.
 Social Media Support: Kate Aspen and Baby Aspen are promoted heavily through many forms of

social media including: top wedding blog, Facebook, Instagram, and Twitter.
