OFFICIAL RULES

Eligibility: Open to legal residents of the 50 United States and the District of Columbia
who are 18 years of age and older. Employees, officers and directors of Philips Lighting
North America Corporation (“Sponsor”), its parents, affiliated and subsidiary companies,
advertising and promotional agencies, and members of the immediate family or household
of the employees of such entities are not eligible. (“Immediate family” includes the spouse
and parents, siblings and children and their spouses whether or not residing with the
ineligible employee). No purchase necessary. A purchase does not increase your chances
of winning. Internet access and a Facebook account are required. Void where prohibited.

Note: Facebook, Twitter and Instagram are not affiliated with this Sweepstakes in
any way and are not responsible for the administration of the Sweepstakes or the

awarding of any Prizes.

Sweepstakes Period: The “My Philips New Year’s Eve Moment” Sweepstakes (the
“Sweepstakes”) begins at 9:00 am ET on December 21st, 2015 and ends 11:59 pm ET on
January 8th, 2015 (the “Sweepstakes Period”). Sponsor’s computer shall be the official
timekeeping device for this Sweepstakes.

How to Enter: Using your active Facebook, Twitter or Instagram account, you must post
a photograph or video of how you light your celebration inside your home:

• If on Facebook, you must upload a photo or video of how you light your
celebration at home, and include the hashtags #MyPhilipsNYEMoment
#sweepstakes

• If on Twitter, you need to tweet a photo or video of how you light your celebration
at home, and include the hashtags #MyPhilipsNYEMoment #sweepstakes

• If on Instagram, you need to upload a photo or video of how you light your
celebration at home, and include the hashtags ##MyPhilipsNYEMoment
#sweepstakes

Twitter and Instagram users must allow public viewing of their profiles, otherwise your
entry cannot be viewed or considered. Entries must be complete and must conform to the
Guidelines and Restrictions set forth below. One grand prize winner will be chosen to
receive a Philips Lighting Grand Prize Package. Additionally, 3 runner up winners will be
selected to receive one (1) Philips Lighting Runner Up Prize Package.

Entries must be received by Sponsor during the Sweepstakes Period. Limit one entry per
person, per day. Any person who attempts to participate with multiple social media
profiles, multiple email or street addresses, under multiple identities or uses any device or
artifice to enter more than once per day will be automatically disqualified.

Guidelines and Restrictions:

• The photograph or video must be in a format suitable for upload on Facebook,
Twitter and Instagram;

• The photograph or video cannot have been submitted previously in a promotion of
any kind or exhibited or displayed publicly through any means;

• The entry must not contain material that violates or infringes another’s rights,
including but not limited to privacy, publicity or intellectual property rights, or that
constitutes copyright infringement;

• The entry must not contain brand names or trademarks, except for Sponsor’s
trademark for which entrant has a limited license to use for the sole purposes of
creating and uploading an Entry into this Contest;

• The entry must not contain images or artwork not created by entrant;

• The entry must not contain material that is inappropriate, indecent, obscene,
violent, hateful, tortious, defamatory, slanderous or libelous;

• The entry must not contain material that promotes bigotry, racism, hatred or harm
against any group or individual or promotes discrimination based on race, gender,
religion, nationality, disability, sexual orientation or age;

• The entry must not contain material that is unlawful, in violation of or contrary to
the laws or regulations in any state where the participant resides; and

• The entry must adhere to the Facebook Terms of Service
(https://www.facebook.com/legal/terms) if posting to Facebook; to the Twitter
Terms of Service (https://www.twitter.com/terms) if posting to Twitter; and the
Instagram Terms of Use (https://www.instagram.com/about/legal/terms/) if posting
to Instagram.

By entering the Sweepstakes, participants fully and unconditionally agree to be bound by
these Official Rules and the decisions of the judges, which will be final and binding in all
matters relating to the Sweepstakes. Each participant further agrees that his or her entry
conforms to the Guidelines and Restrictions set forth above and that Sponsor, in its sole
discretion, may reject any participant’s entry and disqualify him or her from the
Sweepstakes if Sponsor believes, in its sole discretion that such entry fails to conform to
the Guidelines and Restrictions. Finally, by entering, each participant warrants and
represents the following: (a) participant is at least eighteen (18) years old at the time of
entry; (b) participant is a legal resident of the United States; (c) the submitted photograph
is participant’s own creation and participant owns all rights in and to same, including
copyright; (d) the photograph does not infringe on or conflict with the rights of any third
parties; (e) the submission has not previously been entered in any other contest, and (f) the
submission has not been previously published in any medium.

By entering, all participants acknowledge and agree that their respective entries, including
participant’s legal name and/or user name, may be posted on Sponsor's Facebook, Twitter,
and Instagram account, and Sponsor’s website, and grant their permission for same.

• Philips Lighting Grand Prize Package: At the end of the Sweepstakes Period,
Sponsor and/or its designated judges (“Judges”), as determined by Sponsor in its
sole and absolute discretion, shall review all eligible entries received during the
Sweepstakes Period. Entries will be judged based on the quality of the photo or
video, and the role that light plays in the celebration, in Judges’ sole discretion.
Subject to verification and compliance with these Official Rules, One winner will
be chosen the week following the close of the contest. One (1) entry will be
awarded a Philips Lighting Grand Prize Package. Actual odds of winning will
depend on the number of entries received.

• Philips Lighting Runner Up Prize Package: In addition to the Philips Lighting
Grand Prize Package, three (3) entrants will be chosen to receive one (1) Philips
Lighting Runner Up Prize Package. Actual odds of winning will depend on the
number of entries received.

Sponsor’s Rights to Materials: By entering, participants hereby grant to Sponsor a
perpetual, irrevocable, royalty-free, worldwide and non-exclusive license to publish,
reproduce, display, perform, distribute, adapt, edit, modify, translate, create derivative
works based upon, and otherwise use and sublicense participant’s photograph or video and
entry materials (collectively, “Materials”) or any portion thereof, in connection with the
Sweepstakes and for other promotional purposes, in any manner, form, media or
technology now known or later developed. Sponsor will have no obligation to publish,
use, or retain any Materials that participant submits, or return any such Materials to
participant. Participant further agrees that it is participant’s sole responsibility to obtain all
permissions and releases necessary for the grant of the rights contained herein. Participant
further agrees, as a condition to being awarded any prize, to take any further action
(including, without limitation, execution of affidavits and other documents) reasonably
requested by Sponsor to effect, perfect or confirm Sponsor’s rights as set forth herein.

Notification: The winner(s) will be notified shortly after the end of the contest through
winner’s relevant social media account (Direct Message). Failure by a winner to timely
complete any and all verification documents requested by Sponsor will cause prize to be
forfeited and awarded to an alternate winner, chosen by Sponsor. It is the entrant’s
responsibility to ensure that the Sponsor has the correct information necessary for
notification. As a condition of being awarded a prize, potential winners may be required to
execute and deliver to Sponsor a signed affidavit of eligibility and acceptance of these
Official Rules and release of liability, and any other legal, regulatory or tax-related
documents required by Sponsor, in its sole discretion and where permitted by law.

Prize Restrictions: Prizes are non-transferable and no substitution will be made except at
the Sponsor’s sole discretion. Sponsor reserves the right, at its sole discretion, due to prize
unavailability or for any reason to substitute all or part of a prize with one of comparable
or greater value. Winner is solely responsible for payment of all applicable federal, state
and local taxes on prize and for all other expenses related to acceptance and use of prize
not specifically stated herein.

General: By entering, participants (a) agree to be bound by the Official Rules and the
decisions of the Sponsor which are final and binding in all respects; (b) to release,
discharge and hold harmless Sponsor, Facebook, Twitter and Instagram, their affiliates,
parent companies, subsidiaries, advertising and promotion agencies, and their respective
officers, directors, employees, representatives and agents from and against any and all
liability, injuries, losses, damages, rights, claims and actions of any kind, including
personal injury and/or death or property damage, in any way arising from his/her
participation in this Sweepstakes, or from his/her receipt, possession, acceptance and/or
use or misuse of any prize, or for any error in the announcement of any prize; (c) that
Facebook, Twitter, Instagram, and/or the Sponsor have not made and are not in any
manner responsible or liable for, any warranty, representation or guaranty, expressed or
implied, in fact or in law, relating to a prize; and (d) if a winner, by accepting prize, to the
use of his/her name, address, location and/or likeness by Sponsor, or any party authorized
by Sponsor, for advertising and promotional purposes in all media without review or
additional compensation (except where prohibited by law) and, upon request, to provide
such consent in writing.

Sponsor is not responsible for, and shall not be liable for: (a) printing or typographical
errors in any Sweepstakes-related materials, (b) electronic, hardware or software program,
network, Internet or computer malfunctions, failures, or difficulties of any kind, including
without limitation, server malfunction or by any human error which may occur in the
processing of entries; (c) failed, incomplete, garbled or delayed transmissions; (d) lost,
late, misdirected, mutilated, incomplete or illegible prize claims and/or entries; or (e) any
condition caused by events beyond the control of the Sponsor that may cause the
Sweepstakes to be disrupted or corrupted.

In the event of cancellation or suspension of the promotion, the prizes will be awarded
based on a random drawing from among all eligible entries received prior to cancellation.
Sponsor, at its sole discretion, reserves the right to void any entries submitted fraudulently
or in contravention of the Official Rules. CAUTION: ANY ATTEMPT BY A
CONTESTANT TO DELIBERATELY DAMAGE ANY WEB SITE OR OTHERWISE
UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A
VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN
ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES
FROM ANY SUCH OFFENDER TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute as to the identity of an online entrant, the authorized account
holder of the email address registered to the relevant social media profile used to
participate in the Sweepstakes at the time of entry will be deemed to be the entrant.
“Authorized Account Holder” is defined as the natural person who is assigned to an email

address by an Internet access provider, on-line service provider or other organization (e.g.
business, educational, institution, etc.) that is responsible for assigning email addresses for
the domain associated with the submitted email address or phone number. Proof of being
the Authorized Account Holder may be required.

Individual Entry Only: Every online entry must be manually keystroked and entered by
an individual entrant. Automated submission of entries (including but not limited to
entries made using any script, macro, bot or sweepstakes service) will be disqualified and
transmissions from any related email or IP addresses may be blocked. Sponsor may reject
any entry it believes is the result of fraud or was submitted in violation of the Official
Rules. A “screen shot” is not evidence of winning a prize.

Personal Information: Information collected from entrants is subject to the Sponsor’s
Privacy Policy (http://www.philips.com/privacynotice). By participating in the Contest,
entrants hereby agree to Sponsor’s collection and usage of their personal information and
acknowledge that they have read and accepted Sponsor’s privacy policy.

Governing Law: This Sweepstakes will be governed by the laws of the State of New
Jersey, without regard to its choice of law or conflict of laws principles. Any and all
disputes arising out or connected in any way with the Sweepstakes will be resolved
individually and exclusively by final and binding arbitration administered by the American
Arbitration Association (AAA) conducted before a sole arbitrator and held in New Jersey.
Arbitrator’s decision shall be controlled by these Official Rules and shall apply only to the
individual initiating the dispute. Arbitrator shall not have the power to award special,
consequential, incidental, punitive or other similar damages.
