environmental mitigation measures and address capacity and maintain
fluidity in Houston, Chicago, and other congested areas, including
preventing potential merger-caused delays.


The Board recognized that some rail shippers are upset with the existing
consolidation among Class I railroads that occurred in the 1980s and
1990s. The Board noted that there is an ongoing debate about whether
there has already been too much consolidation in the rail industry. The
STB claims that this transaction should improve rather than degrade the
performance of the industry and approved the merger.

Consequently, the Board did not impose any shipper-requested
competition conditions other than the ones CP had agreed to early in
the STB proceeding regarding open gateways. The STB argued that the
concerns raised by these shippers regarding post-Transaction competition
do not stem from the Transaction, but rather from longstanding issues
neither caused by nor related directly to the Transaction. However, the
STB assured these shippers that the conditions that will be imposed in
