1. I am of legal age in the province/state of my residency. Upon acceptance of this application
by Hollywood Skincare & Cosmetics Intl., an Independent Contractor also known as an
agent throughout this agreement, responsible for my own business activities and not as an
employee or legal distributor of the company. I am solely responsible for all taxes including
provincial, federal and state self-employment taxes and any taxes required under law. !

2. All Independent Contractors will be referred to in this agreement as an agent.!
3. This position does not constitute the sale of a franchise, distributorship or exclusive/territorial

rights and no fees have been or will be required for the right to distribute the company’s
products pursuant to the agreement.!
4. All literature, sales tools and products will be shipped within 3 days of receipt of orders
accompanied by full payment.!
5. I affirm that the Hollywood Skincare & Cosmetics Intl. marketing plan is part of this
agreement.!
6. I understand that the marketing plan herein can be amended to accommodate changes in
any laws.!
7. Agents are permitted to promote and direct third parties to their replicated websites using
social media etc. without tarnishing the reputation of other companies and/or people
including but not limited to Hollywood Skincare & Cosmetics Intl. company, staff and
products.!
8. Unauthorized use of the company logo, trade names or copyrighted material is strictly
prohibited.!
9. I will not make false or misleading statements about the company, product, marketing plan
or earning potential.!
10. I will not enter any trade shows, magazines, media/interviews, articles or any other
corporate related events without the written consent and permission/approval of authorized
personnel from the Head Office of Hollywood Skincare & Cosmetics Intl. Failure to comply
may result in immediate termination of this agreement without commissions and
compensation and may result in litigation with all legal costs at the sole expense of the
agent herein.!
11. I will not sell online except through my replicated website. Failure to comply may result in
immediate termination without commission/compensation and may result in litigation at the
sole expense of the agent herein.!
12. I will not sell, promote or advertise on ebay, amazon, or any other internet/online platform
and will be fined and prosecuted if I fail to comply. I will be terminated immediately without
compensation/commission. In the event that I am no longer affiliated or an agent of
Hollywood Skincare & Cosmetics Intl., I will still abide by all rules in this entire agreement.!
13. The only online shopping cart permitted for use of promotion and/or sales is the replicated
website through Hollywood Skincare & Cosmetics Intl.!
14. Hollywood Eye Magic is a registered trademark and no individual shall use it in any form
including websites, domains, emails or any other kind of promotion of advertising , business
or personal without prior consent.!
15. I will not solicit any commercial accounts or other customers actively being serviced by
another agent.!
16. All sales are final and agents will not tamper, repackage, duplicate or alter any Hollywood
Skincare & Cosmetics Intl., marketing materials, marketing plan, sales tools and products.!
17. Agents shall not promote Hollywood Eye Magic products and/or business plan to any outlet
with multiple stores or big box/chain stores unless written permission from Hollywood
Skincare & Cosmetics Intl. is obtained in advance.!

18. Agents shall not approach any shopping channels or any other networks regarding
Hollywood Eye Magic without written consent from Hollywood Skincare & Cosmetics Intl.!

19. Agents shall conduct his/her business in an ethical, just and moral manner that at all times
reflect favourability upon Hollywood Skincare & Cosmetics Intl. and other agents. I will not
degrade Hollywood SkinCare & Cosmetics Intl., Hollywood Eye Magic and/or business plan
before, during or after joining and/or selling/promoting the business/products.!

20. The applicant recognizes that Hollywood Skincare & Cosmetics Intl. retains the right to
change or amend its procedures and/or policies to comply with legal requirements and must
not alter this agreement.!

21. The applicant will not be selling, promoting or advertising any other product or business plan
in direct competition with Hollywood Skincare & Cosmetics Intl. and including but not limited
to Hollywood Eye Magic products.!

22. I will not solicit verbally or through business cards/flyer distribution, third party or any other
way including social media to Hollywood Skincare & Cosmetics Intl and Hollywood Eye
Magic’s organization/agents and outlets/dealers other companies, their products, programs
etc., that does not involve Hollywood Eye Magic solely and directly at any events, training,
presentations etc. !

23. This non-competition clause included ensures that the applicant cannot and will not
reproduce, alter, repackage or copy products and/or business plan and any material in the
same name as Hollywood Eye Magic and/or Hollywood Skincare & Cosmetics Intl. or
register under any other name of their own or through third parties. Private labelling is strictly
prohibited. Product, formula, packaging, business plan, sales tools and materials are the
sole trademark of Hollywood Skincare & Cosmetics Intl. Any violation of this clause will be
cause for any and all financial consequences but not limited to fraud charges and other
litigation and expenses to the agent and all parties involved.!

24. Agents of Hollywood Skincare & Cosmetics Intl. have the right to cancel, regardless of
reason. Cancelation must be in writing to the company at [email protected]
with a minimum of 30 days notice. Written acknowledgement from authorized personnel at
Head Office must be sent back to be valid. No exceptions. You will automatically get an
email back within 2-3 business days. 30 day count starts immediately upon your receipt/
proof of cancellation. !

25. Hollywood Skincare & Cosmetics Intl. reserves the right to change prices and or update/
modify the business plan, agreement, packaging etc., without notice.!

26. By signing and/or submitting this agreement, the applicant agrees to all definitions, policies,
terms and conditions herein. Upon acceptance by Hollywood Skincare & Cosmetics Intl., the
applicant will be granted the right to promote and distribute the product. Any violation and/or
involvement in any activity or failure to comply with all rules and regulations herein, which in
the opinion of Hollywood Skincare & Cosmetics Intl. reflects adversely on Hollywood
Skincare & Cosmetics Intl. products, and/or detrimental to other participants, renders the
agent subject to immediate termination.!

27. Any and all participants who agree to these terms and conditions and therefore join the
Network Business Program offered by Hollywood Skincare & Cosmetics Intl., must be active
on a monthly basis in order to receive any commissions, compensation and/or bonuses from
Hollywood Skincare & Cosmetics Intl.!

28. It is the sole responsibility of the agent to ensure proper payment is made for product and/or
services purchased and on the autoship program without interruption. To edit or add new
credit card information, simply login to your back office and make necessary changes.
Failure to comply and or declined payments may result in immediate termination without

compensation and charged accordingly with a minimum but not limited to a $50.00 fee per
declined transaction. !
29. Any and all shipments returned to us and/or unclaimed will be charged to the agent in full
and all collect duty charges if applicable must be paid within 7 days business days. Non
compliance may result in termination of this agreement and may lose their position in their
network.!
30. Autoship consists of a minimum of one case of the 12 pack of 4ml vials/bottles and will be
charged on the same date each month of which this agreement was signed/submitted. For
additional packages, materials and sales tools, please order accordingly. Hollywood
Skincare & Skincare Intl. is not responsible for customs and/or shipping delays/duties.!
31. All orders must be placed on or before 12:00 midnight EST on the last calendar day of the
month to qualify for that month’s activities. Orders received after this time will be applied for
for the following month. No exceptions. !
32. All commission cheques will be issued on the 15th of the month following the previous
month’s activity. !
33. All orders must be legible and all information must be provided for orders to be processed.
Any incorrect shipping addresses that are returned will be charged accordingly to the agent.!
