BRANDING GUIDELINES

Federations of Houston Professional Women has relatively new branding in the Greater Houston area.
A vital part of our communications strategy is ensuring we fulfil our promise to connect and transform
the networking experience through recognition and building pathways of opportunities for our members.
Working together, we can successfully establish FHPW as an organization that is worth the investment
of time and money to deliver on our promise.

Branding is a vital and important communication tool. A professional and recognizable image can help
ensure that FHPW has an image associated with excellence. Correct and consistent use of an identity
image is critical to building and protecting an organizational brand reflective of FHPW’s mission, vision,
value, and purpose. Please ensure that all of our communication reflects positively on FHPW through
consistent use of our branding materials.

Email Addresses

Using an organizational email address, helps to maintain consistent communications and to reduce the
need for constantly updating materials. Using an FHPW.org email address on all media materials to
include business cards, promotional items, and print, digital, web, and social media, will help to shape
the professional image. For all Executive Board members, the Technology Advisor will setup an

ARTICLE I - Name and Location

Section 1.01 - The name of this organization shall be The Federation of Houston Professional Women,
herein after referred to as FHPW. FHPW shall be located in the Houston, Texas metropolitan area.

ARTICLE II – Purpose

Section 2.01 - The general purpose and power of FHPW are to have and exercise all rights and
powers conferred on non-profit corporations under the Texas Non-Profit Corporation act and other laws
of Texas, or those powers, which may hereinafter be conferred.

Section 2.02 - The purposes of FHPW shall be to provide educational and professional development
opportunities for women's organizations and their members; local resource information and networking;
any and all lawful activities deemed to be in the best interest of its membership as long as these
activities do not contradict the nonprofit, nonsectarian, and politically nonpartisan status of FHPW.

ARTICLE III – Membership

Section 3.01 - Greater Houston metropolitan area nonprofit organizations whose membership
comprises a majority of business and professional women are eligible for membership in FHPW. Their
goals should include the advancement of women in business and support for women’s interests.

Section 3.02 - Election to membership is by affirmative majority vote of the Delegates present at the
applicable FHPW general and special meeting. A quorum at said meetings shall be one-fourth (1/4) of
the Delegates of record.

Section 3.03 - Members shall select from its membership Delegates to FHPW each calendar year.
Members whose official current roster numbers one hundred (100) or less shall have two (2) Delegates
and those with numbers more than one hundred (100), shall have one (1) additional Delegate. The
Member shall be responsible for selection of their delegates and its representation by Delegates at
general and special meetings.

Section 3.04 - A Delegate is defined as an individual selected by an FHPW Member as their voting
representative, with each Delegate representing one (1) vote and no Delegate may represent
concurrently more than one Member. Voting may take place at general and special meetings, and by
use of electronic ballots. Electronic ballots allow a means for timely voting on key issues, all member
organizations to participate in the voting process, and to aid in counting and tracking votes.

Section 3.05 - FHPW has the sole right to terminate membership of any Member. Membership in
FHPW may be terminated by an affirmative vote of two-thirds (2/3) of the Board of Directors or for due
cause. No portion of any dues paid shall be refunded to the terminated Member, and the Member shall
remain liable for any accrued and/or unpaid charges.

Section 3.06 - Member dues shall be paid annually by January 1. Dues increase beginning February 1.
Members whose dues are not received by March 31 may be automatically terminated for nonpayment.

Section 3.07 - Members who have been terminated for less than twelve (12) months may rejoin by
paying the appropriate Member dues plus a penalty. Members who have been terminated for more than
twelve (12) months may rejoin by applying for membership in the same manner as a new Member.

ARTICLE IV - Meetings

Section 4.01 - General meetings of FHPW shall be at least quarterly during the year and are open to
Members, guests, and college students. The last general meeting of the calendar year shall be the
Annual Meeting and shall include election of officers.

Section 4.02 - Delegates shall represent Members by voting at the business portion of these meetings.

Section 4.03 - Notice of general meetings shall be published at least four (4) weeks in advance of the
date of the meeting.

Section 4.04 - A special meeting may be called by the President or by written request of one-third (1/3)
of the Members of FHPW. Notice shall be published at least ten (10) days prior to the meeting. The
notice shall state the purpose, time, and place of the meeting.

ARTICLE V - Executive Officers

Section 5.01 - The Executive Board is defined as the elected officers of FHPW. FHPW elected officers
shall be President, President-Elect if the President is currently term limited, Vice President, Recording
Secretary, Administrative Secretary, Treasurer, and Immediate Past President. If the current President
is serving a second term, the Immediate Past President position may not be filled. Elected officer(s) are
herein after referred to as Officer(s). Each Officer shall have one vote at board meetings, general
meetings, and special meetings.

Section 5.02 - No Officer shall hold more than one (1) office concurrently or serve more than two (2)
full term in the same office in consecutive years. Unless, the President is serving a second term and not
able to appoint an Immediate Past President, then she may serve as both President and Immediate
Past President.

Section 5.03 - Officers shall be elected at the Annual Meeting by majority vote. An uncontested slate
may be accepted by acclamation.

Section 5.04 - The President shall appoint a Nominating Committee composed of three (3) Member
representatives. Membership of the committee should be announced no later than the third general
meeting of the year.

Section 5.05 - The Nominating Committee shall publish one or more nominees for each elective office
at least fifteen (15) days prior to the election. Nominations cease upon publication of ballot, excepting
an open position. An open office may be filed by the President.

Section 5.06 - Candidates’ member organization must be in good standing and endorse the candidate
to serve on the Board as submitted or declared by the Member’s representative.

Section 5.07 - Candidates for President-Elect should have preferably served at least one full year (12
months) on the Board prior to taking office.

Section 5.08 - No more than one candidate per Member shall be eligible for nomination as an Officer.

Section 5.09 - The President shall be the presiding officer of all meetings of FHPW and the chair of all
meetings of the Board. The President shall perform the duties of chief administrative officer responsible
for the operations of FHPW. The President shall serve as a member of the Governing Board of the
FHPW Educational Foundation. The President may be an ex-officio member of all committees, or
appoint another officer or director.

Section 5.10 - The Immediate Past President may assist the President or the President may choose
another Past President to assist and perform other duties as assigned. The acting Past President may
perform the duties of the President, in the absence of the President or in the inability of the President to
act.

Section 5.11 - The Past President or Vice President shall serve as a member of the Governing Board
of the FHPW Educational Foundation. The President-Elect may be an ex-officio member of all
committees.

Section 5.12 - The Recording Secretary shall be responsible for maintaining the records of the
proceedings of all general and special meetings and meetings of the Board and perform other duties as
assigned. The Recording Secretary shall distribute copies of the minutes of each general and each
special meeting to the Board.

Section 5.13 - The Administrative Secretary shall be responsible for conducting communications of the
organization in accordance with the direction of the President and the Board and perform other duties
as assigned. The Administrative Secretary shall maintain official records of FHPW as designated.

Section 5.14 - The Treasurer shall see that the tax return is filed and is responsible for maintaining
complete and accurate records of the financial activities of FHPW, submitting a quarterly financial
report to the general meetings; preparing an annual budget for submission to the Board; collecting
dues; issuing and receiving funds; and signing checks issued by FHPW. A minimum of two Executive
Board signatures must be on file with the bank, preferably the President and Treasurer.

Section 5.15 - The Immediate Past President or the acting Past President shall act as an advisor to the
other officers and the Board, and is responsible for working with the FHPW Presidents’ Advisory
Council to conduct an annual meeting of Past Presidents.

Section 5.16 - The President shall establish the place of Board meetings and provide at least seven (7)
days’ notice to each officer and director.

Section 5.17 - For meetings of the Executive Board, a quorum shall be one-half (1/2) of the Executive
Board.

Section 5.18 - A vacancy in the office of President shall be filled by the President-Elect, the Past
President, or one selected by the Board.

Section 5.19 - A vacancy in an officer's position shall be filled by Presidential appointment. In the event
the President-Elect position is vacant and filled by Presidential appointment, the President-Elect must
be elected or accepted by acclamation during the Annual Meeting prior to serving as President.

Section 5.20 - Any officer may be removed from office for cause by a majority vote of the Board.

Section 5.21 - An officer who is convicted of a felony shall be automatically removed from office.

ARTICLE VI - Board of Directors

Section 6.01 - The Board of Directors is defined as the Executive Board and appointed Directors. The
Board of Directors is herein referred to as the Board, and appointed directors as Directors.

Section 6.02 - The Board shall consist of no fewer than eleven (11) and no greater than fifteen (15)
individuals.

Section 6.03 - Term of office is the calendar year beginning January 1.

Section 6.04 - Directors shall have membership in good standing of FHPW Members and shall be
appointed by the FHPW President.

Section 6.05 - Directors shall be chairs of Standing Committees. No Director shall hold more than one
Directorship concurrently. Directors not presiding over Standing Committees may chair Ad Hoc
Committees or will be classified as Directors at Large.

Section 6.06 - Each Director shall submit a program of activity and recommended committee budget for
the Board’s approval and shall enlist committee personnel in sufficient numbers to enable the execution
of its duties and functions.

Section 6.07 - The President shall establish the place of Board meetings and provide at least seven (7)
days notice to each Director.

Section 6.08 - The President may call a special meeting of the Board as needed or as requested by
two- thirds (2/3) of the Board members.

Section 6.09 - Any member of the Board may vote by proxy at Board meetings provided that the
President has approved the absence of the Officer or Director.

Section 6.10 - For meetings of the Board, a quorum shall be one-half (1/2) of the Board. Each Officer
and each Director shall have one vote.

Section 6.11 - A vacancy in a Director's position shall be filled by Presidential appointment.

Section 6.12 - Any Director may be removed from office for cause by a vote of the majority of the Board.

Section 6.13 - A Director who is convicted of a felony shall be automatically removed from office.

ARTICLE VII - Committees

Section 7.01 - Committees shall be established by the Board as the need arises to pursue its stated
purposes. Committee members shall be appointed by the committee chair.

ARTICLE VIII - Fiscal Policies

Section 8.01 - No financial commitment of FHPW or its funds exceeding $500 shall be made without
prior approval of the Board.

Section 8.02 - An annual examination may be made by a committee appointed by the President with
the approval of the Board. At the discretion of the Board, an outside accounting firm may perform an
audit.

Section 8.03 - The Board may affect no proposed borrowing unless 2/3 majorities of all Delegates
approve it, such approval being obtained at a meeting.

Section 8.0 - In the event of the dissolution of FHPW, any assets remaining after the payment and
satisfaction of all liabilities and obligations of FHPW shall be conveyed to the FHPW Educational
Foundation or as specified in Article IX of the Articles of Incorporation of the Federation of Houston
Professional Women.

Section 8.05 - FHPW shall indemnify Officers and Directors of FHPW to the full extent permitted by the
indemnification provisions of Article 1396-2.22A of the Texas Nonprofit Corporation Act, as it may be
amended from time to time. All of the rights, powers, and limitations of indemnification provided under
said Article are incorporated by reference as a part of these Bylaws.

ARTICLE IX Parliamentary Authority

Section 9.01 - The rules contained in the current edition “Standard Code of Parliamentary Procedures”
shall govern FHPW in all cases to which they are applicable and in which they are not consistent with
these Bylaws and any Standing Rules or order FHPW may adopt. Policies or procedures not defined or
addressed within these Bylaws should be considered open for discussion and interpretation. Results
shall be entered as a Standing Rule.

ARTICLE X - Amendment of Bylaws

Section 10.01 - The Bylaws of FHPW may be amended by an affirmative two-thirds (2/3) vote at a
general meeting or by proxy, provided that the proposed amendment or revision shall have been
published to the Members at least fifteen (15) days prior to the voting meeting.

Section 10.02 - Any amendment or revision adopted shall become effective at the conclusion of the
general meeting. Such amendment or revision shall be published within seven (7) days of the date of
adoption.

Section 10.03 - All automatic grammatical, punctuation and correlation corrections in Bylaws or
amendments thereto, which in no way alter the intent of the Bylaws or amendment, shall be effected by
the Policies and Procedures Director with approval of the Board and notification shall be published on
the website.

STANDING RULES

1. New member organizations shall receive immediate membership benefits upon receipt of a
completed qualifying application and dues payment. New member organizations dues shall be
prorated the first year in whole dollars per quarter. If a member organization is not approved by
voting members at the next scheduled quarterly event after submission, any monies received will
be refunded.

2. Annual dues shall be $125 per member organization effective January 1 - December 31st. If a
member organization renewal payment is not received by January 31st, a late payment penalty of
$25.00 per month will be imposed unless waived by the President and Treasurer based on
reasonable circumstances preventing timely payment. Members not in good standing will forfeit
membership benefits and awards until dues are brought current.

3. Quarterly event dates shall be the 4th Monday of January, April, July, and October (the first month
of each quarter) unless other notice is given. Quarterly events will be at the Norris Conference
Centers @ CityCentre unless published at least 30 days prior to the event.

4. Members’ Presidents and Delegates shall identify themselves as the member organization’s
current representative(s) via online or upon check-in at FHPW quarterly events. If a delegate is
not identified or present, a representative from that organization is eligible to vote on-behalf of the
membership. Member Organizations with over 100 members shall have two delegates.

5. All event reservations and payments will be made online using the FHPW reservation system.
Electronic payments (credit card, debit card, and e-checks) will be processed via FHPW PayPal
Account. This processing system minimizes costs and ensures members and guests may choose
a payment method that meets their needs. An individual PayPal account is not required for
electronic payments. All reservation payments are nonrefundable forgoing payment processing
errors. A handling fee or surcharge will be automatically added to late online or pay at-door
reservations for any event. Attendee meal availability and/or selection will not be guarantee same
day or after reservation deadline.

6. The Membership Director shall notify the Board when any member organization is unrepresented
for two consecutive meetings.

7. Board meetings will be on the second Monday of each month, unless rescheduled. The Board
may remove any director from her position who is absent from three board meetings. The
President may remove any officer after two board absences and appoint a member to fill the
vacant position, in accordance with Bylaws Articles 5.19 and 5.20. Board members are expected
to attend at minimum three quarterly events each year.

8. The President will appoint Directors for the Awards Gala, Education, Marketing, Membership,
Policies and Procedures, Programming, Reservations, and Media. Each director may appoint
committee members to serve the needs of organization.

9. Advisors and Coordinators will be assigned as needed to serve the interests and grow the
organization. The President will appoint at minimum a Past Presidents’ Advisory Council,
Technology Advisor, and Travel Coordinator. Advisors and Coordinators serve during the
calendar year and may elect to serve multiple years. Advisors and Coordinators may participate,
but not vote, at meetings of the Board.

10. The Immediate Past President will support the Past Presidents’ Advisory Council and help to
maintain and coordinate communications with past presidents of FHPW. The Membership
Director will help to maintain the membership roster contact information. A mid-year contact
information request will be sent to member organizations. Additionally, the Membership Director
will coordinate communications with member organizations working closely with the President and
Administrative Secretary.

11. An Ad Hoc committee (Special Committee or Taskforce) is authorized by Bylaws Article VII and
may be assigned specific duties with a specific timetable. Special Committee Chairs may
participate, but not vote, at meetings of the Board.

12. Two individuals from the same organization may serve on the Board. Only one individual from the
same organization shall serve as an Officer.

13. To ensure candidates are recruited and developed to fill key roles on the Board in succession of
current elected or appointed positions, the President, President-Elect, and Awards Gala Director
will work closely to provide opportunities for current members to shadow roles as they plan to
rotate in the upcoming year. Key roles would include President-Elect, Treasurer, Awards Gala
Director, and Policies and Procedures Director, and preferably the candidates will have served at
least one full year (12 months) on the Board. Effective, proactive succession planning will leave
the organization well prepared as board members transition.

14. The Board will not recognize Women of Excellence honoree(s) if (a) the member organization is
not in good standing with FHPW and (b) the honoree violates any FHPW published values. The
Board may elect not to recognize a Woman of Excellence honoree if she does not adhere to
published Gala guidelines and deadlines. In the event a Women of Excellence commitment is
received after published deadlines and FHPW elects to honor the recipient, the honoree or
member organization may be charged for all costs associated with the acceptance of any late
submissions.

15. FHPW Standing Rules shall be reviewed yearly and approved by the Executive Board and
Directors. Changes shall be published no later than the next board meeting following adoption.

ELECTION PROCEDURE

Voting Terminology

Three important terms to know when transacting operations for the organization.

1. Membership of Record: The total number of member organization with representation that is
designated as a Delegate or President in the absence of the delegate who are current with
membership dues.

2. Majority: A majority of votes cast by persons legally entitled to vote excluding blanks or
abstentions at a regular or properly called meeting at which a quorum is present. A majority is
one vote over half.

3. Quorum: A quorum is no fewer than one-third of the represented member organization of record
that are in good standing with the organization. A quorum must be present for the valid
transaction of any FHPW business. The right to vote is limited to member organizations that are
in good standing and a member organization representative is eligible to vote. Alternatively, a
vote may be taken by electronic ballot. Only Executive Board positions require a vote by
membership – President Elect, Vice President, Treasurer, Recording Secretary, and
Administrative Secretary.

Nominating Committee

Roles and Responsibilities

1. The Immediate Past President is responsible for forming a Nominating Committee no later than
July 31st.

2. The committee evaluate eligibility of member organizations and duties for the officer positions.
3. President appoints Director, Advisor, and Coordinator positions; however, the Nominating

Committee may recruit for all positions ensuring the incoming President has a complete board
prior to January 1st.
4. The committee verifies that each recommended/prospective nominee is eligible to serve.
5. The committee prepares a slate of one or more candidates for each office to be filled.
6. The committee contacts each nominee explaining major responsibilities and obtains her
permission to place her name on the ballot.
7. The slate of candidates presented to the Executive Board no later than September 1st.
8. The Administrative Secretary notifies membership presenting the slate of candidates. The
Technology Advisors posts the slate on the website.

Nominating Committee Report of Nominees for Office

1. The Nominating Committee Chair reads the slate of candidates for each office.
2. The Nominating Committee Chair gives a written copy of the slate to the presiding officer
3. The Nominating Committee Chair duties terminate at the conclusion of the election.

states by your vote the following officers have been elected (reads the officer names and
positions). The newly elected officers will take office beginning January 1 through December
31st.

Note: President and Immediate Past President are standing officers and not elected during the
voting period.

Election of Officers – More than one candidate

LEADERSHIP ROLES AND RESPONSIBILITIES

The Federation of Houston Professional Women (FHPW) Leadership Team is comprised of the
Executive Board, Directors, and Advisors and Coordinators to serve the organization, in accordance
with the current Bylaws and Standing Rules, during the fiscal year from January 1 to December 31 as
elected or appointed positions. All Executive Board Members are required to attend monthly board
meetings and quarterly events.

As part of succession planning, all leaders serving the organization are responsible for identifying and
encouraging future organization leaders. At the end of the fiscal year, all current exiting FHPW Board
Members will conduct a face-to-face transition meeting with the incoming officer for her position as part
of the onboarding process.

Executive Officers

President

The President shall be the presiding officer of all meetings of FHPW and the chair of all meetings of the
Board. The President shall perform the duties of chief administrative officer responsible for the
operations of FHPW. The President shall serve as a member of the Governing Board of the FHPW

In December – January, prior to the first quarterly meeting, the President conducts an Annual Planning
Meeting held on at a convenient time for all Board members to attend. This is an opportunity to
introduce the new officers and communicate the strategy, annual theme, goals/expectations, establish
objectives, and set key metrics. Board Members, Directors, Advisors, and Coordinator are encouraged
to brainstorm ideas in team discussions according to each officer’s responsibilities and committees.

Key Responsibilities:

• Appoints all Director, Advisor, and Coordinator positions.
• Responsible for ensuring board leaders uphold the mission, vision, values, and purpose of the

organization.
• Evaluates, negotiates and executes contracts on behalf of the organization.
• Must be willing to countersign checks on behalf of the Federation of Houston Professional

Women.
• Ensures the organization operates efficiently and monitors financial activities and accounting

practices.
• Mentors the President Elect and supports all leadership roles in establishing best practices.
• Serves as the primary contact for the organization during her term.
• Serves as a member of the Governing Board of the FHPW Educational Foundation and

appoints the Vice President or Immediate Past President to also serve.
• Oversees the activities of the Awards Gala Director
• Presides over monthly board meetings and quarterly events.
• Must attend all quarterly events and conduct monthly Board Meetings in person or by

conference call. If unable to attend an event, she must arrange with the President Elect to
perform the duties of the President. If the President Elect is not available, she must arrange with
the Vice President to perform the duties of the President.

Immediate Past President

The Immediate Past President may assist the President or the President may choose another Past
President to assist and perform other duties as assigned. The acting Past President may perform the
duties of the President, in the absence of the President or in the inability of the President to act.

The President elect is responsible for assisting the president in fulfilling her responsibilities, overseeing
committees and projects spearheaded by the President, procuring new growth opportunities and
serving as host in FHPW sponsored events. If the Immediate Past President is not available or is the
current President, the acting President Elect may perform the duties of the President, in the absence of
the President or in ability of the President to act. To facilitate transitioning into the role of President, the
President Elect is responsible for maintaining and understanding the Leadership Guide. It is highly
recommended this officer is currently serving or has served on the FHPW Board.

Key Responsibilities:

• Supports the President and members of the leadership team in striving for excellence and
achieving stated targets.

• Works closely with the President in evaluating the organization’s current performance and future
goals.

• Supports the Treasurer in completing the filing the tax return with the Internal Revenue Service
(IRS) before the posted deadline.

• May serve as an ex-officio member of all committees.
• Serves the President as assigned or needed.
• Update the Leadership Guide with current board information, member organizations information,

calendar of events, revised Bylaws and Standing Rules, Past Presidents, Past Executive
Boards, Women of Excellence list and Legacy of Distinction sponsors. Update Leadership

The Vice President is responsible for professionally representing the organization before the public
including local communities, organizations, societies, business partners and educators.

Key Responsibilities:

• Coordinates and develop programs to increase FHPW awareness in the community.
• Works closely with Marketing and Membership Directors to attract and retain member

organizations.
• Works with the President Elect and Gala Director on securing sponsorships for the organization.
• May serves as a member of the Governing Board of the FHPW Educational Foundation as

assigned by the President.
• Serves as host in FHPW sponsored events.

Treasurer

The Treasurer shall ensure the filing of the tax return with the Internal Revenue Service (IRS) before
the posted deadline and is responsible for maintaining complete and accurate records of the financial
activities of FHPW. It is highly recommended this officer is currently serving or has served as a Finance
Officer or Treasurer with the FHPW, FHPW Educational Foundation, volunteer organization, or has a
finance background.

Key Responsibilities:

• Submits a quarterly financial report to the general meeting.
• Prepares an annual budget for submission to the Board.
• Invoice member organizations no later than the last day in October.
• Oversees member organization communication regarding dues, standard fees, and any late

fees.
• Responsible for the collection of all new and current membership dues.
• Responsible for Issuing and receiving funds.
• Responsible for the PayPal account.
• Responsible for reconciliation of the accounts.
• Responsible for signing checks issued by FHPW.
• Purchases all Gift Cards, when needed.
• Responsible for ensuring the bank signature card is current. A minimum of two Executive Board

signatures must be on file with the bank, preferably the President and Treasurer.
• Must attend quarterly events and a minimum of ten board meetings. Board meeting attendance

may be in person or by conference call.

Recording Secretary

The Recording Secretary shall be responsible for maintaining the records of the proceedings of all
general and special meetings and meetings of the Board and perform other duties as assigned. The
Recording Secretary shall distribute copies of the minutes of each general and each special meeting to
the Board. If the Administrative Secretary is not available, the Recording Secretary may perform the
duties of the Administrative Secretary, in the absence of the Administrative Secretary or in ability of the
Administrative Secretary to act.

Key Responsibilities:

• Records meeting minutes (Quarterly Events and Executive Board).
• Obtains approval of the meeting minutes to the Executive Board meeting minutes before

publishing to the membership.
• Prepares and distributes written report for the monthly executive Board meetings.
• Uploads the minutes to the FHPW Dropbox folder.
• If unable to attend a meeting or event, she must notify the Administrative Secretary to record the

minutes of the meeting.
• Must attend quarterly events and a minimum of ten board meetings. Board meeting attendance

Administrative Secretary

The Administrative Secretary shall be responsible for conducting communications of the organization in
accordance with the direction of the President and the Board and perform other duties as assigned.
The Administrative Secretary shall maintain official records of FHPW as designated. If the Recording
Secretary is not available, the Administrative Secretary may perform the duties of the Recording
Secretary, in the absence of the Recording Secretary or inability of the Recording Secretary to act.

Key Responsibilities:

• Distributes all communications to members.
• Coordinating with the Membership Director and using current JotForm reports, she ensures

contact information is current and accurate for communication distribution.
• Assist with all Gala communications (member notification, sponsorship letters, etc.).
• Working with the Technology Advisor, she maintains the Mail Chimp database.
• Responsible for sending out text blast reminder of upcoming FHPW sponsored events.
• Communicates with partners and service providers.
• Work closely with the Reservation Director.
• Receives all web based inquires and forwards to the President or appropriate Board Member.
• Uploads the minutes to the FHPW Dropbox folder.
• Sends thank you cards to speakers, volunteers, and others as needed.
• Announces all door prizes at FHPW sponsored events.
• Works with President as requested.

Directors

Awards Gala

Working closely with the President, the Awards Gala Director is responsible for the orchestration and
direct oversight and management of the Annual Awards Gala. Serving as an integral member of the
FHPW Executive Board, the Awards Director will collaborate with board members as necessary, and
manages all aspects of the event. She must be an expert in relationship building, engage fundraising
experts, and form partnerships with vendors and event host. A significant key to success is having
sufficient resources. She is responsible for forming a working team to assist her with duties and
responsibilities as needed. It is highly recommended this director is currently serving or has served on
the FHPW Board as an engaged officer, director, or committee member and has strong organization
skills.

Key Responsibilities:

• Take ownership of the event by successfully recruiting and mentoring volunteers to adequately
identify and evaluate the giving ability of potential donors and guests.

• Establish a core team to promote ticket sales, table sponsorships, Legacy of Distinction
sponsors, keynote speaker, and to coordinate Women of Excellence honorees.

• Negotiate contracts with suppliers and encourage in-kind services as donations.
• Responsible for the planning and organization of all event logistics.
• Responsible for event budgeting.
• Collaborating with the President design banquet settings, awards, and recognition.
• Coordinate with member organizations Presidents’ and Women of Excellence honorees.

The Education Director is responsible for conducting one to four Education Events/Seminars to provide

Education Units (C.E.U.) credits and certificates for participants.

Key Responsibilities:

• Negotiate and secure subject matter experts for relevant educational programming.
• Coordinates events with President and Leadership Team.
• Works with Program Director, Marketing Director, Social Media Director, and Technology

Advisor to promote the event.
• Works with the Treasurer to purchase a facilitator gift and thank you card.
• Must attend quarterly events and a minimum of nine board meetings. Board meeting attendance

may be in person or by conference call.

Marketing

The marketing director is responsible for increasing the visibility of the organization and its members
within the local community utilizing marketing strategies to include development of promotional
materials.

Key Responsibilities:

• Develops a marketing and promotional plan that will increase visibility of the organization among
businesses, community leaders, member organizations and non-member vendors.

• Works closely with the Social Media Director to utilize a variety of communication channels.
• Works closely with the Houston Business Journal and other press outlets.
• Promotes all FHPW sponsored events.
• Develops marketing materials using FHPW branding guidelines, logos, and approved colors.
• Supports the President by striving to achieve membership growth and community presence

targets.
• Serves as host and where needed at FHPW sponsored events.
• Must attend quarterly events and a minimum of nine board meetings. Board meeting attendance

may be in person or by conference call.

Media

The Media Director works tightly with the President, Program Director, Marketing Director, Membership
Director, and Technology Advisor by developing and providing content on FHPW sponsored events,
while leveraging media & print channels to increase visibility and expand community footprint with
targeted outcomes of event attendance upsurge, membership growth, and attracting crucial sponsors.
Program flyers for Quarterly must be developed and distributed as soon as possible, but no later than

one month prior to the event. Upon receipt of promotional materials (flyers, artwork, and main page
snippets, etc.), the Technology Advisor will upload web content. The Program Director is responsible
for providing speaker headshots, bios, and topic titles and descriptions. The Media Director will work
directly with the Marketing Director to identify key areas for FHPW Promotion. The Membership
Director may request materials to support her recruiting efforts.

Key Responsibilities:

• Develop a Social Media Strategy.
• Develop media and print content for distribution to include event flyer, web promotion graphics,

brochure, and other event related visual aids.
• Function as a liaison between Marketing, Membership, and Program Directors.
• Take photos at FHPW sponsored events to post on social media sites.
• Utilize all FHPW branding materials throughout media channels.
• As permitted, identify and register FHPW on value-added media channels.
• Maintain and ensure content is current and relevant on active FHPW media accounts such as,

Facebook, LinkedIn, Snap Chat, Instagram, and Twitter accounts.
• Must attend quarterly events and a minimum of nine board meetings. Board meeting attendance

may be in person or by conference call.

Membership

The membership director is responsible for recruitment, retaining, and supporting member
organizations by encouraging member participation in FHPW activities. The membership director may
choose to conduct a professional membership survey to assess membership enrollment, engagement,
and interests.

Key Responsibilities:

• Supports member organizations working with the President to host the Annual Leadership
Social in February.

• Develops at least one membership campaign event that will generate a minimum of two new
member organizations or additional members to join Members At-Large.

• Encourage members to renew for the upcoming fiscal year.
• Review membership list and ensure contact information is correct (at minimum twice per year).
• Send reminders to member organizations that are not represented at events and have failed to

renew their membership
• Reach out to past members who did not renew their membership.
• Reach out to visitors and non-member vendors and encourage completing on online

membership application.
• Compiles materials for prospective members and works closely with the President on identifying

prospective members.
• Compiles a list of prospective members.
• Sends out personalized messages to member organization encouraging Quarterly Event

attendance.
• Coordinate activities with Marketing Director.
• Serves as a greeter and host at FHPW sponsored events.

The Policies and Procedures Director is responsible for maintaining all operational documents to
include Bylaws, and Standing Rules. The Policies and Procedure Director must be objective and act as
council to the President.

Key Responsibilities:

• At the beginning of a new year, review Bylaws and Standing Rules.
• Working closely with the President update the Bylaws and Standing Rules to reflect current

organizational procedures, policies, and technology systems.
• Responsible for ensuring proposed Bylaw changes are submitted 30-days in advance to the

Executive Board and 15-days in advance to the membership prior to the next voting period.
• Responsible for ensuring revised dates are correct on all document prior to final publication.
• Must attend quarterly events and a minimum of nine board meetings. Board meeting attendance

may be in person or by conference call.

Programs

The Program Director is primarily responsible for identifying and securing speakers to deliver relevant
programming as indicated by a membership survey for each of the schedule quarterly events/meetings
per year. She will schedule programs April – January to ensure there is sufficient time to promote the
January event prior to the newly installed board takes office.

Key Responsibilities:

• Support the President and member of the organization by scheduling top talent, for speaking
engagements.

• Develop a program curriculum for quarterly events.
• Requests speaker bio, headshot, presentation title, and description.
• Creates the program flyer and main web page snippet for distribution to Marketing Director,

Social Media, and Technology Advisor.
• Collaborates with the speaker for Audio/Visual needs.
• Follows up with speaker two weeks prior to the event to confirming attendance and reviews the

details of the speaking engagement.
• Assist the President and Gala Director in developing PowerPoint presentation for quarterly

events and the Awards Gala.
• Works with the Treasurer to purchase speaker gifts and thank you cards.
• Uploads all documents and presentations to the FHPW Dropbox.
• Is proficient in Word, Excel, and PowerPoint.
• Must attend quarterly events and a minimum of nine board meetings. Board meeting attendance

The Reservation Director work closely with President, Administrative Secretary, and Gala Director to
negotiate contracted pricing with the host venue and hotels, and ensuring accommodations for FHPW
sponsored events are secured in a timely manner, meet event requirements, and are within budget.

Key Responsibilities:

• Coordinate event room reservations with venue host.
• Coordinate meals and services to meet member and guest needs.
• Coordinate hotel reservations for speakers and Awards Gala discounted pricing.
• Work closely with venue host day of the event.
• Check in and greet event attendees.
• If unable to attend an event, she must notify the President and arrange for the Administrative

Secretary to perform Reservation Director duties.
• Work with Administrative Secretary to have name badges available for all registered event

attendees.
• Must attend quarterly events and a minimum of nine board meetings. Board meeting attendance

may be in person or by conference call.

Advisors, Committees & Coordinators

Past President’s Advisory Council

The Council of Past Presidents consists of all women who have served as a Past President of
FHPW. The Council of Past Presidents Liaison shall act as a subject matter expert providing the Board
insight on Executive Board activities and coordinating Past Presidents’ support.

Key Responsibilities:

• Advisor to the current FHPW President.
• Advisor to the Executive Board on FHPW Best Practices.
• Source of support to the President and Board of Directors.
• Convene a gathering of FHPW past presidents at the request of the president at least once a

year preferable in the springtime.
• She may attend BOD meetings either in person or by conference call, but is not a voting

member.

Sponsorship Committee Chair

The Sponsorship Committee Chair cultivates relationships with potential donors to obtain contributions
in support of the FHPW Mission and annual events. She coordinates all sponsorship related
communications to include soliciting monetary and in-kind products and services from members and
corporations. She is responsible for ensuring electronic submissions of all sponsorships, in order to
build a sponsor database and ensuring appropriate acknowledgement of contributions. Electronic
submissions assist with tracking sponsorships, storing artwork depending on contributing level, and
maintaining a sponsorship database. The Sponsorship Committee should represent the broad
membership and at minimum include FHPW’s President, Treasurer, Administrative Secretary and Gala
Director. Working closely with Marketing, Media, and Technology Advisor, she will provide content to
include sponsorship level and artwork. She may attend BOD meetings either in-person or by
conference call; but she is not a voting member.

requirements for digital and print marketing materials and Gala program.
• Responsible for communicating FHPW is a 501c6 and all donations are non-tax deductible.
• Responsible for tracking and meeting sponsorship commitment level.
• Responsible for acknowledging donations with thank you notes.

Technology Advisor

The Technology Advisor is responsible for maintaining an up-to-date website for FHPW, leverage
existing tools and applications to improve operational efficiency, and ensure technology driven activities
are functioning properly. She is responsible for the renewal of web domains, hosting, and other
technology related services. She supports registration during FHPW sponsored events. She may attend
BOD meetings either in person or by conference call; but she is not a voting member.

Key Responsibilities:

• Responsible for the website design and content.
• Responsible for updating the website on a monthly basis; at minimum.
• Responsible for ensuring all web materials are current and accurate.
• Working with the Membership Director, she is responsible for communicating membership

updates to individuals responsible for website content, online forms and Leadership Guide.
• Responsible for creating and maintaining fhpw.org email addresses and forwards.
